1 GENERAL TERMS AND CONDITIONS OF SALE (ENGLISH VERSION) 1 - ACCEPTANCE OF THE GENERAL TERMS AND CONDITIONS OF SALE: Placing an order for advertising space (hereinafter referred to as the affiliate order ), on the part of an Affiliate or a proxy acting on their behalf implies their acceptance of General Terms and Conditions of Sale described hereinafter and compliance with the laws, regulations and customary practice governing advertising and the Internet. The General Terms and Conditions of Sale and prices may be amended at any time, without notice or compensation. Said amendments shall have no effect on transactions in progress and offers issued. 2- NETWORK AND OPERATIONS OF DIGITAL4CAST The company DIGITAL4CAST has created, developed, set up and operates affiliation campaigns (and in particular campaigns collecting leads called "Co-registration" and "Co-sponsoring") based on software available on the Internet at the URL The company DIGITAL4CAST also has a network of partner websites to whom said affiliation programmes are offered. 3 DEFINITIONS In the context of the GENERAL TERMS AND CONDITIONS OF SALE, the following words and expressions shall have the meaning given to them by the definitions below: AFFILIATE ORDER: The document attached hereto, placing an order for advertising space on the part of an Affiliate or a proxy acting on their behalf. PLATFORM: Lead management software "D4CPlatform", operated by DIGITAL4CAST, available online ( enabling AFFILIATION PROGRAMMES to be defined, processed and disseminated on advertisers' behalf. The software transfers LEADS and counts the number and type (Co-registration / Co-sponsoring) of LEADS generated by AFFILIATES on advertisers' behalf, thus allowing the amount of commission due by the advertiser to their various AFFILIATES under the AFFILIATION PROGRAMMES to be calculated. CO-REGISTRATION: an Opt-in method for obtaining addresses (web users accept to be contacted again) using an interactive tool. When a web user registers on a publisher's site belonging to the DIGITAL4CAST network, they are offered a subscription to the advertiser's service or offer when the process is completed (no obligation). Co-registration is a DEDICATED data collection service for an Advertiser: The web user has to INDIVIDUALLY accept each offer. CO-SPONSORING: an Opt-in method for obtaining addresses (web users accept to be contacted again) using an interactive tool. When a web user registers on a publisher's site belonging to the DIGITAL4CAST network, they are offered a subscription to the advertiser's service or offer at the end of the process (no obligation). Co-Sponsoring is a data collection service that is SHARED between several Advertisers: By agreeing (opting in) the web user accepts to receive newsletters from ALL ADVERTISERS. LEAD: Act through which a web user visiting an AFFILIATE's site subscribes to the Advertiser's newsletter. A lead may arise during either a Co-registration process or a Co-sponsoring process. LEAD INCENTIVE: Act through which a web user visiting an AFFILIATE's site subscribes to the Advertiser's newsletter in return for a reward, remuneration, or any other way of incentivizing them. The AFFILIATE is hereby informed that DIGITAL4CAST do not accept LEAD INCENTIVES. CPL: the CPL is the sales unit used on the PLATFORM and corresponds to the Cost billed to the advertiser for each Lead transferred to and accepted by the advertiser. Webservice: an electronic system made available by the ADVERTISER and consisting of a URL allowing their LEADS to be sent to them in real time. The means of transmission may be "POST" or "GET". VALIDATION TIME: Time period that the ADVERTISER is allowed to inform ED & Associates of the number of LEADS accepted for a given month. The period is expressed in number of days post-month (n+30). By default it is 30 days.

2 Example: the ADVERTISER has until 15 October 2012 to send us the number of leads accepted for the month of September AFFILIATION: Relationship between the Advertiser and the Affiliate established by means of a registration form on the AFFILIATE's website and enabling a web user visiting the AFFILIATE's website to subscribe to the Advertiser's newsletter by means of Coregistration or Co-sponsoring. The sending to the ADVERTISER of data collected from the AFFILIATE's site gives rise to remuneration. AFFILIATE: Publisher (or network of publishers) of online services or content, the property of a natural or legal person, having completed or that might complete the subscription form for the PLATFORM, enabling them to present Co-registration or Cosponsoring offers on their website. ADVERTISER: Publisher of online services or content, the property of a natural or legal person, having subscribed to, or that might subscribe to the PLATFORM, and thus offer a Co-registration or Co-sponsoring campaign. WEB USER: Natural or legal person connected to the Internet and using it to perform operations, whether interactive or not, such as browsing sites, exchanging information, or performing legal acts such as purchasing products or services. FINAL NUMBER: Leads accepted by the Advertiser for a given month. 4- DECLARATIONS 4.1. The AFFILIATE declares that they are carrying out their activities in compliance with all legislation applicable to them, and in particular labour and social security legislation, intellectual and industrial property rights, the rules concerning the electronic processing of personal data, and, more generally, all of the regulations in force The AFFILIATE declares that they have received from DIGITAL4CAST all information necessary regarding the functions of the PLATFORM and the content of the DIGITAL4CAST OFFER The AFFILIATE shall hold ED & ASSOCIATES harmless from and against any prejudicial consequences that might ensue from inaccuracies in the above declarations, and shall hold the latter harmless from any claims that might be made by third parties in the context of, upon conclusion of, or during performance of the advertising order. DIGITAL4CAST. 5- OBLIGATIONS OF DIGITAL4CAST 5.1. DIGITAL4CAST undertake to ensure that the PLATFORM is operational so as to allow the AFFILIATE to use it under the conditions and according to the terms of the AFFILIATE Order. If a technical failure should occur, affecting the functioning of the PLATFORM for reasons outside the control of ED & ASSOCIATES such as, in particular, an interruption in telecommunication systems or an interruption in service by its IT service providers, for any reason whatsoever, ED & ASSOCIATES undertakes to inform the AFFILIATE, without delay, of this occurrence and when it ceases. The occurrence of the events described in the previous paragraph shall have no consequence upon the continuing of Operations and may not give rise to any claim by the AFFILIATE, since said events shall be considered to constitute force majeure DIGITAL4CAST undertakes to record and store, using procedures as it sees fit and for the duration required to perform the Affiliate Order, computer data retracing the origin and number of leads performed by web users DIGITAL4CAST shall be responsible for making available, permanently and online, statistics for the AFFILIATE, i.e. the number of leads received from each of the Affiliate Orders and the price thereby ensuing, according to the terms established in Article 7 below. 5.5 In the performance of the obligations incumbent upon DIGITAL4CAST by virtue of the General Terms and Conditions of Sale, the AFFILIATE grants DIGITAL4CAST, for the duration of the affiliate order and for the whole of France, authorization to reproduce the AFFILIATE 's registered trademark on all written, visual, electronic or sound media as required to perform operations. Any other use of said trademark is prohibited, except by express authorization from its owner. More generally, DIGITAL4CAST undertake to abstain from any act that might infringe said trademark directly or indirectly; DIGITAL4CAST undertake not to exploit said trademark in any way upon expiry of the advertising order, whatever the reason therefor. 6- OBLIGATIONS OF THE AFFILIATE 6.1 AFFILIATE undertakes not to issue LEAD INCENTIVES 6.2. In order to allow services to be provided, the AFFILIATE undertakes to make available to DIGITAL4CAST information and items (computer files containing hypertext links, icons, banners, and associated code) to establish links between DIGITAL4CAST and the ADVERTISERS. AFFILIATE agrees to strictly follow the technical requirements provided for each AFFILIATION PROGRAMMES AFFILIATE understands that any incorrect set up from his side will avoid any commissions.

3 6.3 AFFILIATE guarantees Advertisers and DIGITAL4CAST that the whole procedure used to collect addresses for Advertiser database via its operation of collection is in compliance with the provisions of the data protection law, particularly in terms of completing the preliminary, mandatory formalities with the European Directive 95/46/EC of October 24, 1995 on personal data protection, the requirements in terms of lawfulness and honesty of the collection, information to the individuals and recognition of their rights to access, modify and refuse prospection, as well as the European Directive 95/46/EC of October 24, 1995 on personal data protection, and its equivalent in the corresponding countries. AFFILIATE declares that they have been specifically informed of the fact that by express agreement and in relations between the Parties, DIGITAL4CAST shall be the sole debtor of all sums due under the ADVERTISER's AFFILIATION PROGRAMME(S) registered on the PLATFORM. Consequently, the AFFILIATE undertakes expressly not to make any direct payment to any person other than DIGITAL4CAST, with regard to which payment made in breach of this prohibition shall in no way discharge an obligation. 7- FINANCIAL CONDITIONS 7.1. The PLATFORM will record each Lead generated by an affiliate on the ADVERTISER's behalf. Total volume ordered in Affiliate Order only means maximum volume to be collected by the AFFILIATE for the corresponding Advertiser. The AFFILIATE recognizes that they have been made aware of the various possible responses from D4CPlatform Platform servers: The AFFILIATE recognizes that in the event of an interruption or stoppage in a campaign, an will be sent to them stating the date and time of the actual discontinuity in the campaign. The AFFILIATE understands and recognizes that all leads generated after the date of the discontinuity will not be counted and may under no circumstances be invoiced by the AFFILIATE to DIGITAL4CAST. The AFFILIATE recognizes that the response «Validated_LM» from the server means only that the lead complies with the selection and filtering criteria of the corresponding campaign and has been sent to the Advertiser. The AFFILIATE recognizes that the response «Validated_LM» from the server does not mean that the Advertiser has accepted the lead. Statistical reports supplied to the AFFILIATE on the Platform have the following meanings: Gross: all leads sent by the AFFILIATE. Refused_LM : all leads not complying with the corresponding co-registration / co-sponsoring specifications and requirements (including duplicates leads) (Refused_LM leads are not delivered to the advertisers) Refused_AD : all leads refused by the advertisers Qualified: all Leads which comply with the specifications of the campaign and that have been sent to the advertiser. IMPORTANT: this does not mean that the leads have been accepted by the Advertiser. Approved all Leads that have been accepted by the advertiser. The AFFILIATE's invoice is based on the corresponding figures in column "Approved". Column "Approved" is empty during the month of the campaign. PLATFORM Report stat just tells AFFILIATE the current status (Refused_LM/ Refused_AD / Qualified / Approved) FROM D4CPlatform side. AFFILIATE is informed that advertisers undertake to comply with the VALIDATION TIME for Final Numbers (LEADS accepted) for a given month. By agreement, and subject to special conditions, said TIME is established as 30 days (calendar month of invoice +30 days)

4 Example: the ADVERTISER has until 30 October 2012 to send DIGITAL4CAST the Final Number for the month of September AFFILIATE understands that Final number (by the Advertiser) may change during the corresponding VALIDATION TIME. AFFILIATE should generate invoice according to the Advertiser s statistics The price shown on the AFFILIATE Order shall be understood to exclude VAT and to exclude any taxes generated which might be due at the time of the AFFILIATION PROGRAMME. 7.3 Payment conditions: Payment will be executed to AFFILIATE after DIGITAL4CAST receive the payment from Advertiser Payment cannot be required by AFFILIATE before. 8- MEANS AND BURDEN OF PROOF LEADS shall be sent systematically to the Advertisers, at the very least manually. If the ADVERTISER has a WEBSERVICE that is compatible with DIGITAL4CAST software, leads will ALSO be sent using this method. Owing to the purely computer-based nature of DIGITAL4CAST services, the Parties recognize that the AFFILIATE may not require that DIGITAL4CAST provide other proof of performance of their services than records of transactions performed via the PLATFORM, and said records shall provide proof of the reality of transactions occurring during the AFFILIATION PROGRAMME(S) registered on the PLATFORM, unless proof to the contrary is provided by the AFFILIATE.. 9-LIABILITY AND WARRANTY The AFFILIATE undertakes to ensure that the description and images in their AFFILIATION PROGRAMMES comply with all French and international legislation, in particular laws on advertising and promotion, mail order trading, literary and artistic property, persons right to oversight of the disclosure of their name and image or likeness, as well as common practice generally accepted by the profession in France and abroad. The AFFILIATE undertakes to provide data in accordance with the legislation in force in the corresponding country(ies), and in particular with the EU regulations in force applying to bulk ing (Directive 2002/58/EC of the European Parliament and of the Council of 12 July 2002 concerning the processing of personal data and the protection of privacy in the electronic communications sector (Directive on privacy and electronic communications). DIGITAL4CAST reserves the right to refuse all or part of an AFFILIATION PROGRAMME the content of which might be harmful to its image or that of its partners, which the AFFILIATE expressly recognizes. Any AFFILIATION PROGRAMME that is the subject of a dispute or unfavourable court decision brought to the knowledge of DIGITAL4CAST by registered letter will be deleted within 24 hours from receipt of that information. 10- CONFIDENTIALITY AND INDUSTRIAL PROPERTY DIGITAL4CAST shall be responsible for protecting all information brought to its knowledge in the course of relations between DIGITAL4CAST and the AFFILIATE. The company undertakes not to disclose any information, technical formula or concept that might have come to its knowledge. DIGITAL4CAST undertakes to comply with the AFFILIATE's confidentiality and industrial property clauses that have been brought to its attention The PLATFORM, a management tool for affiliations on the Internet, is the property of the company D4CPlatform. As a result, the AFFILIATE is only a temporary user for the duration of the operations described herein. The AFFILIATE undertakes not to misuse for their own purposes or those of a third party the concept or any other element of DIGITAL4CAST software. The Advertiser network made available to the AFFILIATE by DIGITAL4CAST, as part of the performance of the AFFILIATE order, is the sole property of DIGITAL4CAST. Consequently, the AFFILIATE is only a temporary user for the duration of the AFFILIATE order. The AFFILIATE undertakes not to appropriate for their own purposes or those of a third party the Advertisers from the DIGITAL4CAST DATABASE relaying their campaign throughout the duration of operations, plus 3 months. If this clause is not observed by the AFFILIATE, DIGITAL4CAST will demand fixed compensation of 7,500 euros. 11- DURATION - NOTICE - TERMINATION 11.1 The General Terms and Conditions of Sale shall take effect at the date of signature of the advertising order for the duration stated on the advertising order.

5 11.2. If one of the Parties fails to perform any of their obligations, the agreement between the Parties shall be terminated ipso jure, if the other party sees fit, 8 days after the dispatch of a registered letter requesting acknowledgement of receipt giving formal notice has remained unheeded, stating the obligation(s) at issue In all cases of termination, the Parties must delete communication and information records, whether on paper or held electronically, and all references to the other party, as soon as possible. 12- INDEPENDENCE OF THE PARTIES NON-EXCLUSIVITY DIGITAL4CAST and the AFFILIATE shall remain completely independent in their commercial policy apart from the provisions laid down in the General Terms and Conditions of Sale. 13- SEVERABILITY CLAUSE If any of the stipulations were recognized as null and void in the light of a rule of law or a law in force, it shall then be considered not to have been written, without however prompting the nullity of the advertising order. 14- APPLICABLE LAW FORUM SELECTION French law is to be applied to the Contract. In the absence of amicable agreement, all disputes either during or upon expiry of the advertising order concerning the interpretation or performance of the Contract will be submitted by the first Party to take action to the Commercial Court of Lyon, notwithstanding multiple defendants or joinder, including for emergency proceedings or precautionary measures. In the event of a conflict in meaning of certain expressions in the various different versions, the original French text shall be deemed authentic as regards any or all construction to be ruled upon. 15- TERRITORY The Contract concerns all countries stated in the AFFILIATE Order.

6 CONDITIONS GENERALES DE VENTE (VERSION FRANCAISE) 1- ACCEPTATION DES CONDITIONS GENERALES DE VENTE : La souscription d un ordre d insertion de publicité par un AFFILIE ou par un mandataire agissant pour son compte implique leur acceptation des conditions générales de vente énoncées ci après ainsi que le respect des lois, règlements et usages régissant la publicité et Internet. Les conditions générales de vente et les tarifs peuvent être modifiés à tout moment, sans préavis ni indemnités. Ces modifications sont sans incidence sur les opérations en cours et les offres émises. 2- RESEAU ET MISSION DE DIGITAL4CAST La société DIGITAL4CAST a créé, développé, mis en place et exploite des campagnes d affiliation (et notamment de collecte de leads appelés «Coregistration» et «Co-sponsoring») basés sur un logiciel disponible sur Internet à l adresse URL La société DIGITAL4CAST dispose en outre d un réseau de sites partenaires auxquels sont proposés les dits programmes d affiliation. 3 DEFINITIONS Dans le cadre des CONDITIONS GENERALES DE VENTE, les mots et expressions suivantes auront le sens qui leur est donné par les définitions ciaprès développées. ORDRE DE PUBLICITE : Bon de commande publicitaire émanant de l AFFILIE PLATE-FORME : Logiciel de gestion de leads «D4CPlatform» exploité par DIGITAL4CAST, disponible en ligne ( permettant la définition, l enregistrement et la diffusion de PROGRAMMES D AFFILIATION pour le compte d annonceurs. Le logiciel transfert les LEADS et comptabilise le nombre et la nature des ces derniers (Co-registration / Co-sponsoring) générés par les AFFILIES pour le compte des annonceurs, permettant ainsi de calculer le montant des commissions dues par l annonceur à ses différents AFFILIES au titre des PROGRAMMES D AFFILIATION. CO-REGISTRATION : méthode d'acquisition d'adresses mails Optin (internautes acceptant d être recontactés) via un dispositif interactif. Lorsqu il s inscrit sur un site éditeur du réseau ED et Associés, l internaute se voit proposer une inscription à un service ou une offre de l annonceur à l issue de l opération (sans obligation). La Co-registration est une collecte DEDIEE à un Annonceur: L internaute doit accepter INDIVIDUELLEMENT chaque offre CO-SPONSORING: méthode d'acquisition d'adresses mails Optin (internautes acceptant d être recontactés) via un dispositif interactif. Lorsqu il s inscrit sur un site éditeur du réseau ED et Associés, l internaute se voit proposer une inscription à un service ou une offre de l annonceur à l issue de l opération (sans obligation). Le CO-Sponsoring est une collecte MUTUALISEE entre plusieurs Annonceur : En donnant son accord (optin), le Netsurfer accepte de recevoir les newsletters de TOUS LES ANNONCEURS LEAD : Acte par lequel un internaute visitant le site d un AFFILIE s inscrit à la newsletter de l Annonceur. Un lead peut s effectuer dans le cadre d une opération de Co-registration ou de Co-sponsoring LEAD INCENTIVE : Acte par lequel un internaute visitant le site d un AFFILIE s inscrit à la newsletter de l Annonceur moyennant une récompense, une rémunération, ou tout autre moyen d inciter ce dernier. L ANNONCEUR est informé que DIGITAL4CAST ne propose pas de LEADS INCENTIVES CPL : le CPL est l unité de vente utilisé sur la PLATE-FORME et correspond au Coût facturé à l annonceur pour chaque Lead transféré et accepté par ce dernier WEBSERVICE : système électronique mis à disposition par l ANNONCEUR et constitué d une URL permettant la transmission en temps réel des LEADS à ce dernier/ La méthode de transmission peut être en «POST» ou «GET» DELAIS DE VALIDATION : Délais dont dispose l ANNONCEUR pour informer DIGITAL4CAST du nombre de LEADS acceptés pour un mois donné. Ce délais est exprimé en en nombre de jour post mois (n+15) Par défaut il est de 15 jours Exemple : l ANNONCEUR a jusqu au 15 Octobre 2012 pour nous transmettre le nombre de leads acceptés pour la période du mois de Septembre AFFILIATION : Relation entre l Annonceur et l Affilié par le biais d un formulaire d inscription sur le site de l AFFILIE et permettant à l internaute visitant le site de l AFFILIE de s inscrire à la newsletter de l Annonceur en Co-registration ou Co-sponsoring. La transmission à l ANNONCEUR des données collectée à partir du site de l AFFILIE donne lieu à rémunération.

7 AFFILIE : Editeur (ou réseau d éditeurs) de services ou de contenu en ligne sur Internet, propriété d une personne physique ou morale, ayant souscrit ou pouvant souscrire au formulaire d adhésion à la PLATE-FORME, lui permettant de présenter sur son site des offres de Co-registration et de Co-sponsoring. ANNONCEUR : Editeur de services ou de contenu en ligne sur Internet, propriété d une personne physique ou morale, ayant souscrit ou pouvant souscrire à la PLATE-FORME et proposer ainsi une campagne de Co-registration ou de Co-sponsoring INTERNAUTE : Personne physique ou morale connectée au réseau Internet et l utilisant pour réaliser des opérations, interactives ou non, telles que la consultation de sites, l échange d information, ou la réalisation d actes juridiques tels que des achats de produits ou de prestations de service CHIFFRE DEFINITIFS : Leads acceptés par un Annonceur pour un mois donné 4- DECLARATIONS 4.1. L AFFILIE déclare exercer son activité en conformité avec l ensemble de la législation qui lui est applicable, et notamment le droit du travail et de la sécurité sociale, les droits de la propriété intellectuelle et industrielle, les règles relatives au traitement informatisé de données personnelles ainsi que, plus généralement, l ensemble de la réglementation en vigueur L AFFILIE déclare avoir reçu de DIGITAL4CAST toute l information nécessaire relativement aux fonctionnalités de la PLATE-FORME et du contenu de l OFFRE ED ET ASSOCIÉS L AFFILIE garantit DIGITAL4CAST des conséquences dommageables pouvant résulter de l inexactitude des déclarations ci-dessus, et la garantit de tout recours qui pourrait être exercé par des tiers dans le cadre ou à l occasion de la conclusion ou de l exécution de l ordre de publicité. DIGITAL4CAST 5- OBLIGATIONS DE DIGITAL4CAST 5.1. DIGITAL4CAST s engage à assurer le fonctionnement de sa PLATE-FORME afin de permettre à l AFFILIE de l utiliser, dans les conditions et selon les modalités de l Ordre de Publicité En cas de survenance d une défaillance technique affectant le fonctionnement de la PLATE-FORME pour des raisons indépendantes de la volonté de DIGITAL4CAST telles que, notamment, l interruption des systèmes de télécommunication ou l interruption des services de ses prestataires informatiques, pour quelque cause que ce soit, DIGITAL4CAST s engage à alerter l AFFILIE, sans tarder, de cette survenance et de sa cessation. La survenance des événements visés à l alinéa précédent n aura aucune conséquence sur la poursuite des Opérations et ne pourra donner lieu à réclamation de la part de l AFFILIE, ces événements étant tenus comme constitutifs de force majeure. 5.2 DIGITAL4CAST s engage à ne pas livrer de LEADS INCENTIVES et à mettre à disposition de l ANNONCEUR le nom de chaque AFFILIE (Source) auprès duquel a été généré chaque LEAD DIGITAL4CAST s engage à enregistrer et conserver, selon les modalités de son choix et pendant la durée nécessaire à l exécution de l Ordre de Publicité, les données informatiques retraçant l origine et le nombre de leads effectués par les internautes pour le compte de l ANNONCEUR à partir des sites des AFFILIES DIGITAL4CAST assurera la mise à disposition permanente et en ligne des statistiques du ou des PROGRAMMES D AFFILIATION auxquels participe l AFFILIE, c est-à-dire le nombre leads fourni par l AFFILIE pour le compte de l ANNONCEUR et le prix en résultant, selon les modalités fixées à l article 8 ci-dessous Dans le cadre de l exécution des obligations mises à la charge de DIGITAL4CAST en vertu des conditions générales de vente, l'affilie concède à DIGITAL4CAST pour la durée de l ordre de publicité et pour la France entière, l'autorisation de reproduire la marque déposée de l'affilie sur tous les supports écrits, visuels, informatiques ou sonores nécessaires à la réalisation des opérations. Toute autre utilisation de cette marque est interdite, sauf accord exprès de son propriétaire. Plus généralement, DIGITAL4CAST s'engage à s'abstenir de tout acte susceptible de porter atteinte, directement ou indirectement, à cette marque ; DIGITAL4CAST s'interdit toute exploitation de ladite marque à l'échéance de l ordre de publicité, quelle qu'en soit la cause. 6- OBLIGATIONS DE L AFFILIE 6.1. Afin de permettre l exécution des prestations, l AFFILIE s engage à mettre à la disposition de DIGITAL4CAST les informations et éléments (fichiers informatiques contenant les liens hypertextes, icônes, bandeaux, et les codes associés) permettant l établissement des liens entre les Parties et l AFFILIE. L AFFILIE s engage à ne pas livrer de LEADS INCENTIVES L AFFILIE se déclare expressément informé du fait que de convention expresse et dans les rapports entre les Parties, DIGITAL4CAST est seule débitrice de l ensemble des sommes dues au titre du ou des PROGRAMMES D AFFILIATION de l AFFILIE enregistrés sur la PLATE-FORME. En conséquence, l AFFILIE s interdit expressément tout paiement direct entre les mains de toute personne autre que DIGITAL4CAST, à l égard de laquelle un paiement fait en violation de cette interdiction n aurait aucun effet libératoire. 7- CONDITIONS FINANCIERES 7.1 Les volumes commandés dans l'ordre de publicités de l'affilie sont uniquement donnés à titre d'information et correspondent au volume potentiel maximum commandé par l Annonceur. L'AFFILIE reconnait qu il a pris connaissance des différentes réponses possibles des serveurs de la Plateforme D4CPlatform

8 L AFFILIE reconnaît qu en cas de pause ou d arrêt d une campagne un lui sera envoyé précisant la date et l heure de coupure effective de la campagne. L'AFFILIE comprend et reconnaît que tous les leads générés postérieurement à la date de coupure ne seront pas comptabilisés et ne pourront en aucun cas être facturés par l'affilie à DIGITAL4CAST. L AFFILIE reconnait que la réponse du serveur «Validated_LM» signifie uniquement que le lead est conforme aux critères de sélection et de filtrage de la campagne correspondante et a été transmis à l Annonceur. L AFFILIE reconnaît que la réponse du serveur «Validated_LM» ne signifie pas que l Annonceur a accepté ce lead. Les rapports statistiques fournis sur la Plate-Forme à l'affilie signifient: GROSS : ensemble des leads envoyés par l Affilié. Refused_LM : ensemble des leads non conformes (ou doublons). Les leads ayant ce statut ne sont pas envoyés à l annonceur Refused_AD : ensemble des leads refusés par l annonceur Qualified ensemble des Leads qui sont conformes aux caractéristiques de la campagne et qui ont été transmis à l'annonceur ATTENTION : cela ne signifie pas que les leads ont été acceptés par l'annonceur. Accepted ensemble des lead acceptés définitivement par l'annonceur. La facture de l Affilié est basée sur les chiffres correspondants à la colonne "Accepted" La colonne "Accepted" demeure nulle au cours du mois de la campagne. Elle est mise à jour pour chaque annonceur entre le 1er et le 30 du mois suivant le mois de campagne. L'AFFILIE est informé que l Annonceur s engage à respecter un DELAIS DE VALIDATION maximum des LEADS acceptés (CHIFFRES DEFINITFS) Par convention, et sauf condition particulière, ce DELAIS est fixé à 30 jours (mois de référence +30 jours) Exemple : l ANNONCEUR a jusqu au 30 Octobre 2012 pour nous transmettre le nombre de leads acceptés pour la période du mois de Septembre L'AFFILIE reconnaît qu'il ne pourra générer d'appel à facturation préalablement à la validation et au règlement par l'annonceur des CHIFFRES DEFINITFS correspondants Le tarif figurant sur l ordre de Publicité s entend hors TVA et hors éventuel impôts ou taxes crée et qui pourrait être dus au moment du PROGRAMME D AFFILIATION. 7.3 Conditions de règlement Le paiement des factures de l'affilie intervient à réception du règlement des campagnes correspondantes par l'annonceur Aucun règlement ne pourra être exigé par l'affilie avant réception par DIGITAL4CAST du paiement correspondant par l Annonceur. 8- MODE ET CHARGE DE LA PREUVE Les LEADS seront systématiquement transmis au minimum manuellement. Dans le cas où l ANNONCEUR dispose d un WEBSERVICE compatible avec le logiciel de DIGITAL4CAST, les leads seront AUSSI transmis par ce moyen. En raison du caractère purement informatique des prestations de ED ET ASSOCIÉS, les Parties reconnaissent que l AFFILIE ne pourra exiger de DIGITAL4CAST qu elle lui apporte d autre preuve de l exécution de ses prestations que les enregistrements des opérations effectuées par la PLATE- FORME, enregistrements qui feront foi de la réalité des opérations étant intervenues dans le cadre du(des) PROGRAMME(S) D AFFILIATION enregistré(s) sur la PLATE-FORME, jusqu à preuve contraire à la charge de l AFFILIE. 9-RESPONSABILITE ET GARANTIE L'AFFILIE reste seul responsable du contenu de ses campagnes publicitaires. L'AFFILIE s'engage néanmoins à ce que le descriptif et les images de ses PROGRAMMES D AFFILIATION respectent l'ensemble de la législation française et internationale, et en particulier la législation sur la publicité et la promotion, la vente à distance, la propriété littéraire et artistique, le droit des personnes au contrôle de la divulgation de leur nom et de leur image, ainsi que les usages habituellement reconnus par la profession en France et à l étranger. L AFFILIE s engage à utiliser les données transmises par ED et Associés conformément à la législation en vigueur dans le / les pays correspondants, et notamment en vertu de la réglementation de l UE en vigueur applicable à l ing de masse (Directive 2002/58/EC of the European Parliament and of the Council of 12 July 2002 concerning the processing of personal data and the protection of privacy in the electronic communications sector (Directive on privacy and electronic communications). DIGITAL4CAST se réserve le droit de refuser tout ou partie d un PROGRAMME D AFFILIATION dont le contenu pourrait nuire à son image ou à l'image de ses partenaires, ce que l AFFILIE reconnaît expressément.

9 Tout PROGRAMME D AFFILIATION faisant l'objet d'un contentieux ou d'une condamnation portée à la connaissance de DIGITAL4CAST par lettre recommandée sera supprimé au plus tard dans les 24 heures de réception de cette information. 10- CONFIDENTIALITE ET PROPRIETE INDUSTRIELLE DIGITAL4CAST assurera la protection de toute information portée à sa connaissance dans le cadre des relations entre DIGITAL4CAST et L AFFILIE. Il s'interdit de divulguer toute information donnée, formule technique ou concept, dont il pourrait avoir pris connaissance. DIGITAL4CAST s'engage à respecter les clauses de confidentialité et de propriété industrielle de l'affilie qui auront été portées à sa connaissance La PLATE-FORME, outil de gestion et de management de l'affiliation sur Internet, est propriété de la Société D4CPlatform. Par conséquent l'affilie n'en est que l'utilisateur provisoire durant la durée du présent des opérations. L'AFFILIE s'interdit de détourner à ses fins ou à celle d'un tiers le concept ou tout autre élément du logiciel ED ET ASSOCIÉS. Le réseau d Annonceur mis à disposition de l'affilie par ED ET ASSOCIÉS, dans le cadre de la réalisation de l ordre de publicité, est la seule propriété de ED ET ASSOCIÉS. Par conséquent l'affilie n'en est que le bénéficiaire provisoire durant la durée de l ordre de publicité. L'AFFILIE s'interdit de s'approprier à ses fins ou à celle d'un tiers les AFFILIES de la BASE DE DONNEES DIGITAL4CAST relayant sa campagne durant toute la durée des opérations augmentée de 3 mois. Si cette clause n est pas respectée par l AFFILIE, DIGITAL4CAST exigera un dédommagement forfaitaire de euros. 11- DUREE- DENONCIATION RESILIATION 11.1 Les conditions générales de vente prennent effet à la date de la signature de l ordre de publicité et pour la durée mentionnée sur l ordre de publicité A défaut pour l une des Parties d exécuter l une quelconque de ses obligations, celui-ci se trouvera résilié de plein droit, si bon semble à l autre partie, 8 jours après expédition d une lettre recommandée avec accusé de réception de mise en demeure restée infructueuse et précisant l obligation ou les obligations en souffrance Dans tous les cas de rupture, les Parties devront supprimer des supports de communication et d information, «papier» ou informatiques, toute référence à l autre partie, et ce dans les meilleurs délais. 12- INDEPENDANCE DES PARTIES NON EXCLUSIVITE DIGITAL4CAST et l AFFILIE restent totalement indépendants dans leur politique commerciale en dehors des dispositions prévues dans le cadre des conditions générales de ventes. 13- NULLITE D UNE CLAUSE Si l'une quelconque des stipulations était reconnue nulle au regard d'une règle de droit ou d'une loi en vigueur, elle serait réputée non écrite et n'entraînerait pas la nullité de l ordre de publicité. 14- DROIT APPLICABLE ATTRIBUTION DE JURIDICTION Le droit applicable au Contrat est le droit français. A défaut d'accord amiable, toute contestation en cours ou en fin de convention sur l'interprétation ou l'exécution du Contrat sera soumise par la partie la plus diligente au Tribunal de Commerce de Lyon, nonobstant pluralité de défendeurs ou appel en garantie, même pour les procédures d'urgence ou les procédures conservatoires. 15- TERRITOIRE Le Contrat concerne l ensemble des pays mentionnés dans l Ordre d Insertion publicitaire.
