39 162 sales terms and conditions PRODUCTS Customers may ask for quotes on special items and projects. Pictures and finishes are not contractual. Variations in color and veining are inherent in wood and are considered to be a part of the natural beauty. All ETIENNE MOYAT pieces are handmade and are therefore subject to slight variation. Dimensions might vary slightly and in series, all pieces are not exactly identical as they are handmade. Each piece is unique and stamped. PRICES Our pricelist is with trade prices Exworks Saint Leonard de Noblat. Packing, freight, and insurance charges are additional costs which must be added to the order. A 50% deposit is required to initiate orders. Orders must be paid in full, including shipping, handling, packing, storage, applicable taxes and service charges prior to shipment. ALL PRICES ARE SUBJECT TO CHANGE WITH 30 DAY NOTICE. ALL PAYMENTS ARE TO BE MADE IN EURO CURRENCY. PAYMENT TERMS Payment conditions are by SWIFT to our bank account: For orders with total amount superior to 1000 Euros, a 50% deposit is requested when placing the order and 50% remaining payment before dispatch. For orders with total amount under 1000 Euros, a full payment is required when order is placed. Orders cannot be cancelled after they have been confirmed by ETIENNE MOYAT. Changes in orders or returns require prior written approval from ETIENNE MOYAT. Such changes will be quoted (additional costs) by ETIENNE MOYAT. Custom orders are not cancellable once production has begun. PROPERTY OF GOODS The ownership of goods remains the seller s until total payment of the amount of the order has been made. The transfer of property implies transfer of risk. METHOD OF SHIPMENT AND DELIVERY Production lead time and delivery date are given as information and without guarantee. No order cancellation will be accepted for delay in delivery, and no compensation, penalty, nor damages will be granted. Goods will only be dispatched after full payment has been made. ETIENNE MOYAT will arrange product shipments on behalf of the client with charges of freight charged extra to the customer, unless customer specifies alternative shipping arrangements: customer may collect goods from our factory. The customer should check goods upon delivery. Any claim by customer against ETIENNE MOYAT or freight carrier for shortage or damage occurring prior to delivery must be made in writing within seven (7) days after receipt of shipment and accompanied by original transportation bill signed by the carrier noting that the carrier received the goods from ETIENNE MOYAT in the conditions claimed. Returns require prior written authorization from our headquarters. JURISDISCTION Any controversy or claim, if not amicably settled between ETIENNE MOYAT and its customer, shall be settled by arbitration in accordance with International Chamber of Commerce (ICC) Rules of Arbitration then in effect. Only in the event that the dispute cannot be resolved by arbitration, will the affected parties go to the Court of law of Limoges (Haute-Vienne, France) to resolve the same. According to law n dated 12th May 1980, the ownership of goods remains ETIENNE MOYAT until they are fully paid by the customer.
