PROPRIÉTÉ INTELLECTUELLE L équipe conseille et assiste ses clients dans la rédaction et la négociation des contrats en matière de propriété intellectuelle : contrats de licence, contrats de recherche et développement (R&D), de merchandising et de sponsoring, conventions de confidentialité, transferts de technologies, gages sur actifs de propriété intellectuelle... Notre expertise dans le domaine contentieux est également reconnue. Nous aidons les entreprises à récolter les preuves des atteintes à leurs droits (procédures unilatérales), nous les défendons dans le cadre des procédures judiciaires, nous les aidons dans la mise en œuvre des mesures correctives (rappel et destruction de produits, obtention de dommages et intérêts). Propriété intellectuelle (IP), Technologies de l information (IT) et Pratiques du marché L équipe dispose également d une expérience approfondie dans le domaine de l arbitrage. Les associés de l équipe interviennent régulièrement comme arbitres dans les procédures de la CCI ou du CEPANI. TECHNOLOGIES DE L INFORMATION Nous assistons nos clients dans la rédaction et la négociation des contrats liés aux technologies de l information (contrats de consultance, de développement et licences de logiciels), ainsi que dans le contentieux lié à ces contrats. Nous sommes régulièrement consultés en matière de protection de la vie privée ainsi que dans le cadre de conflits liés aux média (droit de réponse, responsabilité de la presse). C est la raison pour laquelle nous avons une connaissance approfondie de certains secteurs (chimie, pétrochimie, construction mécanique, industrie alimentaire, détaillants, cosmétiques, mode, automobile ) pour lesquels nous travaillons depuis plus de 20 ans. Maitrise de la matière : Nous maîtrisons parfaitement les matières que nous pratiquons. Maîtrise des coûts : Dans le contexte économique actuel, nous sommes parfaitement conscients du fait que l assistance juridique représente un coût et que ce coût doit être maîtrisé. C est pourquoi nous pratiquons des tarifs très compétitifs et sommes très attentifs à limiter les coûts pour nos clients. Notre équipe Notre équipe est composée de deux associés, deux counsels et trois collaborateurs. Elle comprend des avocats tant francophones que néerlandophones, et nous travaillons dans quatre langues : le français, le néerlandais, l anglais et l allemand. Nos interventions récentes Assistance à un fabricant de matériel médical dans le cadre d un litige l opposant à un centre de recherche belge et mettant en cause des brevets. Assistance à une société américaine et à sa filiale belge à l occasion d un litige en Belgique et en France relatif à un brevet européen. L affaire a été gagnée en France et finalement réglée à l amiable au niveau mondial. Représentation d une société biotechnologique américaine dans un litige de brevets contre l État belge (concernant la question de savoir si l État belge peut refuser d enregistrer un brevet européen si sa traduction n a pas été remise à temps). L affaire est pendante. Représentation d une société pharmaceutique japonaise dans le cadre d un litige en matière de brevets (CCP) contre une société française et un institut de recherche (en cours). Représentation d une société chimique belge et de sa filiale française dans un litige en matière de brevets contre un concurrent en France. L affaire a été gagnée devant la Cour d appel de Paris. Représentation de l Agence spatiale européenne devant les juridictions européennes dans un dossier concernant des marques. Représentation d un des plus grands fabricants de produits de santé, ménagers et d hygiène, dans un litige en matière de campagne publicitaire de son plus grand concurrent. L affaire a été réglée à l amiable avant le prononcé du jugement. Représentation d une société américaine dans le cadre d une importante affaire relative à des droits d auteur impliquant l État belge ainsi que d autres sociétés concernant le système de carte d identité électronique (en cours). Représentation d une multinationale du secteur de l alimentation dans le cadre de différents litiges concernant la commercialisation de produits d apparence semblable par la grande distribution. Assistance à un éditeur belge (appartenant à une multinationale) dans ses relations avec le détenteur des droits d auteurs sur une célèbre bande dessinée. 4 5

INTELLECTUELE EIGENDOM Het team adviseert cliënten en staat hen bij in het opstellen en onderhandelen van contracten m.b.t. intellectuele eigendom : licentiecontracten, onderzoeks- en ontwikkelingsovereenkomsten (R&D), merchandising- en sponsoringovereenkomsten, geheimhoudingscontracten (NDA), overdracht van technologie, pand op intellectuele eigendom, Intellectuele Eigendom (IE), Informatietechnologie (IT) en Marktpraktijken Onze expertise op het vlak van conflicten/procedures is eveneens zeer gekend. We helpen ondernemingen onder meer bij het verzamelen van bewijsmateriaal m.b.t. de inbreuken op hun rechten, verdedigen hun belangen in gerechtelijke procedures en helpen hen bij het uitvoeren van corrigerende maatregelen (terugroepen en vernietigen van producten, invorderen van schadevergoeding). Het team is eveneens bijzonder ervaren in arbitragedossiers. De vennoten van het departement worden regelmatig aangesteld als arbiters in procedures van de ICC of van CEPINA. Ten slotte wordt het team ook geraadpleegd voor het uitvoeren van audits en due diligence in intellectuele eigendom, bv. in het kader van een overname. INFORMATIETECHNOLOGIE Wij staan onze cliënten bij in het opstellen en onderhandelen van diverse IT gerelateerde overeenkomsten (consultancy contracten, software ontwikkelingscontracten en licentiecontracten), en in (buiten) gerechtelijke procedures m.b.t. dergelijke overeenkomsten. Wij worden ook zeer regelmatig geconsulteerd voor vragen betreffende de bescherming van persoonsgegevens (privacy) en voor mediagerelateerde conflicten (recht op antwoord, persaansprakelijkheid). MARKTPRAKTIJKEN Wij adviseren onze cliënten onder meer over: > Reclamewetgeving en consumentenbescherming > Oneerlijke marktpraktijken, oneerlijke concurrentie en parasitisme > Regelgeving betreffende marketing en promotie-campagnes (bv. loterijen en kansspelen) 6 7

Daarom hebben wij een doorgedreven kennis opgebouwd van de verschillende sectoren (chemie, petrochemie, constructie, voeding, retail, fashion, automotive, cosmetica ) waarvoor wij reeds meer dan 20 jaar optreden. Expertise in ons vakgebied : Wij beheersen de materies die we beoefenen perfect. De vennoten en counsels van het departement publiceren regelmatig in het domein van het IT/IP & MP recht. Sommigen van hen worden op regelmatige basis geconsulteerd door de Belgische overheden bij de redactie van nieuwe wetgeving binnen hun vakgebieden. Pragmatische aanpak : In alle dossiers die wij behartigen, hanteren wij een pragmatische en commerciële aanpak. Het is ons doel om concrete oplossingen te bieden voor de problemen van onze cliënten. Waar mogelijk stellen wij alternatieve oplossingen voor in de plaats van gerechtelijke procedures (bemiddeling, dading, joint ventures, licentieovereenkomsten). Beheersing van de kosten : Wij zijn er ons van bewust dat binnen de hedendaagse economische context, juridische bijstand een kost vormt en dat deze kost beheersbaar moet blijven. Daarom hanteren wij zeer competitieve tarieven en doen wij ons uiterste best om de kosten voor onze cliënten te beperken. Ons team Ons team bestaat uit twee vennoten, twee counsels en drie medewerkers. We hebben zowel Nederlandstalige als Franstalige advocaten in het team en wij werken in vier talen: Frans, Nederlands, Engels en Duits. Adviesverlening aan een fabrikant van medisch materiaal in het kader van een octrooiprocedure tegen een Belgisch onderzoekscentrum. Adviesverlening aan een U.S. onderneming en haar Belgische dochtervennootschap naar aanleiding van een procedure met betrekking tot een Europees octrooi. De zaak werd gewonnen in Frankrijk. Uiteindelijk werd er, alvorens er een Belgische uitspraak kon worden geveld, een wereldwijd akkoord bereikt. Vertegenwoordiging van een Amerikaanse Biotech onderneming in een procedure tegen de Belgische Staat voor de Belgische rechtbanken en het Grondwettelijk Hof. De procedure is hangende. Vertegenwoordiging van een Japans farmaceutisch bedrijf in het kader van een octrooiprocedure (Aanvullende Beschermingscertificaten) tegen een Franse onderneming en een onderzoeksinstelling. (procedure hangende) Vertegenwoordiging van een Belgisch chemiebedrijf en haar Franse dochtervennootschap in een octrooiprocedure tegen een concurrent in Frankrijk. De zaak werd gewonnen voor het Hof van Beroep te Parijs. Vertegenwoordiging van het Europees Ruimtevaart Agentschap voor het Gerecht van de Europese Unie in een merkenzaak. (hangende) Vertegenwoordiging van een Amerikaanse onderneming in het kader van een auteursrechtelijk dossier met de Belgische staat en andere ondernemingen omtrent het systeem van de elektronische identiteitskaart. (procedure hangende) Vertegenwoordiging van één van de grootste fabrikanten van gezondheids-, huishouden hygiëneproducten in een conflict met haar belangrijkste concurrent omtrent de reclame-campagne van deze laatste. De zaak werd minnelijk geregeld vooraleer een vonnis werd geveld. Vertegenwoordiging van een multinational in de voedingssector in het kader van verschillende geschillen omtrent de commercialisering van producten met een gelijkaardig uiterlijk door supermarkten. Adviesverlening aan een Belgische uitgever (deel uitmakend van een multinational) in zijn relaties met de houder van de auteursrechten op bepaalde stripverhalen. 8 9

Intellectual Property (IP), Information Technology (IT) and Market Practices INTELLECTUAL PROPERTY The team advises and assist clients in drafting and negotiating IP related agreements: license agreements, research- and development agreements (R&D), merchandising- and sponsoring agreements, non-disclosure agreements (NDA), technology transfer, securities on intellectual property, Our expertise in the field of litigation is also widely recognized. We assist companies in collecting evidence of infringements upon their rights (unilateral proceedings), defend their interest in legal proceedings and help them in obtaining corrective measures (recall and destruction of products, compensation for damages). The team is also profoundly experienced in arbitration matters. The partners of the department are regularly appointed as arbitrators in ICC or CEPANI proceedings. Lastly, the team is also consulted for audits and «due diligence» in intellectual property, e.g. in the framework of an acquisition. INFORMATION TECHNOLOGY We assist our clients in drafting and negotiating various IT related agreements (consultancy agreements, software development agreements and license agreements), and in litigation relating to such agreements. We are also very often consulted in matters relating to privacy and data protection and in media related conflicts (right to reply, civil liability of journalists). That is why we have thorough knowledge of the different sectors (chemicals, petrochemicals, engineering, food, retail, fashion, automotive, cosmetics, ) for which we have worked for more than 20 years. Some of them are consulted on a regular basis by the Belgian authorities in the drafting of new legislation in their areas of expertise. Assistance of a manufacturer of medical equipment in the enforcement of patents in a procedure against a Belgian research center. Assistance of a U.S. company and its Belgian subsidiary in a dispute across Belgium and France concerning a European patent. The case was won in France and was settled globally before a Belgian judgment could be delivered. Representation of a U.S. Biotech company in a patent dispute against the Belgian state before the Belgian courts and the Belgian Constitutional Court (concerning the question of whether or not the Belgian state can refuse the registration of a European Patent because translations are not submitted in time). (case pending) Representation of a Japanese pharmaceutical company in a patent dispute (supplementary protection certificate) against a French company and a research institute. (case pending) Representation of a Belgian chemical company and its French branch in a patent dispute against a competitor in France. The case has been won before the Court of Appeal of Paris. Representation of the European Space Agency in a trademark case before the Tribunal of the European Union. (case pending) Representation of a U.S. company in an important copyright matter concerning the system behind the electronic identity card, involving the Belgian state and other companies.(case pending) Representation of one of the largest manufacturers of health, home and hygiene products in a conflict with its largest competitor, regarding the latter s publicity campaign. The case was settled before a judgment was handed down. Representation of a multinational in the food industry in different procedures concerning the commercialization of look-alikes by retailers. Assistance of a Belgian editor (part of a multinational company) in its relations with the copyright holders on comics

8 NOTRE ÉQUIPE - ONS TEAM - OUR TEAM NOTRE ÉQUIPE - ONS TEAM - OUR TEAM Our team MIREILLE BUYDENS holds a law degree from the Université Libre de Bruxelles (1986), as well as a degree in economic law (1987) and in philosophy (1988). She also holds a Ph. D. in law (1992) and a Ph. D. in philosophy (1994). Mireille is recognised for her expertise in the field of intellectual property. She regularly acts for international chemical and oil companies, as well as major multinationals in the food sector. She is particularly recognised for her expertise in the field of patents and trademarks. Mireille Buydens is a professor at the University of Brussels and also teaches at the CEIPI (Centre d Études Internationales de la Propriété Intellectuelle). She is the author or co-author of several books on IP. Mireille was admitted to the Brussels Bar in 1992 and to the Paris Bar in Mireille BUYDENS / Partner / m.buydens@janson.be / Tel: HANS DHONDT holds a law degree from the University of Ghent (1998) and a Master degree in Intellectual Property law from the Catholic University of Brussels (2001). Hans has considerable national and international experience in dealing with intellectual property law, IT, privacy, market practices (a.o. advertising, E-commerce, marketing), unfair competition (by ex-employees) and media. Hans has a particular focus on trademark, trade name and domain name conflicts. He has also handled various cases in media law (right of response, liability of journalists and publishers). Hans authored several publications and is a frequent speaker at seminars. Universities Bruno has 37 years of legal experience, including at the World Bank and the United Nations (Common Fund for Commodities). He specializes in patent, database and models and design protection. Now an emeritus professor from Vesalius College at VUB, he has taught in Valencia, still teaches in Barcelona and will also teach in Lausanne. He is the author of several books and many articles on IP. He was admitted to the Brussels Bar in 1996 and is a member of the Bar Association Council and of the General Assembly of the Order of Flemish Bars. He is a member of the scientific committee of the Institute for Judicial Training, a deputy judge (commercial tribunal) and the secretary-general of the VUB spinoff fund. Bruno DE VUYST / Counsel / b.devuyst@janson.be SANDRINE KINART holds a law degree from the University of Louvain-la- Neuve (2001). Sandrine specialises in (international) commercial law, and in intellectual property law and distribution law. She has notably gained broad experience in the field of market practices, advertising and trade mark law. Sandrine Kinart s practice comprises not only legal advice and contract drafting, but also legal representation in Court in the event of a dispute. Sandrine is a frequent speaker at seminars concerning market practices and trade mark law. He also obtained a Master degree in Intellectual Property Law at the Catholic University of Brussels. He focuses his practice mainly on intellectual property (in particular patent law and trade mark law). She also completed an Erasmus Belgica at the University of Ghent (2010) and obtained a Master degree in European competition law and IP law at the University of Liège (2012).
