3 Transfer of assets of Djezzy to the Algerian government Cevital wants to use its right of first refusal Cession des actifs de Djezzy au gouvernement algérien Cevital veut user de son droit de préemption h00 La nationalisation de la majorité du capital de l opérateur de téléphonie mobile Djezzy serait loin d être acquise, comme l a laissé entendre le ministre de la Poste et des Technologies de l information et de la communication. Moussa Benhamadi affirmait en effet, il y a une quinzaine de jours, que l acquisition de 51% du capital d Orascom Telecom Algérie pour en faire des actifs publics allait aboutir dans les 20 jours. Mais à l optimisme du ministre s oppose des conditions contractuelles qui devraient allonger la transaction. Le fait que dès lors que le propriétaire de Djezzy, à savoir VimpelCom, et le gouvernement algérien auront finalisé l accord pour le transfert de la majorité des actifs de l opérateur dans l escarcelle du Fonds national pour l investissement (FNI) entre autres, il faudra obtenir non seulement l accord de l assemblée générale extraordinaire d Orascom Telecom Holding (OTH), détenteur des actifs en question, mais aussi de l actionnaire minoritaire, Cevital, lequel détient 3,43% des actions de Djezzy. Bien que le groupe privé algérien ne détienne qu une participation minoritaire, celui-ci a de tout temps tenté d augmenter sa participation. Chose que le gouvernement ne semble pas avoir pris en compte, et ce, dès le moment où il a été décidé de l algérianisation de l opérateur de téléphonie mobile.le pacte d actionnaires signé en 2001 et dont nous avons pris connaissance attribut certains droits inaliénables aux actionnaires, comme le droit de préemption à la participation de toute augmentation de capital dans la limite des parts sociales de chacune des parties, ou encore le «first refusal right». Autrement dit, un droit de préemption grâce auquel le ou les coactionnaires sont prioritaires à l achat des actifs à céder auquel cas ils peuvent bloquer la transaction. Cevital entendrait bien disposer de ce droit. Le premier groupe privé algérien semble vouloir saisir l occasion du transfert des actifs d OTA pour augmenter sa part dans le capital de l entreprise, d autant plus que le pacte d actionnaires signé entre Orascom Telecom Holding, Oratel et Cevital lui en donne l opportunité. Le fait est que l accord stipule qu OTH est tenu d informer son coactionnaire de la teneur de la transaction avant de la faire valider en assemblée générale extraordinaire. Si le groupe privé algérien a jusque-là été tenu à l écart des négociations, il n entend pas pour autant laisser filer cette opportunité.

4 Pacte d actionnaires modifié Dans le scénario où Cevital arriverait à ses fins, il porterait sa participation à 30%, tout en garantissant une participation minimum de 35% du FNI, ce qui assurerait un minimum de 65% des capitaux algériens dans l entreprise. Un scénario qui risque toutefois d être contrarié, car il est ardu de pousser un opérateur à vendre plus qu il ne le souhaite. Aussi, le nouveau propriétaire d OTH risque de passer outre ses obligations contractuelles, dans la mesure où le pacte d actionnaires a été modifié. Ainsi, une source proche de Djezzy nous confie que le pacte d actionnaires a été modifié en 2003 à l occasion de la tenue de l assemblée générale ordinaire (AGO), dont le PV signé a été publié au BOAL et enregistré au CNRC. Les résolutions 5 et 6 du PV démontrent, selon la même source, que Cevital a renoncé de fait à son droit de préemption. Cependant, d autres sources affirment que Cevital, qui n a signé qu un acte de présence à l AGO, n a à aucun moment avalisé de nouvelles dispositions, signé un nouveau pacte ou renoncé à son droit de préemption et qu au final, il n y a que le pacte d actionnaires originel signé par l ensemble des partenaires qui peut peser de tout son poids. En tout état de cause, l affaire semble se compliquer. Si Cevital persiste dans sa volonté de prendre une part prépondérante dans le capital de Djezzy, il n aura d autre choix que de s orienter vers l arbitrage international. Les dispositions du pacte permettent à Cevital de s orienter vers la Chambre arbitrale siégeant à Londres. Serait-ce l histoire de l arroseur arrosé? Cevital réussira-t-il à prendre à contre-pied OTH et son actionnaire majoritaire VimpelCom, opérateur coté à la Bourse de New York? Seule la suite des événements est à même de répondre à ces questions. En attendant, un autre trouble-fête risque de retarder l aboutissement du dossier. L oligarque russe en embuscade Mikhaïl Friedman, puissant oligarque russe, bénéficiant de solides appuis politiques à Moscou, a fait état, il y a quelques jours, de sa volonté d acquérir l ensemble des actions d Orascom Telecom Holding, via son entreprise basée à Chypre, Altimo. Celle-ci possède déjà 47,9% des parts dans le capital de VimpelCom et 51,7% des droits de vote dans le capital d Orascom. Filiale du groupe Alpha, qui vient de bénéficier d un renflouement grâce à la vente de ses parts dans la coentreprise pétrolière russo-britannique TNK-BP, elle dispose de la puissance de frappe financière pour mener son projet à terme. Au-delà du fait que cela induira une nouvelle fois une répartition du capital d OTH laquelle tombera de fait entre les mains du milliardaire russe avec tout ce que cela implique, l opération risque de freiner la tenue d une assemblée générale extraordinaire, nécessaire pour la validation de la cession des actifs de Djezzy au profit du gouvernement algérien. Autant dire que quatre années après avoir émis le vœu de le racheter, le gouvernement algérien n est pas au bout de ses peines. Certains ne rateront pas d ailleurs l occasion de dire que les Algériens auraient mieux fait d aller à la Bourse du Caire pour lancer une OPA sur les actions d OTH qui restaient sur le marché. Cela leur aurait sans doute coûté moins cher, pris moins de temps et leur aurait permis d entrer dans le conseil d administration d une multinationale des télécoms! EL WATAN P07

5 Transfer of assets of Djezzy to the Algerian government Cevital wants to use its right of first refusal The nationalization of the majority stake in the mobile operator Djezzy is far from being certain, as said by the Minister of Post and Information and Communication Technology. Moussa Benhamadi asserted, in effect, before a fortnight, that the acquisition of 51% of the capital of Orascom Telecom Algeria would result in 20 days. But the optimism of the Minister opposes contractual conditions that would lengthen the transaction. Once the owner of Djezzy, namely VimpelCom, and the Algerian government have finalized the agreement for the transfer of the majority of the assets of the operator into the hands of the National Investment Fund (FNI) among other, it will not only need to get the approval of the Extraordinary General Meeting of Orascom Telecom Holding (OTH), holder of the assets in question, but also the minority shareholder, Cevital, which holds 3.43% of the shares of Djezzy. Though the private Algerian group holds a minority stake, it has always tried to increase its stake. Something the government does not seem to have taken into account, and, from the moment it was decided to algerianize the mobile phone operator. The shareholders agreement signed in 2001 attributes certain inalienable rights to shareholders, such as the right of first refusal to participate in any capital increase within the limits of the shares of each of the parties, or the "first refusal right." In other words, a right of first refusal or through which the co-shareholders have priority to the purchase of assets to be sold in which case they can block the transaction. So Cevital properly disposes of this right. Algeria's first private group seems to want to seize the opportunity of the transfer of assets OTA to increase its share in the capital of the company, especially as the shareholders' agreement signed between Orascom Telecom Holding, Oratel and Cevital gives it the chance. The fact is that the agreement stipulates that OTH must inform its co-shareholders of the content of the transaction before it is validated by the extraordinary general meeting. If the private Algerian group has so far been kept out of the negotiations, it does not mean much to pass up this opportunity. The Shareholders' Agreement was amended In the scenario where Cevital reaches its purposes, it would increase its stake to 30%, while guaranteeing a minimum participation of 35% of the FNI, which would ensure a minimum of 65% of the Algerian capital in the company. However, this scenario may be hindered, because it is difficult to push an operator to sell more than it wants. Also, the new owner of OTH may ignore its contractual obligations, insofar as the shareholders have been changed. Thus, a source close to Djezzy told us that the shareholders' agreement was amended in 2003 on the occasion of the holding of the Annual General Meeting (AGM), minutes of which were signed and published in BOAL (Official Bulletin of Legal Notices) and recorded at NRC (National Center of Trade Registers). Resolutions 5 and 6 of the minutes show, according to the source, that Cevital gave up its right of first refusal. However, other sources say that Cevital, which has not signed an act of presence at the AGM, has at no time endorsed new rules, signed a new deal or gave up its right of first refusal and that at the end, there is only the original shareholders' pact signed by all the partners that can count. In any event, the case appears to be complicated. If Cevital persists in its desire to take a dominant share in the capital of Djezzy, he will have no choice but to turn to international arbitration. The provisions of the agreement allow Cevital to move towards the Arbitration Chamber sitting in London. Is this the story of the biter? Will Cevital succeed to wrong- foot OTH and VimpelCom, an operator listed on the New York Stock Exchange? Only the sequence of events is able to answer these questions. Meanwhile, another spoilsport could delay the outcome of the case. The ambush of the Russian oligarch Mikhail Friedman, powerful Russian oligarch, with strong political support in Moscow reported, a few days ago, his willingness to acquire all the shares of Orascom Telecom Holding, through its company Altimo based in Cyprus. Altimo already owns 47.9% of shares in the capital of VimpelCom and 51.7% of the voting rights in the capital of Orascom. Subsidiary of Alpha Group, which has just received a bailout from the sale of its shares in the Russian-British oil venture TNK-BP, it has the financial power to bring its project to fruition. Beyond the fact that this will lead again a distribution of OTH capital which in fact will fall into the hands of the Russian billionaire with what all that implies, the operation may hinder the holding of an extraordinary general meeting, necessary to validate the transfer of Djezzy s assets to the benefit of the Algerian government. Suffice to say that after four years after expressing its hope to redeem Djezzy, the Algerian government is not at the end of its grieves. Some people also will not miss the opportunity to say that Algerians would have done better to go to the Cairo Stock Exchange to launch a takeover bid for the remaining shares of OTH on the market. It would probably cost them less, took less time and allowed them to enter the board of a multinational telecoms company.
