3 I INTRODUCTION Créée en 2007 par Monsieur ADAMA BICTOGO, Président Directeur Général, le Groupe SNEDAI est un groupe ivoirien qui œuvre dans les technologies de l information et de la communication, l énergie, le transport, l immobilier ainsi que dans le BTP et les infrastructures.. Au fil des années le Groupe SNEDAI a su démontrer toute l étendue de son expertise en basant son développement sur une parfaite maitrise d un ensemble de technologies de pointe. C est ainsi que le groupe SNEDAI fait aujourd hui autorité en Côte d Ivoire et en Afrique lorsque l on parle de biométrie, de digitalisation et de dématérialisation. Mais le groupe SNEDAI c est une diversification synergique réussie dans les domaines du transport public, du bâtiment et travaux publics, de l immobilier et de l énergie. Ce succès est le résultat d une savante alchimie voulue par M. ADAMA BICTOGO pour asseoir son groupe sur des compétences africaines de haut niveau, jeunes, sorties des meilleures écoles et universités. 13 6 GOUVERNANCE Décidé et mis en place par le Conseil d Administration du Groupe SNEDAI, les différents comités de bonne Gouvernance sont définis à partir d une charte précisant leur composition, les attributions, le fonctionnement, les responsabilités et devoirs des membres qui les composent. Le contenu s inspire des recommandations et des lignes de conduite des Codes de bonne pratique de gouvernance des grandes entreprises internationales. 1. Le Comité d analyse et investissements Le comité d analyse et d investissement est chargé d analyser et challenger l ensemble des projets ou opportunités d'investissement soumis à sa revue. Les membres du comité nommés par le Conseil d Administration veillent à ce que les projets qui leurs sont proposés correspondent à la stratégie de l'entreprise mais aussi et surtout à ce qu ils n impactent pas la solvabilité du Groupe. Les membres du comité d analyse et d investissement se réunissent régulièrement et sont chargés du dépouillement des offres techniques et financières issus des appels d offre. Le comité d analyse et d investissement a un rôle très important au sein du Groupe SNEDAI. Il veille par ailleurs à ce que les ressources soient utilisées de façon optimale et établit un rapport au conseil d administration sur le résultat de ses travaux après chacune de ses réunions. Ce rapport contient notamment les recommandations qu il juge nécessaires. 2. Le Comité d éthique et bonne de gouvernance Le comité d éthique et de gouvernance est constitué par le conseil d administration. Son mandat est établi par décision de celui-ci et s articule autour de deux responsabilités spécifiques : Appointed by the Board of Directors, the good governance related committees are defined based on a charter which specifically defines their composition, responsibilities, functioning as well as the responsibilities and duties of each of their members. The content is based on the recommendations and guidelines of the Codes of Good Governance Practices of large international companies. 1. Analysis and Investments Committee The analysis and investment committee is responsible for analyzing and challenging all investment opportunities submitted to its review. The members of the committee, who are appointed by the Board of Directors, ensure on one hand that the proposed projects correspond to the company's strategy and on the other hand that the underlying projects are very less likely to have a negative impact on the Solvency of the Group. Members of the committee do meet on a regular basis as the committee is also responsible for reviewing and processing technical and financial offers from tenders. The committee ensures that the resources of the group are used optimally as reports are regularly made to the attention of the Board ofdirectors. 2. The Ethics and Governance Committee The Ethics and Governance Committee is formed by the Board of Directors. Its mandate is determined by decision of the latter and is based on two specific responsibilities: 13

Il propose au Conseil d Administration l adoption de nouvelles pratiques de Gouvernance après évaluation de celles en vigueur. Il exerce un rôle de vigie des dossiers en matière de gouvernance, de développement durable et de responsabilité sociale. 2) L Éthique et la Déontologie par un rôle de vigie des dossiers des ressources humaines. Le comité d éthique et de gouvernance est composé de membres indépendant désignés par le conseil d administration. Il veille également à la bonne maitrise des relations contractuelles et partenariales du Groupe et assure le développement de la responsabilité sociétale au sein de l'entreprise. 4. Le Comité budgétaire Il joue un rôle consultatif et de conseil sur les questions financières et a la charge des travaux relatifs aux questions liées aux budgets et participe aux procédures budgétaires annuelles. Le comité budgétaire sert de filtre à toutes demandes reçues et émises par les entités du groupe. Il veille à l application des règles et des normes de politiques budgétaires appropriées concernant les déficits, les dettes et les dépenses. Il est le garant de la bonne application des principes et outils budgétaires, il a pour mission de proposer des stratégies globales des finances, gère l endettement tout en permettant d évaluer la marge de manœuvre. 3. The Ethics and Governance Committee (continued) : 1) Good Governance based on the principles of efficiency, transparency and accountability. It proposes to the Board of Directors the adoption of new Governance practices after evaluating those in force. He acts as a watchdog for governance, sustainable development and social responsibility. 2) Ethics through a role of watchdog on all human resources related matters The Ethics and Governance Committee is made up of independent members appointed by the Board of Directors. He also ensures the good mastery of the Group's contractual relations and ensures the development of social responsibility within the Company. 4. The Budget Committee The budget committee plays an advisory and consultative role on all financial matters and is responsible for works on budget issues and participates in annual budget elaboration. The budget committee acts as a filter for all requests for expense received and issued by the group's entities. It ensures the application of appropriate fiscal policy rules and standards for deficits, debts and spending. It is the guarantor of the proper application of budgetary principles and tools, it has the mission to propose global financial strategies, manages the goup s entities indebtedness levels while allowing to assess the room for maneuver. 14

Le Comité d audit Le comité d audit est chargé d aider le Conseil d Administration à s acquitter de ses obligations et responsabilités de surveillance relatives à la qualité et l intégrité de l information financière. Le comité d audit relève du Conseil auprès duquel il a un pouvoir de recommandations. Il exerce un rôle de vigie sur les affaires financières du Groupe. À cet effet, il est également responsable de la surveillance des activités d audit externe, du contrôle interne, de la gestion des risques et de la sécurité de l information. Il rend compte de ses activités au Conseil à la suite de chacune de ses réunions. Le périmètre d intervention du comité d audit interne s étend à l ensemble des entités et de ses directions supports. Pour assurer une bonne exécution de sa mission et conformément à son indépendance, le comité d audit interne intervient sur la base d une planification annuelle validée par le Conseil d Administration. Sa mission consiste à accroître et à préserver la valeur de l organisation en donnant avec objectivité une assurance, des conseils et des points de vue fondés sur une approche par les risques. Il incombe au Comité d audit interne de : Soumettre, au moins une fois par an, pour examen et approbation du Comité un plan annuel d audit interne fondé sur une approche par les risques S assurer que les tendances et les problèmes émergents qui pourraient avoir un impact sur les entités sont dûment pris en compte et communiqués aucomité Réviser et/ou ajuster le plan annuel d audit interne en réponse aux changements dans les activités et les risques après validation par le Comité Veiller à la surveillance de l information financière en ce qui concerne les états financiers Surveiller les activités de contrôle interne, de gestion des risques et de la sécurité relative à l information financière. 4. The Audit Committee The Audit Committee is responsible for assisting the Board of Directors in fulfilling its supervisory obligations and responsibilities relating to the quality and integrity of financial reporting. The audit committee reports to the Board, to which it has the power to make recommendations. He acts as a watchdog over the Group's financial affairs. To this end, he is also responsible for overseeing external audit activities, internal control, risk management and information security. It reports to the Council on its activities following each of its meetings. The scope of the internal audit committee's intervention extends to all entities and their support directorates. In order to ensure the proper execution of its mission and in accordance with its independence, the internal audit committee intervenes on the basis of an annual planning validated by the Board of Directors. Its mission is to increase and preserve the value of the organization by objectively providing assurance, advice and perspectives based on a risk-based approach. It is the responsibility of the Internal Audit Committee to: Submit an annual internal audit plan based on a risk-based approach to the Committee for review and approval at least once a year Ensure that emerging trends and issues that could impact entities are properly addressed and communicated to the Committee Review and/or adjust the annual internal audit plan in response to changes in activities and risks after validation by the Committee Monitor financial reporting with respect to financial statements Monitor internal control, risk management and financial reporting security activities. 15

Le Comité Juridique Mis sur pied par le Président Directeur Général, le Comité Juridique, organe rattaché à ce dernier, est aujourd hui au cœur des activités de SNEDAI GROUPE à travers ses activités diverses autant en amont qu en aval. Le rôle du comité juridique consiste à donner un avis en réponse aux questions délicates posées par les sociétés membres du Groupe ou par les autres comités du groupe et qui concernent l application du droit des sociétés ou du droit financier, et des questions de stratégie. Il s agit donc pour le Comité de résoudre des questions de principe et de fond portant sur l interprétation et l application du droit applicable à une situation donnée. Le Comité juridique est donc chargé d assurer l interprétation juste et adéquate des textes en tenant compte des réalités et des besoins des sociétés du Groupe. Devant le constat de l inadéquation d une disposition avec les réalités et les besoins des sociétés, le comité juridique peut être amené à faire des propositions d amendement visant à corriger les dysfonctionnements constatés. En réponse à une interrogation d une société du groupe ou du PDG, le comité juridique peut également être amené à donner son avis sur les meilleures pratiques de gouvernance. 5. The Legal Committee Set up by the Chairman and Chief Executive Officer, the Legal Committee, a body attached to the latter, is now at the heart of SNEDAI GROUP's activities through its various activities, both upstream and downstream. The role of the Legal Committee is to provide advice in response to sensitive questions raised by Group companies or other Group committees concerning the application of company or financial law, and strategic issues. The Committee's task is therefore to resolve questions of principle and substance concerning the interpretation and application of the law applicable to a given situation. The Legal Committee is therefore responsible for ensuring the fair and proper interpretation of the texts, taking into account the realities and needs of the Group's companies. In the event that a provision is found to be inadequate in relation to the realities and needs of companies, the Legal Committee may have to make proposals for amendments to correct the malfunctions found. In response to a question from a group company or the CEO, the Legal Committee may also be asked to give its opinion on best governance practices: in principle, this opinion is only communicated to the CEO. 16

20 9 POLE NOUVELLESTECHNOLOGIES NEW TECHNOLOGIESACTIVITY 9 SNEDAI COTE D IVOIRE Créée en 2007, SNEDAI CI est la première filiale du GROUPE SNEDAI au travers de laquelle plusieurs conventions de type BOT (Built, Operate and Transfer) ont été signées avec l État de Côte d Ivoire notamment pour : la production de passeports ordinaires : convention de concession signée en 2007 la production de passeports diplomatiques et passeports de services : convention de concession signée en 2009 la production de visas électroniques : convention de concession signée en Au fil des années les équipes de recherche et de développement (R&D) de SNEDAI CI ont développé une palette de solutions informatiques qui aujourd hui sont largement utilisées tant par les clients internes au Groupe (entités et services du Groupe) que par les clients externes au Groupe. En mai 2018, un système automatisé d intégration et de numérisation des liasses fiscales dans le système d information de l administration fiscale a été développé par nos équipes pour le compte de la Direction Générale des Impôts de Côte d Ivoire et deux (2) années auparavant bénéficiait d un système de dématérialisation des patentes et d émission de cartes sécurisées pour le règlement de la patente. SNEDAI CI c est: un passeport biométrique qui se classe parmi les cinq (5) passeports les plus sécurisés au monde selon l Organisation de l aviation civile internationale (OACI). plus de dix (10) millions de documents sécurisés produits (passeports et visas) plus de 30 solutions informatiques développées en interne 3 centres de personnalisation de documents certifiés par HP etl OACI des ressources humaines locales composée de jeunes femmes et d hommes motivés et dynamiques, dotées d une expertise acquise au fil des années et qui ont su capitaliser sur un réseau de partenaires techniques et financiers de premier rang. SNEDAI COTE D IVOIRE Created in 2007, SNEDAI CI is the first subsidiary of SNEDAI GROUP through which several BOT (Built, Operate and Transfer) type agreements have been signed with the government of Côte d Ivoire (Ivory Coast), notably for: the production of ordinary passports: concession agreement signed in 2007 the production of diplomatic passports and service passports: agreement signed in 2009 production of electronic visas: concession agreement signed in 2009 and Over the years, SNEDAI CI's research and development (R & D) teams have developed a range of IT solutions that are now widely used by both internal customers (Group entities and services) and customers external to the Group. In May 2018, an automated system of integration and digitization of companies financial statements into the tax administration information system was developed by SNEDAI CI R&D teams on behalf of the General Tax Directorate of Cote d'ivoire which, two (2) years earlier had also benefited from a system of dematerialization of patent s licenses and issuance of secured cards attesting payment of the license. This system was also developed by SNEDAI CI's research and development (R & D) teams. To this day it is important to emphasize that: The biometric passport produced by SNEDAI CI ranks among the five (5) most secured passports in the world, according to the International Civil Aviation Organization (ICAO). More than ten (10) million secured documents produced (passports, visas) More than 30 IT solutions developed 3 HP and ICAO certified document personalization centers local human resources made up of motivated and dynamic young men and women, with expertise acquired over the years and who have been able to capitalize on a network of leading technical and financial partners. 20

22 9 POLE NOUVELLESTECHNOLOGIES NEW TECHNOLOGIESACTIVITY 9 SNEDAI BURKINA FASO Créée en 2016, SNEDAI BF est la filiale du Groupe au Burkina Faso à travers laquelle une convention de concession d une durée de dix (10) ans, de type BOT (Built, Operate and Transfer) a été signée avec l Etat du Burkina Faso en 2013 pour la production de cartes consulaires sécurisées pour les ressortissants Burkinabés vivant en République de Côte d Ivoire. A ce jour ce sont plus de un million ( ) de cartes consulaires produites et distribuées vendues et distribuées en Côte d Ivoire. A travers cette filiale, le Groupe a signé des partenariats publics-privés pour des durées de dix (10) ans en vue de la mise en place de système d authentification, de suivi et de traçabilité des produits de tabac pour le compte des sociétés Imperial Tobacco-ITG (en 2016), British American Tobacco-BAT (en 2018) et Philip Morris International-PMI (en 2018). SNEDAI BURKINA FASO Created in 2016, SNEDAI BF is the Group's subsidiary in Burkina Faso through which a ten (10) year BOT (Built, Operate and Transfer) concession agreement was signed with the State of Burkina Faso for the production of secure consular cards for Burkinabe citizens living in the Republic of Ivory Coast. To date, more than one million (1,000,000) consular cards have been produced and distributed. Through this subsidiary, the Group has also signed public-private partnerships for ten (10) years to set up a system for the authentication, monitoring and traceability of tobacco products on behalf of Imperial Tobacco-ITG (in 2016), British American Tobacco-BAT (in 2018) and Philip Morris International-PMI (in 2018). Ce partenariat, signé avec l Etat de Côte d Ivoire concerne l immatriculation des adhérents, la fourniture d une carte d identification unique et le déploiement d une application métier pour la gestion du régime de couverture maladie. SNEDAI CMU s appui est un système obligatoire de protection sociale nationale contre le risque maladie. Il a pour principal objectif de garantir à l ensemble des populations résidentes en Côte d Ivoire, l accès à des soins de santé de qualité. A ce titre la société MEDAFRIQUE, filiale du Groupe SNEDAI a signé le 14 Décembre 2017 un marché portant sur le financement, la réhabilitation, la construction, l équipement, la formation à l utilisation, l entretien, la maintenance et le renouvellement des équipements biomédicaux de huit (8) infrastructures sanitaires pour un montant de F.CFA 124 Milliards (soit environ Euro 190 millions). Pour mieux accompagner l Etat de Côte d Ivoire dans sa politique de développement du secteur de la santé, le Groupe SNEDAI se fait accompagner, pour la fourniture des matériels et divers équipements biomédicaux, par des équipementiers Israéliens et Allemands de renom que sont «ELSMED» et «SIEMENS HEALTHINEERS». Set to be put up for rentals, these villas and apartments required a global investment cost of F.CFA 19 billion (or about Euro 29million) The construction of the village of the 8th Games of La Francophonie which took place in Abidjan in June The total cost of the project was F.CFA 35 Billion or so (Euro 53. The Francophonie Games is a multi-sport competition and cultural competitions in individual or team events organized by the International Committee of the Francophonie Games and the National Committee of the Francophonie Games under the auspices of the International Organization of Francophonie. A cet effet, le Ministère a attribué une parcelle de 30 ha à MARYLIS BTP Côte d Ivoire pour l exécution des travaux sur une période de dixhuit (18) mois de la première phase de cette convention portant sur une tranche de mille deux cent (1 200) logements. Le montant total des travaux des logements avoisinerait F.CFA 940,6 Milliards (environ Euro 1 433millions). La construction, la réhabilitation, l équipement et la mise aux normes d infrastructures sanitaires au Mali que sont le Centre Hospitalier Universitaire (CHU) GABRIEL TOURE, le Centre Hospitalier Universitaire (CHU) POINT G, la Polyclinique des Armées de KATI. Débuté depuis la mi-mars 2019, le projet porte sur une durée de huit (8) par infrastructure sanitaire pour une enveloppe globale de F.CFA 15,17 Milliards (soit Euro 23Millions). MARYLIS BTP COTE D IVOIRE The construction over a period of 7 years of 30,000 social, economic and average standing houses as part of the implementation of a national program initiated by the Government through the Ministry of Construction. It is in this context that the Ministry of Construction has allocated a land of 30 ha to MARYLIS BTP Côte d'ivoire for the realization during eighteen (18) months of the first phase of the program. This first phase consists in the construction of one thousand and two hundred (1,200) houses. The estimated amount, for the realization of the entire housing project is F.CFA 904 Billion (about Euro Million). Ainsi le gouvernement par le biais du Ministère de l Enseignement Supérieur et de la Recherche (MSR) a engagé la construction de l Université Amadou Mahtar Mbow, deuxième université de Dakar situé à Diamniadio orienté vers les métiers nouveaux qui à terme comprendra étudiants. A l issue d une consultation internationale restreinte lancée par l État du Sénégal, le groupement composé de deux (2) entreprises Sénégalaises et d une (1) entreprise ivoirienne que sont [MONOFASICA TOUBA MATERIAUX et MARYLIS BTP SN, filiale du Groupe SNEDAI s est vu attribué le marché en date du 08 Avril 2015 pour un montant d environ F.CFA 60 milliards (soit Euro 91 millions). Le montant est d environ F.CFA (environ Euro 56 millions. Les études techniques sont dirigés par les ingénieurs de OMNITRAVAUX filiale du Groupe SNEDAI et des cabinets conseil de renom. A ce jour, les études ont démarré en vue d établir le devis quantitatif estimatif. La Construction de deux (2) échangeurs dans le district d Abidjan dans le cadre de l amélioration de la mobilité des populations urbaines. Ce projet, en cours de négociation avec l État de Côte d Ivoire au travers du Ministère de l Equipement et de l Entretien Routier (MEER) se permet de relier deux (2) des communes à fort trafic routier à savoir le Carrefour DUNCAN situé aux deux Plateaux et ABOBO Mairie. Le montant estimatif pour la réalisation de ce projet est de F.CFA 110 milliards (soit environ Euro 167 Millions). La réhabilitation de routes au Mali dans le district de Bamako en vue d améliorer la mobilité des populations urbaines. En cours de négociation, ce projet soumis en février 2019 porte sur un ensemble de six (6) tronçons qui seront réalisés par la filiale OMNITRAVAUX experte en travaux de renforcement routier que sont : L avenue MARTIN LUTHER KING sur 4,5 km, la rue OA FASO KANU - Ecole Cheick Anta Diop-Marché et bretelles sur 3,08 km, la rue 345 Daoudabougou sur 3,28 km, la rue RN3 tronçon SAME Kati sur 5,5 km, la voie allant de DARSALAM jusqu à Koulouba en passant devant l Ecole de Santé (INFSS) sur 2,3 km et la voie principale de TALICO sur 4,6 km. For a total amount of FCFA 36,8 Billion (approximately Euro 56 million), the convention was co-signed by the State Department of Budget and the Ministry of National Education, Technical Education and Professional Training. The project technical studies, led by SNEDAI GROUP's in-house engineers (also supported by renowned consulting firms) are currently being carried out in order to establish the most accurate possible estimates for a diligent and optimal completion of this project. Project for the construction of two (2) motorway interchanges in Abidjan as part of the plan of the Government to improve the mobility of urban populations. This project, currently in discussion/ negotiation with the Ministry of Equipment and Road Maintenance, shall be realized in two (2) of the areas with the highest road traffic in the district (II Plateaux Carrefour DUNCAN et ABOBO MAIRIE). The estimated amount for the realisation of this project is F.CFA 110 milliards (Euro 167 Millions). Project for the rehabilitation and reinforcement of six (6) road sections in the district of Bamako (Mali) in an effort to improve the mobility of the urban populations. Currently in negotiation, this project is of an estimated amount of F.CFA 55,2 billion (Euro 84 million). 40 11 POLE TRANSPORT TRANSPORT ACTIVITY 11 CONTEXTE Pour assurer le besoin en mobilité des 2.7 millions de personnes qui se déplacent chaque jour dans la commune d Abidjan, les différents acteurs du secteur du transport s efforcent à répondre à cette attente. Dynamisé par un taux de croissance annuelle du PIB de +9% le secteur du transport est un marché porteur Aujourd'hui le transport Lagunaire ne capte que 3.57% des 7 millions de déplacements quotidiens effectués par les ménages en Ce sont donc passagers qui sont quotidiennement transportés par les pinasses(48.5%) la SOTRA (30%) STL (12.5%) et CITRANS (9%). Et, ce secteur du transport lagunaire devrait évoluer en moyenne de 25.21% pour atteindre un marché potentiel journalier de passagers en 2019, en 2020, en 2021 et en Cette croissance ne représenterait que 26.35% d un potentiel estimé, à passagers. Il faut également noter que les ménages passent en moyenne 200 minutes par jour dans les transports urbains. En sus des désagréments causés aux clients, cette situation engendre une baisse du revenu national de la Côte d Ivoire de -5%. Dans ce contexte, le transport lagunaire semble être la solution la plus prometteuse pour juguler les difficultés de mobilité des populations. STL ARCHITECTE DE MOBILITE Avec une moyenne de passagers par jour, STL se positionne comme le leader du transport lagunaireprivé. STL déploie son activité à partir de 5 gares (TREICHVILLE, ABOBODOUMÉ, PLATEAU, MPOUTO ET KOUMASSI) avec 16 bateaux dont un VIP. CONTEXTE To ensure the mobility of 2.7 millions commuters on a daily basis across the capital city of Abidjan, the different actors of the transport sector strive to bring an adequate response to the underlying demand. Boosted by an annual growth of over 9%, public transport is an expanding market. To this date lagoon transport covers 3.7% of the 7 millions daily trips effected by households. On a daily basis, commuters are transported by shallot boats (48,5%), SOTRA (30%) STL (12%) and CITRANS (9%). The lagoon transport sector is expected to grow annually by 25,21% to reach a potential market of commuters a day to be transported by 2019, by 2020, by 2021, and by This growth is only 26,35% of a potential market of commuters a day. On average households do spend about 200 minutes a day in public transport with all the inconveniences that this type of transport may cause. This situation leads to a 5% loss in national revenue. In such context lagoon transport seems to be the future solution to sort out the problem of public transport STL ARCHITECT OF MOBILITY With an average of passengers a day STL is a leading private lagoon transport. STL opens out its activities from 5 stations (TREICHVILLE, ABOBODOUME, PLATEAU, M POUTO ET MARCORY) with a fleet of 16 boats which includes a VIP boat. The mission of STL is to cover the whole waterway plan of the district of Abidjan which is on 560 Km². In order to reach this objective, STL is on one hand finalizing the construction and equipment of the aforementioned lagoon stations and, on the other hand, increasing the current fleet to 27 boats. Out of the 11 boats being acquired/ ordered, 4 were delivered as at July 1 st The remaining 7 are expected for delivery respectively for end of October (5) and end of November (2). 40

Cette ambition passe inéluctablement par l achèvement et l équipement des gares citées plus haut ainsi que l accroissement de la flotte actuelle en vue de la porter à 27 bateaux. Cette dynamique a commencé à se concrétiser avec la livraison depuis le 1 er juillet 2019 de 4 nouveaux bateaux qui seront suivis de 7 autres bateaux d ici la fin du mois d octobre 2019 (5) et fin Novembre (2). Pour se démarquer de la concurrence, STL veut d une part, accélérer le programme de développement de ses gares pour en faire de véritables centres de profit et d autre part, mettre en place des solutions visant à améliorer l expérience client. 43 12 POLE ENERGIE ENERGY 12 S.ENERGIES S. ENERGIES est une sous holding du Groupe SNEDAI. Créée en 2016 avec un capital de F.CFA, S. ENERGIES a pour objet social principal la réalisation de toutes opérations civiles, commerciales ou industrielles se rapportant à l étude, la conception, la réalisation et le financement de projets dans le domaine de l Energie. Cette sous holding se compose de deux sociétés de projet ou «SPV» que sont BROTO IPP (détenue à 100% par S.ENERGIES) et TIPSP (détenue à 35% par S.ENERGIES), et qui sont au cœur d un important projet intégré visant à accroitre la puissance énergétique de la Côte d Ivoire. BROTO IPP La Côte d Ivoire prévoit accroitre à l horizon 2023 sa capacité de production énergétique à MW. Cet ambitieux projet vise à doter la Côte d Ivoire d une capacité de production à même de lui permettre de faire face au défi de la demande croissante en énergie sur le plan national et sous régional tout en diversifiant les sources et les sites de production. Ainsi a-t-il été signé le 5 Décembre 2016 entre l Etat de Côte d Ivoire et BROTO IPP (filiale à 100% de S. ENERGIES) une convention de concession de 30 ans pour la conception, le financement, la construction, l exploitation, l entretien et le transfert de propriété d une centrale thermique au charbon alimentée au charbon propre de 2x350 MW. Pour la signature de cette convention l Etat était représenté conjointement par le Ministère de l Energie (Ministère de Tutelle), le Ministère de l Economie et des Finances et le Ministère du Budget et du Portefeuille de l Etat. Afin de prendre en compte les contraintes environnementales dans la mise en œuvre de ce projet, le choix s est porté sur la technologie dite supercritique qui est une technologie moins gourmande en combustible et déjà éprouvée dans de nombreux pays à travers le monde [SWFGD (See Water Flue Gas Desulfurization) et SCR respectivement pour mitiger les émissions en oxydes de soufre (SOx) et oxydes d azote (NOx)]. It is in this context that, on 5 December 2016, a 30-year concession agreement was signed between the Government and BROTO IPP for the design, financing, construction, operation, maintenance and transfer of ownership of a 2x350 MW coal-fired power plant. For the signature of the concession agreement, the Government of Côte d Ivoire was represented as signatories, by the Ministry of Energy, the Ministry of Economy and Finance and the State Department of Budget. In order to take into account of environmental constraints in the implementation of this project, the choice was made to use the so-called supercritical technology, which is a less fuel-intensive technology that has already been proven in many countries around the world [SWFGD (See Water Flue Gas Desulfurization) and SCR respectively to mitigate emissions of sulphur oxides (SOx) and nitrogen oxides (NOx)]. 43

44 12 POLE ENERGIE TIPSP (Terminal Industriel Polyvalent de San Pedro) TIPSP est la SPV détenue à 20% par S. ENERGIES et à 65% par un spécialiste du développement de projets portuaires GSEZ (GABON SPECIAL ECONOMIC ZONE), filiale de la branche «Développement de Projets d Infrastructure» du Groupe Singapourien OLAM International. La création de cette SPV s inscrit dans le cadre de la mise en œuvre du projet intégré énergie dont le but est d accroitre la puissance énergétique de la Côte d Ivoire. Ainsi, il a été signé en fin 2016, entre la société TIPSP et le Port autonome de San-Pedro (PASP), représentant le Ministère des Transports, une convention de concession de 35 ans portant financement, conception, exploitation, manutention et transfert des quais vers les zones de stockage d un terminal industriel polyvalent dans l enceinte du Port de San Pédro. Cet ouvrage permettra notamment la réception et la manutention du combustible de charbon destiné à alimenter la centrale BROTO IPP de capacité 2x350MW soit 700 MW. Ce projet favorisera également une croissance économique soutenue, partagée et durable de la région de San Pédro. TIPSP (San Pedro Multipurpose IndustrialTerminal) ENERGY 12 TIPSP is the SPV held at 20% owned by S.ENERGIES, with the remaining 65% belonging to Gabon Special Economic Zone (GSEZ, an entity which is specialized in developing port projects and which is mainly held by the Singapore based Group Olam. The creation of this SPV is part of the implementation of the integrated energy project whose aim is to increase Côte d'ivoire's energy power. Thus, at the end of 2016, a 35-year concession agreement was signed between TIPSP and PASP for the financing, design, operation, handling and transfer of docks to the storage areas of a multi-purpose industrial terminal within the Port of San Pedro. This structure will allow the reception and handling of coal intended to supply the BROTO IPP power plant with a capacity of 2x350MW (700 MW). This project will promote sustained, shared and sustainable economic growth, while creating jobs for local and regional communities.
