3 Rapport annuel 2015 / 2015 Annual report Éditos / Editorials Martine Roussel-Adam Présidente du Comité d Investissement de Phitrust Partenaires Chairwoman of Phitrust Partenaires Investment Committee Il paraît loin le temps où nous devions prouver que l économique peut rimer avec le social et poser les fondations de Phitrust Partenaires. Tant a été réalisé depuis : un nombre croissant de projets soutenus, une qualité reconnue dans la sélection, le suivi et l accompagnement, un Comité d Investissement (CI) renforcé et très investi. Et ces années ont passé très vite car nous avons été happés dans un mouvement qui, avec ses valeurs d innovation, d esprit d entreprise mais aussi de solidarité et de conscience planétaire, est reconnu aujourd hui comme porteur de changement sociétal. Je suis très heureuse d avoir pu, avec le CI, accompagner Olivier et son équipe tout au long de cette belle aventure! Aujourd hui, il m a semblé qu il était temps de passer le relais. J ai donc demandé à notre ami Guy Portmann, dont je connais depuis des années le sérieux, l honnêteté et les compétences, d assurer la relève de la Présidence du CI. Merci à Phitrust Partenaires et au Comité pour la confiance qu ils m ont accordée, merci aux porteurs de projets pour leur acharnement à construire un monde meilleur, merci à vous tous qui nous soutenez! The time when we laid the foundations of Phitrust Partenaires seems a distant past, as we set out to prove that business and social could be complementary. So much has been achieved since then; an increasing number of projects mentored and non-financial support provided, selection and monitoring processes of high quality, and a strengthened and very active Investment Committee (IC). These years have gone by quickly, as we were caught up in a movement that marks a profound change in society, particularly via the importance placed on innovation, business, solidarity and global awareness.i am very pleased to have been able to join Olivier and his team, via the IC, on this great adventure! Today seems an opportune time to pass the baton. I therefore asked Guy Portmann, whom I have known for years to be a serious, honest man of many skills, to take over as Chairman of the IC. A big thank you to Phitrust Partenaires and to the IC for the confidence they placed in me, thank you to the entrepreneurs for their determination to build a better future, and thank you to all who continue to support us! Plusieurs des projets de notre portefeuille sont aujourd hui en phase d accélération et leurs entrepreneurs ont aujourd hui à gérer des sociétés en croissance, des équipes plus nombreuses! Quelle chance de pouvoir les accompagner et de voir les fruits de leur vision se réaliser, et ce alors même que tous les cassandres s inquiétaient des risques de ces projets. Nous sommes très heureux d avoir pu y contribuer à notre modeste mesure et cela n aurait pas été possible sans le soutien et l aide des membres de notre Comité d Investissement qui sont très présents auprès des entreprises du portefeuille. Je souhaiterais en votre nom remercier très chaleureusement Martine Roussel-Adam qui a présidé le Comité d Investissement depuis 10 ans et qui a souhaité passer la main tout en restant membre du Comité. Et un grand Merci à Guy Portmann, membre du Comité d Investissement depuis son début, d avoir accepté de reprendre la Présidence en 2016 pour nous accompagner dans notre développement pour les prochaines années. For the past 10 years we have been financing and mentoring projects that meet dual social and financial objectives. Several of our investees are now in an acceleration phase and the entrepreneurs leading them must learn to manage companies undergoing growth, and larger teams! We deem ourselves lucky to be able to mentor them and to see the fruits of their labor realised, despite the naysayer Cassandras who were worried about the projects being too risky, or considered them too idealistic. We are very pleased to contribute in our modest way, which would not have been possible without the support and help from our Investment Committee (IC), who are very active among our portfolio companies. On your behalf I wish to warmly thank Martine Roussel-Adam who has Chaired the IC for the past 10 years and who will now step down, while remaining a member of the Committee. And a big Thank you to Guy Portmann, an IC member since its establishment, who has accepted to take up the role of Chairman as of 2016 to support our development during the coming years. 3

It is a model based on equality and morality, and one that is able to mobilise on specific projects that are as surprising as they are exciting. This support is regular and very dynamic, the Board member making himself very available. We defined several areas of work based on the skills and interests of our Board members; Phitrust, for example, provides particular support on upstream and long-term feasibility planning of the company (strategy and development, financial planning, etc). This non-financial support is also very important with regards to our presence in the Paris region: Phitrust helps facilitate our implementation in this new region of the country. 4

6 Qui sommes-nous? / About us Avec les investisseurs et entrepreneurs venus du «privé», actionnaires et membres du Comité d Investissement, nous essayons d apporter aux entrepreneurs qui ont un double objectif sociétal et financier les outils mis en œuvre par les sociétés de capital risque, «la Venture Philanthropy». Nous sommes persuadés que ces outils et l accompagnement par des dirigeants et entrepreneurs sont nécessaires pour les aider à structurer, développer et pérenniser leur projet social. Phitrust Partenaires, an investment company, provides equity and debt financing to companies generating positive measurable social impact that are in their growth stage of development. Fonds de dotation Le Fonds de dotation Phitrust, dédié à l Innovation Sociale, alloue des subventions à des initiatives innovantes qui participent à l essor de l entrepreneuriat social. The Phitrust Endowment Fund, dedicated to social innovation, provides grants to innovative initiatives that participate in fostering the social entrepreneurship sector. Groupes de femmes bénéficiaires des programmes d accompagnement de Microfinance Solidaire Women benefiting from Microfinance Solidaire s mentoring programmes Phitrust Partenaires et le Fonds de dotation Phitrust sont deux outils complémentaires dédiés au financement et à l accompagnement de l entrepreneuriat social en France, en Europe et dans le monde. Phitrust Partenaires provides long-term support to the social enterprises in its portfolio. The monitoring strategy relies on the involvement of the Investment Committee (IC) (which plays a key role in the management of portfolio investees) as well as on the quarterly reporting of financial results and activities, and an annual reporting on social impact. The IC members use their expertise and networks to ensure the sustainability of each project. 8

9 Rapport annuel 2015 / 2015 Annual report Mesurer l impact Impact measurement Un suivi et une analyse entreprise par entreprise A tailored approach to monitoring each investee Un suivi et une analyse du portefeuille Monitoring and analysis at the portfolio level Nous avons retenu une approche pragmatique, entreprise par entreprise, pour analyser au plus près l impact de chaque activité. Pour chaque entreprise, nous définissons au moment de l investissement, des critères quantitatifs qui témoignent de l impact social, de l impact environnemental, et de la gouvernance. Ces critères sont établis avec l entrepreneur qui s engage à nous en communiquer un reporting annuel. Pour chacun de ces critères, un objectif à 5 ans est établi, qui nous permet de mesurer sa performance au cours de notre investissement. Nous analysons ainsi annuellement pour chaque entreprise l évolution de son impact social, de son impact environnemental et de sa gouvernance. Une analyse complétée par une analyse qualitative. Cette analyse par entreprise nous permet de guider notre accompagnement et de favoriser, dans les cas de réinvestissement, les entreprises qui ont amélioré leur impact. We chose a pragmatic approach, on a case by case basis, to closely analyse the impact of each activity. For each investee, we define at the moment of the first investment specific quantitative indicators that reflect the social and environmental impact as well as the governance of the company. These key performance indicators are chosen alongside the entrepreneur, who agrees to report annually as to their evolution. A 5 year objective is defined for each indicator, allowing us to measure the performance throughout our investment period. An annual assessment for each investee is thus undertaken in relation to its social and environmental impact and governance, which is completed by a qualitative analysis. This tailored approach allows us to better guide our non-financial support and to promote, in the case of a reinvestment, investees that have improved their impact. This monitoring allows to us to readjust if needed our investment strategy, which emphasizes social impact objectives while also requiring economic viability. The assessment of the social and environmental impact enables us to identify a social and environmental return on investment for each Phitrust Partenaires investee which, alongside an analysis of each investee s financial performance, enables us to have an overall assessment of the strategies being implemented across the portfolio. The Phitrust Endowment Fund supports the launch of social enterprises. On Purpose France On Purpose développe en France, sur un modèle initié en Angleterre avec succès, un programme de formation qui s adresse aux cadres de haut niveau ayant cinq à dix ans d expérience et qui désirent orienter leur carrière dans des entreprises ayant une dynamique sociale / environnementale. Une formation qui s exerce sur le terrain avec deux missions de six mois dans deux entreprises à fort impact social. Les trois premières promotions qui se sont succédées depuis janvier 2014 ont permis de former plus d une vingtaine de talents souhaitant travailler dans cet univers. On Purpose is developing in France a model successfully launched in England, which provides a training program for mid to senior level professionals with five to ten years of experience who wish to pursue a career in companies with a social / environmental mission. The training takes place on the ground with two six-month missions in separate companies with strong social impact. Since its launch in 2014, three classes have been recruited, enabling the training of more than twenty persons capable of addressing societal challenges. La ruche du Medoc Une initiative de l association AGRISUD qui réplique au France, dans le sud-médoc, une action qu elle mène depuis plus de vingt ans dans les pays en voie de développement : la création de petites entreprises maraîchères en circuit court grâce à la mise en place d une couveuse qui forme les futurs maraîchers sur un espace de culture dédié et les accompagne dans leur installation. Le premier bénéficiaire de ce parcours a créé en février 2016 sa petite entreprise individuelle de maraîchage. Deux nouveaux bénéficiaires ont été recrutés en An initiative launched by the AGRISUD association that replicates in the south-médoc region in France an activity that it has implemented for more than twenty years in developing countries: an incubator that trains future agricultural workers and supports them in establishing micro-enterprises through which they can sell vegetables via direct distribution channels. This modular construction initiative based on recycled maritime containers accomplished several achievements in 2015: alongside Habitat et Humanisme, nine new housing constructions conform to RT 2012 standards were provided to the poorest populations; and a partnership with EDF and Schneider Electric led to the development of a traveling educational home to raise awareness about energy poverty. This project was supported by the Phitrust Endowment Fund in its initial phase, leading to the creation of Homeblok, a company providing social integration through employment, within the La Varappe Group. Phitrust Partenaires mentors and supports the development of social enterprises. La Varappe Construction d un leader de l insertion / Developing a leader in social reintegration through employment Depuis 2007, Phitrust Partenaires a investi K dans cette entreprise qui est leader de l insertion dans la région de Marseille. Depuis cette date, Phitrust a accompagné La Varappe dans sa croissance interne en la mettant en lien avec le fonds SEEA de Schneider Electric qui a investi dans sa filiale Environnement pour lui permettre de le développer, en l aidant à structurer sa gouvernance, etc. En 2015, Phitrust a accompagné le management pour la nouvelle phase de croissance externe qui a permis à La Varappe d acquérir la société d insertion BRT à Dijon, doublant ainsi sa taille. Since then, Phitrust has mentored La Varappe in its internal growth, by connecting the company with Schneider Electric s fund SEEA (which invested in one of its subsidiaries) by helping structure its governance, etc. In 2015 Phitrust worked closely with La Varappe to help structure its new phase of external growth, enabling the company to successfully acquire BRT, a work reintegration company based in Dijon, thereby doubling its size. In liaison with fund manager Oltre, Phitrust Partenaires invested in 2010 in PerMicro, an Italian microfinance institution that aimed to develop a financially sustainable business model without relying on subsidies. Since 2010, Phitrust participated in four fundraising rounds for a total investment of 853 K enabling PerMicro to distribute nearly 76 M in loans over a five year period, mostly to immigrants, and to become the only European microfinance institution that has achieved financial breakeven. Le Comité se prononce régulièrement sur l opportunité de poursuivre l étude des dossiers d investissement qui lui ont été soumis après une première validation par l équipe d analystes de Phitrust. Après un audit complet de l entreprise et après avoir rencontré l entrepreneur, le Comité décide de chaque investissement dans un souci de concilier viabilité économique et impact social, tout en assurant une cohérence du portefeuille dans son ensemble. En 2015, une attention particulière a été portée sur la recherche et l analyse de nouveaux projets, tout en assurant l accompagnement aux entreprises de notre portefeuille, plusieurs d entre elles abordant une nouvelle phase de croissance. The Investment Committee, presided by Martin Roussel-Adam, brings together company shareholders who are recognised professionals from the business world who have held positions of operational responsibility in French and international companies. The Committee regularly considers whether or not to continue due diligence on potential investments submitted by the Phitrust team. Following a comprehensive audit of the company and an in-person meeting with the entrepreneur, the Committee makes an investment decision, taking care to reconcile economic viability and social impact while ensuring coherence across the portfolio. A particular focus in 2015 was spent on identifying and analysing new projects, while continuing to provide support to portfolio companies, several of which are moving into a new phase of growth. Phitrust Asia Henri de Reboul, membre du Comité d Investissement de Phitrust Partenaires entre 2010 et 2012, s est installé en Asie du Sud-Est en 2013 et a identifié de nombreux projets répondant à des enjeux sociaux tout en visant à terme une rentabilité économique, et ce principalement dans les secteurs de l alimentation, du tourisme et de l accès à l énergie. Phitrust Partenaires a donc créé avec Henri de Reboul une société d investissement basée à Singapour, Phitrust Asia, qui a vocation à développer sur l Asie du Sud-Est une stratégie similaire à celle développée aujourd hui en Europe. A cette occasion, nous avons pu constater que l approche d investissement et les outils d analyse, de suivi et de mesure de performance mis en place aujourd hui au sein de Phitrust Partenaires répondaient à une attente de nombreuses entreprises sociales en phases préliminaires en Asie du Sud-Est. Celles-ci ne trouvent en effet pas suffisamment aujourd hui de soutien et d accompagnement d investisseurs sociaux. Henri de Reboul, member of Phitrust Partenaires Investment Committee between 2010 and 2012, relocated to South-East Asia in 2013 and identified several projects seeking to address social issues while also seeking economic profitability, particularly in the food security, tourism and access to energy sectors. Phitrust Partenaires subsequently created with Henri de Reboul an investment company based in Singapore, Phitrust Asia, that aims to develop in South-East Asia a similar strategy to that already developed in Europe. In doing so, we noted that the investment strategy and the analysis, monitoring and impact performance measurement tools developed and used by Phitrust Partenaires today are in accordance with the expectations of many social entrepreneurs across South-East Asia in their initial phase of development. Indeed, these entrepreneurs are finding insufficient support and mentoring from social investors. 19
