3 SALON DU CHOCOLAT GENERAL REGULATIONS OCTOBER 30 th TO november 3 rd REGISTRATION GENERAL PROVISIONS The organiser is the company EVENT INTERNATIONAL, SA with a share capital of whose company registration number is RCS B and whose registered office is 59 rue de la Tour Paris. The event is the Paris SALON DU CHOCOLAT These regulations apply only to the Paris SALON DU CHOCOLAT They shall be binding on every exhibitor who has completed an application for admission. The submission of the application form does not constitute an offer to exhibit. The organiser shall receive requests and decide on admissions without being required to justify its decision. Section 1 - Halls 5.2/5.3 exclusively dedicated to chocolate. It is specified that exhibitors must justify their status as chocolatier and only the organiser may decide on the eligibility of applications for admission. At least 80% of the exhibits for each exhibitor must be chocolates. Section 2 - Hall 5.1 devoted to confectionery and pastries The products presented by exhibitors must be connected with chocolate. The rejection of an application by the organiser shall not give rise to any right to damages. Only exhibitor fees paid for the event shall be reimbursed, with the exclusion of administration costs, which shall remain payable to the organiser. Admission decisions from previous years shall not constitute a right to exhibit. An application signed by a person having binding authority within the exhibiting business must be made on the official form provided by the organiser to businesses wishing to exhibit. If the event includes different specialist sections in which the business wishes to exhibit, it must submit a separate application for each of the sections of interest. Receipt of the request by the organiser shall imply that the business wishing to exhibit is aware of these regulations and accepts them without reservation, as well as any other regulations established by the organiser and the statutory legal requirements for public events organised in France. It shall also imply the acceptance of all further provisions that may be imposed in the circumstances and in respect of which the organiser reserves the right to give notice, including verbally, to exhibitors and in the interests of the event. All applications must be accompanied by prior payment. This shall include administration costs and exhibitor fees for the event subject to the organiser s terms and conditions. Administration costs remain payable to the organiser in any circumstances regardless of the decision taken regarding the application. Exhibitor fees shall be set by the organiser. This sum may be revised if the price of materials, labour, transport, services and the rates for tax and social welfare obligatory contributions increase significantly between the date of issue by the organiser of the conditions of admission and the date of opening of the event. Exhibitor fees shall be valid for one session only and shall not bind the organiser for subsequent sessions of the event. Except by prior agreement with the organiser, only one stand per exhibitor shall be accepted. The goods, products or services presented must conform to the nomenclature for items to be exhibited which has been prepared by the organiser. Applications for admission from businesses managed, for any reason whatsoever, by or with the assistance of a Court-appointed administrator shall be deemed void, regardless of their acceptance by the organiser, even after the allocation of a stand site. Admission to the event is validated by formal notification sent by the organiser. It shall be final and binding. CANCELLATION CLAUSE The organiser reserves the right to cancel or postpone the event in the event of force majeure or a cause outside its control, even where foreseeable, and may change the published timetable. If the event is cancelled by the organiser, sums paid by exhibitors shall be refunded after deduction of expenses incurred by the organiser for the preparation of the exhibition, and shall exclude any claim for damages. Postponement of the event or a change of time or place (within the Paris region) shall not be justification for a total or partial cancellation of the booking by an exhibitor. The balance of the booking fee for stands shall be due upon receipt of invoice and by 30 September 2013 at the latest. Non-payment of the full amount for the reservation after the due date shall result in loss of the right to use the stand and forfeit of the deposit. Any cancellation by an exhibitor must be by letter to the organiser before 13 September Such cancellation shall not give rise to any refund, the deposit remaining forfeit to the organiser. After this date, no cancellation shall be admissible and the remaining balance shall be payable on the due date, even If the location is not occupied by the exhibitor. RIGHTS AND OBLIGATIONS OF THE EXHIBITOR The exhibitor may only display the products or services listed in the application and accepted by the organiser as conforming to the nomenclature for the event. It may not advertise in any manner whatsoever on behalf of businesses not exhibiting. The products displayed and sold by the exhibitor within the exhibition space must be in compliance with French and European regulation for food hygiene, health and safety as defined by consumer law. The exhibitor shall indemnify and hold the organiser harmless of any claim or legal proceedings by a visitor or any infringement established by a judicial or administrative authority. The total exhibitor fees shall be due for payment after the official notification of admission. Invoices are due and payable to SALON DU CHOCOLAT in accordance with the terms set out in the MODE OF PAYMENT paragraph in the application form and the cancellation clause. Any breach of the event regulations shall result in cancellation of the booking. If the exhibitor does not take possession of its stand site before 2 p.m. on the day prior to the opening of the event, the organiser may freely provide the site to another exhibitor, even if the exhibitor fees have been paid in full, and without any obligation on the part of the organiser to make a refund. Additional services or expenses must be paid for upon receipt of the invoice sent by the organiser. Non-payment of the exhibitor fees by the due date shall result in loss of the right to use the stand site allocated. Any breach of these event regulations, further regulations established by the organiser, or the legal requirements and regulations applicable to the event, including hygiene, health and safety requirements, may lead, even without formal notice, to the application of penalties set out in Article 6. It is prohibited for exhibitors to assign, sublet, share or transfer all or part of their allocated stand site, unless the written agreement of the organiser has been obtained. Once an exhibitor has taken possession of its stand, it shall be deemed to have waived all claims against the organiser for any non-compliance with the terms of application. Exhibitors are required: Not to leave their stand site whilst visitors are still in the exhibition halls, to be present during periods of assembly and dismantling, and to comply with the opening and closing hours. An exhibitor s pass must be worn to enter the exhibition and to circulate. In the event of non-payment of sums due to the organiser before the start of the event, the organiser reserves the right to refuse the installation of a stand and to use the stand site as it wishes. RIGHTS AND OBLIGATIONS OF THE ORGANISER The organiser shall set the dates and venue of the event. In the event of force majeure or for any other cause outside the organiser s control, the dates and venue may be changed without such changes giving any right of compensation to an exhibitor. The organiser shall establish the layout of the event and allocate stand sites, taking into account the wishes of exhibitors as far as is possible, the nature of their products, and the location and layout of the stands they propose to install. It reserves the right to make such changes as it deems necessary to the size, site and layout of the areas requested by exhibitors. Participation in previous events shall not give an exhibitor any right to a specific stand site or size. The organiser shall, as far as is possible, provide an electricity supply for power and lighting under conditions appropriate to each event and on taking due account of the sites of the stands. It shall also monitor and guard the stands during the event s closing hours. Notwithstanding this night security, the organiser declines any liability for theft, loss or damage. The exhibitor undertakes to take out an insurance policy covering all risks for loss and damage that may occur during the event. The public liability of Event International shall not apply outside the periods provided to exhibitors for the assembly and dismantling of stands. The organiser shall be exempt from any liability for losses of any kind (including disturbance and any commercial loss) suffered by exhibitors, for any cause whatsoever, including delay in opening, premature closure of the event, closure or destruction of stands, fire or any other loss. Exhibitors undertake to have their insurers waive all recourse against the organiser and its insurers. This provision shall be re-transcribed in the insurance policies taken out by exhibitors. The organiser shall indicate dimensions as accurately as possible on the plans provided to exhibitors. However, it is for exhibitors to verify these prior to assembly. The organiser cannot be held liable for any minor differences between the specified dimensions and the actual dimensions of a stand site. If it becomes impossible to use the premises in the event of fire, war, public emergency, force majeure or any occurrence or decision outside the control of the organiser, making it impossible to carry out any preparations for the event, the organiser may at any time cancel the stand site requests received by giving written notice to exhibitors, who shall not be entitled to any compensation or indemnity, whatever the reason for the decision. Any sums remaining after payment of all costs incurred shall be distributed among the exhibitors in proportion to the amounts paid by them, but without right of recourse against the organiser for any cause whatsoever. The organiser reserves the right to prohibit or restrict sales that consist of immediate on-site delivery to exhibition visitors. 2 - OCCUPATION OF THE STAND SITE DELIVERIES The organiser shall not be responsible for any deliveries. Exhibitors must acknowledge receipt of deliveries of their materials and products from 28 October 2013 for empty stands and from 29 October 2013 for equipped stands in accordance with the timetable established by the organisation. Exhibitors shall be solely responsible for these deliveries which shall in no circumstance be undertaken by or under the responsibility of the organiser. DECOR AND FITTING The organiser shall be responsible for the general decor of the event. The decor of individual stands is to be undertaken by exhibitors and under their responsibility, taking into account the regulations established by the organiser and the terms and conditions of VIPARIS. It must be in all respects in accordance with the general decor, and be carefully and properly undertaken. Exhibitors must have completed their installations and placed their products on display by 4 p.m. on Tuesday 29 October 2013, the day prior to the opening of the event. Any individual decor that deviates from the general requirements under the regulations shall be permitted only by written consent of the organiser upon submission of dimensional drawings or a model, and within the time limits specified by the organiser. The terms and conditions for the use of the buildings that house the event must be strictly adhered to by exhibitors. The organiser reserves the right to remove or modify any installations detrimental to the general appearance of the event, which hinder neighbouring exhibitors or visitors, or do not conform to the plans or model previously submitted. Any illuminated or sound advertising and any attraction, show or promotional event must be submitted for the approval of the organiser who may however withdraw its approval in the event of disturbance to neighbouring exhibitors, to the circulation of visitors or to the holding of the event. All exhibitors shall attend to the dispatch, transportation and receipt of their packages and the checking of their contents. All packages must be unpacked on arrival. If exhibitors or their staff are not present to receive their packages, the organiser may have them stored, unpacked or returned at the risk and peril of exhibitors. Exhibitors must not obstruct or block the aisles or disturb neighbouring exhibitors. SAFETY REGULATIONS Exhibitors are required to be aware of and to comply with the safety measures imposed by the public authorities, VIPARIS and those set out in the exhibitor s guide. In particular, the fireproofing of installations is mandatory (instructions in the Journal Officiel dated 4 October 1959). The exhibitor must be present at their stand during the inspection by the Safety Committee.

4 MAINTENANCE OF STANDS Stands must be kept in impeccable order. Packaging and objects not used in the presentation of the stand and staff coats etc must kept out of public view. The stand must be manned by a competent person at all times during opening hours. Exhibitors must not clear their stands or remove any of their products before the end of the event, even in the event of it being extended. It is prohibited to leave exhibits covered during the event s opening hours. The covers used at night should not be visible to visitors but stored inside the stands and out of sight. The organiser reserves the right to remove anything covering the objects on display in contravention of the preceding article without liability in any manner for any loss or damage that may result. Each stand must be cleaned daily by the exhibitor and be completed for the opening of the event. Any person employed by an exhibitor during the event must be suitably dressed, courteous and properly behaved. He or she shall not bother visitors or other exhibitors in any manner. The exhibitor or its employees may not walk about or linger in the aisles. Promoting in a loud voice to attract customers and soliciting in any manner is strictly prohibited. Persons employed by exhibitors shall not address visitors in such a manner as to form a crowd in the aisles, or to cause a nuisance or danger to neighbouring exhibitors. No demonstrations or leafleting are permitted outside the stand occupied by the exhibitor. The organiser has the exclusive right to display posters and to make audio announcements within the event. The exhibitor may therefore use only its own posters and trade signs within its own stand, to the exclusion of all others and in compliance with the requirements concerning the general decor. Flyers, brochures, printed catalogues, offers or objects of any kind may only be distributed by exhibitors at their own stands. No printed matter relating to items that are not on display may be distributed without the written consent of the organiser. The exhibition being deemed to be a place of sale, the exhibitor agrees to comply strictly with the regulations on advertising and the mandatory labelling of products (in particular the provisions of Decree relating to cocoa and chocolate products). The exhibitor shall indemnify and hold the organiser harmless of all claims by visitors or administrative authorities in this regard. The distribution or sale of newspapers, periodicals, flyers, brochures, raffle tickets, badges, competition entry forms, etc., even if they relate to a charitable cause, or the conducting of surveys, is prohibited unless approved by the organiser. PHOTOGRAPHS Photographers will be admitted subject to the written consent of the organiser to operate within the confines of the event. A proof of each photograph must be submitted to the organiser within fifteen days of the close of the event. This consent may be withdrawn at any time. The taking of photographs by visitors may be prohibited by the organiser. Photography of some objects on display on the stands may be prohibited at the request of exhibitors. Intellectual Property Rights: Each exhibitor grants to the organiser, free of charge for the purposes of the event, worldwide rights of representation and reproduction of images, personal likenesses, trademarks and designs present on its stand, its sign, trademark, staff, products or services («rights granted»). The organiser is therefore entitled to reproduce or represent the rights granted solely for the purpose of the event and its promotion and advertising (especially for the exhibition catalogue) and in all media for the duration of the event and for five future sessions of the event. This right may be granted to the organiser s providers and partners and to other exhibitors, but exclusively in connection with the event. Accordingly each exhibitor expressly waives all recourse against the organiser, its suppliers and partners and the other exhibitors, relating to the dissemination for the purposes of the event in France and abroad, by television, video, or other media (books, brochures, Internet, etc.) of its image, stand, brand, trademark, staff, products or services, and indemnifies the organiser in respect of any recourse by its own employees, contractors and subcontractors, undertaking in advance to make this obligation binding upon them. DISMANTLING Exhibitors must remove all stands, goods, articles, decorations and special facilities within the periods stipulated by the organiser. Unless otherwise provided, exhibitors shall have a period of one night to remove goods and materials belonging to them, including the decoration of the stand. After these deadlines, the organiser may place goods and materials of any kind found on the stand site in a storage facility of its choice at the expense, risk and peril of the exhibitor and without any liability for disappearances, or total or partial damage. DAMAGE AND BREAKAGE Exhibitors must leave the stands, decorations and equipment made available to them in the state in which they were found. Any damage caused by their installations or goods, either to the equipment, the building or the ground occupied, will be examined by the organiser s architects and charged to exhibitors. 3 - CATALOGUE The organiser has the right to write, publish and distribute the exhibition catalogue, whether free of charge or not. It may assign all or part of this right as well as the advertising included in the catalogue. The information necessary for the preparation of the catalogue shall be provided by exhibitors under their own responsibility. The organiser shall under no circumstances be responsible for omissions, errors of reproduction, composition or any other error that may occur. It may omit or change any descriptions that do not comply with the general provisions or that are detrimental to other exhibitors or to the event. 4 - OFFICIAL FORMALITIES INSURANCE In addition to insurance cover for exhibits and all movable or other items belonging to it, the exhibitor is required to take out insurance at its own expense covering the risks to third parties that may be incurred by itself, its products or its staff. The organiser shall be deemed to be released from any liability in this respect, including any event of loss, theft or damage. For its own protection, the organiser may require exhibitors to take out insurance with a specified insurer. It must specify the premiums and the contractual terms and conditions. The premiums must be paid at the time of signing for the stand. Any exhibitor wishing to take out their own insurance cover must produce a certificate of non-recourse issued by its insurer. BEVERAGE SALES The organiser shall be responsible for requesting the necessary authorisation for the exhibition and sale of products to take away (excluding drinks) in accordance with Article R762-4 of the French Commercial Code. However, if you intend to offer the tasting or sale of drinks (alcoholic or otherwise) on your stand, you must inform us so that we can ensure that you comply with the requirements of the Code of Public Health, the customs service and/or police headquarters for obtaining the appropriate licence. We remind you that you must obtain a permit in order to comply with customs regulations. Any foreign exhibitor offering beverages for sale must contact the customs office. INTELLECTUAL PROPERTY It shall be the responsibility of the exhibitor to protect the intellectual and/ or industrial property rights relating to the equipment or products they exhibit, in accordance with French, European or international law and/or the regulations in force. The exhibitor shall obtain direct from the appropriate management companies or their assignees all necessary authorisations to use, represent or reproduce any material protected by intellectual and/or industrial property rights that it might use during its presence at the event. Exhibitors must obtain all necessary authorisations and pay all related fees. It must provide proof that it has done so if so requested by the organiser. The use of the name «Salon du Chocolat» and any associated logo is subject to the express prior consent of the organiser. It is prohibited for exhibitors to draw, copy, measure, photograph or reproduce, by any means, any products and/or materials exhibited. The organiser makes no undertaking to exhibitors and it shall be the responsibility of each exhibitor to enforce this prohibition. The exhibitor shall indemnify and keep the organiser harmless from any consequence of the dissemination by the exhibitor of any item, information or support having the appearance of an official product of or information concerning the event. The exhibitor must not carry out any advertising or any action likely to mislead visitors or constitute unfair competition or the infringement of intellectual property rights, or rights of image or personal likeness belonging to a third party. alcohol Exhibitors presenting alcoholic beverages must have in their possession the necessary administrative and customs documents relating to the movement of alcohol. SOCIETY OF MUSIC AUTHORS IIn the absence of an agreement between the Société des Auteurs et Compositeurs de Musique (SACEM) and the organiser, and of which, if in existence, exhibitors would have been expressly notified, they must deal directly with SACEM if they use music within the event, including for simple demonstrations of sound equipment. The organiser declines any liability with regard to SACEM in this regard. 5 - VISITORS No person shall be admitted into the event without presenting an admission ticket issued by the organiser. The organiser reserves the right to refuse entry to any person without giving its reasons. It further reserves the right to expel any person whose conduct it deems to warrant such action. Visitors are required to comply with the safety, public order and police regulations as decided by the authorities. 6 - APPLICATION OF THE REGULATIONS By signing their applications, exhibitors are deemed to accept the provisions of the regulations of the show and any new ad hoc provisions which may be imposed and adopted by the organisers in the interests of the show and the organisers reserve the right to notify the exhibitors by word of mouth. Any breach of the provisions of these regulations and of any supplementary regulations issued by the organisers may result in the immediate exclusion of the offending exhibitor at the organisers discretion. Such will be the case, in particular, for the lack of insurance, non-compliance of the layout, failure to observe the safety regulations, nonattendance at the stand and the display of products which do not conform to those listed in the application for admission. In any such event, the exhibitors shall indemnify the organisers by way of compensation for the non-pecuniary and substantive damages suffered by the show. Such indemnity, which shall amount to at least the entrance fee, shall be retained by the organisers without prejudice to the additional damages which they may claim. In this connection, the organisers shall have a right of retention over the goods on display and over the movable or decorative objects belonging to the exhibitor. In the event of a dispute, the Courts in Paris shall have exclusive jurisdiction and the French language version of these regulations shall prevail. It is expressly agreed that, unless Event International consents to a deferment requested in time, any failure to pay for the supplies by the due date shall result in: 1. The immediate payment of any sums remaining outstanding. 2. The payment, by way of damages and penalty, of an indemnity of 20% of the sums outstanding, subject to a minimum of 155, in addition to statutory interest and any court fees. INTERPRETATION OF THE REGULATIONS AND AMENDMENTS The organiser shall be solely responsible for the interpretation of these regulations and their application. All costs resulting from non-compliance with these regulations shall be borne by the exhibitor. The organiser reserves the right to modify or to supplement these regulations. GENERAL TERMS AND CONDITIONS CLAUSE 1 Any exhibitor, by the mere fact of its participation, abandons all claims against the organisers, service providers and other exhibitors for loss or damage in respect of which each of them they would be deemed to be directly liable. Recourse shall be exercised only against the direct perpetrator of the loss. The organiser s liability may not be invoked for loss or damage caused by an exhibitor, a provider involved in the event or any third party to other exhibitors. CLAUSE 2 No claim may be made against Event International concerning the site of a stand, its size or surface area, after the exhibitor has taken possession of its stand site. The height of stands is limited to 2.50 m, and only empty stands may be made the subject of an exception, upon acceptance of plans, which must be provided to the organiser. CLAUSE 3 Any unpaid invoice shall be increased without formal notice by a fixed compensatory penalty of 20% of the invoiced amount, with a minimum of 155 in addition to statutory interest and any legal costs. In the event of non-payment for the stand prior to the opening of the exhibition, the organiser reserves the right to refuse to release the stand to the exhibitor. CLAUSE 4 In addition to public liability insurance, Event International shall take out on behalf of each exhibitor an «exhibition multi-risk» policy of 6,100 ex-tax per stand. Professional and audiovisual equipment will not be covered unless additional cover is obtained at the expense of the exhibitor. An excess in the event of theft shall be applied depending on the terms and conditions of the insurance policy and by default shall not be less than 153 ex-tax. The policy taken out by the organiser shall cover only limited loss and damage and shall not in any way exempt each exhibitor from taking out its own insurance to cover all loss and damage that it deems necessary, the organiser being unable to provide equivalent cover.

5 SALON DU CHOCOLAT RÈGLEMENT GÉNÉRAL DU 30 OCTOBRE AU 3 novembre INSCRIPTION DISPOSITIONS GÉNÉRALES L organisateur est la société EVENT INTERNATIONAL, SA au capital de , RCS B dont le siège social est 59 rue de la Tour Paris. La manifestation est le SALON DU CHOCOLAT de Paris Le présent règlement s applique uniquement au SALON DU CHOCOLAT de Paris Il est opposable à tout exposant ayant rempli une demande d admission. L envoi de la demande d admission ne constitue pas une offre de participation. L organisateur reçoit les demandes et statue sur les admissions sans être tenu de motiver sa décision. Section 1 Halls 5.2/5.3 consacrés au chocolat exclusivement Il est spécifié que les exposants devront justifier de leur qualité de chocolatier et que seul l organisateur pourra statuer sur la recevabilité des demandes d admission. Il sera exigé que 80% minimum des produits exposés pour chaque exposant soient des chocolats. Section 2 Hall 5.1 consacré à la confiserie et à la pâtisserie Les produits présentés par les exposants devront impérativement être des produits alliés du chocolat. Le rejet d une demande d admission par l organisateur ne donne lieu à aucune indemnité à titre de dommages et intérêts. Seront seules remboursées, les sommes versées au titre du montant de la participation à l exclusion des frais d ouverture de dossier qui restent acquis à Les décisions d admission des années précédentes ne constituent pas un droit de participation. Une demande d admission, signée par une personne réputée avoir qualité pour engager l entreprise exposante, doit être établie sur les bulletins officiels mis par l organisateur à la disposition des entreprises désireuses d exposer. Si la manifestation comporte différentes sections spécialisées dans lesquelles une même firme désire exposer, il doit être établi une demande d admission pour chacune des sections intéressant l entreprise. La réception de la demande par l organisateur implique que l entreprise désireuse d exposer a eu connaissance du présent règlement et l accepte sans réserve, ainsi que ceux établis à titre complémentaire par l organisateur et les prescriptions de droit public applicables aux manifestations organisées en France. Elle implique également l acceptation de toutes dispositions nouvelles qui peuvent être imposées par les circonstances et que l organisateur se réserve le droit de signifier, même verbalement aux exposants et ce dans l intérêt de la manifestation. La ou les demandes d admission doivent être accompagnées d un premier paiement. Celui-ci comporte, d une part les frais d ouverture du dossier, d autre part le montant des frais de participation dans les conditions fixées par Les frais d ouverture du dossier restent en tout état de cause acquis à l organisateur et ce, quelle que soit la suite donnée par la demande d admission. Le montant de la participation est fixé par Ce montant pourra être révisé si le cours des matériaux, de la main d oeuvre, des transports et des services ainsi que le coût des obligations fiscales et sociales subissaient une augmentation sensible entre la date d établissement par l organisateur des conditions d admission et la date d ouverture de la manifestation. Le montant de la participation n est valable que pour une session et ne lie pas l organisateur pour les session ultérieures de la manifestation. Sauf accord préalable auprès de l organisateur, il ne pourra être accepté qu un seul stand par exposant. Les marchandises, produits ou services présentés doivent entrer dans la nomenclature des éléments admis à être exposés qui a été établie par Seront considérées comme nulles, malgré leur acceptation par l organisateur, même après les opérations d attribution des emplacements, les demandes d admission émanant d entreprises dont les affaires seraient gérées pour quelque cause que ce soit, par un mandataire de justice ou avec son assistance. L admission est sanctionnée par une notification officielle transmise par Elle devient alors, pour le demandeur, définitive et irrévocable. CLAUSE D ANNULATION L organisateur se réserve le droit d annuler ou de reporter la manifestation en cas de force majeure ou de simple cause extérieure à sa volonté même prévisible, ainsi que la possibilité de modifier les horaires indiqués. En cas d annulation de la manifestation par l organisateur, les sommes versées par les exposants seront remboursées après déduction des frais engagés par l organisateur pour la préparation de l exposition, et à l exclusion de tous dommages et intérêts. Le report de la manifestation ou le changement d horaires ou de lieu (en Région Parisienne) ne justifient pas une annulation totale ou partielle de réservation de la part des exposants. Le solde du montant de la réservation des stands est dû à réception de facture et au plus tard le 30 septembre Le non règlement à l échéance prévue de la totalité du montant de la réservation entraîne l annulation du droit à disposer du stand, sans remboursement de l acompte versé. Toute annulation de réservation de la part d un exposant devra faire l objet d une lettre adressée à l organisateur avant le 13 septembre Cette annulation ne pourra donner lieu à aucun remboursement, l acompte versé restant acquis à Au-delà de cette date, aucune annulation ne sera recevable et le solde sera exigible à l échéance prévue, même en cas de non occupation des surfaces. OBLIGATIONS ET DROITS DE L EXPOSANT L exposant ne peut présenter sur son emplacement que les produits, ou services énumérés dans sa demande d admission et acceptés par l organisateur comme répondant à la nomenclature de la manifestation. Il ne peut faire de publicité sous quelque forme que ce soit pour des firmes non exposantes. Les produits exposés et vendus par l exposant dans l enceinte de la manifestation doivent être en conformité avec les règles françaises et européennes relatives à l hygiène, la sécurité et la santé au sens du droit de la consommation. L exposant tiendra indemne et dédommagera l organisateur de toute réclamation ou poursuite judiciaire de visiteurs ou infractions constatées par une autorité administrative ou judiciaire à ce titre. Le montant global de la participation est dû après la notification officielle de l admission. Les factures sont payables et les règlements libellés au SALON DU CHO- COLAT en fonction des modalités définies dans le dossier d inscription paragraphe MODALITE DE REGLEMENT et de la clause d annulation. Tout manquement au règlement de la manifestation entraînera l annulation de la réservation. Si l exposant n a pas occupé son emplacement le jour de la soirée d inauguration avant 14 heures, l organisateur peut en disposer librement en faveur d un autre exposant, même si les frais de participation ont été entièrement acquittés et sans obligation de remboursement à la charge de Le paiement des prestations ou frais supplémentaires doit être effectué dès réception de la facture adressée par Le non règlement aux échéances fixées du montant de la participation entraîne l annulation du droit à disposer de l emplacement attribué. Toute défaillance au présent règlement de la manifestation, aux règlements complémentaires établis par l organisateur, ainsi qu aux prescriptions légales et règlementaires applicables à la manifestation, et notamment des prescriptions de sécurité, santé et hygiène peut entraîner, même sans mise en demeure, les sanctions prévues à l article 6. Il est interdit aux exposants de céder, de sous-louer, de partager ou transférer tout ou partie de l emplacement attribué, à moins d un accord écrit de Dès que l exposant a pris possession de son stand, il est considéré comme avoir renoncé à tout recours à l encontre de l organisateur pour une quelconque non conformité à la demande d admission. Il est exigé des exposants : de ne pas quitter les espaces tant que des visiteurs sont encore dans les pavillons, d être présent pendant les périodes de montage et de démontage, de respecter les heures d ouverture et de fermeture. Le port du badge est obligatoire pour entrer dans l enceinte du Salon et pour y circuler. A défaut de règlement des sommes dues à l organisateur avant le début de la manifestation, l organisateur se réserve le droit de refuser l installation du stand et de disposer du stand comme il l entend. OBLIGATIONS ET DROITS DES ORGANISATEURS L organisateur fixe les dates et le lieu de la manifestation. En cas de force majeure ou pour toute raison extérieure à la volonté de l organisateur, les dates et le lieu peuvent être modifiés sans qu une telle modification ne créé un quelconque droit à indemnisation au profit de l exposant. L organisateur établit le plan de la manifestation et effectue la répartition des emplacements en tenant compte aussi largement que possible des désirs exprimés par les exposants, de la nature de leurs produits, de la situation et de la disposition du stand qu il se propose d installer. Il se réserve le droit de modifier s il le juge utile, l importance, la situation et la disposition des surfaces demandées par l exposant. La participation à des manifestations antérieures ne crée, en faveur de l exposant, aucun droit à un emplacement ou à une surface déterminé(e). L organisateur assurera, dans la mesure du possible, les fournitures d énergie et d électricité dans les conditions propres à chaque manifestation compte tenu de l emplacement des stands. Il assurera également la surveillance et le gardiennage des stands pendant les heures de fermeture de la manifestation. En dépit du gardiennage de nuit, l organisateur décline toute responsabilité quant aux vols, pertes et dommages éventuels. Les exposants s engagent à souscrire une police les couvrant de tout risque et dommage pouvant survenir lors de la manifestation. La responsabilité civile d Event International ne sera pas engagée au-delà des délais impartis aux exposants pour le montage et le démontage des installations de stands. L organisateur est exonéré de toute responsabilité concernant les préjudices généralement quelconques (y compris les troubles de jouissance et tous préjudices commerciaux) qui pourraient être subis par les exposants pour quelque cause que ce soit et notamment pour retard dans l ouverture, arrêt prématuré de la manifestation, fermeture ou destruction de stands, incendie et sinistre quelconque, etc. Les exposants s engagent à faire renoncer leur compagnie d assurance à tous recours contre l organisateur et ses assureurs. Cette disposition devant être retranscrite dans la/les polices) souscrite(s) par les exposants. L organisateur indique sur le plan communiqué aux exposants des cotes aussi précises que possible. Il appartient toutefois aux exposants de s assurer de leur conformité avant leur aménagement. L organisateur ne peut être tenu responsable des différences légères qui pourraient être constatées entre les cotes indiquées et les dimensions réelles de l emplacement. S il devenait impossible de disposer des locaux nécessaires, dans le cas également où le feu, la guerre, une calamité publique, un cas de force majeure ou tout évènement ou décision extérieure à la volonté de l organisateur rendrait impossible l exécution de tout ce qui doit être fait pour la manifestation, l organisateur pourra annuler, à n importe quel moment, les demandes d emplacement enregistrées en avisant par écrit les exposants qui n auraient droit à aucune compensation, ni indemnité, quelle que soit la raison d une telle détermination. Les sommes restant disponibles après paiement de toutes dépenses engagées, seront réparties entre les exposants au prorata des sommes versées par eux, sans qu ils puissent, de convention expresse, exercer un recours, à quelque titre et pour quelque cause que ce soit contre L organisateur se réserve le droit d interdire ou de limiter les ventes comportant livraison immédiate et sur place aux visiteurs. 2 - OCCUPATION DE L EMPLACEMENT LIVRAISONS Aucune livraison ne sera prise en charge par Les exposants devront obligatoirement accuser réception de la livraison de leurs matériels et produits à partir du 28 octobre 2013 pour les stands nus et du 29 octobre 2013 pour les stands équipés selon le planning établi par l organisation. Les exposants sont entièrement responsables de ces livraisons qui, en aucun cas, ne seront à la charge ou sous la responsabilité de DÉCORATION AMÉNAGEMENT La décoration générale de la manifestation incombe à La décoration particulière des stands est effectuée par les exposants et sous leur responsabilité, en tenant compte du règlement établi par l organisateur et en respectant le cahier des charges de VIPARIS. Elle doit en tout état de cause s accorder avec la décoration générale, et être particulièrement soignée. Les exposants devront avoir terminé leurs installations et la mise en place des produits exposés, la veille de l ouverture de la manifestation, le mardi 29 octobre 2013 à 16 heures. Toute décoration particulière qui s écarterait des dispositions générales prévues par le règlement ne pourra être admise que sur autorisation écrite accordée par l organisateur sur présentation des plans cotés ou de la maquette et ce dans les délais fixés par Le cahier des charges propre aux bâtiments qui abritent la manifestation devra être strictement respecté par les exposants. L organisateur se réserve le droit de faire supprimer ou modifier les installations qui nuiraient à l aspect général de la manifestation, gêneraient les exposants voisins ou les visiteurs, ou ne seraient pas conformes au plan ou à la maquette préalablement soumis. Toute publicité lumineuse ou sonore, ainsi que toute attraction, spectacle ou animation, doivent être soumis à l agrément de l organisateur qui pourra d ailleurs revenir sur l autorisation accordée, en cas de gêne apportée aux exposants voisins, à la circulation ou à la tenue de la manifestation. Chaque exposant pourvoira à l expédition, au transport, à la réception de ses colis, ainsi qu à la reconnaissance de leur contenu. Tous les colis doivent être déballés à l arrivée. Si les exposants ou leurs agents ne sont pas présents pour recevoir leurs colis, l organisateur pourra les faire entreposer, déballer ou réexpédier d office aux frais, risques et périls des exposants. Les exposants ne doivent pas obstruer les allées ni empiéter sur elles et en aucun cas gêner leurs voisins. RÈGLEMENT DE SÉCURITÉ Les exposants sont tenus de connaître et de respecter les mesures de sécurité imposées par les pouvoirs publics, VIPARIS et celles indiquées dans le guide de l exposant. Il est rappelé en particulier que l ignifugation des installations est obligatoire (instructions du J.O. du 4 octobre 1959). L exposant devra être présent sur son stand lors de la visite de la Commission de Sécurité.

6 TENUE DES STANDS La tenue des stands doit être impeccable. Les emballages en vrac, les objets ne servant pas à la présentation du stand, le vestiaire du personnel doivent être mis à l abri des regards des visiteurs. Le stand devra être occupé en permanence pendant les heures d ouverture par une personne compétente. Les exposants ne dégarniront pas leur stand et ne retireront aucun de leurs articles avant la fin de la manifestation, même en cas de prolongation de celle-ci. Il est interdit de laisser les objets exposés recouverts pendant les heures d ouverture de la manifestation. Les housses utilisées pour la nuit ne doivent pas être vues des visiteurs mais rangées à l intérieur des stands à l abri des regards. L organisateur se réserve le droit de retirer ce qui recouvrirait les objets en infraction à l article précédent sans pouvoir être rendu en aucune façon responsable des dommages ou pertes qui pourraient en résulter. Le nettoyage de chaque stand doit être fait chaque jour par les soins de l exposant et être achevé pour l ouverture de la manifestation. Toute personne employée à la manifestation par les exposants devra être correctement vêtue, toujours courtoise et d une parfaite tenue. Elle n interpellera ni ennuiera en aucune façon les visiteurs ou les autres exposants. L exposant ou son préposé ne pourra se promener ou rester dans une allée. La réclame à haute voix, pour attirer le client et le racolage, de quelque façon qu ils soient pratiqués sont formellement interdits. Les personnes employées par les exposants ne devront pas s adresser aux visiteurs de manière à former un attroupement dans les allées, ce qui serait une gêne ou un danger pour les exposants voisins. Toute démonstration et distribution de prospectus sont interdites en dehors du stand occupé par l exposant. L organisateur se réserve le droit exclusif de l affichage et des annonces sonores à l intérieur de la manifestation. L exposant ne peut donc utiliser et seulement à l intérieur de son stand, que les affiches et enseignes de sa propre firme, à l exclusion de toutes autres et dans les limites des prescriptions concernant la décoration générale. Les circulaires, brochures, catalogues imprimés, primes ou objets de toute nature ne pourront être distribués par les exposants que sur leur stand. Aucun prospectus relatif à des articles non exposés ne pourra être distribué sans l autorisation écrite de Le Salon étant réputé être un lieu habituellement destiné à la vente, l exposant s engage à respecter strictement la réglementation sur la publicité, l étiquetage obligatoires des produits (en particulier les dispositions du décret relatifs aux produits de cacao et chocolats). L exposant tiendra indemne l organisateur de toute réclamation de visiteurs ou d autorités administratives à ce titre. La distribution ou la vente de journaux, périodiques, prospectus, brochures, billets de tombola, insignes, bons de participation, etc., même si elle a trait à une oeuvre ou manifestation de bienfaisance, les enquêtes dites de sondage, sont interdites sauf dérogation accordée par PHOTOGRAPHIES Les photographes pourront être admis sur autorisation écrite de l organisateur, à opérer dans l enceinte de la manifestation. Une épreuve de toutes les photographies prises devra être remise à l organisateur dans les quinze jours suivant la fermeture de la manifestation. Cette autorisation pourra être retirée à tout moment. La prise de photographies par les visiteurs pourra être interdite par La photographie de certains objets dans les stands peut être interdite à la demande et à la diligence des exposants. Droits de propriété intellectuelle : Chaque exposant concède à l organisateur à titre gracieux pour les besoins de la manifestation les droits de représentation et reproduction des droits d auteur, à l image, à la personne, aux marques, dessins et modèles portant sur leur stand, leur enseigne, leur marque, leur personnel, leurs produits ou services («les droits concédés») pour le monde entier. L organisateur est en conséquence en droit de reproduire ou représenter les droits concédés mais uniquement pour les besoins de la manifestation, de sa promotion et sa publicité (en particulier pour le catalogue de la manifestation) et sur tous supports et pour la durée de la manifestation et des cinq sessions futures de la manifestation. Ce droit peut être concédé aux prestataires et partenaires de l organisateur et aux autres exposants mais toujours en relation avec la manifestation. En conséquence chaque exposant renonce expressément à tout recours, tant contre l organisateur, ses prestataires et partenaires que contre les autres exposants, à raison de la diffusion, pour les besoins de la manifestation, en France et à l étranger, par voie de télévision, vidéo, ou tous autres supports (livre, plaquettes, internet ) de leur image, de celle de leur stand, de leur enseigne, de leur marque, de leur personnel, de leurs produits ou services et ils garantissent l organisateur de tout recours de leurs préposés, sous-traitants et cocontractants, s engageant par avance à leur imposer la présente obligation. DÉMÉNAGEMENT L évacuation des emplacements, marchandises, articles, décorations et installations particulières devra être faite par les soins des exposants dans les délais fixés par Sauf instructions contraires, les exposants disposent d un délai d une nuit pour enlever le matériel qui leur appartient, y compris la décoration du stand. Passé ces délais, l organisateur pourra faire transporter les éléments de toute nature se trouvant sur l emplacement, dans un garde-meuble de son choix aux frais, risques et périls de l exposant et sans pouvoir être rendu responsable des disparitions, dégradations totales ou partielles. DÉGÂTS ET DOMMAGES Les exposants devront laisser les emplacements, décors, matériels mis à leur disposition dans l état où ils les auront trouvés. Toutes détériorations causées par leurs installations ou leurs marchandises, soit au matériel, soit au bâtiment, soit enfin au sol occupé, seront évaluées par les architectes de l organisateur et mises à la charge des exposants. 3 - CATALOGUE L organisateur dispose du droit de rédaction, de publication et de diffusion payant ou non, du catalogue de la manifestation. Il pourra concéder tout ou partie de ce droit ainsi que la publicité incluse dans le catalogue. Les renseignements nécessaires à la rédaction du catalogue seront fournis par les exposants sous leur responsabilité. L organisateur ne sera, en aucun cas, responsable des omissions, des erreurs de reproduction, de composition ou autre qui pourront se produire. Il pourra refuser l insertion ou modifier le libellé des inscriptions non conformes aux dispositions générales ou de nature à nuire aux autres exposants ou à la manifestation. 4 - FORMALITÉS OFFICIELLES ASSURANCES Outre l assurance couvrant les objets exposés et plus généralement tous les éléments mobiles ou autres lui appartenant, l exposant est tenu de souscrire, à ses propres frais, toutes assurances couvrant les risques que lui-même, ses produits ou son personnel encourent ou font courir à des tiers. L organisateur est réputé dégagé de toutes responsabilités à cet égard et notamment en cas de perte, vol ou dommages quelconques. A leur sauvegarde, l organisateur peut imposer aux exposants, que ces assurances soient exclusivement contractées auprès d un assureur désigné par lui. Il devra indiquer les taux et clauses de contrats. Les montants devront être versés au moment de la souscription du stand. Tout exposant désirant s assurer lui-même devra produire une attestation de non recours délivrée par sa compagnie d assurances. VENTES DE BOISSONS L organisateur se charge de demander les autorisations nécessaires à l exposition et la vente de produits à emporter (sauf boissons) conformément aux dispositions de l article R762-4 du code de commerce En revanche, si vous envisagez d offrir à la dégustation ou de vendre des boissons (alcoolisées ou non) sur votre stand, vous devez impérativement nous en informer afin que nous vous mettions en conformité avec le code de la santé publique, le service des douanes et/ou de la préfecture de police pour obtention de la licence correspondante. Pour rappel, vous devez impérativement vous munir d un titre de mouvement afin d être en règle avec les services de douanes. Tout exposant étranger proposant à la vente des boissons doit impérativement se rapprocher du bureau des douanes afin de se mettre en règle avec ces services. PROPRIÉTÉ INTELLECTUELLE Il appartient à l exposant d assurer la protection intellectuelle et/ou industrielle des matériels ou produits qu il expose et ce, conformément aux dispositions légales et/ou réglementaires en vigueur françaises et/ou européennes et/ou internationales. Les exposants obtiendront directement des sociétés de gestion collective de droits d auteurs et/ou des auteurs et/ou de leurs ayants droit l ensemble des autorisations nécessaires pour toute utilisation, représentation, reproduction, usage de tout élément protégé par un droit de propriété intellectuelle et/ou industrielle qu ils pourraient utiliser à l occasion de leur présence à la manifestation. Les exposants devront obtenir toutes les autorisations nécessaires et payer tous les droits y afférents. Ils devront en justifier à sa première demande à D une manière générale, l utilisation du nom «Salon du Chocolat» et de tout logo associé est soumise à l accord préalable et exprès de Il est interdit aux exposants de dessiner, copier, mesurer, photographier ou reproduire par tout procédé les produits et/ou matériels exposés. L organisateur ne prend aucun engagement vis-à-vis des exposants et il appartient à chaque exposant de faire respecter cette interdiction. L exposant gardera l organisateur indemne de toute conséquence de la diffusion par l exposant de tout article, information ou support pouvant avoir l apparence d un produit ou information officiel de la manifestation. Les exposants ne doivent procéder à aucune publicité ou action quelconque susceptible d induire en erreur les visiteurs ou de constituer une concurrence déloyale ou une violation de droits de propriété intellectuelle, à l image ou la personne appartenant à des tiers. alcools Les exposants présentant des boissons alcoolisées doivent avoir en leur possession les documents douaniers et administratifs nécessaires afférents à la circulation des alcools. SOCIÉTÉ DES AUTEURS En l absence d un accord entre la Société des Auteurs et Compositeurs de Musique (S.A.C.E.M.) et l organisateur, accord dont seraient expressément informés les exposants s il existe, ceux-ci doivent traiter directement avec la S.A.C.E.M. s ils font usage de la musique à l intérieur de la manifestation, même pour de simples démonstrations de matériel sonore. L organisateur décline à cet égard toute responsabilité en regard de la S.A.C.E.M. 5 - VISITEURS Nul ne peut être admis dans l enceinte de la manifestation sans présenter un titre émis ou admis par Celui-ci se réserve le droit de refuser l entrée de la manifestation à qui que ce soit sans en donner la raison. Il se réserve également le droit de faire expulser toute personne dont le comportement justifierait à ses yeux une telle mesure. Les visiteurs sont tenus de respecter les règlements de sécurité, d ordre et de police décidés par les Autorités. 6 - APPLICATION DU RÈGLEMENT Les exposants en signant leur demande acceptent les prescriptions des règlements de la manifestation et toutes dispositions nouvelles qui pourront être imposées par les circonstances et adoptées dans l intérêt de la manifestation par l organisateur qui se réserve le droit de leur signaler même verbalement. Toute infraction aux dispositions du présent règlement et du règlement complémentaire édicté par l organisateur, peut entraîner l exclusion de l exposant contrevenant et ce, à la seule volonté de l organisateur même sans mise en demeure. Il en est ainsi en particulier pour le défaut d assurance, la non conformité de l agencement, le non respect des règles de sécurité, d hygiène et santé, la non occupation du stand, la présentation de produits non conformes à ceux énumérés dans la demande d admission. Une indemnité est alors due à l organisateur à titre de réparation des dommages moraux ou matériels subis par la manifestation. Cette indemnité, au moins égale au montant de la participation, reste acquise à l organisateur sans préjudice des dommages et intérêts supplémentaires qui pourraient être demandés. L organisateur dispose à cet égard d un droit de rétention sur les articles exposés et les éléments mobiliers ou décoratifs appartenant à l exposant. En cas de contestation, les Tribunaux de Paris sont seuls compétents, le texte en langue française du présent règlement faisant foi et le droit français étant le seul applicable. De convention expresse et sauf report sollicité à temps et accordé par Event International, le défaut de paiement des services délivrés par l organisateur à échéance fixée entraînera : 1-L exigibilité immédiate de toutes les sommes restant dues. 2-L exigibilité, à titre de dommages et intérêts et de clause pénale d une indemnité égale à 20 % des sommes dues avec un minimum de 155 outre les intérêts légaux et les frais judiciaires éventuels. INTERPRÉTATION DU RÈGLEMENT ET AMENDEMENTS L organisateur est seul compétent pour l interprétation de ce règlement et de son application. Tous frais résultant du non-respect du présent règlement seront à la charge de l exposant. L organisateur se réserve le droit de modifier ou de compléter le présent règlement. CONDITIONS GÉNÉRALES CLAUSE 1 Tout exposant par le seul fait de sa participation abandonne également tout recours contre l organisateur, ses prestataires et autres exposants pour des dommages dont ceux-ci ne seraient pas chacun pour chaque dommage considéré l unique responsable direct. Le recours devra s exercer uniquement contre l auteur direct du sinistre. L organisateur ne saurait engager sa responsabilité pour des dommages causés par un exposant, un prestataire intervenant sur la manifestation ou un autre tiers à d autres exposants. CLAUSE 2 Aucune réclamation ne pourra être formulée à l encontre d Event International, concernant l emplacement d un stand, sa surface, sa taille, dès que l exposant aura pris possession de son espace. La hauteur des stands étant limitée à 2,50 m, seuls les stands nus pourront faire l objet d une dérogation après acceptation des plans qui devront être obligatoirement fournis à CLAUSE 3 Toute facture impayée sera en outre, majorée sans mise en demeure d une indemnité pénale forfaitaire de 20 % du montant de la facture, avec un minimum de 155 outre les intérêts légaux et les frais judiciaires éventuels. En cas de non règlement du stand, préalablement à l ouverture de l exposition, l organisateur se réserve le droit de refuser de délivrer le stand à l exposant. CLAUSE 4 Outre une assurance de responsabilité civile, la société Event International souscrit pour le compte de chaque exposant une assurance Multirisques exposition de H.T. par stand. Les matériels professionnels et audiovisuels ne sont pas couverts, sauf souscription d un contrat complémentaire à la charge de l exposant. Une franchise en cas de sinistre vol sera appliquée en fonction des conditions de la police d assurance et à défaut d un montant non inférieur à 153 HT. Les assurances souscrites par l organisateur couvrent les dommages que de manière limitée et ne dispensent d aucune manière chaque exposant de souscrire sa propre assurance afin de couvrir la totalité de ses dommages s il l estime nécessaire, l organisateur ne pouvant s y substituer.
