1 Hockey Canada Sponsor Premium Product Overview Hockey Canada Trademarks Hockey Canada trademarks have significant value to Hockey Canada, and in order to properly assert Hockey Canada s proprietary interests to these marks, Hockey Canada reserves the right to have the sole discretion over the way in which these trademarks are used in conjunction with any type of consumer product, marketing or advertising material. The Hockey Canada brand is comprised of a number of ordinary trademarks and official marks, as recognized by the Canadian Intellectual Property Office (CIPO) and as such, are afforded the full protection of the legislation relating to intellectual property in Canada and internationally. Hockey Canada s brand includes a number of logos, icons, event marks and word-marks. Access to Hockey Canada s brand is limited to those companies who have entered into a formal arrangement with Hockey Canada. The brand may be used within either retail merchandising programs or corporate promotional strategies. In exchange for the privilege to utilize the brand, Hockey Canada is able to generate revenues, through royalties and fees. These revenues are used to support the on-going programs and activities of Hockey Canada for the enhancement of hockey in Canada for all Canadians. Hockey Canada Licensing Program A formal licensing program is operated by Hockey Canada which permits the use of the brand to be placed on consumer products destined for the retail trade. This group of licensing partners forms a diverse consortium of manufacturers who produce and distribute officially licensed products bearing one or more of the logos and/or wordmarks which form the Hockey Canada brand. Any and all products bearing these marks are to be sourced from the licensing consortium. Non-licensed suppliers are not permitted to use the trademarks in any form whatsoever. All licensed products are subject to a rigorous Quality Control (QC) process to ensure the appropriate application of the marks and no derogatory text, graphics or other unacceptable forms of communication appear on the licensed products. Each licensed product is subject to a royalty based on the wholesale price of the product. As recognition for the valued partnership Hockey Canada sponsors are extended a reduced royalty rate for all licensed product: Premier: 4% International: 6% National Level: 8% Official Supplier: 10% 10

2 Sponsor Requested Preferred Suppliers Should a sponsor request the use of a preferred supplier, Hockey Canada will consider the request if all of the following conditions are met: The sponsor must solicit a minimum of three (3) quotes from official licensees to compare against the preferred supplier quote. The quotation details must be identical for all parties participating in the tender. The preferred supplier quote must clearly demonstrate a minimum of 10% savings, at wholesale, FOB Toronto, from the quotes supplied by Hockey Canada s licensees. Delivery terms, quality of product and related variables within the quotation must be reasonable and deliverable in the normal course of business. All quotes, once received, are to be forwarded to Hockey Canada s Manager, Licensing & Merchandising for adjudication and confirmation. Should a preferred supplier be accepted by Hockey Canada, this relationship will be defined as a short term license which would encompass only the products agreed upon and for the time frame outlined by Hockey Canada, and for use by the sponsor only. No additional sales or distribution by the short term license is permitted. The preferred supplier must be prepared to enter into a standard licensing agreement, complying with all the responsibilities and conditions thereto, particularly paying strict attention to the QC protocol, pre-production samples, packaging, hang-tag/hologram sticker requirements, or similar practices required of Hockey Canada. The preferred supplier must agree to pay all royalties assessed, in advance to Hockey Canada and these are due immediately upon the execution of the licensing Letter of Intent (LOI). Sub-license from the short term licensee shall not be permitted. Hockey Canada reserves the right, in its sole discretion, to accept or reject any licensed product proposed by a preferred supplier in the event the product is of inferior quality or construction, resembles other party s designs, copyrights, trademarks, patent rights, etc. Definitions Premiums: may include, not necessarily limited to, combination sales, free or selfliquidating items offered in conjunction with the sale, promotion or publicizing of a product or service, including traffic building or continuity visits by the consumer/customer, or any other scheme or device, of which the prime intention is to use Hockey Canada licensed product(s) in a manner to promote and/or sell products, services or business image of the Sponsor. Licensed Product: includes any item and/or product bearing the trademark(s) of Hockey Canada and is applied in accordance with the provisions, conditions and undertakings set forth with Hockey Canada s standard licensing contract, and which are 11

3 destined for distribution into the course of ordinary trade, or used as premiums, as defined herein. 12
