Dans un contexte économique toujours en demiteinte, marqué par les incertitudes liées à la dette publique, par de fortes disparités dans l accès aux crédits des collectivités locales et par une concurrence exacerbée au sein de la profession, le fort rebond du carnet de commandes groupe, intervenu lors des deux derniers trimestres 2010 suite au renforcement de nos structures et de nos capacités de développement, s est traduit, en 2011, par un volume d affaires traitées en forte augmentation et par un chiffre d affaires en très net redressement. Outre l élargissement des savoir-faire du groupe avec l intégration des sociétés ETIC, TSV et EGDL au Luxembourg, l exercice passé est marqué par l opération d ouverture du capital de Demathieu Bard à une partie du Management de l entreprise ainsi qu à un pôle d investisseurs institutionnels. Ces nouveaux acteurs, qui s associent désormais aux actionnaires historiques de Demathieu Bard, vont permettent à l entreprise d asseoir son indépendance et sa pérennité tout en poursuivant son développement will remain a special year for the Demathieu Bard group that is celebrating its 150 th anniversary in the business. These new players who now join the traditional Demathieu Bard shareholders, will enable the business to consolidate its independence and sustainability while continuing to grow. 8 Faits marquants Noteworthy events >> Complexe Aquasud Tralux Construction, associée à la société Vert-Marine (spécialiste français des équipements de sports et de loisirs) a concrétisé, avec la commune de Differdange (Luxembourg), la signature de son premier contrat en Partenariat Public Privé pour la Conception-Construction d un complexe aquatique «AquaSud» et son exploitation sur une durée de 25 ans. La mise en service de ce nouveau centre de loisirs est prévue fin >> Indépendance et pérennité En 2011, Demathieu Bard modifie la composition de son capital. Cette opération a pour objectif de renforcer sa visibilité et sa solidité financière tout en poursuivant sa transmission dans le maintien de son indépendance. L entreprise associe donc désormais aux actionnaires historiques, son management ainsi qu un pôle d investisseurs institutionnels constitué des partenaires FSI Régions & CDC Entreprise, BNP PARIBAS Développement, Société Générale Capital Partenaires, BTP Capital et ESFIN participations. >> 150 ans d existence L entreprise rassemble ses 950 cadres et ETAM France et International à Paris pour célébrer à l occasion d une grande convention, son 150 e anniversaire. Une campagne de communication nationale a par ailleurs été engagée dans la presse pour promouvoir l entreprise, ses savoir-faire et ses valeurs. >> ppp de Tarbes, pose de la première pierre Marquant le démarrage officiel des travaux pour la construction du nouveau contournement routier de Tarbes, la première pierre du projet est posée en octobre Ce contrat, signé en 2010 et attribué au groupement HPRT (Hautes Pyrénées Rocade Tarbaise), constitué des entreprises Malet - Demathieu Bard - NGE et CDC Infrastructures, compte parmi les premiers projets d infrastructures routières faisant l objet d un Partenariat Public-Privé en France. >> Intégration des sociétés ETIC - TSV - EGDL Les sociétés ETIC, TSV et EGDL ont rejoint le groupe Demathieu Bard en ETIC est spécialisée dans l équipement et la réhabilitation des Ouvrages d'art et de Génie Civil (précontrainte par câbles, haubanage, des appareils d appui et joints de dilatation) et sa filiale TSV, dans les techniques de vérinage, poussages, ripage et levage assisté par ordinateur. EGDL, société luxembourgeoise, est quant à elle spécialisée dans le domaine des courants forts. Ces alliances à vocation stratégique s inscrivent dans une démarche commune de croissance et de développement. The Aquasud complex Tralux Construction together with the Vert-Marine Company (a French Company specialized in sports and leisure amenities) finalised with the Differdange town (Luxembourg) the contract arrangements of its first Public Private Partnership contract for the Design & Build of the «AquaSud» aquatic centre and its running for a 25 years period. This new leisure centre is due to be opened at the end of Independence and sustainability In 2011, Demathieu Bard changed the composition of its capital. The aim of this operation consisted in strengthening its visibility and financial soundness while continuing to indicate that it intends to remain independent. The Company now combines traditional investors with its management and a cluster of institutional investors comprising partners such as FSI Regions & CDC Entreprise, BNP PARIBAS Développement, Société Générale Capital Partenaires, BTP Capital and ESFIN participations. 150 years in business Coinciding with a major conference, the Company brought together its 950 senior management members and ETAM France and International in Paris to celebrate its 150th anniversary. Additionally, a national communication campaign was publicised via the press to promote the Company, its expertise and its values. The Tarbes PPP, laying the first stone Marking the official start of the construction of the new Tarbes road by-pass, the first stone of the project was laid in October This contract, signed in 2010 and awarded to the HPRT (Hautes Pyrénées Rocade Tarbaise) group comprising the Malet Demathieu Bard NGE and CDEC Infrastructures companies, is one of the first highways infrastructures projects to be undertaken in France as part of a Public Private Partnership. Integration of the ETIC - TSV - EGDL companies The ETIC, TSV and EGDL companies joined the Demathieu Bard group in ETIC specialises in the fitting out and refurbishment of engineering and Civil Engineering structures (cable pre-stressing, bracing, bearing structures and expansion joints) and its TSV subsidiary in computer assisted jacking, pushing, skidding and lifting techniques. The Luxembourg Company EGDL specialises in the field of heavy duty power supplies. These strategic alliances form part of a joint growth and development approach. 8

10 Faits marquants Noteworthy events >> Foyer Rémois L Agence Demathieu Bard Champagne Picardie livre le nouveau siège social du Foyer Rémois, un bâtiment R+ 3 de plus de 3500 m², destiné à cet acteur majeur de la croissance régionale et bailleur social depuis >> Qualité Tralux est distinguée par le mouvement Luxembourgeois pour la qualité et reçoit, des mains du Ministre de l Économie et du Commerce Extérieur, un prix avec mention «sur la voie de l Excellence» dans la catégorie «grandes entreprises». Cette mention vient récompenser la filiale luxembourgeoise pour son attachement à appliquer une politique rigoureuse de qualité et de satisfaction clients. >> Rendez-vous QSE National En matière de sécurité et de prévention, l entreprise met en place un nouveau concept de sensibilisation pour l ensemble de ses collaborateurs. Deux fois par an, simultanément sur tous les sites (Agences et chantiers) et à destination de tous les collaborateurs, ce rendez-vous d un nouveau genre mobilise l ensemble de l effectif autour d un thème sécurité particulier dont les fondamentaux nécessitent d être rappelés à chacun. >> Défi technique Dans le cadre de la construction du nouveau Pont Urbain de Compiègne - Oise (60) et sous l œil de nombreux spectateurs et élus locaux, les équipes TP Demathieu Bard réalisent une prouesse technique. Ils mettent en place deux sections de tablier pesant respectivement 900 et 400 Tonnes grâce à un ensemble de Kamags (remorques hydrauliques multi-roues motorisées) et à deux barges en rivières, elles-mêmes guidées par un système de câbles. L ouvrage a été inauguré en Septembre >> Changeons notre regard sur le Handicap Aux côtés de l AGEFIPH (Association de Gestion du Fonds pour l Insertion Professionnelle des Personnes Handicapées), Demathieu Bard s engage dans une action citoyenne sur le long terme avec pour objectif un meilleur accompagnement de ses collaborateurs en situation de handicap accompagné d un plan d action visant l emploi, la valorisation et la professionnalisation de personnes handicapées au sein du groupe. >> Clé d Or EGF BTP Après avoir remporté le concours régional de la Clé d Or EGF-BTP Rhône-Alpes, le projet H8, un hangar à avions de 3000 m², situé sur l aéroport de Lyon Bron (69) et réalisé par BLB Constructions et Demathieu Bard Immobilier s est vu décerner le prix spécial au Concours National du jury EGF-BTP. Foyer Rémois The Demathieu Bard Champagne Picardie Agency has delivered the new Foyer Remois headquarters. This three storey building of more than 3,500 m ² has been constructed for the major player in regional growth and a social landlord since Quality Tralux has been rewarded by the Luxembourg government for its quality and has received an award for being "on the road to Excellence" in the "major businesses" category from the Minister for Economy and Foreign Trade. This award recognises the Luxembourg subsidiary s commitment to deploying a rigorous quality and client satisfaction policy. National QSE rendezvous In terms of safety and prevention, the Company is deploying a new concept for raising the awareness of all its employees. Twice yearly, taking place simultaneously on all sites (Agencies and work sites) and intended for all employees, this new type of rendezvous mobilises the entire staff on a particular safety matter in respect of which each and everyone needs to be reminded of the fundamental issues. Technical challenge As part of the construction of the new Urban Bridge at Compiègne - Oise (60) and under the watchful eyes of a host of spectators and local officials, the Demathieu Bard TP teams successfully completed a technical feat. They put in place two sections of deck weighing respectively 900 and 400 tonnes using a series of Kamags (power-operated multi-wheel hydraulic trailers) and two river barges which were in turn guided by a system of cables. The structure was inaugurated in September Let s change our attitude to the disabled Together with the AGEFIPH (Association de Gestion du Fonds pour l Insertion Professionnelle des Personnes Handicapées/ Fund Management Association for Career Re-training for the Disabled), Demathieu Bard has committed to a citizen approach over the long-term designed to provide group employees with better support together with an action plan designed to promote the employment, recognition and career development of the disabled within the group. EGF BTP [Building and Public Works] Golden Key Having won the regional EGF-BTP Rhône-Alpes Golden Key, the H8 project, a 3,000 m² aircraft hangar on the Lyon Bron (69) airport erected by BLB Constructions and Demathieu Bard Immobilier has also been awarded the EGF-BTP jury special prize at the National Competition. 10

12 Pôle Construction France France Construction division Le Pôle Construction France intègre l ensemble des agences et filiales actives sur le territoire national, dans la construction d Ouvrages d Art, dans le Bâtiment, le Génie Civil ainsi que les Travaux Spéciaux. Dans le domaine du Bâtiment, ces entités se répartissent au sein des directions régionales Grand Est, Sud, Ile de France et Nord. Les agences et filiales actives dans le domaine du Génie Civil et des Ouvrages d Art sont quant à elles, regroupées au sein de la direction TP France. La direction Travaux Spéciaux rassemble les entités spécialisées dans ce domaine, elles-aussi, réparties sur l ensemble du territoire national. Sur 2011, le volume d activité connaît une forte progression par rapport à 2010, avec toutefois, une rentabilité en retrait. The France construction division concentrates all the agencies or subsidiaries working on the national territory in the building of Civil Engineering structures, building, civil engineering and special works. In the building activities, these entities are spread over the regional managements for the Greater East, South, Paris area and North. The special works management groups together the entities that are specialized in this field and are also spread out over the national territory. 14 Pôle Construction Internationale International Construction division Le Pôle Construction Internationale est constitué de la filiale canadienne Construction Demathieu & Bard Inc., active dans le domaine du Génie Civil et dans la construction d Ouvrages d Art, de la filiale allemande D&B Bau, avec une activité centrée sur les opérations de Bâtiment et des entités luxembourgeoises Tralux - active aussi bien en Bâtiment qu en travaux de Génie Civil - et EGDL - spécialisée dans le domaine des courants forts. Ces filiales réalisent, sur l exercice 2011, un volume d activité en progression, caractérisé par une rentabilité restée stable. The international building division is composed of the Canadian subsidiary Construction Demathieu & Bard Inc., which works in the field of civil engineering, the German subsidiary DB Bau, with an activity focused on building operations and the Luxembourg entities Tralux - working both in the field of building and civil engineering - and EGDL - specialised in the field of high voltage. Over the 2011 tax year, these subsidiaries show an increased volume of activity with a stable profitability. 16 Pôle Préfabrication Prefabrication division En France, le Pôle Préfabrication est constitué par l ensemble des établissements du groupe CAPREMIB qui rassemble les entités BBS, PREFALL, CIBETEC et FRANCECOM. Leur activité, dans le domaine de la préfabrication béton se répartit entre la préfabrication «lourde» (charpente béton, poutres précontraintes, corniches d ouvrages, écrans acoustiques, pièces sur mesure, etc.), la préfabrication «bâtiment» (façades, escaliers droits et hélicoïdaux, gradins, etc.) et la préfabrication «légère» (produits de négoce, chambres et caveaux divers). Aux USA, la filiale TECHNOPREF est spécialisée dans la préfabrication de voussoirs de tunnels, notamment dans le cadre de travaux de construction ou d extension de lignes souterraines de métro. In France, the prefabrication division is composed of all the CAPREMIB establishments which in turn group together the BBS, PREFALL, CIBETEC and FRANCECOM entities. Their activity, in the field of concrete prefabrication, is divided between "heavy" prefabrication (concrete framework, prestressed beams, structure cornices, sound screens, tailor-made parts, etc.), "building" prefabrication (façades, straight and spiral staircases, stands, etc.) and "light" prefabrication (market products, various chambers and vaults). In the USA the TECHNOPREF subsidiary is specialised in the prefabrication of tunnel segments, especially in the context of works to build or extend underground subway lines. 18 Pôle Services et Montage d Opérations Services and Property Development Division A travers sa filiale DB Immobilier, le Pôle Services et Montage d Opérations est actif sur les opérations de Partenariat Public-Privé, aussi bien en Bâtiment (PPP pour la reconstruction du Lycée Professionnel du Bâtiment et des Travaux Publics de Montignylès-Metz - France) qu en Travaux Publics (PPP du Contournement Nord-ouest de Tarbes - France), sur les contrats de concessions d infrastructures (A88, Parking Cathédrale de Metz - 57) ainsi que sur différents types de CPI (Contrats de Promotion Immobilière) et sur les opérations en VEFA (Vente en l Etat Futur d Achèvement). Through its subsidiary DB Immobilier, the Services and Operation Set-up division working on Public- Private Partnership operations, both in construction (PPP for the rebuilding of the Lycée Professionnel du Bâtiment et des Travaux Publics at Montigny-lès- Metz - France) and Public Works (PPP for the North- West Tarbes Bypass - France) and in infrastructure concession contracts (A88, Metz cathedral car park - 57) as well as on different types of CPI (Real Estate Promotion) and VEFA operations ("Off plan" sales). 20 Enseignement Education La construction et la restructuration d équipements scolaires font partie intégrante de l activité de Demathieu Bard. Toujours à l écoute des donneurs d ordre privés ou publics, tels que les Conseils Généraux et les Conseils Régionaux, le groupe réalise en 2011 de nombreuses opérations liées à l enseignement. Des écoles, collèges et lycées, avec par exemple le lycée Fustel de Coulanges à Massy (91), le lycée de Chevilly- Larue (94), un ensemble de plus de m², labellisé HQE et réalisé en entreprise générale ; le collège de Francheville (69), le collège de Ligné (44), la restructuration du collège Victor Hugo à Somain (59) ou encore les écoles de Beuvrages, de Coutiches et de Marcq en Baroeul (59) voit aussi se concrétiser en France les premiers contrats de Partenariats Public-Privé liés à l enseignement avec, à Montigny-lès-Metz (57), le PPP pour l extension et la restructuration du Lycée du Bâtiment et des Travaux Publics. En Allemagne, la filiale D&B Bau est engagée dans un second contrat de Partenariat Public-Privé pour la restructuration d un bâtiment m² sur le site de l université de Saarbrücken. Demathieu Bard réalise aussi des établissements non scolaires mais liés à la formation avec par exemple les opérations GFOR à Saint-Priest (69), un centre de formation dédié aux pompiers du Rhône, de SHOT m² et le complexe Air Parc, un hall industriel sur le site de l'aéroport de Lyon Saint-Exupéry (69), réalisé en entreprise générale et destiné à accueillir des simulateurs de vol. Demathieu Bard have also constructed buildings that are not schools but that are connected with training such as the GFOR activities in Saint-Priest (69), a training centre dedicated to the Rhone fire-fighting service, having a total floor area of 24,400 m² and the Air Parc complex, an industrial building designed to house flight simulators on the site of the Lyon Saint-Exupéry (69) airport, with Demathieu Bard as main contractor. 20

In 2011, Demathieu Bard continued working on the Metz (57) Women Mothers and Children Hospital, a 22,000 m² Design & Build project. The Company also constructed the Fismes (51) Cottage Hospital, Bourg en Bresse MRI facility at Viriat (01), the Severe Psychiatric Patient Unit at Chalons en Champagne (51), the Specially Equipped Hospital Unit at Villejuif (94), a 60-bed centre constructed as a Design & Build project on the site of the Paul Guiraud Public Health Establishment. The Centres for the Elderly have also provided Demathieu Bard with considerable business. Déjà positionné sur la majorité des secteurs liés à la production d énergie, Demathieu Bard poursuit les travaux de construction de la centrale à cycle combiné de Toul (54) pour le compte de POWEO, ainsi que la construction de deux centrales hydroélectriques sur le Rhône (01) pour le compte de la Compagnie Nationale du Rhône. L exercice voit aussi la récente obtention, par le Département TP Environnement Nucléaire de Demathieu Bard, de la certification CEFRI «E» permettant au groupe de se positionner sur de nouveaux projets de réhabilitation ou de construction d installations nucléaires de base, en France. In the field of water treatment and decontamination (wastewater treatment works, storm water and retention basins), Demathieu Bard s renowned expertise has enabled the group to submit solutions tailored to local authority requirements. Already established in most energy production sectors, Demathieu Bard continues to be involved in construction works for the Toul (54) combined cycle power plant on behalf of POWEO and also in the construction of two hydroelectric power plants on the Rhone River (01) for the Compagnie Nationale du Rhone. The Demathieu Bard Nuclear Environment TP Department has recently achieved CEFRI "E" [French Certification Committee for Companies involved in the training and monitoring of personnel working in ionising radiation environments] certification. This certification allows the group to tender for new basic nuclear plant construction and refurbishment projects in France. The water industry was still a core element of Demathieu Bard operations in Some ten major operations involving water treatment related operations or drinking water supply installations are either in progress or were delivered during the financial year. 32 Infrastructures de Transport et Aménagements urbains Transportation Infrastructures and Urban development Dans le domaine des ouvrages et infrastructures de transport et dans le cadre de projets autoroutiers, ferroviaires, aéroportuaires, d aménagements urbains ou périurbains tels que les rocades ou les contournements d agglomérations, le groupe signe en 2011 de nombreuses réalisations pour le compte de sociétés telles que SANEF, APRR, ASF, VNF, ADP ou encore SPLA Paris Batignolles aménagements et SEMAPA en secteur francilien. Celles-ci concernent aussi bien des ouvrages d art courants, isolés ou groupés dans des marchés de type TOARC, que des ouvrages exceptionnels comme les grands viaducs ou les aménagements urbains d envergure. Parmi les ouvrages liés au transport routier, Demathieu Bard livre en 2011 le Viaduc sur l Adour à Bayonne (64), un ouvrage mixte qui s inscrit dans le projet d élargissement de l Autoroute A63 ; le Viaduc de Jonzac (17), caractérisé par ses piles quadripodes et son implantation en zone Natura 2000 ; le Viaduc sur la Durance à Pertuis (84), le TOARC A89 Est avec 18 ouvrages d art courants et un viaduc mixte bi-tablier. En matière de transport ferroviaire et de transports en commun en milieu urbain, les Lots 42 & 47 sur le prolongement de la LGV Est Européenne, le prolongement de la ligne T4 du Tram de Montpellier (34), le Prolongement de la ligne B du Métro d Oullins à Lyon (69) ainsi que les ouvrages 17P et 17B sur le site de l Aéroport Roissy Charles de Gaulle (95). En milieu urbain, le groupe poursuit d importantes opérations telles que l aménagement de la ZAC des Batignolles à Paris (75), représentant près de m 3 de béton mis en œuvre, ou encore la tranchée couverte de la Fourragère sur la rocade L2 Est de Marseille (13). In the field of transport structures and infrastructures and as part of motorway, railway, airport, urban or suburban projects such as ring roads and conurbation by-passes, in 2011, the group signed several construction contracts with companies such as SANEF, APRR, ASF, VNF, ADP and also SPLA Paris Batignolles aménagements and SEMAPA in the Paris area. With regard to the highway projects delivered, in 2011 Demathieu Bard delivered the Viaduct over the Adour river in Bayonne (64), a combined structure that forms part of the A63 motorway widening scheme; the Jonzac Viaduct (17) characterised by its quadripod foundations and its location in a Natura 2000 zone; the Viaduct over the Durance in Pertuis (84), the A89 East TOAREC with 18 standard engineering structures and a combined twin deck viaduct. With regard to rail transport and to urban public transport, Parts 42 & 47 of the extension to the East European HSL, the extension to the Montpellier (34) T4 Tram route, the extension to the Lyons (69) Metro d'oullins line B together with the 17T and 17B structures on the Roissy Charles de Gaulle Airport. In the urban area, the group is continuing significant operations such as the development of the designated development zone in Batignolles, Paris (75) requiring approximately 80,000 m² of concrete, or the Fourragère cut-and-cover section of Marseilles (13) L2 East ring road. 32

34 Travaux Spéciaux Special Works En 2011, Le groupe Demathieu Bard continue à développer ses compétences et savoir-faire en matière de réparation d ouvrages (remplacement d appareils d appui, injection, élargissements et relèvements de tabliers d ouvrages, réparation d ouvrages en maçonnerie traditionnelle ou encore réhabilitation de réseaux) et de Travaux Spéciaux (équipements d ouvrages d'art et de Génie Civil, mise en œuvre et fourniture de dispositifs de précontrainte par câbles, haubanage et joints de dilatation, techniques de vérinage, poussages et ripage d ouvrages). Exemples de ces réalisations : la réparation d un pont suspendu sur la Garonne à Sauveterre (47), avec changement des câbles, du tablier, rejointement et remise en peinture de l ouvrage ; la réparation du tunnel du Suquet à Cannes (06) avec renforcement de la structure par coque en béton projeté et création de niches dans l ouvrage ; le remplacement des joints de chaussée du Viaduc de Bettembourg (Luxembourg) ; le remplacement des appuis du pont de Noirmoutier (85), la fourniture d appuis, de précontrainte et le vérinage d un tablier pour mise en charge d un ouvrage en arc à Altiani (Corse / 2B), la prise de flèche contrôlée par dévérinage sur un bâtiment en construction à Evry (91). In 2011, Demathieu Bard continued to develop its structural repairs skills and expertise (replacing bearing structures, injection, widening and raising structural decks, repairing traditional masonry work structures and also refurbishing networks) and those applicable to Special Works (engineering structure and Civil Engineering works, supply and fit of pre-stressing systems using cables, bracing and expansion joints, structure jacking, pushing and skidding). Examples of these constructions; repairs to the suspension bridge over the Garonne river at Sauveterre (47) including cable and deck replacement, repointing and repainting the structure; repairs to the Suquet Tunnel in Cannes (06) where the structure was reinforced by a sprayed concrete shell and recesses were created in the structure; replacement of road joints on the Bettembourg Viaduct roadway (Luxembourg); replacement of the Noirmoutier (85) bearing surfaces, the supply of supports, pre-stressing and jacking of a deck for loading an arc structure in Altiani (Corsica /2B), dejacking used to control deflection on a building under construction in Evry (91). 34
