1 [Télécharger la version Word] Accord de transfert de matériel Modèle Material transfer agreement Avertissement L'objet d'un accord de transfert de matériel est de protéger la transmission (à des fins de recherche, à des fins d évaluation par un partenaire industriel potentiel ), de matériels de toute nature (biologique, végétale, chimique, ) nonaccessibles au public et d'interdire à celui qui les reçoit de se les approprier, de les diffuser ou encore de les exploiter (ou faire exploiter) commercialement.. Ce modèle d accord de transfert de matériel élaboré pour les besoins du CNRS est un outil d aide à la négociation. Certaines dispositions pourront ou devront être modifiées en fonction de l'objet de l'accord, du domaine scientifique, de la nature du partenaire ou de tout autre élément de contexte. L'accord pourra ainsi, selon les cas, être allégé ou au contraire renforcé. Ce modèle est librement utilisable par les personnels du CNRS mais également par des tiers à condition qu ils en indiquent l origine. Toute utilisation commerciale est interdite sans l accord du CNRS. Avertissement The purpose of a material transfer agreement is to protect the transmission (for research purposes, or so as to assess a potential industrial partner ), of any and all form of materials (biological, vegetable, chemical, ) which are not accessible to the general public, and to prevent the person receiving such materials from appropriating, publishing, or using them (or having them used) for commercial ends. This model material transfer agreement, which has been drawn up on the basis of the CNRS requirements, is a negotiationassistance tool. Certain provisions may, or shall have to be, changed according to the purpose of the agreement, the scientific field, the type of partner, or any and all other contextual considerations. Consequently, depending on the case, the agreement s provisions may be either removed, or new provisions may be added. This model may be used freely by CNRS staff and also by third parties provided they mention the origin. Any and all commercial use is forbidden without the CNRS consent.

Un rapport final sur les travaux réalisés et les résultats obtenus pendant la durée de l'accord est remis au CNRS, au plus tard deux (2) mois suivant la date d'expiration ou de résiliation du présent Accord En cas de publication ou de communication sur le MATERIEL, les travaux réalisés et/ou les résultats obtenus, quels qu'en soient la nature et le support, le texte préalable de cette publication ou communication sera soumis au CNRS pour autorisation écrite au plus tard trente (30) jours avant la divulgation de ces informations ou la soumission du texte de cette publication à l'éditeur Conformément aux usages scientifiques en vigueur, toutes les publications ou communications ayant trait à l'utilisation du MATERIEL font référence à l'origine CNRS du MATERIEL. Article 2 Obligation to provide information 2.1. On a regular basis and confidentially, X shall inform the CNRS of the results of its work, obtained by using, or from, the MATERIAL. A final report on the work carried out and the results obtained during the term of the Agreement shall be provided to the CNRS within two (2) months of the expiry or termination date of this Agreement In the event of publication or communication concerning the MATERIAL, the work carried out, and/or the results obtained, whatever their nature may be, and on any medium whatsoever, the preliminary text relating to such publication or communication shall be submitted for the CNRS written authorisation, thirty (30) days prior to the disclosure of this information, or the submission of said publication s text to the editor, at the latest In accordance with effective scientific practices, all publications or communications relating to the use of the MATERIAL shall refer to the fact that such MATERIAL originated from the CNRS. Similarly, the contribution of CNRS staff to making the MATERIAL accessible shall be expressly

Article 4 Résultats issus de l utilisation du matériel 4.1. Au cas où les résultats obtenus seraient susceptibles de conduire au dépôt d une demande de titre de propriété industrielle, les Parties décideront d un commun accord de la stratégie à mettre en œuvre en matière de protection et d exploitation de ces résultats et, le cas échéant, des personnes habilitées à procéder à un tel dépôt et/ou à une telle exploitation. En particulier, au cas où des résultats porteraient sur une amélioration ou une identification d'un effet nouveau ou d'une nouvelle utilisation potentielle, brevetable ou non, effectuée par X sur le MATERIEL, X en informera immédiatement le CNRS. Les Parties se concerteront alors pour déterminer, d'un commun accord, la propriété de ces résultats, les modalités de protection par un titre de propriété industrielle et d'exploitation Aucune licence n'est impliquée par la fourniture par le CNRS à X du MATERIEL. The CNRS is hereby acknowledged as being the sole owner of the MATERIAL and the related intellectual property rights The Parties hereby expressly agree that the right to use the MATERIAL, as granted under this Agreement, may not, under any circumstances, be construed as expressly or implicitly providing X with any ownership right or title, or option or licence, whatsoever, over the MATERIAL supplied by the CNRS X is hereby expressly forbidden from manipulating or transforming the MATERIAL in such a manner as to compromise the CNRS rights over said MATERIAL, without the latter s prior and written agreement Any and all combination, mixture or incorporation of the MATERIAL with/into any and all other material by X shall be forbidden, unless this is for the purposes of the work set forth in the Appendix Article 4 Results obtained from use of the material 4.1. In the event that the results obtained are able to lead to the filing of an application for industrial property title, the Parties shall decide, by joint agreement, on the strategy to follow as regards the protection and use of said results and, where applicable, the persons authorised to carry out such filing formalities and/or such use. In particular, should the results relate to an improvement or the discovery of a new effect or new potential use, whether able to be patented or not, which is made by X as regards the MATERIAL, the latter shall immediately inform the CNRS. The Parties shall then discuss so as to decide, by joint agreement, upon ownership of said results, and the terms and conditions for protection under an industrial property title and for right of use.

X s'engage à garder confidentielles toutes les informations transmises oralement, par écrit ou de toute autre manière, dans le cadre du présent Accord et se rapportant au MATERIEL Ces INFORMATIONS ne pourront pas être communiquées à des tiers sans autorisation préalable et écrite du CNRS Les obligations de confidentialité de X aux termes du présent Accord ne s'appliquent pas aux INFORMATIONS et au MATERIEL : - qui sont entrés dans le domaine public préalablement à leur transfert à X ou après celui-ci, mais sans faute de la Partie réceptrice ; - dont il peut être justifié qu ils ont été reçus par un tiers de manière licite sans aucune restriction et en l'absence de toute violation du présent Accord ; - qui sont déjà en possession de la Partie réceptrice avant la conclusion de l'accord, auquel cas cette dernière devra en rapporter la preuve ; - qui ont été utilisés ou divulgués avec l'autorisation écrite de la Partie dont ils émanent ; - qui ont été divulgués par la Partie dont ils émanent ; - dont il peut être justifié qu ils ont été développés par la Partie réceptrice de manière indépendante et de bonne foi par des membres de son personnel n ayant pas eu accès aux INFORMATIONS et au MATERIEL; 5.4. X undertakes to keep confidential all the information which is transmitted orally, in writing, or in any and all other manner, pursuant to this Agreement, and relating to the MATERIAL This INFORMATION may not be disclosed to third parties without the CNRS prior and written authorisation X s non-disclosure obligations hereunder shall not apply to INFORMATION and MATERIAL: - which were in the public domain prior to being transferred to X, or following such transfer, without negligence by the recipient Party; - for which it can be proven that they were legally received from a third party without any and all restriction, and that there was no breach of this Agreement; - which were already in the possession of the recipient Party prior to the execution of the Agreement, in which case the latter shall provide proof of this fact; - which were used or disclosed with the written authorisation of the issuing Party; - which were disclosed by the issuing Party; - for which it can be proven that they were developed by the recipient Party, independently, and in good faith, by its members of staff who did not have access to said INFORMATION and MATERIAL This non-disclosure obligation shall remain effective during the term of the Agreement and for [5 (five)] years subsequent to its expiry or termination.

7 Article 6 Garanties - Responsabilités 6.1. Le MATERIEL étant de nature expérimentale, le CNRS ne donne aucune garantie, quant à son état, son activité, son utilité, son efficacité, sa pureté, son innocuité, sa non-toxicité, sa sécurité, quant à son utilisation, sa valeur commerciale ou sa conformité à un quelconque but X est seul responsable de tout risque ou dommage pouvant découler de l'exécution du présent Accord, notamment en cas de blessure, mort, dommage matériel ou tout autre sinistre ou préjudice pouvant résulter de l'usage, des essais ou de la manipulation du MATERIEL X s'engage à utiliser le MATERIEL en accord avec la législation en vigueur dans le pays d'utilisation. Article 7 Confidentialité de l accord La signature, l'existence et l'exécution du présent Accord seront gardées confidentielles par les Parties et ne seront pas divulguées par l'une ou l'autre d'entre elles sans l'accord écrit préalable de l'autre Partie. Article 8 Notifications Les échanges entre les Parties dans le cadre de cet Accord doivent se faire par écrit et être envoyés aux adresses suivantes : Article 6 Warranties - Liability 6.1. As the MATERIAL is of an experimental nature, the CNRS shall not provide any and all warranty as regards its condition, activity, usefulness, efficiency, purity, harmlessness, non-toxicity, safety, or as regards its use, market value or suitability in respect of any and all objective X shall be solely liable for any and all risks or loss which may arise during performance of this Agreement, in particular in the event of injury, death, physical damage, or any and all other incident or loss that may be occasioned by the use, testing or manipulation of the MATERIAL X undertakes to use the MATERIAL in accordance with the effective legislation of the country in which it is used. Article 7 Confidentiality of the agreement The Parties shall keep the execution, existence and performance of this Agreement confidential and such elements shall not be disclosed by either Party without the other Party s prior, written agreement. Article 11 Résiliation Le présent accord sera résilié de plein droit par l'une des Parties en cas d'inexécution par l'autre d'une ou plusieurs des obligations contenues dans l'un quelconque de ses articles Cette résiliation ne devient effective que trois (3) mois après l'envoi par la partie plaignante d'une lettre recommandée avec accusé de réception, exposant les motifs de la plainte, à moins que, dans ce délai, la partie défaillante n'ait satisfait à ses obligations ou n'ait apporté la preuve d'un empêchement consécutif à un cas de force majeure L'exercice de cette faculté de résiliation ne dispense pas la partie défaillante de remplir les obligations contractées jusqu'à la date de prise d'effet de la résiliation et ce sous réserve des dommages éventuellement subis par la partie plaignante du fait de la résiliation anticipée de l'accord Nonobstant cette résiliation et conformément aux dispositions de l'article 2.2 du présent Accord, un rapport sur les travaux réalisés et les résultats obtenus pendant la durée du présent Accord sera fourni au CNRS par X. Article 12 Intégralités et limites de l accord L'ensemble des dispositions du présent Accord et de son Annexe constitue l'intégralité de l'accord entre les Parties. Article 12 Entirety and limitations of the agreement All the provisions of this Agreement and its Appendix represent the entirety of the Parties agreements. They replace and cancel the prior commitments, representations, negotiations, oral or written communications, acceptances, understandings and agreements between the Parties relating to the same purpose.

9 Article 13 Invalidité d une clause Si une ou plusieurs stipulations du présent Accord étaient tenues pour non valides ou déclarées telles en application d un traité, d une loi ou d un règlement, ou encore à la suite d une décision définitive d une juridiction compétente, les autres stipulations garderont toute leur force et leur portée. Les Parties procéderont alors sans délai aux modifications nécessaires en respectant, dans toute la mesure du possible, l accord de volonté existant au moment de la signature du présent Accord. Article 14 Langue du contrat (Dans le cas où X est un partenaire étranger) Le présent Accord est établi en deux versions, à savoir en langue française et en langue [x]. En cas de difficulté d interprétation, seule la version française fera foi [variante : chacune des deux versions fera foi]. Article 15 Lois applicables Le présent Accord est soumis aux lois et règlements français. Article 16 Juridictions compétentes Tous différends entre les Parties relatifs à l existence, la validité, l interprétation, l exécution et la résiliation du présent Accord (ou de l une quelconque de ses clauses), que les Parties ne pourraient pas résoudre à l'amiable, seront portés devant les juridictions françaises compétentes. Article 13 Invalidity of a clause Should one or several provisions of this Agreement be held to be null and void, or declared as such under a treaty, law or regulations, or following a final decision handed-down by a Court having jurisdiction, the other provisions shall retain all their effect and scope. In this case, the Parties shall immediately make the required changes, complying, insofar as possible, with the original intention at the time when this Agreement was executed. Article 14 Language of the agreement (In the event that X is a foreign partner) This Agreement shall be drafted in two versions, to wit, in French and [x] (language). Article 15 Governing law This Agreement shall be governed by French legislation and regulations. Article 16 Jurisdiction Any and all disputes between the Parties concerning the existence, validity, interpretation, performance and termination of this Agreement (or any of its clauses), which the Parties are unable to settle out-ofcourt, shall be referred to the french Courts having jurisdiction.
