1 COMMUNIQUE DE PRESSE LE 1 ER OCTOBRE 2015 La société d investissement Springwater Capital et le fonds SPI «Société de Projets Industriels», géré par Bpifrance dans le cadre du Programme Investissements d Avenir, s associent dans la joint-venture ECOCIS pour réindustrialiser l ancien site papetier de Voreppe (Isère) avec de nouveaux fondements stratégiques : la fabrication de pâte à papier à partir de papiers recyclés. Paris, le 1 er octobre 2015 La société d investissement Springwater Capital et le fonds d investissement SPI «Sociétés de Projets Industriels», financé par le Programme d investissements d Avenir et géré par Bpifrance, s associent dans une joint-venture «Ecocis» pour réindustrialiser l ancien site papetier de Voreppe dans l Isère (38). Ecocis, qui sera majoritairement détenu par le fonds Springwater Capital, est destiné à détenir et exploiter le nouveau site de production de pâte à papier à partir de papiers recyclés. Le positionnement choisi par Ecocis consiste à réindustrialiser le site en changeant les fondamentaux stratégiques : concentrer le site sur ce qui était son savoir-faire éprouvé la fabrication de pâte à papier à partir de papiers recyclés l amplifier sur sa spécialité qui est le recyclage en pâte de papiers usagés particulièrement dégradés jusqu alors incinérés ou enfouis. C est par ce recentrage indispensable sur la production de pâte à papier qu Ecocis entend se démarquer de ses prédécesseurs, en adoptant un nouveau modèle économique, visant un marché mondial et non plus uniquement local, et en diversifiant sa clientèle cible sur des segments prometteurs comme l hygiène, les papiers de bureau ou les cartons notamment et non plus uniquement sur le difficile marché de spécialité des papiers journaux et magazines. Tant sur l approvisionnement de papiers usagés que sur la commercialisation de la pâte, Ecocis a choisi de s allier avec de grands acteurs mondiaux, en externalisant ces missions auprès de spécialistes, tout en assurant un contrôle sur les coûts générés et la qualité de service. A sa création, la société disposera de 24,5 M qui lui permettront d assurer la finalisation de l achat de l actif industriel, l achat d un sécheur et la mise en exploitation de l unité qui s ouvre désormais à un marché mondial et généraliste. A terme, les partenaires pourront, selon les besoins de l usine, mobiliser la somme totale de 33 M. Bpifrance investira ainsi 15 M dans la société et détiendra 45 % de son capital.

2 Cet investissement du fonds SPI s inscrit pleinement dans sa thèse d investissement en accompagnant la création d une nouvelle activité industrielle sur un site dont les fondamentaux ont été préservés, notamment grâce à l action de la Communauté d Agglomérations du Pays Voironnais qui, après la fermeture par le précédent propriétaire, a su préserver ce patrimoine industriel. En outre, ce projet est un remarquable exemple d économie circulaire et environnementale, particulièrement vertueux sur le plan social et environnemental, avec une volonté de créer à moyen terme des activités annexes et un potentiel de création de 70 emplois directs (hors activités annexes à créer). Pour Springwater Capital, cette première étape sur le territoire français marque son ambition dans l hexagone et entre parfaitement dans sa stratégie d investissement qui consiste à s adresser à des situations d investissement dites «spéciales» ou complexes. La France devient une pièce importante de sa stratégie en Europe, où Springwater Capital est déjà présent au travers d investissements en Espagne, Allemagne, Italie et Portugal, avec des participations dans des entreprises réalisant un chiffre d affaires global d environ 2,5 milliards d euros et employant plus de employés. Par ailleurs le recentrage de l activité sur la production de pâte ouvrira un marché mondial plus prometteur et plus diversifié. 4 PRESS RELEASE 1 OCTOBER 2015 The investment firm Springwater Capital and the SPI "Société de Projets Industriels" (Industrial Projects Company) fund, managed by Bpifrance as part of the Future Investments Programme, are partnering through the ECOCIS joint venture to re-industrialise the former Voreppe (Isère, France) paper-making site with new strategic foundations: producing paper pulp from recycled paper. Paris, 1 October The investment firm Springwater Capital and the SPI "Société de Projets Industriels" (Industrial Projects Company) investment fund, funded by the Future Investments Programme and managed by Bpifrance, are coming together in a joint-venture, "Ecocis", to reindustrialise the former paper-making site at Voreppe in Isère. Ecocis, which will be majority owned by Springwater Capital, will own and operate the new site producing paper pulp from recycled paper. Ecocis chose to re-industrialise the site by changing its strategic foundations: to focus the site on its proven expertise - the manufacturing of paper pulp from recycled paper - to build on its speciality of recycling particularly degraded waste paper that was previously burned or buried, into pulp. It is through this essential refocusing on the production of paper pulp that Ecocis intends to stand out from its predecessors, by adopting a new business model, targeting a global market rather than a local one, and by diversifying its target customers into promising segments such as, notably, hygiene, office paper and cardboard, and no longer just on the more challenging and specialised newspaper and magazine papers markets. For both the supply of the waste paper and the marketing of the pulp, Ecocis has chosen to partner with leading global players, by outsourcing these tasks to specialists, while ensuring control over the generated costs and the quality of service. The company will have 24.5 million at its disposal which will allow it to finalise the purchase of industrial assets and a dryer, and to commission the unit that will as of then be open to a global and generalist market. Eventually, the partners may, depending on the needs of the plant, mobilise a total amount of 33 million. Bpifrance will thus invest 15 million in the company and will own 45% of its capital.

5 This investment by the SPI fund is fully in line with its investment logic by supporting the creation of a new industrial activity on a site whose fundamentals have been preserved, notably thanks to the action of the Communauté d Agglomérations du Pays Voironnais (Voiron Agglomeration Community) which, after its closure by the previous owner, has preserved this industrial heritage. In addition, this project is an outstanding example of circular and environmental economy, particularly socially and environmentally virtuous, with the desire to create medium-term ancillary activities and the potential to create 70 direct jobs (excluding ancillary activities to be created). For Springwater Capital, this first step on French territory marks its ambition in France and fits perfectly into its investment strategy of addressing "special" or complex investment situations. France is becoming an important part of its strategy in Europe, where Springwater Capital is already present through investments in Spain, Germany, Italy and Portugal, with stakes in companies generating total revenues of about 2.5 billion and with more than 12,000 employees.
