Si l'assemblée générale des actionnaires approuve la proposition du Conseil d'administration de procéder à l annulation de d'actions propres, le capital de la Société sera composé de actions au lieu de actions précédemment. Si l'assemblée des actionnaires approuve ensuite la proposition du Conseil d'administration de procéder à la division par quatre (4) des actions de la Société, le capital de la Société sera représenté par actions à compter du 15 septembre. Une (1) ancienne action Econocom Group (coupons 24 et suivants attachés) donnera droit à quatre (4) nouvelles actions divisées Econocom Group. A partir du : - le nombre d'actions ordinaires en circulation sur Euronext Bruxelles sera ainsi porté de (après l'annulation de actions propres) à Page 1 of 9

2 - le cours de l'action sera établi sur base du titre divisé. - seules les actions ordinaires nouvelles dématérialisées ECONOCOM GROUP seront de bonne négociation. Liquidation: les liquidations des opérations effectuées à partir du sur les actions nouvelles dématérialisées s'effectueront uniquement par voie scripturale Euroclear Belgium (= transferts de compte à compte). Les titulaires de titres nominatifs inscrits au registre ainsi que les actionnaires ayant leurs titres sous compte-titres auprès d'un intermédiaire financier se verront attribuer automatiquement les nouveaux titres dématérialisés résultant de la division par échange. Forme des titres: les nouvelles actions seront des actions dématérialisées, représentées par une inscription en compte-titres ouverts auprès d'euroclear Belgium. Elles seront émises à partir du compte de l'émetteur ouvert en Euroclear Belgium et seront livrées par inscription en compte sur les comptes titres des investisseurs par le biais d'euroclear Belgium. LOCATION: Brussels NOTICE: BRX_ _00815_EUR DATE: 11/09/2012 MARKET: EURONEXT BRUSSELS (Onder voorbehoud van goedkeuring door de BAV van 14 september 2012) VERNIETIGING VAN EIGEN AANDELEN EN SPLITSING VAN DE AANDELEN VAN DE ECONOCOM GROUP IN VIER De Raad van bestuur van de Econocom Group heeft op 6 augustus 2012 besloten een buitengewone Algemene vergadering van aandeelhouders van de Vennootschap samen te roepen op 14 september 2012 teneinde zich uit te spreken over de vernietiging van eigen aandelen (7,6% van het kapitaal) en de splitsing van de waarde van de aandelen in vier (4). Indien de Algemene vergadering van aandeelhouders het voorstel van de Raad van bestuur tot vernietiging van eigen aandelen goedkeurt, zal het kapitaal van de Vennootschap bestaan uit aandelen in plaats van aandelen. Indien de Algemene vergadering vervolgens het voorstel van de Raad van bestuur tot splitsing van de aandelen van de Vennootschap in vier (4) goedkeurt, zal het kapitaal van de Vennootschap vanaf 15 september vertegenwoordigd worden door aandelen. Een (1) oud aandeel Econocom Group(coupon 24 en volgende aangehecht) zal recht geven op vier (4) nieuwe, gesplitste aandelen Econocom Group. Vanaf : - zal het aantal in omloop zijnde gewone aandelen op Euronext Brussel verhoogd worden van (na annulatie van eigen aandelen) naar de koers van het gewone aandeel zal bepaald worden op basis van het gesplitste effect. - Enkel de nieuwe gewone gedematerialiseerde aandelen ECONOCOM GROUP zullen geldig verhandelbaar zijn. 5 Vereffening: De vereffeningen van de verhandelingen die vanaf die in de nieuwe gedematerialiseerde effecten uitgevoerd worden, zullen enkel giraal via Euroclear Belgium gebeuren (= via overdracht tussen de rekeningen). De houders van effecten op naam ingeschreven in het register alsook de aandeelhouders die hun effecten hebben ondergebracht op een effectenrekening bij een financiële tussenpersoon, zullen de nieuwe gedematerialiseerde aandelen voortkomend uit de splitsing door omruiling, automatisch toegewezen krijgen. Vorm van de aandelen: de nieuwe aandelen zijn gedematerialiseerde effecten en worden vertegenwoordigd door een girale positie op effectenrekeningen bij Euroclear Belgium. Zij worden uitgegeven via de emittent rekening geopend bij Euroclear Belgium en geleverd door een inschrijving op rekening op de effectenrekeningen van de investeerders via Euroclear Belgium. LOCATION: Brussels NOTICE: BRX_ _00815_EUR DATE: 11/09/2012 MARKET: EURONEXT BRUSSELS (Subject to the approval of the EGM of 14 September 2012) CANCELLATION OF OWN SHARES AND SHARE SPLIT IN FOUR OF THE ECONOCOM GROUP SHARES On 6 August 2012, the Board of directors of the Econocom Group has decided to convene an extraordinary General meeting of shareholders of the Company on 14 September 2012 to decide on the cancellation of own shares (7,6% of the share capital) and a share split in four (4) of the value of the shares. If the General meeting of shareholders approves the proposal by the Board of directors to proceed with the cancellation of own shares, the capital of the Company will consist of shares instead of the previous shares. If the General meeting of shareholders subsequently approves the proposal by the Board of directors to proceed with the share split in four (4) of the Company shares, the company capital will be represented by shares as from 15 September. One (1) old Econocom Group share (coupons 24 and following attached) will give right to four (4) new split Econocom Group shares. As of 17 September 2012: - the number of outstanding shares on Euronext Brussels will be therefore increased from (after the cancellation of own shares)to The share price will take account of the split. - Only the new dematerialized ordinary shares ECONOCOM GROUP will be validly tradable on the exchange. 8 Settlement: The settlement of transactions executed as of 17 September 2012 on the new dematerialized securities shall only take place in a book-entry form through Euroclear Belgium (transfers between accounts). Holders of registered shares and shareholders having deposited their shares on a deposit account with a financial intermediary will be credited automatically with the new dematerialized securities resulting from the split by exchange. Form of the securities: the new shares (after split) will be dematerialized securities, represented by an inscription on security accounts opened at Euroclear Belgium. They will be issued as from the issuer account opened at Euroclear Belgium and will be delivered in book-entry form on the accounts of the investors via Euroclear Belgium.
