6 PARTIE INTRODUCTIVE : DÉFINITIONS INTRODUCTORY PART: DEFINITIONS Aux fins de la présente loi, on entend par : Art. 1 er. Art. 1 For the purposes of this Law: (1) «autorités compétentes» : les autorités que chaque État membre désigne en vertu de l'article 97 de la directive 2009/65/CE. Au Luxembourg l'autorité compétente pour la surveillance des organismes de placement collectif et des sociétés de gestion est la CSSF ; (2) «dépositaire» : un établissement de crédit chargé des missions exposées aux articles 17, 18, 33 et 34 de la présente loi pour les OPC de droit luxembourgeois ; (3) «capital initial» : les éléments visés à l'article 57, points a) et b), de la directive 2006/48/CE ; (4) «CSSF» : la Commission de Surveillance du Secteur Financier ; (5) «directive 78/660/CEE» : la directive 78/660/CEE du Conseil du 25 juillet 1978 fondée sur l'article 54 paragraphe 3 sous g) du traité et concernant les comptes annuels de certaines formes de sociétés, telle que modifiée ; (6) «directive 83/349/CEE» : la directive 83/349/CEE du Conseil du 13 juin 1983 fondée sur l'article 54 paragraphe 3 sous g) du traité concernant les comptes consolidés, telle que modifiée ; (7) «directive 97/9/CE» : la directive 97/9/CE du Parlement européen et du Conseil du 3 mars 1997 relative aux systèmes d'indemnisation des investisseurs ; (8) «directive 2004/39/CE» : la directive 2004/39/CE du Parlement européen et du Conseil du 21 avril 2004 concernant les marchés d'instruments financiers ; (9) «directive 2006/48/CE» : la directive 2006/48/CE du Parlement européen et du Conseil du 14 juin 2006 concernant l'accès à l'activité des établissements de crédit et son exercice ; (10) «directive 2006/49/CE» : la directive 2006/49/CE du Parlement européen et du Conseil du 14 juin 2006 sur l'adéquation des fonds propres des entreprises d'investissement et des établissements de crédit ; (11) «directive 2009/65/CE» : la directive 2009/65/CE du Parlement européen et du Conseil du 13 juillet 2009 portant coordination des dispositions législatives, réglementaires et administratives concernant certains organismes de placement collectif en valeurs mobilières (OPCVM) ; (12) «entreprise mère» : une entreprise détentrice des droits suivants : a) elle a la majorité des droits de vote des actionnaires ou associés d'une entreprise, ou b) elle a le droit de nommer ou de révoquer la majorité des membres de l'organe d'administration, de direction ou de surveillance d'une entreprise et est en même temps actionnaire ou associé de cette entreprise, ou (1) "competent authorities" means the authorities which each Member State designates under Article 97 of Directive 2009/65/EC. The competent authority in Luxembourg which is responsible for the supervision of undertakings for collective investment and management companies is the CSSF; (2) "depositary" means a credit institution entrusted with the duties as set out in Articles 17, 18, 33 and 34 of this Law for Luxembourg UCIs; (3) "initial capital" means the funds as referred to in Article 57, items a) and b) of Directive 2006/48/EC; (4) "CSSF" means the Commission de Surveillance du Secteur Financier (the Commission for the Supervision of the Financial Sector); (5) "Directive 78/660/EEC" means Council Directive 78/660/EEC of 25 July 1978 based on Article 54, paragraph 3 under g) of the Treaty on the annual accounts of certain types of companies, as amended; (6) "Directive 83/349/EEC" means Council Directive 83/349/EEC of 13 June 1983 based on Article 54, paragraph 3 under g) of the Treaty on consolidated accounts, as amended; (7) "Directive 97/9/EC" means Directive 97/9/EC of the European Parliament and of the Council of 3 March 1997 on investor-compensation schemes; (8) "Directive 2004/39/EC" means Directive 2004/39/EC of the European Parliament and of the Council of 21 April 2004 on markets in financial instruments; (9) "Directive 2006/48/EC" means Directive 2006/48/EC of the European Parliament and of the Council of 14 June 2006 relating to the taking up and pursuit of the business of credit institutions; (10) "Directive 2006/49/EC" means Directive 2006/49/EC of the European Parliament and of the Council of 14 June 2006 on the capital adequacy of investment firms and credit institutions; (11) "Directive 2009/65/EC" means Directive 2009/65/EC of the European Parliament and of the Council of 13 July 2009 on the coordination of laws, regulations and administrative provisions relating to undertakings for collective investment in transferable securities (UCITS); (12) "parent undertaking" means an undertaking which owns the following rights: a) it has the majority of shareholders' or members' voting rights of another undertaking, or b) it has the right to appoint or remove the majority of the members of the administrative, management or supervisory board of another undertaking and is at the same time a shareholder or member of that undertaking, or 4

7 c) elle a le droit d'exercer une influence dominante sur une entreprise dont elle est actionnaire ou associé, en vertu d'un contrat conclu avec celle-ci ou en vertu d'une clause des statuts de celle-ci, lorsque le droit dont relève cette entreprise permet qu'elle soit soumise à de tels contrats ou clauses statutaires, ou d) elle est actionnaire ou associé d'une entreprise et contrôle seule, en vertu d'un accord conclu avec d'autres actionnaires ou associés de cette entreprise, la majorité des droits de vote des actionnaires ou associés de celle-ci, ou e) elle peut exercer ou exerce effectivement une influence dominante sur une autre entreprise, ou f) elle est placée avec une autre entreprise sous une direction unique ; (13) «État membre» : un État membre de l'union européenne. Sont assimilés aux États membres de l'union européenne les États parties à l'accord sur l'espace économique européen autres que les États membres de l'union européenne, dans les limites définies par cet accord et les actes y afférents ; (14) «État membre d'accueil d'un OPCVM» : l'état membre, autre que l'état membre d'origine d'un OPCVM, dans lequel les parts du fonds commun de placement ou de la société d'investissement sont commercialisées ; (15) «État membre d'origine d'un OPCVM» : l'état membre dans lequel le fonds commun de placement ou la société d'investissement sont agréés conformément à l'article 5 de la directive 2009/65/CE ; (16) «État membre d'accueil d'une société de gestion» : l'état membre, autre que l'état membre d'origine, sur le territoire duquel une société de gestion a une succursale ou fournit des services ; (17) «État membre d'origine d'une société de gestion» : l'état membre où la société de gestion a son siège statutaire ; (18) «filiale» : une entreprise à l'égard de laquelle sont détenus les droits énoncés au point (12). Les filiales d'une filiale sont également considérées comme filiales de l'entreprise mère qui est à la tête de ces entreprises ; (19) «fonds propres» : les fonds propres visés au titre V, chapitre 2, section 1, de la directive 2006/48/CE. Aux fins de l'application de la présente définition, les articles 13 à 16 de la directive 2006/49/CE s'appliquent mutatis mutandis ; c) it has the right to exercise a dominant influence over an undertaking of which it is a shareholder or member, pursuant to a contract entered into with that undertaking or to a provision in its articles of association where the law governing that undertaking allows it to be subject to such contracts or provisions, or d) it is a shareholder or member of an undertaking and controls alone, pursuant to an agreement entered into with other shareholders or members of this undertaking, the majority of the voting rights of the shareholders and members of the latter, or e) it may exercise or effectively exercises a dominant influence over another undertaking, or f) it is placed under management on a unified basis with another undertaking; (13) "Member State" means a Member State of the European Union. The States that are contracting parties to the Agreement creating the European Economic Area other than the Member States of the European Union, within the limits set forth by this Agreement and related acts, are considered as equivalent to Member States of the European Union; (14) "UCITS host Member State" means a Member State other than the UCITS home Member State, in which the units of the common fund or the investment company are marketed; (15) "UCITS home Member State" means the Member State in which the common fund or the investment company is authorised pursuant to Article 5 of Directive 2009/65/EC; (16) "management company's host Member State" means a Member State other than the home Member State, within the territory of which a management company has a branch or provides services; (17) "management company's home Member State" means the Member State in which the management company has its registered office; (18) "subsidiary" means a subsidiary undertaking in respect of which rights are owned as set out in point (12). A subsidiary undertaking of a subsidiary undertaking shall also be considered to be a subsidiary of the parent undertaking which is at the head of those undertakings; (19) "own funds" shall mean own funds as defined in Title V, chapter 2, section 1 of Directive 2006/48/EC. For the purposes of this definition, Articles 13 to 16 of Directive 2006/49/EC shall apply mutatis mutandis; (20) «fusion» : une opération par laquelle : (20) "merger" means an operation whereby: a) un ou plusieurs OPCVM ou compartiments d'investissement d'opcvm, dénommés «OPCVM absorbé», transfèrent, par suite et au moment de leur dissolution sans liquidation, l'ensemble de leur patrimoine, activement et passivement, à un autre OPCVM existant ou à un compartiment d'investissement de celui-ci, dénommé «OPCVM absorbeur», moyennant l'attribution, à leurs porteurs de parts, de parts de l'opcvm absorbeur et, éventuellement, d'un paiement en espèces ne dépassant pas 10% de la valeur nette d'inventaire de ces parts, a) one or more UCITS or investment compartments thereof, the "merging UCITS", on being dissolved without going into liquidation, transfer all of their assets and liabilities to another existing UCITS or an investment compartment thereof, the "receiving UCITS", in exchange for the issue to their unitholders of units of the receiving UCITS and, if applicable, a cash payment not exceeding 10% of the net asset value of those units, 5

8 b) au moins deux OPCVM ou compartiments d'investissement d'opcvm, dénommés «OPCVM absorbés», transfèrent, par suite et au moment de leur dissolution sans liquidation, l'ensemble de leur patrimoine, activement et passivement, à un OPCVM qu'ils constituent, ou à un compartiment d'investissement de celui-ci, dénommé «OPCVM absorbeur», moyennant l'attribution, à leurs porteurs de parts, de parts de l'opcvm absorbeur et, éventuellement, d'un paiement en espèces ne dépassant pas 10% de la valeur nette d'inventaire de ces parts, c) un ou plusieurs OPCVM ou compartiments d'investissement d'opcvm, dénommés «OPCVM absorbé», qui continuent d'exister jusqu'à ce que le passif ait été apuré, transfèrent leurs actifs nets à un autre compartiment d'investissement du même OPCVM, à un OPCVM qu'ils constituent ou à un autre OPCVM existant ou à un compartiment d'investissement d'opcvm, dénommé «OPCVM absorbeur» ; b) two or more UCITS or investment compartments thereof, the "merging UCITS", on being dissolved without going into liquidation, transfer all of their assets and liabilities to a UCITS which they form or an investment compartment thereof, the "receiving UCITS", in exchange for the issue to their unitholders of units of the receiving UCITS and, if applicable, a cash payment not exceeding 10% of the net asset value of those units, c) one or more UCITS or investment compartments thereof, the "merging UCITS", which continue to exist until the liabilities have been discharged, transfer their net assets to another investment compartment of the same UCITS, to a UCITS which they form or to another existing UCITS or an investment compartment thereof, the "receiving UCITS"; (21) «fusion transfrontalière» : une fusion d'opcvm : (21) "cross-border merger" means a merger of UCITS: a) dont au moins deux sont établis dans des États membres différents, ou b) établis dans le même État membre, sous la forme d'un nouvel OPCVM établi dans un autre État membre ; (22) «fusion nationale» : la fusion entre des OPCVM établis dans le même État membre dès lors qu'un au moins des OPCVM concernés a fait l'objet d'une notification conformément à l'article 93 de la directive 2009/65/CE ; (23) «instruments du marché monétaire»: des instruments habituellement négociés sur le marché monétaire, qui sont liquides et dont la valeur peut être déterminée avec précision à tout moment ; (24) «liens étroits» : une situation dans laquelle au moins deux personnes physiques ou morales sont liées par : a) une «participation», à savoir le fait de détenir, directement ou par voie de contrôle, au moins 20% du capital ou des droits de vote d'une entreprise, ou b) un «contrôle», à savoir la relation entre une «entreprise mère» et une «filiale» au sens des articles 1 er et 2 de la septième directive 83/349/CEE du Conseil du 13 juin 1983 fondée sur l'article 54, paragraphe 3, point g), du traité, concernant les comptes consolidés et dans tous les cas visés à l'article 1 er, paragraphes 1 et 2, de la directive 83/349/CEE, ou une relation similaire entre toute personne physique ou morale et une entreprise. Aux fins du point b), les dispositions suivantes s'appliquent : - toute entreprise filiale d'une entreprise filiale est également considérée comme une filiale de l'entreprise mère qui est à la tête de ces entreprises ; - une situation dans laquelle au moins deux personnes physiques ou morales sont liées en permanence à une seule et même personne par une relation de contrôle est également considérée comme constituant un lien étroit entre lesdites personnes ; a) at least two of which are established in different Member States, or b) established in the same Member State into a newly constituted UCITS established in another Member State; (22) "domestic merger" means a merger between UCITS established in the same Member State where at least one of the involved UCITS has been notified pursuant to Article 93 of Directive 2009/65/EC; (23) "money market instruments" means instruments normally dealt in on the money market which are liquid and have a value which can be accurately determined at any time; (24) "close links" means a situation in which two or more natural or legal persons are linked by either: a) "participation", which means the ownership, direct or by way of control, of 20% or more of the voting rights or capital of an undertaking, or b) "control", which means the relationship between a "parent undertaking" and a "subsidiary", as defined in Articles 1 and 2 of Seventh Council Directive 83/349/EEC of 13 June 1983 based on Article 54, paragraph (3), point g), of the Treaty on consolidated accounts and in all the cases referred to in Article 1 paragraphs (1) and (2) of Directive 83/349/EEC, or a similar relationship between any natural or legal person and an undertaking. For the purposes of point b), the following provisions apply: - a subsidiary undertaking of a subsidiary undertaking shall also be considered to be a subsidiary of the parent undertaking which is at the head of those undertakings; - situations in which two or more natural or legal persons are permanently linked to the same person by a control relationship shall also be regarded as constituting a close link between such persons; (25) «OPC» : organisme de placement collectif ; (25) "UCI" means undertaking for collective investment; 6

9 (26) «OPCVM» : organisme de placement collectif en valeurs mobilières soumis à la directive 2009/65/CE ; (27) «parts» : les parts d'un organisme qui revêt la forme contractuelle (fonds commun de placement géré par une société de gestion) et également les actions d'un organisme qui revêt la forme statutaire (société d'investissement) ; (28) «participation qualifiée dans une société de gestion» : le fait de détenir dans une société de gestion une participation, directe ou indirecte, qui représente au moins 10% du capital ou des droits de vote, conformément aux articles 8 et 9 de la loi du 11 janvier 2008 relative aux obligations de transparence et aux conditions régissant l'agrégation des droits de vote énoncées à l'article 11, paragraphes (4) et (5) de cette même loi, ou toute autre possibilité d'exercer une influence notable sur la gestion de cette entreprise ; (26) "UCITS" means undertaking for collective investment in transferable securities subject to Directive 2009/65/EC; (27) "units" means units of an undertaking constituted in accordance with contract law (common fund managed by a management company) and also shares in an undertaking constituted by statute (investment company); (28) "qualifying holding in a management company" means a direct or indirect holding in a management company which represents 10% or more of the capital or of the voting rights, in accordance with Articles 8 and 9 of the Law of 11 January 2008 on transparency requirements and on the conditions governing the aggregation of voting rights under Article 11, paragraphs (4) and (5) of this aforesaid Law, or any other possibility to exercise a significant influence over the management of this company; (29) «pays tiers» : un État autre qu'un État membre ; (29) "third country" means a state other than a Member State; (30) «porteur de parts» : vise les porteurs de parts dans les organismes qui revêtent la forme contractuelle (fonds commun de placement gérés par une société de gestion) et également les actionnaires dans les organismes qui revêtent la forme statutaire (sociétés d'investissement) ; (30) "unitholder" means unitholders in undertakings constituted in accordance with contract law (common fund managed by a management company) and also shareholders in undertakings constituted by statute (investment companies); (31) «SICAV» : société d'investissement à capital variable ; (31) "SICAV" means société d'investissement à capital variable (investment company with variable capital); (32) «succursale» : un lieu d'exploitation qui fait partie d'une société de gestion sans avoir la personnalité juridique et qui fournit les services pour lesquels la société de gestion a été agréée. Aux fins de l'application de la présente définition, tous les lieux d'exploitation établis dans le même État membre par une société de gestion ayant son administration centrale dans un autre État membre sont considérés comme une seule succursale ; (33) «support durable» : un instrument permettant à un investisseur de stocker des informations qui lui sont adressées personnellement d'une manière permettant de s'y reporter à l'avenir pendant un laps de temps adapté aux fins auxquelles les informations sont destinées et qui permet la reproduction à l'identique des informations stockées ; (32) "branch" means a place of business which is a part of the management company, which has no legal personality and which provides the services for which the management company has been authorised. For the purposes of this definition, all places of business established in the same Member State by a management company with its head office in another Member State shall be regarded as a single branch; (33) "durable medium" means an instrument which enables an investor to store information addressed personally to that investor in a way that is accessible for future reference for a period of time adequate for the purposes of the information and which allows the unchanged reproduction of the information stored; (34) «valeurs mobilières» : (34) "transferable securities" means: - les actions et autres valeurs assimilables à des actions («actions»), - les obligations et les autres titres de créance («obligations»), - toutes les autres valeurs négociables donnant le droit d'acquérir de telles valeurs mobilières par voie de souscription ou d'échange. Aux fins de l'application de la présente définition, ne constituent pas des valeurs mobilières les techniques et instruments visés à l'article 42 de la présente loi. - shares in companies and other securities equivalent to shares in companies ("shares"), - bonds and other forms of securitised debt ("debt securities"), - any other negotiable securities which carry the right to acquire any such transferable securities by subscription or exchange. For the purposes of this definition, the techniques and instruments referred to in Article 42 of this Law do not constitute transferable securities. 7

10 PARTIE I : DES OPCVM Chapitre 1 er. Dispositions générales et champ d'application PART I: UCITS Chapter 1 General provisions and scope Art. 2. Art. 2 (1) La présente partie s'applique à tous les OPCVM établis au Luxembourg. (2) Est réputé OPCVM pour l'application de la présente loi, sous réserve de l'article 3, tout organisme - dont l'objet exclusif est le placement collectif en valeurs mobilières ou dans d'autres actifs financiers liquides visés à l'article 41 paragraphe (1), de la présente loi, des capitaux recueillis auprès du public, et dont le fonctionnement est soumis au principe de la répartition des risques, et - dont les parts sont, à la demande des porteurs, rachetées directement ou indirectement, à charge des actifs de cet organisme. Est assimilé à de tels rachats le fait pour un OPCVM d'agir afin que la valeur de ses parts en bourse ne s'écarte pas sensiblement de leur valeur d'inventaire nette. La présente partie ne concerne pas : (1) This Part applies to all UCITS established in Luxembourg. (2) For the purposes of this Law, and subject to Article 3, UCITS means an undertaking - with the sole object of collective investment in transferable securities or in other liquid financial assets referred to in Article 41, paragraph (1) of this Law, of capital raised from the public and which operate on the principle of risk-spreading, and - with units which are, at the request of holders, repurchased, directly or indirectly, out of this undertaking's assets. Action taken by a UCITS to ensure that the stock exchange value of its units does not significantly vary from their net asset value shall be regarded as equivalent to any such repurchase. (3) Any such undertakings may be constituted in accordance with contract law (common funds managed by management companies) or by statute (investment companies). (4) Investment companies whose assets are invested through the intermediary of subsidiary companies, mainly in other assets than in transferable securities or in other liquid financial assets referred to in Article 41, paragraph (1) of this Law shall not, however, be subject to this Part. (5) UCITS which are subject to this Part are prohibited from transforming themselves into investment undertakings which are not subject to Directive 2009/65/EC. Art. 3. 11 Chapitre 2. Des fonds communs de placement en valeurs mobilières Chapter 2 Common funds in transferable securities Art. 5. Art. 5 Est réputée fonds commun de placement pour l'application de la présente partie toute masse indivise de valeurs mobilières et/ou d'autres actifs financiers liquides mentionnés à l'article 41, paragraphe (1), composée et gérée selon le principe de la répartition des risques pour le compte de propriétaires indivis qui ne sont engagés que jusqu'à concurrence de leur mise et dont les droits sont représentés par des parts destinées au placement dans le public par une offre publique ou privée. For the purposes of this Part, any undivided collection of transferable securities and/or other liquid financial assets referred to in Article 41, paragraph (1) shall be regarded as a common fund if it is made up and managed according to the principle of risk spreading on behalf of joint owners who are liable only up to the amount contributed by them and whose rights are represented by units intended for placement with the public by means of a public or private offer. Art. 6. Art. 6 Le fonds commun de placement ne répond pas des obligations de la société de gestion ou des porteurs de parts; il ne répond que des obligations et frais mis expressément à sa charge par son règlement de gestion. A common fund shall not be liable for the obligations of the management company or of the unitholders; it shall be answerable only for the obligations and expenses expressly imposed upon it by its management regulations. Art. 7. Art. 7 La gestion d'un fonds commun de placement est assurée par une société de gestion visée à la partie IV, chapitre 15, de la présente loi. The management of a common fund shall be carried out by a management company referred to in Part IV, Chapter 15 of this Law. Art. 8. Art. 8 (1) La société de gestion émet des certificats nominatifs ou des titres au porteur, représentatifs d'une ou de plusieurs quotes-parts du fonds commun de placement qu'elle gère, ou encore, dans les conditions prévues au règlement de gestion, des confirmations écrites d'inscription des parts ou de fractions de parts sans limitation de fractionnement. Les droits attachés aux fractions de parts sont exercés au prorata de la fraction de part détenue à l'exception toutefois des droits de vote éventuels qui ne peuvent être exercés que par part entière. Les certificats et titres sont signés par la société de gestion et par le dépositaire visé à l'article 17. Ces signatures peuvent être reproduites mécaniquement. (1) The management company shall issue registered certificates or bearer securities, representing one or more portions of the common fund which it manages, or, in accordance with the conditions laid down in the management regulations, written confirmations of entry in the register of units or fractions of units without limitation as to the fractioning of units. Rights attaching to fractions of units are exercised in proportion to the fraction of a unit held except for possible voting rights which can only be exercised for whole units. The certificates and securities shall be signed by the management company and by the depositary referred to in Article 17. These signatures may be reproduced mechanically. Art. 9. Art. 9 (1) L'émission des parts s'opère à un prix obtenu en divisant la valeur de l'actif net du fonds commun de placement par le nombre de parts en circulation, ce prix pouvant être majoré de frais et commissions, dont les maxima et les modalités de perception peuvent être fixés par un règlement CSSF. (2) Les parts ne peuvent être émises sans que l'équivalent du prix d'émission net ne soit versé dans les délais d'usage dans les actifs du fonds commun de placement. Cette disposition ne s'oppose pas à la distribution de parts gratuites. (3) Sauf disposition contraire du règlement de gestion du fonds, l'évaluation des actifs du fonds se base pour les valeurs admises à une cote officielle, sur le dernier cours de bourse connu, à moins que ce cours ne soit pas représentatif. Pour les valeurs non admises à une telle cote et pour les valeurs admises à une cote, mais dont le dernier cours n'est pas représentatif, l'évaluation se base 9 (1) Units shall be issued at a price obtained by dividing the net asset value of the common fund by the number of units outstanding; this price may be increased by expenses and commissions, the maximum amounts and procedures for collection of which may be determined by a CSSF regulation. (2) Units may not be issued unless the equivalent of the net issue price is paid into the assets of the common fund within the usual time limits. This provision shall not preclude the distribution of bonus units. (3) Unless otherwise provided for in the management regulations of the fund, the valuation of the assets of the fund shall be based, in the case of securities admitted to official listing on a stock exchange, on the last known stock exchange quotation, unless this quotation is not representative. For securities not so admitted on such a stock exchange and for securities which are so admitted

(2) Un fonds commun de placement doit racheter ses parts à la demande d'un porteur de parts. (3) Le rachat des parts s'opère sur la base de la valeur calculée conformément à l'article 9, paragraphe (1), déduction faite de frais et commissions éventuels, dont les maxima et modalités de perception peuvent être fixés par un règlement CSSF. (1) Neither the holders of the units nor their creditors may require the distribution or the dissolution of the common fund. (2) A common fund must repurchase its units at the request of a unitholder. (3) The repurchase of units shall be effected on the basis of the value calculated in accordance with Article 9, paragraph (1), after deduction of any applicable expenses and commissions, the maximum amounts and procedures for collection of which may be determined by a CSSF regulation. Art. 12. Art. 12 (1) Par dérogation à l'article 11, paragraphe (2) : (1) By way of derogation from Article 11, paragraph (2): a) la société de gestion peut suspendre temporairement dans les cas et selon les modalités prévus par le règlement de gestion le rachat des parts. La suspension ne peut être prévue que dans des cas exceptionnels quand les circonstances l'exigent et si la suspension est justifiée compte tenu des intérêts des porteurs de parts ; b) la CSSF peut exiger dans l'intérêt des porteurs de parts ou dans l'intérêt public la suspension du rachat des parts, et cela notamment lorsque les dispositions législatives, réglementaires ou conventionnelles concernant l'activité et le fonctionnement du fonds commun de placement ne sont pas observées. (2) Dans les cas visés au paragraphe (1), point a), la société de gestion doit faire connaître sans délai sa décision à la CSSF et si les parts du fonds sont commercialisées dans d'autres États membres de l'union européenne, aux autorités compétentes de ceux-ci. a) the management company may, in the cases and according to the procedures provided for by the management regulations, temporarily suspend the repurchase of units. Suspension may be provided for only in exceptional cases where circumstances so require and where suspension is justified having regard to the interests of the unitholders; b) the CSSF may in the interests of the unitholders or of the public require the suspension of the repurchase of units, in particular where the provisions of laws, regulations or agreements concerning the activity and operation of the common fund are not observed. (2) In the cases referred to in paragraph (1) point a), the management company must, without delay, communicate its decision to the CSSF and, if the units of the fund are marketed in other Member States of the European Union, to the competent authorities of those Member States. The provisions of these management regulations shall be deemed accepted by the unitholders by the mere fact of the acquisition of these units. Art. 14. Art. 14 (1) La société de gestion gère le fonds commun de placement en conformité avec le règlement de gestion et dans l'intérêt exclusif des porteurs de parts. (2) Elle agit en son propre nom, tout en indiquant qu'elle agit pour le compte du fonds commun de placement. (3) Elle exerce tous les droits attachés aux titres dont se compose le portefeuille du fonds commun de placement. (1) The management company shall manage the common fund in accordance with the management regulations and in the exclusive interests of the unitholders. (2) It shall act in its own name, but shall indicate that it is acting on behalf of the common fund. (3) It shall exercise all the rights attaching to the securities comprised in the portfolio of the common fund. Art. 15. Art. 15 La société de gestion doit exécuter ses obligations avec la diligence d'un mandataire salarié; elle répond, à l'égard des porteurs de parts, du préjudice résultant de l'inexécution ou de la mauvaise exécution de ses obligations. The management company must fulfil its obligations with the diligence of a salaried agent; it shall be liable to the unitholders for any loss resulting from the non-fulfilment or improper fulfilment of its obligations. Art. 16. Art. 16 Sauf stipulation contraire du règlement de gestion, les actifs nets du fonds commun de placement peuvent être distribués dans les limites de l'article 23 de la présente loi. Unless otherwise provided for in the management regulations, the net assets of the common fund may be distributed subject to the limits set out in Article 23 of this Law. Art. 17. Art. 17 (1) La garde des actifs d'un fonds commun de placement doit être confiée à un dépositaire. 14 (2) Le dépositaire doit, soit avoir son siège statutaire au Luxembourg, soit y être établi, s'il a son siège statutaire dans un autre État membre. (3) Le dépositaire doit être un établissement de crédit au sens de la loi modifiée du 5 avril 1993 relative au secteur financier. (4) La responsabilité du dépositaire n'est pas affectée par le fait qu'il confie à un tiers tout ou partie des actifs dont il a la garde. (5) Les dirigeants du dépositaire doivent avoir l'honorabilité et l'expérience requises eu égard également au type de fonds commun de placement concerné. À cette fin, l'identité des dirigeants, ainsi que de toute personne leur succédant dans leurs fonctions, doit être notifiée immédiatement à la CSSF. Par «dirigeants», on entend les personnes qui, en vertu de la loi ou des documents constitutifs, représentent le dépositaire ou qui déterminent effectivement l'orientation de son activité. (6) Le dépositaire est tenu de fournir à la CSSF sur demande toutes les informations que le dépositaire a obtenues dans l'exercice de ses fonctions et qui sont nécessaires pour permettre à la CSSF de surveiller le respect de la présente loi par le fonds commun de placement. (2) The depositary must either have its registered office in Luxembourg or be established in Luxembourg if its registered office is in another Member State. (3) The depositary must be a credit institution within the meaning of the Law of 5 April 1993 on the financial sector, as amended. (4) The depositary's liability shall not be affected by the fact that it has entrusted to a third party all or some of the assets in its safe-keeping. (5) The directors 4 of the depositary must be of sufficiently good repute and be sufficiently experienced, also in relation to the common fund concerned. To that end, the identity of the directors and of every person succeeding them in office must be communicated forthwith to the CSSF. "Directors" shall mean those persons, who under law or the instruments of incorporation represent the depositary or effectively determine the conduct of its activity. (6) The depositary is required to provide the CSSF on request with all the information that the depositary has obtained in the exercise of its duties and which is necessary to enable the CSSF to monitor compliance by the mutual fund with this Law. Art. 18. Art. 18 (1) Le dépositaire accomplit toutes opérations concernant l'administration courante des actifs du fonds commun de placement. (1) The depositary shall carry out all operations concerning the day-to-day administration of the assets of the common fund. (3) Lorsque l'état membre d'origine de la société de gestion n'est pas le même que celui du fonds commun de placement, le dépositaire doit signer avec ladite société de gestion un accord écrit qui régit le flux des informations considérées comme nécessaires pour lui permettre de remplir les fonctions décrites aux articles 17(1) et (4) et 18(2) et dans d'autres dispositions législatives réglementaires ou administratives applicables au dépositaire. a) ensure that the sale, issue, repurchase and cancellation of units effected on behalf of the common fund or by the management company are carried out in accordance with the law and the management regulations, b) ensure that the value of units is calculated in accordance with the law and the management regulations, c) carry out the instructions of the management company, unless they conflict with the law or the management regulations, d) ensure that in transactions involving the common fund's assets, any consideration is remitted to it within the usual time limits, e) ensure that the common fund's income is applied in accordance with the management regulations. (3) Where the management company's home Member State is not the same as that of the common fund, the depositary must sign a written agreement with the management company regulating the flow of information deemed necessary to allow it to perform the functions described in Articles 17(1) and (4) and 18(2) and in other laws, regulations or administrative provisions which are relevant for the depositary. 4 dirigeants in the French version. 12

Art. 19 (1) Le dépositaire est responsable, selon le droit luxembourgeois, à l'égard de la société de gestion et des porteurs de parts, de tout préjudice subi par eux résultant de l'inexécution injustifiable ou de la mauvaise exécution de ses obligations. (2) À l'égard des porteurs de parts, la responsabilité est mise en cause par l'intermédiaire de la société de gestion. Si la société de gestion n'agit pas, nonobstant sommation écrite d'un porteur de parts, dans un délai de trois mois à partir de cette sommation, ce porteur de parts peut mettre en cause directement la responsabilité du dépositaire. (1) The depositary shall be liable, in accordance with Luxembourg law, to the management company and the unitholders for any loss suffered by them as a result of its unjustifiable failure to perform its obligations or its improper performance of them. (2) Liability to unitholders shall be invoked through the management company. Should the management company fail to act despite a written notice to that effect from a unitholder within a period of three months following receipt of such a notice, that unitholder may directly invoke the liability of the depositary. Art. 20. Art. 20 La société de gestion et le dépositaire doivent, dans l'exercice de leurs fonctions respectives, agir de façon indépendante et exclusivement dans l'intérêt des participants. In the context of their respective roles, the management company and the depositary must act independently and solely in the interest of the unitholders. Art. 21. Art. 21 Les fonctions de la société de gestion ou du dépositaire à l'égard du fonds commun de placement prennent fin : a) en cas de retrait de la société de gestion, à la condition qu'elle soit remplacée par une autre société de gestion agréée conformément à la directive 2009/65/CE ; b) en cas de retrait du dépositaire intervenu de sa propre initiative ou de celle de la société de gestion; en attendant son remplacement qui doit avoir lieu dans les deux mois, il prendra toutes les mesures nécessaires à la bonne conservation des intérêts des porteurs de parts ; c) c) lorsque la société de gestion ou le dépositaire a été déclaré en faillite, admis au bénéfice du concordat, du sursis de paiement, de la gestion contrôlée ou d'une mesure analogue ou mis en liquidation ; d) lorsque l'agrément de la société de gestion ou du dépositaire a été retiré par l'autorité compétente ; e) dans tous les autres cas prévus par le règlement de gestion. The duties of the management company or of the depositary in respect of the common fund shall cease: a) in the case of withdrawal of the management company, provided that it is replaced by another management company authorised in accordance with Directive 2009/65/EC; b) in the case of voluntary withdrawal of the depositary or of its removal by the management company; until the replacement of the depositary, which must happen within two months, the depositary must take all necessary steps for the good preservation of the interests of the unitholders; c) where the management company or the depositary has been declared bankrupt, has entered into an arrangement with creditors, has obtained a suspension of payment, has been put under court-controlled management, or has been the subject of similar proceedings or has been put into liquidation; d) where the authorisation of the management company or the depositary has been withdrawn by the competent authority; e) in all other cases provided for in the management regulations. Art. 22. Art. 22 (1) Le fonds commun de placement se trouve en état de liquidation : a) à l'échéance du délai éventuellement fixé par le règlement de gestion ; b) en cas de cessation des fonctions de la société de gestion ou du dépositaire conformément aux points b), c), d) et e) de l'article 21, s'ils n'ont pas été remplacés dans les deux mois, sans préjudice du cas spécifique visé au point c) ci-dessous ; (1) Liquidation of the common fund shall take place: a) upon the expiry of any period as may be fixed by the management regulations; b) in the event of cessation of their duties by the management company or by the depositary in accordance with Article 21, points b), c), d) and e), if they have not been replaced within two months without prejudice to the specific circumstance addressed in point c) below; c) en cas de faillite de la société de gestion ; c) in the event of bankruptcy of the management company; d) si l'actif net du fonds commun de placement est devenu inférieur pendant plus de 6 mois au quart du minimum légal prévu à l'article 23 ci-après ; d) if the net assets of the common fund have fallen for more than 6 months below one quarter of the legal minimum provided for in Article 23 hereafter; 13

Cette publication se fait par l'insertion au Mémorial et dans au moins deux journaux à diffusion adéquate dont au moins un journal luxembourgeois. (3) Dès la survenance du fait entraînant l'état de liquidation du fonds commun de placement, l'émission des parts est interdite, sous peine de nullité. Le rachat des parts reste possible, si le traitement égalitaire des porteurs de parts peut être assuré. e) in all other cases provided for in the management regulations. (2) Notice of the event giving rise to liquidation shall be published without delay by the management company or the depositary. Failing this, the notice will be published by the CSSF at the expense of the common fund. The notice shall be published in the Mémorial and in at least two newspapers with adequate circulation, one of which at least must be a Luxembourg newspaper. (3) As soon as the event giving rise to liquidation of the common fund occurs, the issue of units shall be prohibited, on penalty of nullity. The repurchase of units remains possible provided the equal treatment of unitholders can be ensured. Art. 23. Art. 23 L'actif net du fonds commun de placement ne peut être inférieur à un million deux cent cinquante mille euros ( euros). Ce minimum doit être atteint dans un délai de six mois à partir de l'agrément du fonds commun de placement. Un règlement CSSF peut fixer ce minimum à un chiffre plus élevé sans dépasser deux millions cinq cent mille euros ( euros). The net assets of a common fund may not be less than one million two hundred and fifty thousand euro (EUR 1,250,000). This minimum must be reached within a period of six months following the authorisation of the common fund. A CSSF regulation may increase this minimum amount up to a maximum of two million five hundred thousand euro (EUR 2,500,000). Art. 24. Art. 24 La société de gestion doit informer sans retard la CSSF quand l'actif net du fonds commun de placement est devenu inférieur aux deux tiers du minimum légal. The order addressed to the management company by the CSSF to put a common fund into liquidation shall be published without delay by the management company or the depositary. By derogation from the provisions of the Decree of 24 Prairial, year XI, where this deed is in English, the requirement to attach a translation into an official language to that deed when it is filed with the registration authorities, does not apply. (3) By derogation to Article 73, sub-paragraph 2 of the Law of 10 August 1915 on commercial companies, as amended, SICAVs are not required to send the annual accounts, as well as the report of the approved statutory auditor 6, the management report and, where applicable, the comments made by the supervisory board to the registered unitholders at the same time as the convening notice to the annual general meeting. The convening notice shall indicate the place and the practical arrangements for providing these documents to the unitholders and shall specify that each unitholder may request that the annual accounts, as well as the report of the approved statutory auditor, the management report and, where applicable, the comments made by the supervisory board are sent to him. (4) The convening notices to general meetings of unitholders may provide that the quorum and the majority at the general meeting shall be determined according to the units issued and outstanding at midnight (Luxembourg time) on the fifth day prior to the general meeting (referred to as "Record Date"). The rights of a unitholder to attend a general meeting and to exercise a voting right attaching to his units are determined in accordance with the units held by this unitholder at the Record Date. In addition, where a SICAV has not designated a management company authorised pursuant to Directive 2009/65/EC: - the application for authorisation must be accompanied by a programme of operations setting out, inter alia, the organisational structure of the SICAV; 6 Article 1 paragraph (29) of the Law of 18 December 2009 relating to the audit profession: "Réviseur d'entreprises agréé" means a réviseur d'entreprises, member of the IRE (Institut des Réviseurs d'entreprises) who is approved in accordance with the Law of 18 December 2009 to carry out: a) statutory audits and b) any other duties which are exclusively entrusted to him by law 15

À cette fin, l'identité des dirigeants, ainsi que de toute personne leur succédant dans leurs fonctions, doit être immédiatement notifiée à la CSSF. La conduite de l'activité de la SICAV doit être déterminée par au moins deux personnes remplissant ces conditions. Par «dirigeants», on entend les personnes qui représentent la SICAV en vertu de la loi ou des documents constitutifs, ou qui déterminent effectivement la politique de la société ; - en outre, lorsque des liens étroits existent entre la SICAV et d'autres personnes physiques ou morales, la CSSF n'accorde l'agrément que si ces liens n'entravent pas le bon exercice de sa mission de surveillance. La CSSF refuse également l'agrément si les dispositions légales, réglementaires ou administratives d'un pays tiers dont relèvent une ou plusieurs personnes physiques ou morales avec lesquelles la SICAV a des liens étroits, ou si des difficultés tenant à l'application de ces dispositions, entravent le bon exercice de sa mission de surveillance. Les SICAV sont tenues de communiquer à la CSSF les informations qu'elle requiert. Le demandeur est informé, dans les six mois à compter de la présentation d'une demande complète, que l'agrément est octroyé ou refusé. Le refus d'agrément est motivé. Dès que l'agrément est accordé, la SICAV peut commencer son activité. L'octroi de l'agrément implique pour les membres des organes d'administration, de gestion et de surveillance de la SICAV l'obligation de notifier à la CSSF spontanément par écrit et sous une forme complète, cohérente et compréhensible tout changement concernant les informations substantielles sur lesquelles la CSSF s'est fondée pour instruire la demande d'agrément. La CSSF ne peut retirer l'agrément à une SICAV relevant de la présente partie de la loi que lorsque celle-ci : a) ne fait pas usage de l'agrément dans un délai de douze mois, y renonce expressément ou a cessé d'exercer l'activité couverte par la présente loi depuis plus de six mois ; b) a obtenu l'agrément au moyen de fausses déclarations ou par tout autre moyen irrégulier ; c) ne remplit plus les conditions d'octroi de l'agrément ; d) a enfreint de manière grave et/ou systématique les dispositions de la présente loi ou des règlements adoptés en application de celle-ci ; e) relève d'un des autres cas de retrait prévus par la présente loi. (2) Les articles 110, 111 et 112 du chapitre 15 s'appliquent aux SICAV n'ayant pas désigné une société de gestion agréée conformément à la directive 2009/65/CE, étant entendu que les termes «société de gestion» se lisent «SICAV». - the directors of the SICAV shall be of sufficiently good repute and be sufficiently experienced in relation to the type of business carried out by that company. To that end, the name of the directors and of any person succeeding them in office must be communicated forthwith to the CSSF. The conduct of a SICAV's business must be decided by at least two persons meeting these conditions. "Directors" shall mean those persons who, under law or the instruments of incorporation represent the SICAV or who effectively determine the policy of the company; - moreover, where close links exist between the SICAV and other natural or legal persons, the CSSF shall grant authorisation only if those links do not prevent the effective exercise of its supervisory functions. The CSSF shall also refuse authorisation if the laws, regulations or administrative provisions of a third country governing one or more natural or legal persons with which the SICAV has close links, or difficulties involved in their enforcement, prevent the effective exercise of its supervisory functions. SICAVs shall communicate to the CSSF the information it requires. The applicant shall be informed, within six months of the submission of a complete application, whether or not authorisation has been granted. Reasons shall be given whenever an authorisation is refused. A SICAV may start business as soon as authorisation has been granted. For the members of the administrative body, management board and supervisory board of the SICAV, the granting of authorisation implies an obligation to notify the CSSF, spontaneously, in writing and in a complete, coherent and comprehensible manner, of any change regarding substantial information upon which the CSSF based itself to examine the application for authorisation. The CSSF may withdraw the authorisation issued to a SICAV subject to this part of the Law only where that company: a) does not make use of the authorisation within twelve months, expressly renounces the authorisation or has ceased the activity covered by this Law for more than six months; b) has obtained the authorisation by making false statements or by any other irregular means; c) no longer fulfils the conditions under which authorisation was granted; d) has seriously and/or systematically infringed the provisions of this Law or of the regulations adopted pursuant thereto; e) falls within any of the cases where this Law provides for withdrawal. (2) Articles 110, 111 and 112 of Chapter 15 shall apply to SICAVs that have not designated a management company authorised pursuant to Directive 2009/65/EC, provided that the words "management company" shall be construed as "SICAV". 16

SICAVs may only manage assets of their own portfolio and may not, under any circumstances, receive any mandate to manage assets on behalf of a third party. (3) SICAVs that have not designated a management company authorised pursuant to Directive 2009/65/EC shall at all times observe applicable prudential rules. In particular, the CSSF, having regard also to the nature of the SICAV, shall require that the company has sound administrative and accounting procedures, control and safeguard arrangements for electronic data processing and adequate internal control mechanisms including, in particular, rules for personal transactions by its employees or for the holding or management of investments in financial instruments in order to invest its initial capital and ensuring, inter alia, that each transaction involving the company may be reconstructed according to its origin, the parties concerned, its nature, and the time when and the place at which it was effected and that the assets of the SICAV are invested according to the instruments of incorporation and the legal provisions in force. Art. 28. Art. 28 (1) a) La SICAV peut à tout moment émettre ses parts, sauf disposition contraire des statuts. b) La SICAV doit racheter ses parts à la demande du porteur de parts, sans préjudice des paragraphes (5) et (6) du présent article. (3) Les parts d'une SICAV ne peuvent être émises sans que l'équivalent du prix d'émission ne soit versé dans les délais d'usage dans les actifs de la SICAV. Cette disposition ne s'oppose pas à la distribution de parts gratuites. (4) Les statuts déterminent les délais de paiement relatifs aux émissions et aux rachats et précisent les principes et modes d'évaluation des actifs de la SICAV. Sauf dispositions contraires dans les statuts, l'évaluation des actifs de la SICAV se base pour les valeurs admises à une cote officielle, sur le dernier cours de bourse connu, à moins que ce cours ne soit pas représentatif. Pour les valeurs non admises à une telle cote et pour les valeurs admises à une telle cote, mais dont le dernier cours n'est pas représentatif, l'évaluation se base sur la valeur probable de réalisation, laquelle doit être estimée avec prudence et bonne foi. 17 (1) a) Subject to any contrary provisions of its articles of incorporation, the SICAV may issue its units at any time. b) The SICAV must repurchase its units at the request of the unitholder without prejudice to paragraphs (5) and (6) of this Article. (2) a) The units shall be issued at a price arrived at by dividing the net asset value of the SICAV by the number of units outstanding; this price may be increased by expenses and commissions, the maximum amounts and procedures for collection of which may be determined by a CSSF regulation. b) The units shall be redeemed at a price arrived at by dividing the net asset value of the SICAV by the number of units outstanding; this price may be decreased by expenses and commissions, the maximum amounts and procedures for collection of which may be determined by a CSSF regulation. (3) Units of a SICAV may not be issued unless the equivalent of the net issue price is paid into the assets of the SICAV within the usual time limits. This provision shall not preclude the distribution of bonus units. (4) The articles of incorporation shall determine the time limits for payments in respect of issues and repurchase and shall specify the principles and methods of valuation of the assets of the SICAV. Unless otherwise provided for in the articles of incorporation, the valuation of the assets of the SICAV shall be based, in the case of securities admitted to official listing on a stock exchange, on the last known stock exchange quotation, unless that quotation is not representative. For securities not so admitted on such a stock exchange and for securities which are admitted on such a stock exchange but for which the latest quotation is not representative, the valuation shall be based on the probable realisation value which must be estimated with care and in good faith.

In the event of suspension of issues or repurchases, the SICAV must inform the CSSF without delay and, if it markets its units in other Member States of the European Union, the competent authorities of those states. In the interests of the unitholders, repurchases may be suspended by the CSSF if the provisions of the laws, regulations or the articles of incorporation concerning the activity and operation of the SICAV are not observed. (6) The articles of incorporation shall determine the frequency of the calculation of the issue and repurchase price. (7) The articles of incorporation shall specify the nature of the expenses to be borne by the SICAV. (8) The units must be fully paid up. They shall have no par value. (9) A unit shall specify the minimum amount of capital and shall give no indication regarding its par value or the portion of the capital which it represents. (10) The purchase and sale of assets must be effected at prices conforming to the valuation criteria of paragraph (4). Art. 29.
