TOUTE ACTION DU VENDEUR ÉNONCÉE CI- DESSOUS VAUT ACCEPTATION DE LA PRÉSENTE COMMANDE ET DE TOUTES LES MODALITÉS QUI L ACCOMPAGNENT : LA SIGNATURE ET L ENVOI D UN EXEMPLAIRE DE CETTE COMMANDE, LA LIVRAISON DE TOUT BIEN OU SERVICE VISÉ PAR CETTE COMMANDE, L INFORMATION DE L ACHETEUR, DE QUELQUE MANIÈRE QUE CE SOIT, DU DÉBUT DE L EXÉCUTION ET/OU LE RETOUR DU FORMULAIRE D ACCUSÉ DE RÉCEPTION DU VENDEUR. 1. MODIFICATIONS Le Vendeur n acceptera aucune modification des spécifications du présent bon de commande telle qu instructions verbales ou dessins modifiés si celle-ci n est pas autorisée à l avance par le Service des achats de l Acheteur. L Acheteur peut apporter des modifications aux dessins et spécifications d un article à tout moment. Si ces modifications entraînent un retard ou une dépense supplémentaire pour le Vendeur, un ajustement équitable du prix et du calendrier de livraison sera effectué. 2. PRIX ET LIVRAISON Le Vendeur fournit les biens visés dans la présente commande (les «Biens») ou les services visés dans la présente commande (les «Services») conformément aux prix et au calendrier de livraison indiqués au recto de cette commande. Si les prix et/ou dates de livraison ne sont pas précisés, le Vendeur propose les prix les plus bas et/ou les meilleurs délais de livraison, qui seront tous deux soumis à acceptation écrite de l Acheteur. Tous les prix comprennent toutes les taxes applicables, à l exception des taxes sur les ventes, qui sont indiquées séparément le cas échéant. Le Vendeur garantit que les prix facturés pour les Biens ou Services seront aussi bas que les prix les plus bas facturés par le Vendeur à tout client achetant des biens ou services similaires en quantités identiques ou plus faibles et dans des circonstances comparables. L Acheteur peut retourner ou stocker aux frais du Vendeur tout Bien livré plus de dix (10) jours avant la

2 date de livraison indiquée pour ces Biens. Pour toute exception à la date de livraison indiquée sur le présent bon de commande, le Vendeur en informera le service des Achats de l Acheteur au préalable et obtiendra son approbation à ce sujet. En ce qui concerne la livraison aux termes d un contrat, les délais constituent une condition essentielle du contrat et le bon de commande peut être annulé par l Acheteur en cas de défaut de livraison à temps. L acceptation par l Acheteur d une exécution tardive avec ou sans objection ou réserve ne vaut pas renonciation au droit de réclamer des dommages et intérêts au titre de ce manquement et ne constitue pas non plus une renonciation aux exigences d exécution ponctuelle de toute obligation restant à exécuter par le Vendeur. 3. CONDITIONNEMENT ET EXPÉDITION Le Vendeur ne facturera pas le conditionnement ni le stockage. Tous les Biens seront emballés, marqués et préparés conformément aux bonnes pratiques commerciales pour obtenir les prix d expédition les plus faibles possibles. Le Vendeur indiquera sur les conteneurs des instructions de manutention et de chargement, des informations relatives à l'expédition, le numéro de commande, le numéro de l'article et du compte, la date d'expédition et les noms et adresses du Vendeur et de l Acheteur. Une liste de marchandises détaillée accompagnera cette expédition. 4. F.A.B., PROPRIÉTÉ ET RISQUE DE PERTE Sauf indication contraire au recto de la commande, le point F.A.B. sera le site de l Acheteur désigné au recto de cette commande. Si le transport est F.A.B. site du Vendeur, celui-ci assumera tous les risques de perte ou de dommages des Biens et la propriété ne passera à l Acheteur qu à la livraison des Biens au transporteur. Si le transport est F.A.B. site de l Acheteur, le Vendeur assumera tous les risques de perte ou de dommages des Biens et la propriété ne passera à l Acheteur qu à la livraison des Biens au site de l Acheteur. 5. FACTURATION Après chaque expédition ou prestation de services aux termes de la présente commande, le Vendeur adressera une facture distincte, comprenant les numéros d articles, en double exemplaire, accompagnée d un connaissement ou d un récépissé d envoi en express. Le paiement de la facture ne vaudra pas acceptation des Biens ou Services et sera sous réserve d ajustement approprié en cas de non-satisfaction de cette commande par le Vendeur. L Acheteur peut déduire tout montant dû par le Vendeur ou l une de ses entités affiliées à l Acheteur ou à l une de ses entités affiliées de tout montant dû par l Acheteur au Vendeur aux termes de la présente commande. Le paiement au Vendeur sera effectué dans les 60 jours suivant la date de réception de cette facture par l Acheteur ou la date de réception par l Acheteur des Biens auxquels se rapporte cette facture, si cette date est postérieure. 6. INSPECTION ; RESPECT DES NORMES ISO Tous les articles sont soumis à inspection et approbation finale dans l usine de l Acheteur ou tout autre lieu désigné par l'acheteur. Ces inspections interviendront dans un délai raisonnable après la livraison, quelle que soit la date de paiement. L Acheteur peut retourner les articles refusés aux frais du Vendeur, pour correction, remplacement ou établissement d un avoir, selon les instructions de l Acheteur. Tout Bien ou Service corrigé ou fourni en remplacement est soumis, à compter de la date de livraison de ce Bien ou Service corrigé ou de remplacement, aux stipulations de la présente commande (y compris les garanties contenues dans l article 7) pour la même durée et dans la même mesure que les Biens fournis initialement conformément à la présente commande. Si la demande lui en est faite et sous réserve de disponibilité, le Vendeur fournira à l Acheteur une justification écrite des procédures d assurance qualité appliquées aux Biens ou aux Services. Le Vendeur s assurera que lui-même et tout sous-traitant sont certifiés ISO 9000 ou ISO 9001, selon le cas et ISO Le Vendeur convient d autoriser l Acheteur à accéder à l usine du Vendeur à tout moment raisonnable aux fins d inspection des articles visés dans la présente commande ou des articles en cours de production et/ou pour vérifier la conformité du Vendeur aux normes ISO.

GARANTIES Outre toutes les autres garanties expresses ou tacites, le Vendeur garantit que les Biens et les Services seront (i) exempts de défauts d usinage et de matériel, (ii) exempts de défauts de conception, sauf si ces Biens et Services respectent les dessins détaillés fournis par l'acheteur, (iii) adaptés aux objets éventuellement énoncés au recto de la présente commande et (iv) conformes à toutes les autres exigences de la présente commande. Les présentes garanties et toutes les autres garanties expresses ou tacites survivront à la livraison, à l inspection, à l acceptation et au paiement. Outre tout droit que l Acheteur pourrait avoir, s il est établi que les Biens ou Services ne sont pas tels que garantis dans un délai d un (1) an après leur acceptation par l Acheteur, ce dernier pourra, aux frais du Vendeur, soit (i) retourner ces Biens au Vendeur pour correction, remplacement ou émission d un avoir, selon les instructions de l Acheteur. Tout Bien ou Service corrigé ou fourni en remplacement est soumis, à compter de la date de livraison de ce Bien ou Service corrigé ou de remplacement, aux stipulations de la présente commande (y compris les garanties contenues dans le présent article) pour la même durée et dans la même mesure que les Biens fournis initialement conformément à la présente commande. 8. PROPRIÉTÉ DE L ACHETEUR Tout équipement ou matériel et autre article acheté, fourni, facturé ou payé par l Acheteur et tout remplacement de celui-ci restera la propriété de l Acheteur. Ces biens seront marqués de manière claire pour indiquer qu ils sont la propriété de l Acheteur et seront stockés en toute sécurité séparément des autres biens. Le Vendeur ne substituera pas d autres biens à la propriété de l Acheteur et n utilisera pas ces biens autrement que pour satisfaire les commandes de l Acheteur. Le Vendeur détiendra ces biens à ses propres risques et, à la demande écrite de l Acheteur, en effectuera la livraison à l Acheteur dans le même état qu ils ont été initialement reçus par le Vendeur, exception faite de l usure normale. 9. DESSINS, SPÉCIFICATIONS ET INFORMATIONS TECHNIQUES Les idées, informations et concepts incorporés ou présentés sur les dessins, spécifications, photographies et autres informations d ingénierie et de fabrication fournis par l Acheteur resteront la propriété de l Acheteur, seront tenus confidentiels par le Vendeur, ne seront communiqués à aucune autre personne ou entité et ne seront ni utilisés ni incorporés à aucun produit ou article fabriqué ou assemblé ultérieurement par le Vendeur ou toute autre personne que l Acheteur. Toute connaissance ou information non brevetée concernant les produits actuels ou envisagés du Vendeur ou leur utilisation que le Vendeur pourrait communiquer à des employés de l Acheteur dans le cadre de la commande, de l acquisition et de l utilisation par l Acheteur des biens ou services couverts par la présente commande, sauf accord exprès écrit, seront considérés comme ayant été communiqués dans le cadre de la contrepartie de la présente commande et le Vendeur convient de ne faire valoir aucune revendication à l encontre de l Acheteur en raison de toute utilisation réelle ou alléguée à laquelle cette information ou cette connaissance peut être affectée par l Acheteur. 10. CONTRATS DE SOUS-TRAITANCE Le Vendeur n est pas autorisé à sous-traiter toute partie du travail afférent à cette commande sans l approbation écrite de l Acheteur. 11. RESPECT DU DROIT Le Vendeur convient et garantit qu il respectera, à ses frais, la Loi américaine sur les pratiques de corruption étrangères (Foreign Corrupt Practices Act) ainsi que toutes les lois sur les importations et les exportations, les restrictions, les contrôles dans l intérêt de la sûreté nationale et les réglementations des États-Unis et de toute agence ou autorité étrangère compétente. Le Vendeur n est pas autorisé à importer, exporter ou réexporter ou bien autoriser l exportation, l importation ou la réexportation de Biens et/ou l exécution des Services ou de tout produit, technologie ou information que le Vendeur obtient ou dont il

4 prend connaissance dans le cadre des présentes ou de toute copie ou produit qui en est directement dérivé, en violation de ces lois, restrictions ou réglementations ou sans obtenir toute licence ou approbation requise en vertu de celles-ci. Le Vendeur respectera toutes les lois, ordonnances, règles et réglementations fédérales, d État et locales afférentes à la fabrication et la vente des Biens et à l exécution des Services y compris, sans s y limiter, la Loi sur l hygiène et la sécurité sur le lieu de travail (Occupation Safety and Health Act), la Loi sur la sincérité des négociations (Truth in Negotiation Act) et toutes les dispositions applicables de la Loi sur l équité en matière d emploi (Fair Labor Standards Act). Le Vendeur défendra et tiendra l Acheteur hors de cause en cas de perte, de dommages ou de frais résultant de ou causés, d une quelconque manière, par toute violation réelle ou alléguée d une loi, ordonnance, règle ou réglementation fédérale, d État ou locale ou par le défaut, par le Vendeur, d inclusion de tout produit chimique vendu aux termes des présentes dans la liste des substances chimiques approuvées publiée par l Agence pour la protection de l environnement (Environmental Protection Agency) en vertu de la Loi sur le contrôle des substances toxiques (Toxic Substances Control Act). Le Vendeur divulguera par écrit à l Acheteur toute restriction ou réglementation fédérale, d État ou gouvernementale applicable à ces Biens ou à l'exécution de ces Services. 12. RENONCIATIONS AUX PRIVILÈGES Le Vendeur fournira, à la demande de l Acheteur, des renonciations du Vendeur et de toutes les personnes ayant le droit de faire valoir un privilège en relation avec l exécution de la présente commande. 13. BREVETS ET COPYRIGHTS Le Vendeur défendra, indemnisera et tiendra l Acheteur et ses clients hors de cause en cas de poursuites, plaintes, obligations, dépenses, frais et dommages et intérêts (honoraires d avocat compris) résultant de toute contrefaçon réelle ou alléguée de brevets, copyrights, détournement de secrets commerciaux ou d autres droits de propriété intellectuelle ou relatifs à la maintenance, la commercialisation, la copie, la distribution, l importation, la vente ou l utilisation des Biens ou l exécution de tout Service. Si une injonction est prononcée suite à une telle contrefaçon ou un tel détournement, le Vendeur convient, au gré de l Acheteur, (i) de rembourser à l Acheteur les montants payés au Vendeur au titre des Biens ou Services couverts par l injonction, (ii) de fournir à l Acheteur des Biens ou Services acceptables et non contrefaits ou (iii) d obtenir le droit d utiliser ces Biens ou Servies sans se rendre coupable de contrefaçon ou de détournement. Dans chacun de ces cas, le Vendeur payera également à l Acheteur tous les frais engagés par ce dernier ou ses clients pour remplacer ces Biens ou Services contrefaits ou détournés par des substituts non contrefaits. L Acheteur aura le droit, sans frais supplémentaires, d utiliser et/ou de reproduire la documentation pertinente du Vendeur, tels que manuels d'utilisation et de maintenance, publications techniques, imprimés ou dessins, manuels de formation et autres documents d'appui et brochures de vente similaires. Le Vendeur informera l Acheteur de toute information relative à la documentation précitée sur notification écrite en temps opportun. 14. RESPONSABILITÉ EN CAS DE DOMMAGES CORPORELS ET DE DÉFAUTS Le Vendeur indemnisera et tiendra l Acheteur hors de cause en cas de responsabilité pour dommage corporel et dommage aux biens causé par les Biens ou Services exécutés par le Vendeur, que ce soit dans les locaux du Vendeur ou de l Acheteur ou ailleurs. Le Vendeur souscrira et maintiendra une couverture d assurance satisfaisante pour l Acheteur, couvrant les risques précités et, à la demande de l Acheteur, fournira à celui-ci une preuve de cette assurance sous une forme satisfaisante pour l Acheteur. Le Vendeur convient d indemniser et de tenir l Acheteur hors de cause en cas de responsabilité et de dépenses engagées par l Acheteur ou ses clients résultant de tout défaut allégué des Biens ou Services, latents ou patents, y compris les défauts de construction et de conception supposés incorrects ou résultant du non-respect des spécifications par les biens.

5 15. CESSION/DÉLÉGATION Le Vendeur ne cédera ni ne déléguera cette commande ni aucun droit ou obligation s y rapportant sans l accord préalable écrit de l Acheteur ; aucune cession ou délégation prétendue ne sera opposable à l Acheteur sans cet accord écrit. 16. NOTIFICATION DE CONFLIT DU TRAVAIL Chaque fois qu il y aura un conflit du travail réel, un potentiel retard ou une menace de retarder l exécution ponctuelle de la présente commande, le Vendeur communiquera immédiatement à l Acheteur, par écrit, toutes les informations pertinentes concernant ledit conflit. 17. CESSATION DE PRODUCTION Si la production de tout Bien ou l exécution de tout Service doit être interrompue à tout moment dans un délai d un (1) an après la livraison finale de ces Biens ou l exécution de ces Services aux termes de la présente commande, le Vendeur donnera à l Acheteur un préavis écrit d au moins 180 jours avant ladite cessation ; pendant ce délai, le Vendeur acceptera les commandes de l Acheteur portant sur des quantités raisonnables de ces Biens ou Services. 18. PUBLICITÉ Le Vendeur n effectuera ni n autorisera aucun communiqué de presse, communication publicitaire ou autre communication niant ou confirmant l existence de la présente commande sans l accord préalable écrit de l Acheteur, sauf dans la mesure requise pour l exécution de la présente commande. 19. RÉSILIATION L Acheteur pourra mettre fin à la présente commande à tout moment sur notification écrite au Vendeur. Dans ce cas, l Acheteur ne sera responsable d aucune résiliation, annulation, reprise sur montant facturé ou frais de retour en stock et en aucun cas l Acheteur ne sera responsable de tout manque à gagner sur la commande ou la partie de celle-ci qui est ainsi résiliée. 20. RENONCIATION Le fait pour l Acheteur de ne pas insister pour l exécution de toute stipulation de la présente commande ou de ne pas exercer tout droit ou privilège qui lui est conféré aux termes de la présente commande ne sera pas interprété comme une renonciation à cette stipulation ou à toute autre stipulation de la présente commande, qui restera pleinement en vigueur. Si toute stipulation de la commande est jugée illégale ou autrement non exécutoire par tout tribunal ou autre organisme judiciaire ou administratif, les stipulations restantes de la présente commande ne s en trouveront pas affectées et resteront pleinement en vigueur. 21. DROIT APPLICABLE ET ATTRIBUTION DE COMPÉTENCE La validité, l exécution et l interprétation de la présente commande seront régies par le droit de l État de Californie. L Acheteur et le Vendeur consentent par les présentes à la compétence personnelle et territoriale exclusive des tribunaux d État et fédéraux du comté d Orange, en Californie. La Convention des Nations Unies sur les Contrats de Vente internationale de marchandises ne s appliquera à aucune transaction aux présentes.

INFORMATIONS CONFIDENTIELLES OU EXCLUSIVES À moins qu elles soient couvertes aux termes d un Accord de confidentialité distinct signé par les parties, le Vendeur tiendra confidentielles et protégera autrement de toute divulgation toutes les informations obtenues de l Acheteur en relation avec la Commande et identifiées comme confidentielles ou exclusives (les «Informations confidentielles»). Sauf autorisation expresse contraire dans les présentes ou donnée par l Acheteur, le Vendeur utilisera l ensemble des Informations confidentielles uniquement dans le cadre de l exécution de la Commande et aux fins de celle-ci. Le Vendeur protégera les Informations confidentielles en utilisant le même degré de soin, mais au minimum un soin raisonnable, qu il applique à la protection de ses informations confidentielles et exclusives comparables pour empêcher l utilisation, la divulgation, la dissémination ou la publication non autorisée des Informations confidentielles. (a) À la demande de l Acheteur et, dans tous les cas, lors de l achèvement ou de l annulation de la Commande, le Vendeur restituera dans les meilleurs délais toutes ces informations à l Acheteur ou en disposera autrement conformément aux instructions de l Acheteur. (b) Dans tous les contrats de sous-traitance et bons de commande émis par le Vendeur pour l exécution de travaux liés à la Commande, le Vendeur, avec l approbation préalable écrite de l Acheteur, sera autorisé à communiquer des Informations confidentielles sous réserve des mêmes obligations que celles qui sont stipulées dans le présent article. (c) Le Vendeur sera tenu vis-à-vis de l Acheteur au paiement des dommages et intérêts directs et consécutifs encourus en cas de perte, de divulgation, de détournement et/ou d utilisation abusive des Informations confidentielles. (d) Toute information que le Vendeur peut communiquer à l Acheteur concernant la conception, la fabrication, la vente ou l utilisation des Biens ou l utilisation des Services couverts par la Commande sera considérée comme ayant été communiquée par le Vendeur dans le cadre de la contrepartie de la Commande et le Vendeur ne fera valoir aucune revendication à l encontre de l Acheteur en raison de son utilisation par ce dernier. (e) La propriété de toute information communiquée par une partie aux présentes restera acquise à cette partie.

8 BROADCOM PO TERMS AND CONDITIONS ACCEPTANCE OF THIS ORDER BY SELLER IS EXPRESSLY LIMITED TO THE TERMS AND CONDITIONS CONTAINED IN THIS ORDER. ANY ADDITIONAL OR DIFFERENT TERMS OR CONDITIONS STATED BY SELLER IN ANY PROPOSAL ON SELLER'S ACKNOWLEDGMENT FORM OR OTHERWISE ARE DEEMED TO BE A MATERIAL ALTERATION OF THIS ORDER, ARE HEREBY OBJECTED TO BY BUYER AND SHALL BE TOTALLY INAPPLICABLE TO THIS ORDER UNLESS SPECIFICALLY AGREED TO IN A WRITING SIGNED BY AN AUTHORIZED REPRESENTATIVE OF BUYER. ACCEPTANCE OF THE GOODS OR SERVICES COVERED BY THIS ORDER WILL NOT CONSTITUTE ACCEPTANCE BY BUYER OF SELLER'S TERMS AND CONDITIONS. ANY OF THE FOLLOWING ACTS BY SELLER SHALL CONSTITUTE ACCEPTANCE OF THIS ORDER AND ALL OF ITS TERMS AND CONDITIONS: SIGNING AND RETURNING A COPY OF THIS ORDER, DELIVERY OF ANY OF THE GOODS OR SERVICES COVERED BY THIS ORDER, INFORMING THE BUYER IN ANY MANNER OF COMMENCEMENT OR PERFORMANCE, AND/OR RETURNING SELLER'S OWN FORM OF ACKNOWLEDGMENT. 1. CHANGES Seller will accept no changes to the specifications of this purchase order such as verbal instructions or red line drawings unless authorized in advance by Buyer's Purchasing Department. Buyer may make changes in the drawings and specifications on any item at any time. If such changes result in delay or additional expense to Seller, an equitable adjustment of price and delivery schedules will be made. 2. PRICE AND DELIVERY Seller shall furnish the goods covered by this order (the "Goods") or the services covered by this order (the "Services") in accordance with the prices and delivery schedule stated on the face of this order. If prices and/or delivery dates are not stated, Seller shall offer the lower prices and/or best delivery times, both of which shall be subject to written acceptance by Buyer. All prices include all applicable taxes except sales taxes, which are separately shown when applicable. Seller warrants that the prices charged for the Goods or the Services will be as low as the lowest prices charged by the Seller to any customer purchasing similar goods or services in the same or smaller quantities and under like circumstances. Buyer may return or store at Seller's expense any Goods delivered more than ten (10) days in advance of the delivery date specified for such Goods. For any exception to the delivery date as specified on this purchase order, Seller shall give prior notification and obtain approval thereto from Buyer's Purchasing Department. With respect to delivery under contract, time is of the essence and the purchase order is subject to termination by Buyer for failure to deliver on time. The acceptance by Buyer of late performance with or without objection or reservation shall not waive the right to claim damage for such breach nor constitute a waiver of the requirements for the timely performance of any obligation remaining to be performed by the Seller. 3. PACKING AND SHIPPING No charge shall be made by Seller for packaging or storage. All Goods shall be packaged, marked, and otherwise prepared in accordance with good commercial practices to obtain lowest shipping rates. Seller shall mark on containers handling and loading instructions, shipping information, order number, item and account number, shipment date and names and addresses of Seller and Buyer. An itemized packing list shall accompany such shipment. 4. F.O.B. TITLE AND RISK OF LOSS Unless otherwise specified on the face of the order, the F.O.B. point shall be to Buyer's location designated on the face of this order. If transportation is F.O.B. Seller's location, Seller shall bear all risk of loss or damage to the Goods and title shall not shift to Buyer until delivery of the Goods to carrier. If

9 transportation is F.O.B. to Buyer's location, Seller shall bear all risk of loss or damage to the Goods and title shall not shift to Buyer until delivery of the Goods to Buyer's location. 5. INVOICING After each shipment made or service provided under this order, Seller shall send a separate invoice, including item numbers in duplicate accompanied by a bill of lading or express receipt. Payment of invoice shall not constitute acceptance of the Goods or Services and shall be subject to appropriate adjustment for failure of Seller to meet the requirements of this order. Buyer may set off any amount owed by Seller or any of its affiliated companies to Buyer or any of its affiliated companies against any amount owed by Buyer to Seller under this order. Payment to Seller will be made 60 days from the latest of the date such invoice is received by Buyer or the date of receipt by Buyer of the Goods to which such invoice applies. 6. INSPECTION; ISO COMPLIANCE All items are subject to final inspection and approval at Buyer's plant or other place designated by Buyer. Such inspections shall be made within a reasonable time after delivery, irrespective of the date of payment. Buyer may return rejected items at Seller's expense for correction, replacement or credit, as Buyer may direct. Any Goods or Services corrected or furnished in replacement shall from the date of delivery of such corrected or replacement Goods or Services be subject to the provisions of this order (including the warranties contained in section 7) for the same period and to the same extent as Goods initially furnished pursuant to this order. Upon request and as available, Seller will provide to Buyer written documentation of the quality assurance processes for the Goods or Services. Seller shall ensure that it and any subcontractors are certified as ISO9000 or ISO9001 compliant, as applicable, and ISO14001 compliant. Seller agrees to permit Buyer to have access to the Seller's plant at all reasonable times for the purpose of inspecting the items set forth in this order or work in process for production of such items and/or audit Seller's ISO compliance. 7. WARRANTIES In addition to all other expressed or implied warranties, Seller warrants that the Goods and the Services will be (i) free from defects in workmanship and materials, (ii) free from defects in design except to the extent that such Goods and Services comply with detailed designs provided by Buyer, (iii) suitable for the purposes, if any, which are stated on the face of this order and (iv) in conformity with all the other requirements of this order. These warranties and all other warranties expressed or implied shall survive delivery, inspection, acceptance, and payment. In addition to any rights Buyer may have, if the Goods or Services are found not to be as warranted within a period of one (1) year after acceptance by Buyer, Buyer may, at Seller's expense, either (i) return such Goods to Seller for correction, replacement or credit, as Buyer may direct. Any Goods or Services corrected or furnished in replacement shall from the date of delivery of such corrected or replacement Goods or Services be subject to the provisions of this order (including the warranties contained in this section) for the same period and to the same extent as Goods initially furnished pursuant to this order. 8. BUYER'S PROPERTY All equipment or material and other items purchased, furnished, charged or paid for by Buyer, and any replacement thereof shall remain the property of Buyer. Such property shall be plainly marked to show it is the property of Buyer and shall be safely stored apart from other property. Seller shall not substitute property for Buyer's property and shall not use such property except in filling Buyer's orders. Seller shall hold such property at its own risk and upon Buyer's written request shall redeliver the property to Buyer in the same condition as originally received by Seller, reasonable wear and tear accepted.

10 9. DRAWINGS, SPECIFICATIONS AND TECHNICAL INFORMATION The ideas, information and designs in or shown upon the drawings, specifications, photographs and other engineering and manufacturing information supplied by Buyer shall remain Buyer's property, shall be retained in confidence by Seller and not disclosed to any other person or entity, and shall not be used or incorporated into any product or item later manufactured or assembled by Seller or anyone other than Buyer. Any unpatented knowledge or information concerning Seller's present or contemplated products or their use which Seller may disclose to employees of Buyer in connection with the order, acquisition and use by Buyer of the goods or services covered by this order shall unless specifically agreed in writing be deemed to have been disclosed as a part of the consideration for this order, and Seller agrees not to assert any claim against the Buyer by reason of any use or alleged use to which any such information or knowledge may be put by Buyer. 10. SUBCONTRACTS Seller shall not subcontract any portion of the work called for by this order without Buyer's written approval. 11. COMPLIANCE WITH LAWS Seller agrees and warrants that it shall comply, at its own expense, with the U.S. Foreign Corrupt Practices Act and all export or import laws, restrictions, national security controls and regulations of the United States and any applicable foreign agency or authority. Seller shall not export, import, or re-export, or authorize the export, importation, or re-export of the Goods and/or performance of the Services or any other product, technology, or information that Seller obtains or learns hereunder, or any copy or direct product thereof, in violation of any of such laws, restrictions, or regulations or without any license or approval required thereunder. Seller shall comply with all federal, state and local laws, ordinances rules and regulations in the manufacture and sale of the Goods and performance of the Services including but not limited to the Occupation Safety and Health Act, the Truth in Negotiation Act, and all applicable requirements of the Fair Labor Standards Act. Seller will defend and hold Buyer harmless for any loss, damages or costs arising from or caused in any way by any actual or alleged violation of a federal, state, or local law, ordinance, rule or regulation or failure by the Seller to have any chemical substances sold hereunder included in the list of approved chemical substances published by the Environmental Protection Agency pursuant to the Toxic Substances Control Act. Seller shall disclose in writing to Buyer any federal, state or other governmental restrictions or regulations applicable to such Goods or the performance of such Services. 12. LIEN WAIVERS Seller shall furnish upon Buyer's request waivers by Seller and all other persons entitled to assert any lien in connection with the performance of this order. 13. PATENTS AND COPYRIGHTS Seller shall defend, indemnify and hold harmless Buyer and its customers from all suits, claims, liabilities, expenses, costs and damages (including attorney fees) arising out of any alleged or actual infringement of patents, copyrights, misappropriation of trade secrets or other intellectual property rights, or relating to maintenance, marketing, copying, distribution, importation, sale or use of the Goods or the performance of any Services. If any injunction is issued as the result of any such infringement or misappropriation, Seller agrees, at Buyer's option, to (i) refund to Buyer the amounts paid to Seller for the Goods or Services covered by the

11 injunction, (ii) furnish Buyer with acceptable and non-infringing Goods or Services, or (iii) procure the right to use such Goods or Services free from any liability for infringement or misappropriation. In each such case, Seller shall also pay to Buyer any costs incurred by Buyer or its customers in substituting such infringing or misappropriated Goods or Services with non-infringing substitutes. Buyer shall have the right to no additional charge to use and/or reproduce the Seller's applicable literature, such as operating and maintenance manuals, technical publications, prints or drawings, training manuals, and other similar supporting documentation and sales literature. Seller shall advise Buyer of any information relative to the foregoing literature and documentation with timely notifications in writing. 14. LIABILITY FOR INJURY, DEFECTS Seller shall indemnify and hold harmless Buyer against any liability for all personal injury and property damage caused by the Goods or Services performed by Seller whether performed on the premises of Seller or Buyer or elsewhere. Seller shall carry and maintain insurance coverage satisfactory to Buyer to cover the above and upon Buyer's request shall furnish Buyer with evidence of such insurance in a form satisfactory to Buyer. Seller agrees to indemnify and hold harmless Buyer against any and all liability and expense incurred by Buyer or its customers resulting from any alleged defect in the Goods or Services, whether latent or patent, including allegedly improper construction and design, or from the failure of the goods to comply with specifications. 15. ASSIGNMENT/DELEGATION Seller shall not assign or delegate this order or any rights or obligations under this order without the prior written consent of Buyer and no purported assignment or delegation shall be binding on Buyer without such written consent. 16. NOTICE OF LABOR DISPUTES Whenever an actual or potential labor dispute is delaying or threatens to delay timely performance of this order, Seller shall immediately notify Buyer in writing of all relevant information with respect to such disputes. 17. CESSATION OF PRODUCTION If production of any Goods or the performance of any Services is to be discontinued at any time within one (1) year after final delivery of such Goods or performance of such Services under this order. Seller shall give Buyer at least 180 days prior written notice of such discontinuance, during which Seller shall accept orders from Buyer for reasonable quantity of such Goods or Services. 18. PUBLICITY Seller shall not make or authorize any news release, advertisement, or other disclosure which shall deny or confirm the existence of this order without the prior written consent of Buyer, except as may be required to perform this order. 19. TERMINATION Buyer may terminate this order at any time by notice in writing to Seller. In such event Buyer shall not be liable for any termination, cancellation, charge back or restocking charges and in no event shall Buyer be liable for any loss of profits on the order or portion thereof so terminated.

12 20. WAIVER The failure of Buyer to insist upon the performance of any provision of this order, or to exercise any right of privilege granted to the Buyer under this order, shall not be construed as waiving such provision or any other provision of this order, and the same shall continue in full force and effect. If any provision of the order is found to be illegal or otherwise unenforceable by any court or other judicial or administrative body, the other provisions of this order shall not be affected hereby and shall remain in full force and effect. 21. LAW AND JURISDICTION The validity, performance and construction of this order shall be governed by the laws of the state of California. Buyer and Seller hereby consent to the exclusive jurisdiction of, and venue in, the state and federal courts in Orange County, California. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to any transaction hereunder. 22. CONFIDENTIAL OR PROPRIETARY INFORMATION Unless covered under a separate Non-Disclosure Agreement executed by the parties, Seller shall keep confidential and otherwise protect from disclosure all information obtained from Buyer in connection with the Order and identified as confidential or proprietary ("Confidential Information"). Unless otherwise expressly authorized herein or by Buyer, Seller shall use all Confidential Information only in the performance of and for the purpose of the Order. The Seller shall protect the Confidential Information by using the same degree of care, but no less than a reasonable degree of care, to prevent the unauthorized use, disclosure, dissemination or publication of the Confidential Information as the Seller uses to protect its own comparable confidential and proprietary information. (a) Upon Buyer's request, and in any event upon the completion or cancellation of the Order, Seller shall promptly return all such information to Buyer or make such other disposition thereof as directed by Buyer. (b) In all subcontracts and purchase orders issued by Seller for performance of work related to the Order, Seller shall, with the prior approval in Writing from Buyer, be permitted to disclose Confidential Information under the same obligations as are contained in this clause. (c) Seller shall be liable to Buyer for both direct and consequential damages for any loss, disclosure, misuse, and/or misappropriation of the Confidential Information. (d) Any information which Seller may disclose to Buyer with respect to the design, manufacture, sale, or use of the Goods or use of the Services covered by the Order shall be deemed to have been disclosed by Seller as part of the consideration for the Order, and Seller shall not assert any claim against Buyer by reason of Buyer's use thereof. (e) The ownership of any information disclosed by a party hereunder shall remain in that party.
