1 CONTRAT D AGENCE RIA DE TRANSFERT D ARGENT CE CONTRAT est conclu le (la Date d Entrée en Vigueur ) entre Euronet Payment Services Limited, société enregistrée sous le numéro et dont le siège social est situé 1st Floor Devonshire House, 1 Devonshire Street, Londres W1W 5DS ( RIA ) et enregistrée sous le numéro et dont le siège social est situé (le Contractant ). HISTORIQUE : A. Le Contractant est ou souhaite s engager dans l activité de transfert de fonds sur le Territoire; B. RIA a un réseau international pour le paiement de transfert de fonds et le Contractant souhaite utiliser RIA pour payer ses transferts d argent à l étranger; C. Les parties ont décidés de lier une relation commerciale conformément aux dispositions de ce Contrat. IL EST CONVENU : 1. INTERPRETATION Les définitions et les règles d interprétation de cet article s appliquent à ce Contrat Période Comptable signifie 00:00:00 jusqu à 23:59:59 de chaque Jour Ouvrable et pour les samedis, dimanches et jours fériés, de 00:00:00 à la fin du Jour Ouvrable précédent jusqu à 23:59:59 du prochain Jour Ouvrable Régulateur TRACFIN (Traitement du Renseignement et Action contre les Circuits Financiers clandestins), signifie le service du Ministère français des Finances qui contrôle la conformité avec les lois et règlements antiblanchiment d argent Règlementation Anti-Blanchiment de Capitaux signifie toutes législations en vigueur sur le Territoire concernant le blanchiment d argent, y compris mais pas seulement, toutes législations, et modifications de ces législations, et tous traités européens, règlements ou directives en vigueur Affilié signifie, en relation avec une société du groupe RIA, une autre société qui est une filiale de, ou une holding de, ou une autre filiale d une holding de la première société. RIA MONEY TRANSFER AGENCY AGREEMENT THIS AGREEMENT is made on (the Effective Date ) between Euronet Payment Services Limited, whose company registration number is and whose registered office is situated at 1st Floor Devonshire House, 1 Devonshire Street, London W1W 5DS ( RIA ) and whose registration number is and whose registered office is located at (the Contractor ). BACKGROUND: A. The Contractor is or wishes to become engaged in the money remittance business in the Territory; B. RIA has an international network for the payment of money remittances and the Contractor wishes to utilise RIA to pay its money remittances abroad; and C. The parties have decided to establish a business relationship in accordance with the terms of this Agreement. AGREED TERMS: 1. INTERPRETATION The definition and rules of interpretation in this clause apply in this Agreement Accounting Period means 00:00:00 until 23:59:59 on each Business Day and on Saturdays, Sundays and Public Holidays, from 00:00:00 at the end of the previous Business Day until 23:59:59 on the next Business Day AML Regulator means TRACFIN (Traitement du Renseignement et Action contre les Circuits FINanciers clandestins), the entity of the French Ministry of Finance which regulates compliance with anti-money laundering laws and policies Applicable Money Laundering Regulations means all legislation applying in the Territory relating to money laundering including, but not limited to, any legislation and any amendment, extension or re-enactment of such legislation and any European treaty provisions, regulations or directives applicable at the time Affiliate shall mean, in relation to any group company of RIA, another company which is a subsidiary of, or a holding company of, or another subsidiary of a holding company of, the first company. 1

Beneficiary means the recipient of the funds transferred by the Remittance Service Business Day means any day (other than a Saturday, Sunday or Public Holiday) when banks and the domestic/national authorities in the capital of the Territory are open for business Compliance Procedures means the RIA compliance manual, as amended from time to time, which sets out the procedures for processing money transfer transaction in compliance with the Applicable Money Laundering Regulations and instructions for reporting and preventing money laundering (a copy of which is attached to Schedule 1) Contractor s Commission shall have the meaning given to it in Clause RIA Commission means the Fee and any foreign exchange profit less the Contractor s Commission Fee means the sum charged to the Sender for the provision of the Remittance Service as described in Clause 5 and set out in Schedule 2 as may be amended from time to time in accordance with Clause Force Majeure means in relation to either the Contractor or RIA, any circumstances beyond the reasonable control of either party (including, without limitation, any strike, lock-out or other form of industrial action) FSA means the Financial Services Authority, the statutory regulator of financial services providers in the United Kingdom Gross Trust Funds means all the funds accepted from Senders by the Contractor in the Territory, including the Fee and the foreign exchange profit Intellectual Property Rights mean the trademarks, service marks and trade names or any other industrial or intellectual property rights owned by RIA or its Affiliates Paying Correspondent means the person authorised to pay out the Trust Funds in pursuance of the Remittance Service Payment Order Form means the form provided to the Sender in which he provides his payment order instructions to initiate the Remittance Service, substantially in the format set out in Part A of Schedule 3 or any other such form that RIA may 2

3 en œuvre le Service de Transfert, dans le formulaire présenté dans la Partie A de l Annexe 3 ou tout autre formulaire que RIA peut préciser au Contractant par écrit occasionnellement Réglementation des Services de Paiement signifie les Règlementations des Services de Paiement 2009 (SI 2009/209) Jours Fériés signifient un jour férié pour l ensemble du Territoire ou la capitale du Territoire mais pas un jour férié limité à une partie du Territoire (autre que la capitale) Reçu signifie le reçu fourni au Bénéficiaire dans le format présenté dans la Partie C de l Annexe 3 ou toute autre forme que RIA peut préciser au Contractant par écrit occasionnellement Service de Transfert signifie le service fourni ou lié au processus par lequel le Contractant, ou RIA (agissant à travers ses Affiliés ou ses agents) reçoit les Fonds Confiés et les instructions de paiement de l Expéditeur et transmet ces instructions à l autre partie pour la délivrance de l équivalent des Fonds au Bénéficiaire conformément aux instructions de l Expéditeur Expéditeur signifie le client du Contractant ou de RIA qui envoie les fonds transférés par le Service de Transfert Correspondant Expéditeur signifie la personne qui reçoit les Fonds Confiés et effectue le Service de Transfert Termes et Conditions signifient les termes et conditions présents dans la Partie B de l Annexe 3 ou tous les autres termes et conditions que RIA peut préciser au Contractant par écrit occasionnellement Territoire signifie le territoire français Régulateur Territorial signifie le CECEI (Comité des établissements de crédit et des entreprises d investissement), agissant sous la supervision de la Banque de France en tant que autorité compétente en vertu de la transposition nationale de l Article 20 de la Directive 2007/64/EC du Parlement Européen et du Conseil du 13 novembre Fonds Confiés signifient lorsque le Contractant agit comme le Correspondant Expéditeur, tous les fonds reçus des Expéditeurs par le Contractant dans le Territoire, y compris la Charge et le bénéfice sur le taux de change, moins la Commission du Contractant; lorsque le Contractant agit comme specify in writing, from time to time, to the Contractor Payment Services Regulations mean the Payment Services Regulations 2009 (SI 2009/209) Public Holiday means a public holiday throughout the whole of the Territory or in the capital of the Territory but not one restricted to any one, or part, jurisdiction within the Territory (other than the capital) Receipt means the receipt provided to the Beneficiary substantially in the format set out in Part C of Schedule 3 or any other such form that RIA may specify in writing, from time to time, to the Contractor Remittance Service means the service provided or related to the process whereby the Contractor, or RIA (acting through its Affiliates or agents) receives Trust Funds and payment instructions from the Sender and transmits said instructions to the other party for the delivery of the equivalent of such funds to the Beneficiary thereof in accordance with the Sender s instructions Sender means the Contractor s or RIA s customer sending funds transferred by the Remittance Service Sending Correspondent means the person receiving Trust Funds and carrying out the Remittance Service Terms & Conditions means the terms and conditions set out in Part B of Schedule 3 or any other such terms and conditions that RIA may specify in writing, from time to time, to the Contractor Territory means the French Republic Territory Regulator means the CECEI (Comité des établissements de crédit et des entreprises d investissement), acting under the supervision of the Banque de France as the competent authority under the national implementation of Article 20 of Directive 2007/64/EC of the European Parliament and of the Council of 13 November Trust Funds means in the context of the Contractor acting as the Sending Correspondent, all the funds accepted by the Contractor from Senders in the Territory, including the Fee and the foreign exchange profit, less the applicable Contractor s 3

4 le Correspondant Payeur, tous les fonds reçus des Expéditeurs par RIA pour le paiement aux Bénéficiaires dans le Territoire, moins la Charge et le bénéfice sur le taux de change, plus la Commission du Contractant; ou (c) lorsque RIA remet les fonds aux Bénéficiaires (autrement que par l intermédiaire du Contractant), tous les fonds reçus des Expéditeurs y compris la Charge et le bénéfice sur le taux de change, moins la Commission du Contractant Informations Confidentielles comprennent toute information concernant les agents de RIA, les contractants, les clients, les procédures, les logiciels, et toute autre information que RIA peut désigner comme telle occasionnellement Les articles, Annexes, titres des paragraphes n affectent pas l interprétation de ce Contrat Une personne désigne une personne physique, une personne morale immatriculée ou non (ayant ou non une personnalité juridique distincte) et les représentants de cette personne, ayant droits ou personnes autorisées Les Annexes font partie de ce Contrat et doivent avoir le même effet que si elles étaient comprises dans le corps du Contrat. Commission; in the context of the Contractor acting as the Paying Correspondent, all funds received by RIA from Senders for payment to Beneficiaries in the Territory, less the Fee and the foreign exchange profit, plus the applicable Contractor s Commission; or (c) in the context of RIA delivering funds to Beneficiaries (other than through the Contractor), all funds received from the Senders including the Fee and the foreign exchange profit less the applicable Contractor s Commission Trade Secrets include all information concerning RIA s agents, contractors, customers, procedures, software, and any other proprietary information, which RIA may designate from time to time Clause, Schedule and paragraph headings shall not affect the interpretation of this Agreement A person includes a natural person, corporate or unincorporated body (whether or not having separate legal personality) and that person's personal representatives, successors or permitted assigns The Schedules form part of this Agreement and shall have effect as if set out in full in the body of this Agreement. Any reference to this Agreement includes the Schedules A reference to a company shall include any company, corporation or other body corporate, wherever and however incorporated or established A reference to RIA shall include any of RIA s Affiliates as the context shall require Words in the singular shall include the plural and vice versa A reference to one gender shall include a reference to the other genders A reference to any party shall include that party's personal representatives, successors or permitted assigns A reference to a statute, statutory provision or subordinated legislation is a reference to it as it is in force from time to time, taking account of any amendment or re-enactment and includes any statute, statutory provision or subordinate legislation which it amends or re-enacts. 4

NOMINATION 2.1. Par la présente RIA, nomme le Contractant et le Contractant, par la présente, accepte cette nomination comme: Le Correspondant Expéditeur de RIA; et/ou (selon le cas) Le Correspondant Payeur de RIA, conformément aux dispositions de ce Contrat Le Contractant ne doit pas (soit seul soit concurremment avec un tiers) offrir les services identiques ou similaires que le Service de Transfert sur le Territoire pendant la durée de ce Contrat Pour éviter tout doute, rien dans ce Contrat n interdit à RIA de nommer d autres agents sur le Territoire A reference to a statute or statutory provision shall include any subordinate legislation made from time to time under that statute or statutory provision A reference to writing or written includes faxes but not A reference to a document is a reference to that document as varied or novated (in each case, other than in breach of the provisions of this Agreement) at any time References to clauses and Schedules are to the clauses and Schedules of this Agreement; references to paragraphs are to paragraphs of the relevant Schedule Any phrase introduced by the terms including, include, in particular or any similar expression shall be construed as illustrative and shall not limit the sense of the words preceding those terms. 2. APPOINTMENT 2.1. RIA hereby appoints the Contractor and the Contractor hereby accepts such appointment as: RIA s Sending Correspondent; and/or (as the case may be) RIA s Paying Correspondent, in accordance with the provisions of this Agreement The Contractor shall not (either by itself or in conjunction with a third party) offer the same or similar services as the Remittance Service in the Territory during the term of this Agreement For the avoidance of doubt, nothing in this Agreement shall prevent RIA appointing other agents in the Territory. 3. LES OBLIGATIONS DU CONTRACTANT Le Contractant doit: 3.1. Exécuter le Service de transfert avec attention, compétence et diligence, et sera responsable de la qualité professionnelle, de l exactitude et de l accomplissement technique, et de la coordination de toute information, et autres services fournis en application de ce Contrat. THE CONTRACTOR S OBLIGATIONS The Contractor shall: 3.1. perform the Remittance Service with due care, skill, and diligence, and shall be responsible for the professional quality, technical accuracy, completeness, and coordination of all information, and other items and services furnished under this Agreement. The Contractor shall comply with all applicable laws, and regulations in performing the Remittance Service; 5

N accepter un ordre de Service de Transfert qu à réception d un paiement comptant/en espèces de l Expéditeur dans la monnaie locale pour un montant égal à la somme à transférer augmentée de la Charge ; 3.4. Séparer les Fonds Confiés d autres fonds ou sommes d argent dont le Contractant a la garde, le contrôle ou la possession et ne pas mélanger les Fonds Confiés avec les autres fonds ou sommes d argent Assumer tous les risques et la complète responsabilité pour le vol, la destruction ou la perte de tout ou partie des Fonds Confiés reçus par le Contractant, survenus du fait du Contractant, ou de tout employé ou agent du Contractant, en fournissant le Service de Transfert et agir comme un fiduciaire par rapport aux Fonds Confiés pour la période allant jusqu au dépôt des Fonds Confiés sur le Compte Bancaire de RIA ; 3.6. Obtenir et maintenir en vigueur, jusqu au terme de ce Contrat, une assurance, à ses frais, avec un minimum de couverture de 1000 pour assurer toutes responsabilités et/ou pertes potentielles décrites à l article 3.5 ; 3.7. Rembourser RIA pour tous les fonds dus à RIA dans les 24 heures de la demande de RIA; 3.8. Prévenir RIA par écrit de l ouverture ou de la fermeture de tout local commercial par le Contractant, dans les 5 Jours Ouvrables à partir de la survenance d un tel événement ; 3.9. Aviser RIA dans les cinq Jours Ouvrables suivant la survenance de tout changement de circonstances, Force Majeure ou autres événements qui peuvent avoir un effet défavorable sur l'activité du Contractant affectant la capacité du Contractant de s'acquitter de ses obligations en vertu du Contrat; Utiliser exclusivement RIA pour payer les sommes objets des transferts d argent acceptés par le Contractant lorsque l Expéditeur choisit d utiliser le Service de Transfert de RIA; 3.2. accept the Gross Trust Funds and instructions from Senders in the Territory and deposit the Gross Trust Funds into the RIA Bank Account (as defined in Clause 6.1) within 24 hours of receipt unless otherwise agreed in writing by the parties; 3.3. only accept an order for the Remittance Service upon receiving cash payment in local currency from the Sender in an amount equal to the sum to be remitted and the Fee; 3.4. separate the Trust Funds from any other funds or cash amounts in the Contractor s custody, control or possession, and not to commingle the Trust Funds with such other funds or amounts; 3.5. assume all risks and absolute liability for theft, destruction, or loss whatsoever of all or any part of the Trust Funds received by the Contractor, whether arising as a result of the actions of the Contractor, or any employee or agent of the Contractor, in providing the Remittance Service, and to hold the Trust Funds on behalf of RIA for the period up to and until the Trust Fund has been deposited into the RIA Bank Account; 3.6. obtain and maintain in force, throughout the term of this Agreement, a policy of insurance, at its expense, with a minimum cover of 1000 to cover any of the potential liabilities and/or losses described in Clause 3.5; 3.7. reimburse RIA for any funds owed to RIA within 24 hours of a demand by RIA; 3.8. notify RIA in writing of the opening or closing of any business location of the Contractor within five Business Days of the occurrence of such an event; 3.9. notify RIA within five Business Days of the occurrence of any change in circumstances, Force Majeure or any other events which may have a material adverse effect on the Contractor s business that affects the Contractor s ability to perform its obligations under the Agreement; use RIA exclusively to pay the proceeds of the money remittances accepted by the Contractor where the Sender chooses to use the Remittance Service through RIA; maintain premises and facilities which are in all respects suitable for the conduct of a money remittance business, to deal promptly and courteously with all customers and to operate in such a fashion as serves at all times to protect the good standing and reputation of RIA; 6

7 3.11. Entretenir des locaux et des installations qui sont en tous points appropriés à la conduite d'une entreprise de transfert de fonds, pour agir avec diligence et courtoisie avec tous les clients et fonctionner ainsi à tout moment pour protéger l'honorabilité et la réputation de RIA; Utiliser la documentation que RIA modifie ou fournit, occasionnellement, pour les objectifs du Service de Transfert; Fournir aux Expéditeurs telles informations et documentations que RIA doit, occasionnellement, modifier pour les objectifs du Service de Transfert ; Utiliser le Formulaire d Ordre de Paiement aux fins du Service de Transfert (en sa qualité de Correspondant Expéditeur) pour obtenir et fournir aux Expéditeurs les informations nécessaires requises par la Réglementation des Services de Paiement et toute loi applicable; Mettre à la disposition de l Expéditeur une copie du Formulaire d Ordre de Paiement et des Termes et Conditions avant d accepter l ordre de paiement de l Expéditeur afin que l Expéditeur prenne connaissance des Termes et Conditions avant d effectuer l ordre de paiement Se conformer en tout temps aux Procédures de Conformité et indemniser RIA pour toute perte subie par RIA résultant d'une défaillance du Contractant à se conformer à ces procédures ; Indemniser et garantir RIA, ses dirigeants et administrateurs, de: toute responsabilité pour les pertes, responsabilités, réclamations, demandes, actions, poursuites, procès, ou jugements, y compris les frais juridiques et autres honoraires professionnels, causés par la défaillance du Contractant, ses agents, employés ou représentants, pour accomplir, de manière adéquate ou en temps voulu, ses obligations en vertu du Contrat ; et/ou la négligence, la fraude ou la tromperie intentionnelle du Contractant ou la violation par le Contractant, ses agents, employés ou représentants, de toutes lois, règles, règlements et Procédures de Conformité (y compris mais non limité à la Règlementation Anti-Blanchiment de Capitaux), et Utiliser le Reçu aux fins du Service de transfert (en sa qualité de Correspondant Payeur) afin de fournir aux Bénéficiaires les informations nécessaires requises par la Réglementation des Services de use the documentation that RIA shall from time to time specify or provide for the purposes of the Remittance Service; provide the Senders with such information and documentation that RIA shall from time to time specify for the purposes of the Remittance Service; use the Payment Order Form for the purposes of the Remittance Service (in its capacity as Sending Correspondent) to obtain and provide to Senders the necessary information required by the Payment Services Regulations and any applicable law; make available to the Sender a copy of the Payment Order Form and the Terms and Conditions before accepting the payment order instruction from Sender in such way that the Sender may reasonably take notice of the Terms and Conditions before the Sender issues the relevant payment order instruction; comply at all times with the Compliance Procedures and to indemnify and keep indemnified RIA for any loss suffered by RIA as a result of the Contractor s failure to comply with such procedures; indemnify and hold RIA, its officers and directors harmless and free from: any liability for any losses, liabilities, claims, demands, actions, suits, proceedings, or judgments, including legal fees and other professional fees, caused by the failure of the Contractor, its agents, employees or representatives to adequately or in a timely manner perform, any of its obligations under the Agreement; and/or the negligence, fraud or wilful deceit of the Contractor or violation by the Contractor, its agents, employees, or representatives, of any applicable laws, rules, regulations and the Compliance Procedures (including but not limited to the Applicable Money Laundering Regulations); and use the Receipt for the purposes of the Remittance Service (in its capacity as Paying Correspondent) to provide to Beneficiaries the necessary information required by the Payment Services Regulations and any applicable law; to procure that the appropriate members of its staff attend and participate in any training provided by RIA to facilitate the Contractor meeting its obligations under the Agreement; 7

Upon RIA s specific request, the Contractor shall deliver to RIA a copy of any such confirmation within a reasonable time, not to exceed 15 Business Days; and RIA shall have the discretion to suspend, cancel or withhold a transaction or a particular part of the Remittance Service without otherwise affecting other parts of the Remittance Service or violating the terms of the Agreement RIA reserves the right to offset any balance the Contractor owes RIA pursuant to this Agreement against any balance RIA owes the Contractor pursuant to this Agreement. RIA s responsibility shall be strictly limited to transactions processed through the RIA System. 11

12 7. CONFIDENTIALITE 7.1. Each party shall use the proprietary information of the other party only in furtherance of its obligations set out in the Agreement. Neither party shall be liable for the disclosure or use of such data or proprietary information which: is, or becomes, publicly known, other than by breach of the Agreement; is obtained by the receiving party from a third party without restriction; (c) is previously known by the receiving party without reference to such proprietary information and/or data; (d) is, at any time, developed by the receiving party completely independently of any disclosures; or (e) is required to be released by a competent judicial, regulatory or legal body. These obligations and restrictions of confidentiality shall continue to be effective after the termination of the Agreement For the avoidance of doubt, the Contractor shall be entitled to make such disclosures to the AML Regulator as are required for the purposes of compliance with the Applicable Money Laundering Regulations without being in violation of Clause The Contractor shall return to RIA any and all confidential information, proprietary information and Trade Secrets belonging to RIA (including all copies and extracts thereof) promptly upon RIA s request or upon the termination of the Agreement. In cases where any such confidential information, proprietary information and Trade Secrets cannot be returned (whether partly or fully) the Contractor must upon RIA s request delete and/or destroy it in such a fashion as serves to prevent disclosure to any unauthorised third party. 8. INTELLECTUAL PROPERTY 8.1. The Contractor agrees that it shall not at any time, either during the term of the Agreement or after its termination, adopt, use or register whether as a trademark, a service mark, a trade name, a copyright or an element of a copyright symbol, that is identical or similar to any of the Intellectual 12

For the avoidance of doubt, the Update is part of the RIA System All intellectual property rights in the RIA System are part of the Intellectual Property Rights and the Contractor shall have no rights in the RIA System except as expressly granted by RIA RIA shall grant a revocable non-exclusive, non-transferable, royalty-free licence limited to the Territory to the Contractor to access and use the RIA System solely for the purpose of operating the Remittance Service in accordance with the 13

Accordingly, RIA shall have no responsibility for any malfunctions, system failures and/or other operational errors in the Contractor System that may arise in connection with the Contractor s use of the RIA System, or for any inoperability or incompatibility between the RIA System and the Contractor System RIA and the Contractor agree that: the Contractor shall not: (i) modify, reproduce, decompile, disassemble, reverse engineer, or create any derivative work from the RIA System; (ii) transfer, license, sublicense or distribute any portion of the RIA System to any person; (iii) use the RIA System for any purpose other than the purpose described in Clause 9.1; or (iv) access the RIA System except as expressly permitted under the Agreement; and without limitation to Clause 9.8, any derivative works created by the Contractor from the RIA System shall be the property of RIA and the Contractor shall take all necessary action, at its own expense, to ensure that RIA s ownership of the derivative works are recognised and enforceable under the law The RIA System is part of the Trade Secrets under the Agreement and upon the termination of the Agreement the RIA System shall be destroyed or returned to RIA The Contractor shall cooperate with RIA and undertake all reasonable steps to protect RIA s rights in the RIA System under the law of the Territory or any other applicable jurisdiction 14

The RIA System is provided on an as is basis without any express or implied warranties, including but not limited to implied warranties regarding merchantability or fitness for a particular purpose. RIA does not warrant that the RIA System will be uninterrupted or error free. In no event shall RIA be responsible to the Contractor for any damages, including any lost savings, loss of profits or other incidental or consequently loss arising in connection with the use of the RIA System The parties agree that this clause shall survive the termination of the Agreement The Contractor shall provide all equipment (including hardware and telephone communications) necessary for it to perform its obligations under the Agreement at each location of the Contractor that offers the Remittance Service. 10. ANTI-MONEY LAUNDERING The Contractor shall be an agent of RIA for purposes of compliance with the Applicable Money Laundering Regulations. RIA shall act as the Contractor s principal for purposes of compliance with the Applicable Money Laundering Regulations for the term of this Agreement The Contractor shall promptly notify RIA of any unscheduled AML Regulator inspection visits to the Contractor s premises, and provide RIA with as 15

PAYMENT SERVICES This Agreement shall be conditional on the FSA, for the purposes of the Payment Services Regulations registering the Contractor as an agent of RIA RIA shall maintain its registration with the FSA in accordance with the Payment Services Regulations The Contractor shall provide RIA with all information necessary for compliance with the Payment Services Regulation including but not limited to information relating to any matters that may affect the status of the Contractor s directors or managers as fit and proper persons for the purposes of the Payment Services Regulations The Contractor shall promptly notify RIA of any unscheduled FSA or Territory Regulator inspection visits to the Contractor s premises, and provide RIA with as much advance warning as is reasonably possible of planned or scheduled visits by the FSA or the Territory Regulator. 12. WARRANTIES Each party represents and warrants to the other party that: it has all right, power and authority necessary to enter into this Agreement and to fully perform its 16

SECURITY DEPOSIT RIA may require, in its discretion, and the Contractor shall, upon the request and specification of RIA, deliver to RIA a deposit as security for the performance of the Contractor s obligations under this Agreement (the Deposit ) For the duration of the Agreement, RIA shall maintain the Deposit until RIA releases it or uses it to offset any debt owed to RIA by the Contractor. If RIA releases the whole of the Deposit to the Contractor, the Contractor shall receive the amount originally deposited and the Contractor may receive, at RIA s sole discretion, some or all of the interest (if any) earned on the Deposit. If RIA uses all or part of the Deposit (plus any interest granted to the Contractor) to offset any debt owed RIA by the Contractor, the Contractor shall receive only the balance left over, if any, after offsetting the Contractor s debt RIA shall have the unilateral right at any time to deduct from the Deposit any amounts necessary to pay any debt owed by the Contractor to RIA, and upon making such deductions, to require the Contractor to promptly make up the balance on the Deposit to the amount stipulated in Clause NON-SOLICITATION As part consideration for RIA entering into the Agreement, the Contractor agrees that during the term of this Agreement and for twelve months after its termination, the Contractor and/or any entity in which the Contractor has an ownership interest, shall not directly or indirectly solicit, 19
