BY CLICKING THE I ACCEPT BUTTON, YOU AGREE TO BE BOUND BY THIS AGREEMENT. A copy of this Agreement may be printed and retained. 1. Introduction 1.1. xsocial is a trademark of DUB Investments Ltd. This Agreement is entered by and between DUB Investments Ltd, a company duly registered in Cyprus under the Companies Law, with registration number HE and registered office at 134, Ayias Fylaxeos & Amissou, Annissa Court, 4 th Floor, P.C. 3087, Limassol, Cyprus, authorised and regulated by the Cyprus Securities and Exchange Commission ( CySEC ) as a Cyprus Investment Firm ( CIF ) to offer certain Investment and Ancillary Services and Activities under the Provision of Investment Services, the Exercise of Investment Activities, the Operation of Regulated Markets and Other Related Matters Law of 2007, Law 144(I)/2007 ( the Law ), with CIF license number (hereinafter called the Company ), on the one part; and the person who has accepted this Agreement by clicking the Accept Button or signed this Agreement and who has been accepted by the Company to act as a Provider (hereinafter called the Provider ), on the other part This Agreement sets out the terms upon which the Company shall receive Data from the Provider and use such Data for its own commercial interest The Agreement will take effect and commence upon the receipt by the Provider of a notice sent by the Company informing him that he has been accepted as the Company s Provider. 2. Introduction 1.1. xsocial est une marque déposée de DUB Investments Ltd. Ce Contrat est conclu entre DUB Investments Ltd, DUB Investments Ltd, société de droit chypriote dûment immatriculée à Chypre, sous le numéro HE et dont le siège social est situé 134, Ayias Fylaxeos & Amissou, Annissa Court, 4th Floor, 3087, Limassol, Chypre, régulée par la Cyprus Securities and Exchange Commission ( CySEC ) en tant que Société d Investissement (Investment Firm, CIF ) et autorisée à offrir certains des services d investissement définis dans la loi de 2007 portant la référence 144(I)/2007 et relative à la fourniture de services d investissement, à l exercice d activités d investissement, ainsi qu aux opérations sur les marchés réglementés et autres marchés concernés (ci-après la Loi ), et portant le numéro de licence CIF (ci-après la Société ), d une part ; et la personne ayant accepté ce Contrat en ayant cliqué sur le Bouton J accepte ou signé ce Contrat et ayant été acceptée par la Société en tant que fournisseur de signaux (ci-après le Trader Référence ), d autre part Ce Contrat définit les conditions dans lesquelles la Société recevra les Données en provenance des Traders Référence ainsi que l utilisation qui en sera faite dans un but purement commercial Le Contrat prend effet dès réception par le Trader Référence d une notice d information de la part de la Société lui indiquant qu il a été accepté

2 2.1. In this Agreement: Affiliate shall mean in relation to the Company, any entity which directly or indirectly controls or is controlled by the Company, or any entity directly or indirectly under common control with the Company; and control means the power to direct or the presence of ground to manage the affairs of the Company or entity. Anti-Data Mode shall mean a mode of the Automatic Order whereby Orders are placed in Financial Instruments with a Broker automatically and such Orders are opposite to the direction of the Provider s traced Transaction. Applicable Regulations shall mean (a) CySEC Rules or any other rules of a relevant regulatory authority having powers over the Company; (b) the Rules of the relevant Market; and (c) all other applicable laws, rules and regulations of Cyprus or of the European Union. Automatic Order shall mean a function/feature in the Platform which once activated by a Client places Orders in Financial Instruments with the Broker automatically on behalf of the Client based on Data generated from the Provider. Broker shall mean a company which under applicable laws offers investment services. Business Day shall mean any day, other than a Saturday or a Sunday, or the 25 th of December, or the 1 st of January or any other Cyprus or international holidays to be announced on the Company s Website. CySEC shall mean the Cyprus Securities and Exchange Commission, which is the Company s supervisory authority. CySEC Rules shall mean the Rules, Directives, Regulations, Guidance notes, opinions or recommendations of CySEC. Data shall mean the data relating to a Transaction coming from the Provider containing the information about the direction of the Provider s Transaction on the given Financial Instrument and its time of conclusion. Event of Default shall have the meaning given en tant que Trader Référence. 2. Interprétation des Termes 2.1. Dans ce Contrat : Un Affilié de la Société est une entité directement ou indirectement contrôlée par la Société, ou toute autre entité sous le contrôle de la Société ; le contrôle étant le pouvoir de décider ou la présence sur le terrain afin de gérer les affaires de la Société ou d une entité. Le Mode Anti-Données est un mode d Exécution Automatique des Ordres dans lequel les Ordres sur Instruments Financiers sont placés automatiquement par le Broker dans la direction opposée à celle de l ordre du Trader Référence. La Réglementation Applicable comprend les Règles de (a) la CySEC ou de toute autorité de régulation compétente et disposant d un pouvoir sur la Société ; (b) les Règles des marchés concernés ; et (c) toute loi, règle ou régulation chypriote ou européenne (UE). Un Ordre Automatique est une fonctionnalité de la Plateforme qui place automatiquement les Ordres sur Instruments Financiers chez le Broker pour le compte du Client en se basant sur les données fournies par le Trader Référence. Un Broker est une société qui offre des services d investissement au Client et à laquelle la Société a donné son accord pour intégrer la Plateforme au sein de son infrastructure de trading. Un Jour Ouvré n est ni un samedi ni un dimanche, ni un 25 décembre ni un 1 er janvier ni aucun autre jour férié du calendrier chypriote ou international affiché sur le Site Internet de la Société. La CySEC pour Cyprus Securities and Exchange Commission est l autorité de régulation de la Société. Le Contrat CySEC correspond aux Règles, Directives, Régulations, Recommandations ou Opinions émises par la CySEC. Les Données sont les données de transaction

3 in paragraph Financial Instrument shall mean the Financial Instruments under the Company s CIF license which are the following: (a) Transferable Securities; (b) Money-market instruments; (c) Units in collective investment undertakings; (d) Options, futures, swaps, forward rate agreements and any other derivative contracts relating to securities, currencies, interest rates or yields, or other derivatives instruments, financial indices or financial measures which may be settled physically or in cash; (e) Options, futures, swaps, forward rate agreements and any other derivative contracts relating to commodities that must be settled in cash or may be settled in cash at the option of one of the parties (otherwise than by reason of a default or other termination event); (f) Options, futures, swaps, and any other derivative contract relating to commodities that can be physically settled provided that they are traded on a regulated market and/or an MTF; (g) Options, futures, swaps, forwards and any other derivative contracts relating to commodities, that can be physically settled not otherwise mentioned in the paragraph above and not being for commercial purposes, which have the characteristics of other derivative financial instruments, having regard to whether, inter alia, they are cleared and settled through recognised clearing houses or are subject to regular margin calls; (h) Derivative instruments for the transfer of credit risk; (i) Financial contracts for differences; (j) Options, futures, swaps, forward rate agreements and any other derivative contracts relating to climatic variables, freight rates, emission allowances or inflation rates or other official economic statistics that must be settled in cash or may be settled in cash at the option of one of the parties (otherwise than by reason of a default or other termination event), as well as any other derivative contract relating to assets, rights, obligations, indices and measures not otherwise mentioned in this Part, which have the characteristics of other derivative financial instruments, having regard to whether, inter alia, they are traded on a regulated market or an MTF, are cleared and settled through recognised clearing houses or are subject to regular margin calls. L Evénement de défaut est défini au paragraphe Les Instruments Financiers au sens de la licence CIF de la Société peuvent être : (a) des Titres ; (b) des Instruments Monétaires ; (c) des Parts d OPCVM ; (d) des Options, futures, swaps, forward ou tout autre contrat financier dérivé sur titres, devises, taux d intérêt ou rendements, autres instruments dérivés, indices financiers dont le Contrat peut se faire physiquement ou en espèce ; (e) des Options, futures, swaps, forward ou tout autre contrat financier dérivé sur matières premières dont le Contrat se fait en espèces sur option d une des parties (et pour une raison autre qu un défaut ou une annulation du contrat); (f) des Options, futures, swaps, ou tout autre contrat dérivé sur matières premières dont le Contrat se fait physiquement, à la condition que ces matières premières soient négociées sur un marché réglementé et/ou un MTF ; (g) des Options, futures, swaps, forwards ou tout autre contrat financier dérivé sur matières premières ne pouvant être livrées physiquement, dont le Contrat ne peut se faire d aucune des manières définies ci-dessus et dont le but est non commercial, mais qui ont les caractéristiques des autres instruments financiers dérivés, et notamment qu ils soient compensés et réglés via des chambres de compensation reconnues ou sujets à des appels de fonds réguliers ; (h) des Instruments dérivés de transfert du risque de crédit ; (i) des Contrats sur la Différence ; (j) des Options, futures, swaps, forward ou tout autre contrats dérivés sur variables climatiques, taux de fret, crédits carbone, taux d inflation rates ou toute autre statistique économique pouvant être réglée en espèces sur option d une des parties (pour une raison autre qu un défaut ou une annulation du contrat), et tout autre contrat dérivé sur actifs, droits, obligations, indices et mesures non précédemment mentionné et à condition qu il possède les caractéristiques des autres contrats financiers dérivés, et notamment qu ils soient compensés et réglés via des chambres de compensation reconnues ou sujets à des appels de fonds réguliers.

4 set out in paragraph Nickname shall mean the code name chosen by the Provider used to identify his Trading Data and Data. Order shall mean an instruction to a Broker to trade in Financial Instruments. Parties shall mean the parties to this Agreement the Company and the Provider. Platform shall mean the electronic mechanism operated and maintained by the Company, consisting of computer devices, software, databases, telecommunication hardware, programs and technical facilities, which facilitates trading activity including automated trading activity, exchange of Data, sharing of Trading Data between its users (i.e. Clients and Providers). Trading Account shall mean the trading account of a Client or of the Provider held with his Broker. Trading Data shall mean the historic Data, open or pending orders, of the Provider or the results of the Provider in relation to a particular Trading Account of his. Transaction shall mean a transaction (buy or sell) in Financial Instruments. Website shall mean the Company s website at or such other website as the Company may maintain from time to time Words importing the singular shall import the plural and vice versa. Words importing the masculine shall import the feminine and vice versa.words denoting persons include corporations, partnerships, other unincorporated bodies and all other legal entities and vice versa Paragraph headings are for ease of reference only Any reference to any act or regulation or Law shall be that act or regulation or Law as amended, modified, supplemented, consolidated, Les Evènements de Force Majeure sont définis dans le paragraphe Le Pseudonyme ou Pseudo est le nom de code choisi par chaque Trader Référence et utilisé afin d identifier ses Données ainsi que ses données de Trading. Order shall mean an instruction to a Broker to trade in Financial Instruments. Parties shall mean the parties to this Agreement the Company and the Provider. La Plateforme est le mécanisme électronique géré et maintenu opérationnel par la Société, constitué de postes informatiques, de logiciels, de bases de données, de matériel de télécommunication, ainsi que de programmes et aides techniques, facilitant l activité de trading sur le Compte Client, trading automatique échange de Données, partage de Données de Trading entre ses utilisateurs (i.e. le Client et les Traders Référence). Le Compte de Trading est le compte de trading du Client ou du Trader Référence détenu chez son Broker. Les Données de Trading correspondent à l historique des Données du Trader Référence ou aux résultats du Trader Référence vis-à-vis d un de ses Comptes de Trading en particulier. Une Transaction est une opération d achat ou de vente sur Instruments Financiers. Le Site Internet est le Site Internet de la Société, à savoir : ou tout autre Site Internet ponctuellement géré par la Société Les termes écrits au singulier comprennent leur pluriel et inversement. Les termes écrits au masculin comprennent leur féminin et inversement. Les termes désignant les personnes comprennent les entreprises, partenariats, et toute autre entité légale représentée et inversement Les en-têtes des paragraphes n ont d autre but que le confort d utilisation et de référence.

5 re-enacted or replaced from time to time, all guidance noted, directives, statutory instruments, regulations or orders made pursuant to such and any statutory provision of which that statutory provision is a re-enactment, replacement or modification. 3. Data, Trading Data and Nickname 3.1. It is agreed and understood that the Company, as part of its business, presents on the Platform and/or its Website(s) a list of active Providers, their Nicknames, their Data and their Trading Data for its Clients to choose from and use for the purposes of Automatic Orders. The Provider hereby consents to the submission of his Data with the use of the Platform to the Company, for the publishing of his Data, Trading Data and Nickname on the Company s Platform and/or Website(s), so as to be used by Clients of the Company for Automatic Orders, and consents to their use for the commercial and financial interest of the Company The Provider applies to provide Data for all Financial Instruments traded on his Account. The Company reserves the right up to 30 days to analyze and, at its sole discretion, to accept or reject the application of the Provider. The Company may also decline particular Financial Instruments. If the application of the Provider is accepted, the Company may forward the Data to its Clients and publish it on the Platform and/or its websites or forward the Data to potential Clients using demo version of the Platform. If the Provider does not perform any Transaction on his Account or in a particular Financial Instrument for a period of at least 3 months, the Company reserves itself the right to suspend the service for all Financial Instruments or for the said Financial Instrument as the case may be The Provider can resign from providing the Data at any time, provided that at the time of resigning the Provider does not have any open Transactions. The Provider must provide the Company with prior written notice sent via electronic means which must be received by the Company at least seven (7) Business Days prior to such resignation The Trading Data is published on the Company s Website(s) and/or the Platform for 2.4. Données, Données de Trading et Pseudonyme 3.1. La Société affiche, dans le cadre de son activité, sur la Plateforme et/ou ses sites Internet une liste de Traders Référence actifs, leur Pseudonyme, leurs Données ainsi que leurs Données de Trading, afin que ses Clients puissent faire leur choix dans le but de placer des Ordres Automatiques. Le Trader Référence accepte de transmettre ses Données, via l utilisation de la Plateforme, à la Société qui publiera ses Données, Données de Trading et Pseudo sur la Plateforme et/ou ses sites Internet, afin que les Clients de la Société puissent utiliser ces données dans le cadre des Ordres Automatiques, et donne son accord à une utilisation commerciale dans l intérêt financier de la Société Le Trader Référence s engage à fournir à la Société les Données relatives à tous les Instruments Financiers négociés sur son Compte. La Société se donne alors jusqu à 30 jours pour les analyser, de manière discrétionnaire, avant d accepter ou de rejeter la demande du Trader Référence. La Société peut également refuser des Instruments Financiers spécifiques. Si la demande du Trader Référence est acceptée, la Société pourra transmettre ces Données à ses Clients et les publier sur la Plateforme et/ou ses sites Internet, ou encore transmettre ces Données à ses Clients potentiels via la version de démonstration de la Plateforme. Si le Trader Référence n effectue aucune Transaction sur son Compte ou sur un Instrument Financier spécifique pendant une période d au moins 3 mois, la Société se réserve le droit de suspendre le service sur tous les Instruments Financiers ou sur l Instrument Financier spécifique le cas échéant.

The Nickname must not be offensive, abusive in any manner and must not infringe any third party rights The Company has the right to deactivate (temporarily or permanently) the Data supply function of the Provider at any moment without prior notice to the Provider and the Compnay will not be liable to the Provider for any loss (direct or indirect, including loss of income or opportunity). 4. Platform 4.1. The Company reserves the right, at its discretion, at any time to alter, change, modify, remove or add any part or functionality or command or mode of the Platform, temporarily or permanently, without prior notice to the Provider and the Company will not be liable to the Provider for any loss (direct or indirect, including loss of income or opportunity) The Company has the right to shut down the Platform at any time for maintenance purposes, wthout notice, and the Compnay will not be liable to the Provider for any loss (direct or indirect, including loss of income or opportunity). 5. Technical Matters 5.1. The Provider represents and warrants that he has installed and implemented appropriate means of protection relating to the security and integrity of his computer and that he has taken appropriate actions to protect his system from computer viruses or other similar harmful or inappropriate materials, devices, information or data that may potentially harm the Website, the Platform or other systems of the Company. The 3.3. Le Pseudonyme ne doit être ni insultant ni abusif et ne doit pas non plus contrevenir aux droits de tierces parties La Société a le droit de désactiver (de manière temporaire ou permanente) les Données du Trader Référence à tout moment et sans avertissement préalable au Trader Référence. La Société n est pas responsable d éventuelles pertes du Trader Référence (pertes directes ou indirectes, manque à gagner ou coût d opportunité). 4. Plateforme 4.1. La Société se réserve à tout moment le droit, discrétionnaire, d altérer, de changer, de modifier, de supprimer ou d ajouter, en partie ou en totalité, les fonctionnalités, commandes ou modes de la Plateforme, de manière temporaire ou permanente, sans avertissement préalable du Trader Référence. La Société ne pouvant être tenue responsable des éventuelles pertes du Trader Référence (pertes directes ou indirectes, manque à gagner ou coût d opportunité) La Société a le droit d interrompre l utilisation de la Plateforme à tout moment pour des opérations de maintenance, sans

Furthermore, if the Provider incurs delays and any other form of data integrity problems that are a result of his hardware configuration or mismanagement, the Company shall not be liable. 6. Prohibited Actions on the Platform 6.1. The Provider shall not unlawfully access or attempt to gain access, reverse engineer or otherwise circumvent any security measures that the Company has applied to the Platform It is absolutely prohibited to take any of the following actions: (a) use any software, which applies artificial intelligence analysis to the Company s system and/or Platform; (b) intercept or monitor, damage or modify any communication which is not intended for him; (c) use any type of spider, virus, worm, trojan-horse, time bomb or any other codes or instructions that are designed to distort, delete, damage or disassemble the Platform or the communication system or any system of the Company; (d) send any unsolicited commercial communication not permitted under applicable law or Applicable Regulations The Provider will not proceed and avoid proceeding in any action that could potentially allow the irregular or unauthorised access or use of the Platform The Provider will not, whether by act or omission, do anything that will or may violate the integrity of the Company computer system or Platform or cause such system(s) to malfunction or stop their operation. avertissement, mais ne peut être tenue responsable des éventuelles pertes du Trader Référence (pertes directes ou indirectes, manque à gagner ou coût d opportunité). 5. Il a notamment mené les actions nécessaires de lutte contre les virus et autres nuisances logicielles, matérielles, informationnelles ou données pouvant nuire au Site Internet, à la Plateforme ou à tout autre système de la Société. Le Trader Référence s engage à protéger la Société vis-àvis des virus informatiques ou d autres nuisances logicielles ou matérielles en provenance de son ordinateur et ciblant la Plateforme de la Société La Société ne peut être tenue responsable d éventuelles pannes, coupures, destruction et/ou suppression des Données, d enregistrements ou de données personnelles sur l ordinateur du Trader Référence. A fortiori lorsque les délais ou autre problème associé à l intégrité des données sont une conséquence de la configuration matérielle ou de la mauvaise gestion du Trader Référence. 6. Actions Interdites sur la Plateforme 6.1. Le Trader Référence ne doit pas contourner ou tenter de contourner de manière frauduleuse les mesures de sécurité mises en place par la Société dans le but de protéger la Plateforme Il est formellement interdit au Client d effectuer une ou plusieurs des actions suivantes : (e) Utiliser un logiciel se basant sur l intelligence artificielle pour analyser le système de la Société et/ou la Plateforme ; (f) Intercepter ou surveiller, endommager ou modifier toute communication non destinée au Client ; (g) Utiliser des vers, virus, chevaux de Troie, bombes, codes malicieux ou autres instructions informatiques conçues pour déformer, détruire, endommager ou

8 7. Intellectual Property 7.1. The Platform, all copyrights, trademarks, patents, service marks, trade names, software codes, icons, logos, characters, layouts, trade secrets, buttons, color scheme, graphics and data names are the sole and exclusive Intellectual Property (IP) of the Company and are protected by local and international intellectual property laws and treaties. This Agreement does not convey an interest in or to the Platform but only a right to use the Platform according to the terms of this Agreement. Nothing in this Agreement constitutes a waiver of the Company s intellectual property rights Under no circumstances shall the Provider obscure or remove any copyright, trademark or any other notices from any of the Company s IP or Website or Platform The Company owns all the images displayed on its Website, the Platform and software. The Providermay not use these images in any way other than the manner which the Company provides them for The Provider is not permitted to alter, modify, publish, transmit, distribute, otherwise reproduce or commercially exploit the information made available to him through the Company s Website or Platform including text, graphics, video, audio, software code, user interface design or logos, in whole or in part, in any format to any third party without the Company s express written consent The Provider represents and warrants that he will not use the IP or the Platform or Website in contravention to this Agreement, or for unauthorized or unlawful purposes and that he will use the IP, Platform and Website only for the benefit of his ProviderAccount and not on behalf of any other person. 8. Remuneration and Costs 8.1. Propriété Intellectuelle 7.1. La Plateforme, les droits de reproduction, marques déposées, brevets, noms de services, noms commerciaux, codes logiciels, icônes, logos, caractères, mises en page, secrets de fabrication, boutons, couleurs, graphiques et noms de données constituent la Propriété Intellectuelle (PI) unique et exclusive de la Société et sont protégés par les lois et traités locaux et internationaux relatifs à la propriété intellectuelle. Le présent Contrat ne comporte pas un intérêt dans la Plateforme mais seulement un droit d utilisation de la Plateforme conformément aux dispositions du Contrat. 9 by the Company or delivered by any means of electronic communication available to the Provider. It is agreed that the Company has the right to amend these fees unilaterally from time to time and without the prior consent of the Provider or notice to the Provider. All such service fees specified in the table are gross amounts and exclusive of required bank charges, wire transfer costs and other administrative charges as well as any state, local, and other taxes and charges directly applicable to the services, the use of the Platform and banking transfers. If the Company is required by law to deduct or withhold any such charges, fees, bank charges, wire transfers or taxes from any amount payable hereunder, then the amount payable hereunder shall be decreased, so that after making all required deductions and/or withholdings, the Provider shall receive an amount lower to the amount it would have received had no such deductions or withholdings been made. The Provider shall be solely responsible for all filings, tax returns and reports on any Transactions which should be made to any relevant authority, whether governmental or otherwise, and for payment of all taxes (including but not limited to any transfer or value added taxes), arising out of or in connection with any Transaction or this Agreement The Provider s remuneration for a given month is calculated until the tenth day of each following month and shall be paid to the bank account or payment account as specified by the Provider in his application or as changed and notified to the Company at any time thereafter The Provider undertakes to pay all stamp expenses relating to this Agreement and any documentation which may be required for the currying out of the transactions under this Agreement Transactions lasting shorter than 5 minutes will not form the basis for calculation of the remuneration described herein. Il n utilisera les éléments constitutifs de la Propriété Intellectuelle de la Société, sa Plateforme ou son Site Internet, que sur son Compte personnel et non au profit de tierces personnes. 8. Rémunération et Coûts 8.1 Le Trader Référence accepte de recevoir une rémunération en provenance de la Société basée sur le tableau des frais et commissions publié sur le Site Internet de la Société ou tout autre site internet indiqué par la Société ou fourni via communication électronique au Trader Référence. La Société a le droit de modifier, ponctuellement et de manière unilatérale, ces commissions sans avertissement ou accord préalable du Trader Référence. Les commissions de service précisées dans le tableau sont des commissions brutes hors frais bancaires, frais de virement ou autres frais administratifs pouvant être associés aux services d utilisation de la Plateforme et de virements bancaires. Si la Société est légalement obligée de déduire ou de retenir ces frais, commissions, frais bancaires ou taxes de la commission du Trade Référence, cette commission sera diminuée du montant des frais imputés, le Trade Référence recevra alors une commission inférieure à la commissions qu il aurait dû recevoir. Le Trader Référence est entièrement responsable des déclarations, relevés ou rapports à transmettre aux autorités compétentes, qu elles soient gouvernementales ou non, ainsi que du paiement de toutes les taxes (incluant mais ne se limitant pas à la taxe sur la valeur ajoutée) en relation avec ses Transactions ou ce Contrat.

10 9. Confidentiality 9.1. Any information that a receiving Party knows or has reason to know is confidential or proprietary (because such information is identified by the disclosing party orally or in writing as such or is not generally known to the public), is considered as Confidential Information and shall remain the sole property of the disclosing Party. Neither Party shall disclose, use, modify, copy, reproduce or otherwise divulge Confidential Information of the other, except as provided by applicable laws or allowed under this Agreement. Information already in the public domain, or already possessed by the Company without a duty of confidentiality will not be regarded as confidential The Company has the right to disclose Confidential Information of the Provider in the following circumstances: (a) where required by law or a court order by a competent Court; (b) where requested by CySEC or any other regulatory authority having control or jurisdiction over the Company or the Provider; (c) to relevant authorities to investigate or prevent fraud, money laundering or other illegal activity; (d) to credit reference and fraud prevention agencies, third authentication service providers, banks and other financial institutions for credit checking, fraud prevention, anti-money laundering purposes, identification or due diligence checks of the Provider. To do so they may check the details the Provider supplied against any particulars on any database (public or otherwise) to which they have access. They may also use Provider s details in the future to assist other companies for verification purposes. A record of the search will be retained by the Company; (e) to the Company s professional advisors provided that in each case the relevant professional shall be informed about the confidential nature of such information 8.2 La rémunération du Trader Référence sur un mois donné est calculée le 10 du mois suivant et créditée sur le compte bancaire indiqué par le Trader Référence au cours de son inscription ou ultérieurement modifié auprès de la Société. 8.3 Le Trader Référence assume les frais relatifs à l affranchissement de ce Contrat ou de tout document nécessaire à l exécution de transactions conformément au Contrat. 8.4 Les Transactions inférieures à 5 minutes ne sont pas prises en compte pour le calcul de la rémunération du Trader Référence. L exécution continue ou répétée de Transactions inférieures à 5 minutes, de l ouverture de la Transaction à sa clôture, est en mesure de provoquer l interruption de ce Contrat par la Société ou son refus d accepter les Données en provenance du Trader Référence. 9. Confidentialité 9.1. Toute information dont le destinataire sait ou a des raisons de savoir qu elle est confidentielle ou propriétaire (parce qu une telle information est le plus souvent caractérisée oralement ou par écrit comme étant confidentielle et qu elle n est pas connue du public), est considérée Information Confidentielle et demeure la propriété exclusive du fournisseur de cette information. Aucune des parties en présence ne peut partager, utiliser, modifier, copier, reproduire ou divulguer une Information Confidentielle de l autre, à l exception des cas prévus par la loi en vigueur ou par le présent Contrat. Une information publique, ou déjà en possession de la Société et sans obligation de confidentialité ne peut être considérée comme confidentielle La Société a le droit de divulguer les Informations Confidentielles du Trader Référence : (a) aux tribunaux compétents lorsque la loi l exige ; (b) à la CySEC ou à toute autre autorité de régulation dotée d un pouvoir de contrôle ou de juridiction sur la Société ou le Trader Référence ; (c) aux autorités compétentes réalisant une enquête pour fraude, blanchiment

The Provider further undertakes and agrees not to disclose any information concerning his Nickname, in particular, the Provider undertakes not to take up any action that would enable any third party to connect the Trading Data with the Provider in any manner whatsoever The Provider shall not disclose the Trading Data or any information relating to any of the concluded transactions or the profitability on the Provider s Account, to any third party in any manner other than those explicitly provided d argent ou autre activité illégale ; (d) aux organismes de prévention contre le risque de crédit ou la fraude, fournisseurs tiers de services d identification, banques et autres institutions financières réalisant une enquête sur l historique de crédit, la prévention contre la fraude, contre le blanchiment d argent ou sur l identité du Trader Référence. Ils peuvent également utiliser les détails du Trader Référence à l avenir afin d assister d autres sociétés dans leurs démarches de vérification. Une archive de la requête sera conservée par la Société ; (e) aux consultants professionnels de la Société à condition que dans ce cas, le professionnel en question soit averti de la nature confidentielle de ces informations et s engage à respecter les obligations de confidentialité ; (f) à tout prestataire de services de gestion de bases de données (électroniques ou non), d enregistrements d informations, de transmissions d s, de messagerie, ou autres services ayant pour but de collecter, stocker et utiliser les informations ou d améliorer les performances des activités décrites dans ce Contrat en se mettant en relation avec le Trader Référence ; (g) à tout prestataire de services statistiques dans le but d améliorer le marketing de la Société. Dans ce cas, les données seront transmises sous forme agrégée ; (h) aux centres d appel des organismes de sondages et d enquêtes dans le but d améliorer les services et activité de la Société ; (i) aux tribunaux, arbitres ou autorités gouvernementales lorsque la Société doit défendre ou exercer ses droits ; (j) avec le consentement du Trader Référence, suite à sa requête ; (k) à un Affilié de la Société ou à toute autre entité du même groupe ; (l) aux salariés de la Société dans le cadre des activités de ce Contrat, ou afin

Amendment of the Agreement Unless provided differently elsewhere in this Agreement, the Company has the right to amend the terms of the Agreement at any time giving to the Provider at least three Business Days written notice prior to such changes sent via electronic means. Any such amendments will become effective on the date specified in the notice. The Provider acknowledges that a variation which is made to reflect a change of law or regulation may, if necessary, take effect immediately. 11. Termination of the Agreement Each Party may terminate this Agreement with immediate effect by giving at least seven Business Days Written Notice to the other Party Termination by any Party will not affect any obligation which has already been incurred by either Party or any legal rights or obligations which may already have arisen under the Agreement or any Transactions made hereunder Upon termination of this Agreement: (a) the Provider shall discontinue providing Data to the Company; (b) the Company shall remove all details concerning the Provider (such as his Nickname, Data, and Trading Data) form the Platform and/or the Website(s); (c) the Company shall have the right to inform its Clients and their Brokers or make an announcement on its website (or otherwise) that the relationship with the Provider has terminated; (d) the Provider shall erase/delete any such Confidential Information held by it in electronic form, and shall confirm in writing to the Company that it has complied with its obligations under this paragraph. 12. Default Each of the following constitutes an Event of Default : d assurer un fonctionnement efficace de la Plateforme, des Ordres Automatiques et des fonctionnalités de Données de Trading Le Trader Référence accepte de ne divulguer aucune information concernant son identité ou toute autre information permettant de la découvrir, même de manière indirecte. Le Trader Référence accepte de ne divulguer aucune information concernant son Pseudo. En outre, le Trader Référence accepte de ne rien effectuer qui puisse permettre à des tierces parties de connecter les Données de Trading avec le Trader Référence de quelque manière que ce soit Le Trader Référence ne divulguera ni les Données de Trading ni toute autre information concernant les transactions conclues ou la rentabilité du Compte du Trader Référence, de toutes autres manières que celles explicitement décrites dans le présent Contrat. 10. Amendement au Contrat Sauf mention contraire dans le Contrat, la Société a le droit d amender les dispositions du Contrat à tout moment, après en avoir averti électroniquement par écrit le Trader Référence au moins trois Jours Ouvrés avant ces modifications. Tout amendement sera effectif à la date précisée dans la notice d information. Le Trader Référence est conscient du fait qu une modification apportée au Contrat suite à un changement de loi ou de régulation peut, si nécessaire, prendre effet immédiatement. 11. Résiliation du Contrat Chaque partie peut mettre fin au présent Contrat avec effet immédiat, après en avoir informé l autre partie par écrit et au moins sept Jours Ouvrés avant la date de résiliation du contrat La résiliation du Contrat suite à la décision d une des parties ne modifie ni les obligations des parties ni aucun droit ou obligation nés dans le cadre de ce Contrat ou toute Transaction déjà effectuée A la résiliation du Contrat :

13 (a) the failure of the Provider to perform any obligation due to the Company or breach of any term of this Agreement; (b) if an application is made in respect of the Provider pursuant to the Cyprus Bankruptcy Act or any equivalent act in another Jurisdiction, or if the Provider makes an arrangement or composition with his creditors or any procedure which is similar or analogous to any of the above is commenced in respect of him; (c) the Provider is unable to pay his debts when they fall due; (d) where any representation or warranty made by the Provider in paragraph 15 is or becomes untrue; (e) the Provider dies or is declared absent or becomes of unsound mind; (f) any other circumstance where the Company reasonably believes that it is necessary or desirable to take any action set out in paragraph 12.2; (g) an action set out in paragraph 12.2 is required by a competent regulatory authority or body or court; (h) the Provider involves the Company in any type of fraud or illegality or breach of Applicable Regulations or is at risk of involving the Company in any type of fraud or illegality or breach of Applicable Regulations; (a) Le Trader Référence ne fournit plus de Donnée à la Société ; (b) La Société efface toutes les informations personnelles du Trader Référence (Pseudonyme, Données, Données de Trading) de la Plateforme et/ou des sites Internet ; (c) La Société a le droit d informer ses Clients et leurs Brokers ou d afficher sur son Site Internet que la relation avec le Trader Référence a pris fin ; (d) Le Trader Référence efface/supprime toute Information Confidentielle qu il détient sous forme électronique, et informe par écrit la Société qu il a rempli les obligations écrites dans ce paragraphe. 12. Défaut Chacun des événements suivants constitue un Evénement de Défaut : (l) Lorsque le Trader Référence est incapable de respecter ses obligations vis-à-vis de la Société ou contrevient à l une des dispositions du présent Contrat ; (m) Lorsque le Trader Référence demande à être placé sous l autorité du Cyprus Bankruptcy Act ou de son équivalent dans une autre Juridiction, ou lorsque le Trader Référence passe un accord avec ses créditeurs ou encore lorsqu il a entamé toute procédure similaire ou analogue ; (i) in cases of material violation by the Provider of the requirements established by legislation of the Republic of Cyprus or other countries, such materiality determined in good faith by the Company; (j) if the Company suspects that the Provider is engaged into money laundering activities or terrorist financing or other criminal activities; (k) the Company reasonably suspects that the Provider performed a prohibited action as set out in paragraph 6 of this (n) Le Trader Référence est incapable de payer ses dettes à temps ; (o) Lorsque les dispositions du paragraphe 15 ne sont plus respectées par le Trader Référence ; (p) En cas de décès, de disparition ou d insanité du Trader Référence ; (q) Lorsqu en raison des circonstances, la Société pense qu il est nécessaire ou recommandé de mettre en œuvre les dispositions du paragraphe 12.2 ;

14 Agreement If an Event of Default occurs the Company may, at its absolute discretion, at any time and without prior Written Notice terminate this Agreement. 13. Force Majeure (r) Lorsqu une des actions décrites dans le paragraphe 12.2 est entamée par une autorité compétente ou un tribunal ; (s) Lorsque le Trader Référence implique ou court le risque d impliquer la Société dans tout type de fraude ou de rupture illégale de la Réglementation Applicable ; A Force Majeure Event includes without limitation each of the following: (a) Government actions, the outbreak of war or hostilities, the threat of war, acts of terrorism, national emergency, riot, civil disturbance, sabotage, requisition, or any other international calamity, economic or political crisis; (b) act of God, earthquake, tsunami, hurricane, typhoon, accident, storm, flood, fire, epidemic or other natural disaster; (c) labour disputes and lock-out; (d) suspension of trading on a Market, or the fixing of minimum or maximum prices for trading on a Market, a regulatory ban on the activities of any party (unless the Company has caused that ban), decisions of state authorities, governing bodies of self-regulating organizations, decisions of governing bodies of organized trading platforms; (e) a financial services moratorium having been declared by appropriate regulatory authorities or any other acts or regulations of any regulatory, governmental, supervisory, regulatory or supranational body or authority; (f) breakdown, failure or malfunction of any electronic, network and communication lines (not due to the bad faith or wilful default of the Company or the Provider); (g) any event, act or circumstances not reasonably within the Company s or the Provider s control and the effect of that event(s) is such that the Company or the Provider is not in a position to take any reasonable action to cure the default; (h) the imposition of limits or special or unusual terms on the trading in any such market or on any such event; If any Party determines in its reasonable (t) En présence d une violation matérielle de la part du Trader Référence des prérequis établis par la législation de la République de Chypre ou d autres pays, matériellement caractérisée de bonne foi par la Société ; (u) Lorsque la Société suspecte de manière légitime le Trader Référence d être engagé dans des activités de blanchiment d argent ou de financement du terrorisme ou d autres activités criminelles ; (v) Lorsque la Société suspecte de manière légitime le Trader Référence d effectuer une au moins des actions interdites décrites dans le paragraphe 6 du Contrat Lorsque survient un Evènement de Défaut la Société peut, de manière entièrement discrétionnaire, à tout moment et sans avertissement écrit préalable, mettre fin à ce Contrat. 13. Force Majeure Les Cas de Force Majeure incluent mais ne se limitent pas aux évènements suivants : (a) Actions gouvernementales, déclarations de guerre ou d hostilité, menaces de guerre, actes de terrorisme, état d urgence national, émeutes, désordres civils, sabotages, réquisitions, ou autres catastrophes internationales, crises économiques ou politiques ; (b) Actes imprévisibles, tremblements de terre, tsunamis, ouragans, typhons, accidents, tempêtes, inondations, feux, épidémies ou autres catastrophes naturelles ; (c) Révoltes ouvrières et séquestrations ; (d) Trading suspendu sur un Marché, fixation

15 opinion that a Force Majeure Event exists (without prejudice to any other rights under the Agreement) it shall as soon as practically possible inform the other Party Except as expressly provided in this Agreement, neither Party will be liable or have any responsibility for any type of loss or damage arising out of any failure, interruption, or delay in performing its obligations under this Agreement where such failure, interruption or delay is due to a Force Majeure event. 14. Limitations of Liability and Indemnity The Company shall not be liable to the Provider for direct, indirect, special or consequential including without limitation any damages, injury to business earnings, loss of profits, loss of opportunity arising from and/or related with and/or connected to any use of the Platform, delays, loss or damage of Data, Communications or information In no event shall the Company s liability towards the Provider exceed the remuneration paid by the Company to the Provider during the preceding twelve months prior to the event which gave rise to the liability and in no event shall the Company s maximum aggregate liability incurred exceed one thousand US dollars The Provider will defend and indemnify the Company its Directors, employees and shareholders against any harm and shall hold them harmless from, any and all claims, damages, and expenses (including attorneys fees and costs of litigation) alleged by any other party and based on: (i) any improper acts or omissions of the Provider relating to its activities in connection with this Agreement, or (ii) the Provider s Data, or (iii) the trading decisions of the Provider. 15. Representations and Warranties The Provider represents and warrants to the Company the following: (a) he is at least 18 years old, or the age of legal consent for engaging in financial investment activities under the laws of any jurisdiction that applies to him; des prix minimums ou maximums sur un Marché, interdiction réglementaire des activités d une des parties (à moins que la Société ne soit à l origine de l interdiction), décisions des autorités nationales, gouvernements ou organisations autorégulées, des corps gouvernants ou des marchés réglementés ; (e) Déclaration d un moratoire sur les services financiers de la part des autorités de régulation compétentes ou tout autre acte de régulation des autorités régulatrices, autorités de supervision, gouvernements, pouvoirs ou autorités supranationales ; (f) Interruption, coupure ou disfonctionnement du réseau, des lignes électroniques ou de communication (non causé volontairement et de mauvaise foi par la Société ou le Trader Référence) ; (g) Tout évènement, acte ou circonstance indépendant du contrôle de la Société ou du Trader Référence et dont les conséquences sont telles que ni la Société ni le Trader Référence ne sont en mesure de prendre raisonnablement les actions nécessaires à la résolution du problème ; (h) Mise en place de limites ou dispositions spéciales dans le trading d un marché ou tout autre évènement associé ; Si l une des parties pense raisonnablement être en présence d un cas de Force Majeure (sans contrevenir aux autres droits du présent Contrat) elle doit en informer l autre partie dès que possible Comme expressément indiqué dans le présent Contrat, aucune des parties ne peut assumer la charge ou être tenue responsable des pertes ou dommages causés par tout délai, interruption ou coupure dans l exercice des obligations du Contrat lui incombant, lorsque ces délais, interruptions ou coupures sont causés par un évènement de Force Majeure. 14. Limites de Responsabilités et Indemnités La Société n est pas responsable vis-à-vis

16 (b) he is of sound mind and capable of taking decisions for his own actions; (c) all actions performed under the Agreement will not violate any law or rule applicable to the Provider or to the jurisdiction in which he is resident, or any agreement by which he is bound; (d) he not acting as agent or representative or trustee or custodian on behalf of someone else and is not operating his Trading Account on behalf of a third party and shall not allow any third person to operate his Trading Account and produce Data on his behalf; (e) he is duly authorised to enter into the Agreement and to perform his obligations hereunder; (f) the information provided by Provider to the Company is true, accurate and complete and the documents handed over by him are valid and authentic; (g) he has read and fully understood the terms of the Agreement and consents to them; (h) the funds used for trading are not in any direct or indirect way the proceeds of any illegal activity or used or intended to be used for terrorist financing; (i) during the course of this Agreement he shall abide by applicable laws and act in good faith. 16. Applicable and Governing Law and Applicable Regulations All disputes and controversies arising out of or in connection with the Agreement shall be finally settled in court in Cyprus This Agreement is governed by the Laws of Cyprus Notwithstanding any other provision of this Agreement, the Company shall be entitled to take any action as it considers necessary in its absolute discretion to ensure compliance with the relevant market rules and or practices and Applicable Regulations. 17. Severability du Trader Référence des dommages directs ou indirects, exceptionnels ou récurrents, incluant mais ne se limitant pas à : tout type de dommages, impacts sur les recettes, pertes ou profits, coût d opportunité, suite à et/ou en relation avec l utilisation de la Plateforme, délais, pertes ou destruction de Données, Communication ou Information En aucun cas la dette de la Société vis-à-vis du Trader Référence ne peut excéder la rémunération payée par la Société au Trader Référence au cours des douze mois précédant l évènement ayant déclenché la responsabilité de la Société. La dette maximum de la Société vis-àvis du Trader Référence ne peut excéder mille dollars américains Le Trader Référence devra se défendre et indemniser la Société, ses Directeurs, employés et actionnaires contre tout mal causé à la Société et ne peut les tenir responsables des prétentions, dommages, et frais (frais de représentation et coûts relatifs à la procédure inclus) demandés par toute partie tierce et basés sur : (i) tout acte mal intentionné ou omission du Trader Référence concernant ses activités relativement au Contrat, ou (ii) les Données du Trader Référence, ou (iii) les décisions de trading du Trader Référence. 15. Identité et Garanties Le Trader Référence est garant vis-à-vis de la Société de l exactitude des assertions suivantes : (j) Il est au minimum âgé de 18 ans, ou de l âge minimum légal relatif à l exercice d activités d investissement dans le cadre des lois des juridictions dont il relève ; (k) Il est sain d esprit et capable de faire ses propres décisions pour agir ; (l) Aucune des actions effectuées dans le cadre de ce Contrat ne violera de loi ou règle applicable au Trader Référence ou à la juridiction dont il relève, ni tout autre engagement ; (m) Il n agit pas en tant qu agent ou représentant ou trustee ou conservateur pour le compte d une autre personne. Il n utilise pas son Compte de Trading pour le compte d une tierce partie et ne doit pas autoriser aucune tierce personne à

Should any part of this Agreement be held by any Court of competent jurisdiction to be unenforceable or illegal or contravene any rule, regulation or by law of any Market or regulator, that part will be deemed to have been excluded from this Agreement from the beginning, and this Agreement will be interpreted and enforced as though the provision had never been included and the legality or enforceability of the remaining provisions of the Agreement or the legality, validity or enforceability of this provision in accordance with the law and/or regulation of any other jurisdiction, shall not be affected. 18. Non-Exercise of Rights The Company s failure to seek redress for violations, or to insist upon strict performance, of any condition or provision of this Agreement, or its failure to exercise any or part of any of right or remedy to which the Company is entitled under this Agreement, shall not constitute an implied waiver thereof. 19. 18 20.3. Nothing contained in this Agreement is intended or is to be construed to constitute the Parties as partners or joint ventures or one Party as an employee of any other Party. Except as expressly provided herein, neither Party shall have any express or implied right or authority to assume or create any obligations on behalf of or in the name of the other or to bind each other to any contract or undertaking with any third party. Transferts 19.1 La Société peut à tout moment transférer, assigner ou mettre à jour ses droits, bénéfices ou obligations du présent Contrat à la seule condition d en avertir préalablement le Trader Référence Le Trader Référence ne peut affecter, assigner, charger, mettre à jour ou transférer de quelque manière que ce soit ses droits ou obligations dans le cadre du présent Contrat sans en avertir préalablement par écrit la Société. 20. Divers Tous les droits et recours fournis à la Société et au Trader Référence dans le cadre de ce Contrat sont cumulatifs et non exclusifs de ceux fournis par la loi Ce Contrat constitue l intégralité du Contrat passé entre les Parties relativement au sujet en question et dispose de l autorité sur tous les accords précédemment ou simultanément conclus, négociations et ententes, orales ou écrites Rien dans ce Contrat ne laisse entendre que les Parties peuvent être considérées comme des partenaires commerciaux ou que l une des Parties est employée par la seconde.
