Six (6) milliards d euros, ou son équivalent dans toute autre devise 1.7 1.8 1.9 1.10 Forme des Billets de Trésorerie Rémunération Devises d émission Echéance Les Billets de Trésorerie sont des titres de créances négociables, émis au porteur et sont inscrits en compte auprès d intermédiaires autorisés conformément à la législation et à la règlementation françaises en vigueur La rémunération des Billets de Trésorerie est libre. Cependant, si l Émetteur émet des Billets de Trésorerie dont la rémunération est liée à un indice, ou à une clause d indexation, l Émetteur n émettra que des Billets de Trésorerie dont la rémunération est liée à un indice usuel du marché monétaire, tel que et restreint à : Euribor, Libor ou EONIA. L émetteur ne peut pas émettre de Billets de Trésorerie avec paiements de capital qui peuvent potentiellement être variables. De telles formules de rémunération ne doivent pas résulter en un remboursement du capital en dessous du pair (à maturité). Dans le cas d une émission comportant une possibilité de remboursement anticipé, de prorogation ou de rachat, les conditions de rémunération du Billet de Trésorerie seront fixées à l occasion de l émission initiale et ne pourront pas être modifiées ultérieurement, notamment à l occasion de la prorogation ou du rachat. Les Billets de Trésorerie seront émis en euro ou dans toute autre devise autorisée par la législation française en vigueur au moment de l émission conformément à l article D. 213-6 du Code Monétaire et Financier. L échéance des Billets de Trésorerie sera fixée conformément à la législation et à la réglementation française, ce qui implique qu à la date des présentes la durée des émissions de Billets de Trésorerie ne peut être supérieure à 1 an (365 jours ou 366 jours les années bissextiles). Les Billets de Trésorerie peuvent être remboursés avant maturité en accord avec les lois et les réglementations applicables en France. Les Billets de Trésorerie émis dans le cadre du Programme pourront comporter une ou plusieurs possibilités de prorogation de l échéance (au gré de l Émetteur, ou du détenteur, ou en fonction d un (ou plusieurs) 4

Les Billets de Trésorerie seront émis pour un montant nominal au moins égal à 200 000 euros ou la contrevaleur de ce montant en devises En vertu de la réglementation (Article D 213-11 du Code monétaire et financier), le montant minimum légal des Titres de Créances Négociables émis dans le cadre de ce programme est de 200 000 euros ou la contrevaleur de ce montant en devises déterminée au moment de l émission. Les Billets de Trésorerie émis par l'émetteur constitueront des engagements directs, non assortis de sûretés, non subordonnés de l Émetteur, venant au même rang entre eux et au même rang que les autres engagements présents ou futurs non assortis de sûretés et non subordonnés de l Emetteur, sous réserve des éventuelles exceptions légales. Les Billets de Trésorerie émis dans le cadre du présent Programme seront régis par le droit français. However, if the Issuer issues Billets de Trésorerie with remuneration linked to an index, or an index clause, the Issuer shall only issue Billets de Trésorerie with remuneration linked to usual money market indexes, such as and restricted to: Euribor, Libor or EONIA. 1.9 1.10 Yield basis Currencies of issue of the Notes Maturity of the Notes The Issuer may not issue Billets de Trésorerie with potentially variable principal payments. Such remuneration formulas shall not result in a below par capital redemption. In the case of an issue of Billets de Trésorerie embedding a possibility of early redemption, extension or repurchase, the conditions of remuneration of such Billets de Trésorerie will be set out when the said Billets de Trésorerie will be initially issued and shall not be further modified, including when such extension or repurchase will be exercised. The Billets de Trésorerie shall be issued in euro or in any other currency authorized by laws and regulations in force in France at the time of the issue in accordance with article D.213-6 of the French Code monétaire et financier. The term (maturity date) of the Billets de Trésorerie shall be determined in accordance with laws and regulations applicable in France, which imply that, at the date hereof, the term of the Billets de Trésorerie shall not be longer than one year (365 days or 366 days in a leap year), from the issue date. The Billets de Trésorerie may be redeemed before maturity in accordance with the laws and regulations applicable in France. The Billets de Trésorerie issued under the Programme may carry one or more embedded possibility (ies) of extension of the term (hold by either the Issuer or the 13

In any case, the overall maturity of any Billet de Trésorerie embedded with one or several of such clauses, shall always - all possibilities of early redemption, extension or repurchase included conform to laws and regulations in force in France at the time of the issue. The Billets de Trésorerie shall be issued for a nominal amount at least equal to EUR 200,000 or its equivalent in any other currency By virtue of regulation (Article D 213-11 of the French Code monétaire et financier), the legal minimum face value of the Billets de Trésorerie issued within the framework of this programme is EUR 200,000 or the equivalent in the currencies selected at the time of issuance. The Billets de Trésorerie will constitute direct, unsecured, unsubordinated obligations of the Issuer which will rank pari passu without any preference or priority among themselves and equally with all other existing and future unsecured and unsubordinated obligations of the Issuer other than obligations as may be preferred by mandatory provisions of applicable law. The Billets de Trésorerie issued under this Programme will be governed by French law. All potential disputes related to the issuance of the Billets de Trésorerie shall be governed and construed according to French Law. The Billets de Trésorerie will be issued in Euroclear France (ESES). 1.17 Rated Rating(s) of the Programme A-1+, Standard & Poor s (see appendix 2) P-1, Moody s (see appendix 3) Ratings might be reviewed at any time by rating agencies. 1.22 1 General Restrictions Each of the Issuer, the Dealers, the other initial subscribers and the subsequent holders, if any, of the Billets de Trésorerie issued under the Programme shall not take any action that would allow the offering to the public of the Billets de Trésorerie or the possession or distribution of this Information Memorandum or any other document related to the Billets de Trésorerie in any country or jurisdiction where such offer or the distribution of any such instrument or document would contravene the laws and regulations in force, and shall not offer or sell, whether directly or indirectly, the Billets de Trésorerie other than in compliance with such laws and regulations in force in any such country or jurisdiction. Each of the Issuer, the Dealers, the other initial subscribers and the subsequent holders, if any, agree, or shall be deemed to have agreed at the date of the purchase of the Billets de Trésorerie, to comply with the laws and regulations in force in the country in which they offer or sell such Billets de Trésorerie or hold or distribute this Information Memorandum and to obtain all authorisations or consents required under any laws and regulations in force in all countries for that purpose. Neither the Issuer nor any of its Dealers shall incur any liability resulting from the violation of such laws and regulations by any of the other Dealers or initial subscribers, or subsequent holders, if any, of the Billets de Trésorerie. 2 France Selling restrictions Each of the Issuer, the Dealers, the other initial subscribers and the subsequent holders, if any, agrees, or shall be deemed to have agreed at the date of the purchase of the Billets de Trésorerie, to comply with the applicable laws and regulations in force regarding the offer, the placement, the re-purchase or the re-sale of the Billets de Trésorerie or the distribution and update of documents with respect thereto, including this Information Memorandum, in France. 3 United States of America The Billets de Trésorerie have not been and will not be registered under the U.S. Securities Act of 1933, as amended, (the Securities Act ) and may not be offered, sold or delivered within the United States of America, or to, or for the account or benefit of, U.S. persons except in certain transactions exempt from the registration requirements of the Securities Act. Terms used in this paragraph have the meanings given them by Regulation S under the Securities Act ( Regulation S ). Each Dealer or subsequent dealer appointed to the Programme has represented and agreed that, except as permitted by the dealer agreement (as applicable), it has not offered, sold, or delivered, and will not offer, sell or deliver, whether directly or indirectly, the Billets de Trésorerie within the United States of America or to or for the account or benefit of U.S. persons (i) as part of their distribution at any time and (ii) otherwise until the day immediately following 40 days after the completion of the distribution of an identifiable tranche of which the Billets de Trésorerie are a part, and it will have sent to each dealer (if any) to which it sells Billets de Trésorerie during the distribution compliance period a confirmation or other notice setting forth the restrictions on offers and sales of Billets de Trésorerie within the United States or to, for the account or benefit of, U.S. persons. Terms used in this paragraph have the meanings given to them by Regulation S. The Billets de Trésorerie are being offered and sold outside the United States to non-u.s. persons in reliance on Regulation S. In addition, until 40 days after the commencement of the offering of the Billets de 15
