3 4 Canada Gazette Part I June 25, 2005 STATEMENT OF ROYALTIES TO BE COLLECTED BY SODRAC FOR THE REPRODUCTION, IN CANADA, OF MUSICAL WORKS FOR THE YEARS 2004 TO 2008 TARIF DES REDEVANCES À PERCEVOIR PAR LA SODRAC POUR LA REPRODUCTION, AU CANADA, D ŒUVRES MUSICALES POUR LES ANNÉES 2004 À 2008 Tariff No. 5 Tarif n o 5 REPRODUCTION OF MUSICAL WORKS EMBEDDED INTO CINEMATOGRAPHIC WORKS FOR THE PURPOSE OF DISTRIBUTING VIDEO-COPIES OF THESE CINEMATOGRAPHIC WORKS Short Title 1. This tariff may be cited as the SODRAC Tariff (Reproduction of Musical Works in Video-copies), Definitions 2. In this tariff, cinematographic work means a cinematographic work initially intended for theatre distribution or for television, but not a concert, a musical, a variety show, a video-clip, a workout show or any other work in which the music/oral expressions ratio is at least 60/40; («œuvre cinématographique») distributor means a person authorized to reproduce a cinematographic work as a video-copy and to deliver that video-copy to wholesalers or retailers for the purpose of sale or rental to consumers; («distributeur») distribution revenues means any amount a distributor may receive from a wholesaler or retailer for the delivery of a videocopy containing at least one work from the repertoire; («revenus de distribution») repertoire means SODRAC s repertoire of musical works; («répertoire») semester means from January to June and from July to December; («semestre») SODRAC means the Society for Reproduction Rights of Authors, Composers and Publishers in Canada (SODRAC) Inc. and SODRAC 2003 Inc., acting jointly and severally; («SODRAC») video-copy means a copy of a cinematographic work on any video recording medium. («vidéocopie») Application 3. (1) A distributor who complies with this tariff shall be entitled to reproduce onto a video-copy a work of the repertoire already embedded into that cinematographic work for the purpose of selling or renting the video-copy to consumers for private use. (2) A distributor may avail itself of this tariff in respect of video-copies made before January 1, 2004, and delivered to a wholesaler or a retailer starting on January 1, (1) This tariff does not authorize the fixation or reproduction into a cinematographic work of a musical work that has not already been embedded into it. (2) This tariff does not authorize a distributor to provide a video-copy for free. Royalties 5. (1) A distributor shall pay to SODRAC 1.2 per cent of its distribution revenues. Les définitions qui suivent s appliquent au présent tarif. «distributeur» Personne autorisée à reproduire une œuvre cinématographique sous forme de vidéocopie et à livrer cette vidéocopie à un grossiste ou à un détaillant en vue de sa vente ou de sa location à un consommateur. ( distributor ) «œuvre cinématographique» Œuvre cinématographique destinée initialement à la sortie en salle ou à la télévision, à l exclusion du concert, de la comédie musicale, de l émission de variétés, du vidéoclip, de l émission d exercices physiques et de toute œuvre dont le rapport musique/créations orales est d au moins 60/40. ( cinematographic work ) «répertoire» Répertoire d œuvres musicales de la SODRAC. ( repertoire ) «revenus de distribution» Toute somme que le distributeur reçoit du grossiste ou du détaillant en contrepartie de la livraison d une vidéocopie contenant au moins une œuvre du répertoire. ( distribution revenues ) «semestre» De janvier à juin et de juillet à décembre. ( semester ) «SODRAC» Société du droit de reproduction des auteurs, compositeurs et éditeurs au Canada (SODRAC) inc. et SODRAC 2003 inc., agissant de façon conjointe et solidaire. ( SODRAC ) «vidéocopie» Copie d une œuvre cinématographique sur un support vidéo quel qu il soit. ( video-copy ) Application 3. (1) Le distributeur qui se conforme au présent tarif peut reproduire dans une vidéocopie une œuvre du répertoire déjà incorporée à une œuvre cinématographique en vue de la vente ou de la location de la vidéocopie de cette œuvre cinématographique à un consommateur pour usage privé. (2) Le distributeur peut se prévaloir du présent tarif à l égard des vidéocopies faites avant le 1 er janvier 2004 et qu il livre à un grossiste ou à un détaillant à compter du 1 er janvier (1) Le présent tarif n autorise pas la fixation, ou la reproduction, dans une œuvre cinématographique, d une œuvre musicale qui n y est pas déjà incorporée. (2) Le présent tarif n autorise pas le distributeur à fournir gratuitement une vidéocopie. Redevances 5. (1) Un distributeur verse à la SODRAC 1,2 pour cent de ses revenus de distribution.

4 Le 25 juin 2005 Gazette du Canada Partie I 5 (2) All royalties payable under this tariff are exclusive of any federal, provincial or other governmental taxes or levies of any kind. Reporting Requirements 6. (1) No later than 31 days after the end of a semester, a distributor shall provide to SODRAC, with respect to each cinematographic work for which the information has not already been provided and a video-copy of which was delivered during the semester, either (a) a copy of the video-copy s box, if the names of the composers of all the musical works embedded into the cinematographic work are mentioned on it, (b) if not, a video-copy of the cinematographic work, along with an indication of the country where the cinematographic work was produced. (2) As soon as possible after receiving the information set out in subsection (1), SODRAC shall notify the distributor in writing of those cinematographic works that include a work from the repertoire. 7. (1) No later than 15 days after the end of a semester, a distributor shall provide to SODRAC, with respect to each cinematographic work mentioned in a notice referred to in subsection 6(2) that was received before the end of the semester, and a video-copy of which was delivered during the semester, the following information relating to that semester: (a) the title and identification number; (b) an indication of the country where the cinematographic work was produced; (c) the number of video-copies made; (d) the number of video-copies delivered; (e) the price received from the wholesaler or the retailer for the video-copy; and (f) the total distribution revenues. (2) A distributor who withdraws from a catalogue a cinematographic work mentioned in a notice referred to in subsection 6(2) shall notify SODRAC of the withdrawal at the same time as it provides the information set out in subsection (1) for the semester during which the withdrawal occurs. (3) A distributor who destroys a video-copy of a cinematographic work mentioned in a notice referred to in subsection 6(2) shall notify SODRAC of the destruction at the same time as it provides the information set out in subsection (1) for the semester during which the destruction occurs. The distributor shall provide a written sworn statement with the notice. 8. A distributor shall forward to SODRAC the royalties payable in respect of a video-copy at the same time as it sends the information set out in subsection 7(1) in respect of that video-copy. 9. A distributor who fulfils for the first time the obligations set out in sections 7 and 8 in respect of a cinematographic work also fulfils these obligations in respect of all previous semesters. Accounts and Records 10. (1) A distributor shall keep and preserve, for a period of four years after the end of the semester to which they relate, records from its distribution revenues and the information set out in section 7 can be readily ascertained. (2) SODRAC may audit these records at any time during the period set out in subsection (1) on reasonable notice and during normal business hours. (2) Dès que possible après avoir reçu les renseignements énumérés au paragraphe (1), la SODRAC avise le distributeur, par écrit, du titre des œuvres cinématographiques qui comprennent une œuvre faisant partie du répertoire. 7. (1) Au plus tard 15 jours après la fin du semestre, le distributeur fait parvenir à la SODRAC, à l égard de chaque œuvre cinématographique visée dans un avis prévu au paragraphe 6(2) qu il a reçu avant la fin du semestre, et dont il a vendu ou loué une vidéocopie durant le semestre, les renseignements suivants, pour ce semestre : a) le titre et le numéro d identification; b) une indication du pays de production de l œuvre cinématographique; c) le nombre de vidéocopies faites; d) le nombre de vidéocopies livrées; e) le prix reçu du grossiste ou du détaillant pour la vidéocopie; f) le montant total des revenus de distribution. (2) Le distributeur qui retire d un catalogue une œuvre cinématographique visée dans un avis prévu au paragraphe 6(2) en avise la SODRAC en même temps qu il fait parvenir les renseignements prévus au paragraphe (1) pour le semestre durant lequel le retrait est effectué. (3) Le distributeur qui détruit une vidéocopie d une œuvre cinématographique visée dans un avis prévu au paragraphe 6(2) en avise la SODRAC en même temps qu il fait parvenir les renseignements prévus au paragraphe (1) pour le semestre durant lequel la vidéocopie a été détruite. L avis est accompagné d une attestation assermentée du distributeur. 8. Le distributeur verse à la SODRAC les redevances exigibles pour une vidéocopie en même temps qu il fait parvenir les renseignements prévus au paragraphe 7(1) pour cette vidéocopie. 9. Le distributeur qui s acquitte pour la première fois des obligations qui lui incombent en vertu des articles 7 et 8 à l égard d une œuvre cinématographique le fait aussi pour tous les semestres antérieurs. Registres et vérifications 10. (1) Le distributeur tient et conserve, durant quatre années après la fin du semestre auquel ils se rapportent, les registres permettant facilement de déterminer ses revenus de distribution et de vérifier les renseignements prévus à l article 7. (2) La SODRAC peut vérifier ces registres à tout moment durant la période prévue au paragraphe (1), durant les heures régulières de bureau et moyennant un préavis raisonnable.

5 6 Canada Gazette Part I June 25, 2005 (3) SODRAC shall, upon receipt, supply to the distributor a copy of the audit report. (4) If an audit discloses that royalties have been understated in any semester by more than 10 per cent, the distributor shall pay the reasonable costs of the audit within 30 days of the demand for such payment. Confidentiality 11. (1) Subject to subsections (2) and (3), SODRAC shall treat in confidence information received from a distributor pursuant to this tariff, unless the distributor who supplied the information consents in writing to the information being treated otherwise. (2) SODRAC may share information referred to in subsection (1) (a) with the Copyright Board; (b) in connection with proceedings before the Copyright Board, if SODRAC has first provided a reasonable opportunity for the distributor providing the information to request a confidentiality order; (c) to the extent required to effect the distribution of royalties, with a collective society or with a royalty claimant; or (d) if ordered by law or by a court of law. (3) Subsection (1) does not apply to information that is publicly available, or to information obtained from someone other than a distributor and who is not under an apparent duty of confidentiality to that distributor. Adjustments 12. Adjustments in the amount of royalties owed (including excess payments), as a result of the discovery of an error or otherwise, shall be made on the date the next royalty payment is due. Interests on Late Payments 13. Any amount not received by the due date shall bear interest from that date until the date the amount is received. Interest shall be calculated daily, at a rate equal to one per cent above the Bank Rate effective on the last day of the previous month (as published by the Bank of Canada). Interest shall not compound. Delivery of Notices and Payments 14. (1) Anything that a distributor sends to SODRAC shall be sent to 759 Carré Victoria, Suite 420, Montréal, Quebec H2Y 2J7, fax number (514) , sodrac@sodrac.com, or to any other address of which the distributor has been notified in writing. (2) Anything that SODRAC sends to a distributor shall be sent to the last address of which SODRAC has been notified in writing. 15. (1) A notice may be delivered by hand, by postage paid mail, by fax or by . (2) A notice or payment mailed in Canada shall be presumed to have been received three business days after the day it was mailed. (3) A notice sent by fax or shall be presumed to have been received the day it is transmitted. (3) Dès qu elle reçoit un rapport de vérification, la SODRAC en fait parvenir une copie au distributeur. (1) Sous réserve des paragraphes (2) et (3), la SODRAC garde confidentiels les renseignements qu un distributeur lui transmet en application du présent tarif, à moins que le distributeur ne consente par écrit à ce qu il en soit autrement. (2) La SODRAC peut communiquer les renseignements visés au paragraphe (1) : a) à la Commission du droit d auteur; b) dans le cadre d une affaire portée devant la Commission, si la SODRAC a préalablement donné au distributeur qui fournit les renseignements l occasion de demander une ordonnance de confidentialité; c) à une autre société de gestion ou à une personne qui demande le versement de redevances, dans la mesure où cela est nécessaire pour effectuer la répartition; d) si la loi ou une ordonnance d un tribunal l y oblige. (3) Le paragraphe (1) ne s applique pas aux renseignements disponibles au public ou obtenus d un tiers non tenu lui-même de garder confidentiels ces renseignements. Ajustements 12. L ajustement dans le montant des redevances exigibles (y compris le trop-perçu), qu il résulte ou non de la découverte d une erreur, s effectue à la date à laquelle le prochain paiement doit être acquitté. Intérêts sur paiements tardifs 13. Tout montant non payé à son échéance porte intérêt à compter de la date à laquelle il aurait dû être acquitté jusqu à la date où il est reçu. L intérêt est calculé quotidiennement, à un taux de un pour cent au-dessus du taux officiel d escompte de la Banque du Canada en vigueur le dernier jour du mois précédent (tel qu il est publié par la Banque du Canada). L intérêt n est pas composé. Transmission des avis et des paiements 14. (1) Toute communication destinée à la SODRAC est expédiée au 759, Carré Victoria, Bureau 420, Montréal (Québec) H2Y 2J7, numéro de télécopieur (514) , courriel sodrac@ sodrac.com ou à toute autre adresse dont le distributeur a été avisé par écrit. (2) Toute communication de la SODRAC avec un distributeur est expédiée à la dernière adresse dont la SODRAC a été avisée par écrit. 15. (1) Un avis peut être transmis par messager, par courrier affranchi, par télécopieur ou par courriel. (2) L avis ou le paiement posté au Canada est présumé avoir été reçu trois jours ouvrables après la date de sa mise à la poste. (3) L avis transmis par télécopieur ou par courrier électronique est présumé avoir été reçu le jour de sa transmission.

6 Le 25 juin 2005 Gazette du Canada Partie I 7 Termination 16. (1) SODRAC may, upon 30-day notice in writing, terminate the licence of a distributor who does not comply with this tariff. (2) Upon termination of the licence, a distributor shall immediately withdraw from the market all video-copies it owns that contain a work of the repertoire. Transitional Provisions 17. No later than July 31, 2005, a distributor shall send the information set out in subsection 6(1) for the year Otherwise, sections 6 to 9 of this tariff apply to this information as it pertained to the first semester of Résiliation 16.
