The same applies if the purchaser culpably fails to fulfil his or her uty to cooperate. V. Place of performance, transfer of risk, espatch an packing 1. Where no other agreement has been mae, the place of performance shall be our registere company offices in Öhringen. 2. Where no other agreement has been mae, the risk of acciental amage or loss of the goos shall pass to the purchaser as follows: as soon as the goos are not espatche from our warehouse in Öhringen, at the time when the goos are mae available to the first transport person, or, if the purchaser is elaying acceptance, at the time at which we offer the transfer in such a way as to constitute a elay, provie the goos are espatche from our warehouse in Öhringen at the time at which we inform the customer the goos are available for collection. We o not take back any transport or other packaging in accorance with the packaging irective, with the exception of pallets. The purchaser must ispose of the packaging which becomes his or her property at his or her own cost. 5. If the espatch is elaye at the wish or ue to the fault of the purchaser, we shall store the goos at the cost an risk of the purchaser. In this case, notification that we are reay to ispatch shall be equivalent to the espatch. 6. We shall insure the elivery through a transport insurance company if the purchaser wishes an at his or her cost. Explicit instructions in writing from the purchaser are require to effect this. VI. Warranty / limits of liability / compensation for waste expeniture 1. Warranty claims by the purchaser are vali only if the purchaser has correctly fulfille the statutory obligations in examining the goos an making a complaint. We must be notifie in writing of etectable efects within a week of receipt of the goos. If this is not one, the goos shall be eeme approve. S + P must be notifie of latent efects as soon as they have been foun. 2. If the efect in the goos is our fault, we are initially oblige to rectify the efect unless legislation entitles us to refuse rectification. The purchaser s rights to withraw from the contract or reuce the selling price are exclue. The purchaser must allow us a reasonable perio to rectify the efect. The purchaser can choose to have the efect rectifie through elimination (correction) or through elivery of new goos. Where the efect is eliminate, we shall bear the necessary expenses, provie these are not increase because the object of the contract is at a location ifferent from the place of performance. If the rectification to which the purchaser is entitle fails or it is unreasonable to expect the purchaser to accept it, or the rectification is refuse uner the provisions of Section 439 para. 3 German Civil Coe, or, the interests of both parties having been weighe up, the circumstances are such that require immeiate claim for compensation for amages or withrawal, the purchaser can request that the purchase price be reuce or announce withrawal from the contract. The purchaser can only assert claims for compensation for amages ue to the efect uner the following conitions if the rectification has faile. IX. Reservation of title 1. Pleging or assignment as collateral is not permitte. The purchaser shall assign all claims arising from a sale or other legal basis (insurance, non-permitte activity) of the goos subject to retention of title (incluing all current account balance claims) now for reasons of safety; we hereby accept the assignment. We authorise the purchaser to call in the ebts assigne for the purchaser s account in his or her own name. The authorisation to call in the ebts can be revoke at any time if the purchaser oes not fulfil his or her payment obligations correctly. The purchaser is not authorise to assign this ebt for the purposes of calling in the ebt via factoring, unless at the same time, the factor is oblige to give us immeiate consieration in the amount still owe to us by the purchaser.
