Annual Report Rapport annuel 2010-2011 Page 1 President and Executive Director Report Rapport du président et de la directrice générale We are pleased to present the 2010-2011 annual report for the Certified General Accountants Association of New Brunswick. This has been a year with significant developments, one which has affirmed this year s slogan of Building From a Solid Foundation. Two major influences have impacted us this year. The first was notification from our sister affiliate in Nova Scotia that they were withdrawing from CGA Student Services Maritime Region (CGASS). Most of our members will be familiar with CGASS from their student days. The notice by CGA Nova Scotia, coupled with the impending retirement of Louis Bourque, FCGA, presented the Board with a challenge and an opportunity as to how to best address student needs going forward. With the strong guidance of a special committee tasked to review the issue and present options, it was decided that CGA New Brunswick would bring the functions previously performed by CGASS under its umbrella effective 1 July 2011. This decision, along with the hiring of our new Director of Education and Strategic Development, Victor Richard, positions us to be responsive to both our students and members. This change has necessitated other changes, including amending our year-end to June 30 so that it more closely aligns with our business cycle and is consistent with the majority of the provincial affiliates and CGA Canada and amending the terms of reference for our standing committees. These changes will take effect in July. With the change in year-end, we are pleased that we have effectively provided a 2 month dues holiday to our members through a draw down of our accumulated surplus. This was reflected on your recent dues renewal notice. I would like to personally thank the members of the special committee that advised your Board on this strategic issue Egbert McGraw, FCGA, Pat O Brien, FCGA, Pierre S. Doiron, FCGA, Trudy Dryden, FCGA, Louis Bourque, FCGA and the committee chair Trisha Fournier-Hoyt, FCGA. The second major influence of this year is a developing story. By now, you are probably aware of the recent Nous sommes heureux de présenter le rapport annuel 2010-2011 de l Association des comptables généraux accrédités du Nouveau-Brunswick. L exercice 2010-2011 a été marqué par d importants progrès, ce qui fait honneur au slogan de l année Bâtir sur une solide fondation. Deux grands changements nous ont touchés dans la dernière année. D abord, il y a eu la décision CGA-NS d abandonner Services aux étudiants CGA - Région Maritime Inc. (SECGA) La plupart de nos membres ont connu SECGA lorsqu ils étaient étudiants. Cette décision de cette association sœur et l imminent départ à la retraite de Louis Bourque, FCGA, nous a obligés à réfléchir à la meilleure manière de nous occuper des étudiants à l avenir. Avec l aide d un comité ad hoc chargé d étudier la situation et de proposer des solutions, l Association a décidé qu elle offrira elle-même, à partir du 1 er juillet 2011, les services jusque-là offerts par SECGA. Grâce à cette décision et aussi à l embauche d un directeur de l éducation et du développement stratégique, Victor Richard, nous pouvons maintenant répondre aux besoins des étudiants et des membres. Cette décision a entraîné d autres changements. Ainsi, nous avons ajusté le mandat de nos comités permanents et modifié notre année financière, qui prendra désormais fin le 30 juin, afin qu elle corresponde à notre cycle de fonctionnement et à l exercice de la majorité des autres associations provinciales et de CGA-Canada. Ces changements entreront en vigueur en juillet. En décidant de modifier notre année financière, nous avons aussi décidé de puiser dans notre excédent accumulé pour offrir à nos membres un congé de cotisation de deux mois. Cela vous a d ailleurs été communiqué dans votre avis de renouvellement de votre adhésion. Although the Certified General Accountants Association of Canada will not be involved in this set of talks we will, nonetheless, be materially affected by the discussions. The impact will probably be very high and there will be challenges and opportunities for Certified General Accountants in New Brunswick and across the country and internationally as a result of the talks. It is important for your board, going forward, to know your position on the topic of accounting profession mergers within Canada so that they can represent your views and perspectives. I would like to thank the Board of CGA New Brunswick for their skills and gift of time to serve in support of the members. This annual report is also replete with the names of other volunteers who have served their Association and our local Chapters and I thank them. Although the Miramichi Conference was held many months ago, the positive memories of it remain strong. Thank-you to the organizing committee. Finally, your volunteers are only as strong as the staff that support them. Thank-you. This was an exciting year and next year looks like it will be as well. We are fortunate that we can rely on the leadership of David Archambault, CGA as our incoming President. Le présent rapport annuel mentionne aussi bien d autres bénévoles qui ont servi l Association et leur section locale, et je les remercie de leur contribution. Page 4 2010-2011 Annual Report Rapport annuel Marketing and Public Relations Marketing et relations As part of the changes involving the dissolution of CGA Student Services, CGA-NB created the new position of Director of Education and Strategic Development. The Director is responsible for the delivery of the education program to students as well as marketing and business development. Victor Richard was appointed to the role in late January and has been busy promoting the CGA opportunity on campuses and forging relationships with faculty and key stakeholders. Victor s insight into the needs of today s students coupled with his energy and enthusiasm bodes well for a heightened awareness of the value of the CGA designation among potential students, employers, and clients in the future. CGA-NB continued participating in the television advertising campaign, airing nationally produced ads during the winter months on local English and French language television stations. The airing of the ads locally, combined with the national advertising has resulted in a high frequency of our advertising directed to our target audiences. Our website received an update in January resulting in a fresh look and increased ease in navigation. The Seminar and Events calendar on the site is being continually updated with upcoming events. It s a great way to see what is coming up in terms of seminars, presentations, chapter meetings and events. If you haven t been on our website lately, drop by for a visit at www.cga-nb.org. As part of our strategic plan to raise public awareness and increase the understanding of the CGA designation, Kevin Hoyt, President of our Association hosted a breakfast for Members of the Legislative Assembly in Fredericton in April. Approximately 25 MLAs and a number of their executive assistants attended, as well as about 35 local CGA members and students. A presentation was made by Rock Lefebvre, FCGA, Vice- President, Research & Standards for CGA-Canada on "Where Is the Money Now: The State of Canadian (Continued on page 5) We see more than numbers À la suite de la dissolution de CGA Student Services, CGA-NB a fait divers changements. Elle a notamment créé le poste de directeur de l éducation et du développement stratégique. Le titulaire de ce poste s occupe de la prestation du programme de formation aux étudiants ainsi que du marketing et du développement des affaires. Victor Richard, qui a été nommé à ce poste à la fin janvier, travaille activement à promouvoir notre profession sur les campus et à créer des liens avec les corps professoraux et les intervenants clés. Another successful conference with excellent professional development opportunities was held in Miramichi this past year. To increase the number of CGAs taking CPD within the CGA family, CGA Canada has developed a Chapter Webcast Archive Program whereby chapter members (few or many) can come together to attend a lunch & learn two hour online webcast seminar. We hope to roll this program out next year. Nous continuons à remplir notre mandat en offrant des occasions de perfectionnement professionnelles à nos membres et étudiants. Page 6 2010-2011 Annual Report Rapport annuel Member and Student Services Services aux membres et aux étudiants C GA New Brunswick was fully involved in the dissolution of CGA Student Services Maritime Region Inc. in 2011 resulting in CGANB assuming responsibilities for the delivery of Student Services to the students of NB and PEI. This is a rather significant transformation for the office and required the hiring of two full time employees to continue to provide student services. Fortunately CGANB was able to hire the existing employees from CGASS so our staff development was very quick and the implementation of the new structure will proceed smoothly. The completion of this project will be done by the end of June 2011. With the development of the new student support program an initiative to review the current committee structure was necessary. Our president asked us to look at the Members and Student Services committee mandate in light of the additional responsibilities that may fall on the Student Services portion of the committee. The committee reviewed this and made recommendations around a new committee structure that will see an independent committee struck specifically to deal with the issues surrounding student services while the member services part will be merged with the professional development and chapters committee to provide a singular focus on the services we are providing our members. This new structure will be in place for the coming year. Notre président nous a demandé d examiner le mandat du Comité des services aux membres et aux étudiants en tenant compte des responsabilités additionnelles que ce Comité devrait assumer relativement aux services aux étudiants. Ainsi, nous avons recommandé de créer un comité distinct pour s occuper des services aux étudiants et de confier les services aux membres au Comité de perfectionnement professionnel et sections pour qu un seul comité s occupe de l ensemble des services aux membres. Cette nouvelle structure sera mise en place dans la prochaine année. David Archambault, CGA 1 er vice-président National Professional Standards Normes professionnelles nationales O ur representative on the National Professional Standards Committee is Kevin Hoyt, CGA. During the year, this committee reviewed a number of standards and initiatives which are expected to receive approval at the Affiliation Council. Highlights include: Approval of amendments to the Code of Ethical Principles and Rules of Conduct; Approval of the Standard Public Accounting Regulation. Annual Report Rapport annuel 2010-2011 Page 7 National Affairs - Affaires nationales C GA Canada has had an active year advocating for CGA s on the national and international scene. Since last year members in Ontario and in Quebec have been granted licenses to practice public accounting. Now we have members in public practice from coast to coast to coast thus meeting our first priority in our strategic plan. This year was also a busy year on the research front with more papers being prepared on household debt with the launch of Where is the money now, CGA Canada is the country s leading expert on household debt in Canada. But CGA Canada also launched papers on entrepreneurship and a follow up paper on access to finance for Small and Medium sized enterprise. CGA Canada cooperated with our partners at CPA Australia, CPA Ireland and ACCA in the release of papers on the international front. On the home front CGA Canada released research papers on Value for Money in Canadian Health Care System and one on the Effects of IFRS on Finances, Early Evidence in Canada and finally a research paper on Gauging the Path of Canadian Private Pension Plans. CGA Canada is well represented internationally. CGA Canada is playing a significant role at IFAC. Sylvie Vogel is chairing the SME/SMP committee and Jean Précourt represents us on the developing nations committee. Elsewhere on the international scene Dany Girard is Vice Chair of FIDEF, Jackie Poirier is on the board of CAPA, Lyle Hanfield is on the board of ICAC and Pierre Barnès is active with IAA. CGA Canada is well represented internationally where we have past CGA Canada chairs in key roles. CGA Canada continues to lead the way again being awarded the distinction of 55 Top Employers in BC and awarded one of Canada s Greenest employers. We have lots to be proud of from our National Association, we lead by example. CGA-Canada est la principale organisation spécialiste de l endettement des ménages au Canada. L Association a aussi publié les trois études suivantes : Aller mieux à moindres coûts? L optimisation des ressources dans les soins de santé au Canada, Les effets des IFRS sur les ratios financiers : premiers signes au Canada, et Regard sur l évolution des régimes de retraite privés canadiens. En outre, CGA-Canada, CPA Australia, CPA Ireland et l ACCA ont collaboré pour publier des études au niveau international. CGA-Canada est bien représentée au niveau international. CGA-Canada occupe notamment une place prépondérante à la Fédération internationale des comptables, car Sylvie Voghel préside le Comité des cabinets comptables de petite et moyenne taille, (In english the name of the committee is SME / SMP), I have no way of knowing if this translation is correct) et Jean Précourt fait partie du Comité des pays en voie de développement. Statues of Incorporation and Nature of the Association The Association mandate is to provide support and services to the members of the Certified General Accountants Association of New Brunswick. The Association was incorporated on March 29, 1962 under the Companies Act of New Brunswick. It is a not-for-profit organization under paragraph 149(1)(l) of the Income Tax Act and, as such, is not subject to federal or provincial income taxes. 2. Significant Accounting Policy a) Amortization of Property and Equipment Amortization of equipment and software is calculated using the straight-line method at the rate of 20% per year. b) Use of estimates The presentation of financial statements in accordance with Canadian generally accepted accounting principles requires management to make estimates and assumptions that affect the reported amounts of assets and liabilities and disclosures of contingencies at the date of the financial statements and the reported amounts of revenues and expenses during the period. Actual results could differ from those estimates. c) Financial Instruments Short-term financial instruments are classified as held for trading. Held for trading financial assets or liabilities are reported at fair value at each balance sheet date, and any change in fair value is recognized in revenues and expenses in the period during which the change occurs. Long term investments are classified as available for sale. They are reported at fair value at each balance sheet date, and any change in fair value is recognized in the Statement of change in net assets. d) Revenue Recognition Members dues are posted to income based on the fiscal year they cover. Dues received for a subsequent period are presented on the Statement of Financial Position as unearned revenue. Revenues from continuing education and other income is recognized as revenue when the related expenses are incurred. 3. National Assessment The annual dues revenue represents CGA-NB s portion only. The assessment from the Certified General Accountants' Association of Canada for the current financial year was $285 per member ($270 per member for the 2009/2010 year). 5. Scholarship Trust Fund The Association established a charitable trust fund to provide scholarships to students graduating from New Brunswick universities and community colleges. 1. CGASS Agreement Under an agreement with CGA Student Services Maritime Region Inc., CGA-NB has transferred its authority to CGASS to provide education programs to its students. Operating surpluses are the property of the member provinces. The following schedule details the changes in CGA-NB's portion of CGASS's Equity as reported in CGASS's June 30, 2010 and 2009 audited financial statements. These amounts are NOT included in CGA-NB's Members' Equity in these financial statements. Long-Term Investments Marketable Securities $ 176 117 Shared Service Facility Corp. 9 $ 176 126 CGA Shared Services Facility Corp.: CGA-NB has 8.5% ownership and holds 85 common shares at a cost of $.10 per share. 8. Lease Commitment The Association has entered into a five-year lease agreement for its premises expiring April 30, 2015. The total amount payable over the five year term is $65 106. The aggregate minimum annual rent for the next four years is as follows: 2012 $15 525 2013 16 026 2014 16 527 2015 17 028 9. Subsequent Event As of June 30, 2011 the CGA Student Services - Maritime Region Inc will be dissolved. Effective that date the Certified General Accountants Association of New Brunswick will be responsible for providing the educational services for their students and those of CGA Prince Edward Island as per a signed Service Level Agreement between both Associations. 5.
