Editoriaux / Editorials Olivier de Guerre Président de PhiTrust Partenaires / Chairman of PhiTrust Partenaires Depuis 2005, PhiTrust Partenaires accompagne des entrepreneurs sociaux dans leur croissance en les finançant et en participant activement à leur gouvernance. Ces entreprises ont une mission sociale et veulent modifier leur stratégie en fonction de l impact qu elles réalisent tout en pérennisant leur modèle et en étant rentable. Alors que nombre de cassandres pensaient que cela serait impossible, nous sommes heureux de constater que plusieurs entreprises de notre portefeuille ont aujourd hui consolidé leur modèle et ont de réelles perspectives de développement. Cette vision d investissement «Impact» prend aujourd hui tout son sens avec les pouvoirs publics : en Europe avec le «Social Business Act», en France avec la «Loi sur l Economie Sociale et Solidaire» et via le G8 avec le «G8 Impact Investing» (travaux auxquels nous participons activement). Les pouvoirs publics ont pris conscience de l urgence de développer de nouveaux modèles de croissance et de financement pour répondre aux enjeux sociaux actuels. Nous avons investi dans une vingtaine de projets en France, en Europe et en Afrique permettant à ces entreprises de se développer dans leur pays ou à l international. Nous avons cédé trois participations: remboursement de 50 % de notre investissement dans le fonds I&P Développement, cession de Durable.com (2012) et d Alter Eco (2013). Parallèlement, nous avons travaillé avec les entreprises de notre portefeuille pour affiner l outil de mesure d impact de nos sociétés afin de les aider à être plus efficaces dans leur mission et de pouvoir rendre compte à nos investisseurs de l impact réel de ces projets. Ces premiers résultats n auraient pas été possibles sans les entrepreneurs, leurs équipes mais aussi sans les investisseurs et sans les membres actifs de notre Comité d Investissement qui s investissent au quotidien pour accompagner ces entreprises! Il aura fallu du temps pour que ces entreprises atteignent leurs objectifs (les américains parlent avec justesse de «Capital Patient»). Since 2005, PhiTrust Partenaires has been supporting the growth of social entrepreneurs by providing them with financing as well as being actively involved in their governance structures. These companies all have social missions and are eager to modify their strategies in order to increase their impact, while protecting their business models and being profitable. Although many doomsayers though it would be impossible, we are pleased that several of our portfolio companies have strengthened their business models and are showing clear development perspectives. Today, this Impact investment vision is in accordance with several government authorities: the European Social Business Act, the French Law on the Social and Solidarity Economy, and the G8 s G8 Impact Investing group (in which we are actively involved). These authorities have recognised the urgent need to develop new growth and financing models to address current social issues. We have invested in some twenty projects in France, Europe and Africa, providing them with the means to develop in their countries or internationally. We have exited three investments: we received a 50% reimbursement of our investment in I&P Développement, and sold our shares of Durable.com (2012) and Alter Eco (2013). At the same time, we worked closely with our portfolio companies to refine our tools for measuring the impact of our investees in order to enable them to be more effective in their missions as well as report to our investors on the impact achieved. These initial results would not have been possible without the entrepreneurs and their teams, as well as the investors and the active members of our Investment Committee who dedicate themselves on a daily basis to provide support to their businesses! It is important to note the lengthier time horizon necessary for these companies to achieve their objectives (we appreciate the American phrase Patient Capital ). Dans ce contexte difficile, l entrepreneuriat social représente non seulement un gisement d emplois mais aussi un nouveau modèle économique qui prend ses lettres de noblesse tant au niveau national qu européen. Depuis huit ans, PhiTrust Partenaires finance et accompagne ces entreprises qui en conjuguant développement économique et mission sociale, font face à des défis quotidiens. C est pourquoi les membres du Comité d Investissement, que j ai l honneur de présider, sont très impliqués dans l accompagnement des projets à travers les Conseils d Administration ou Comités Stratégiques. Au delà d un appui technique, ce sont parfois de véritables aventures amicales qui se jouent dans les tandems accompagnateur/ accompagné. L année 2013 a permis de renforcer nos engagements en particulier auprès de sociétés du portefeuille existant mais les besoins sont encore nombreux, de nouveaux projets très intéressants frappent à nos portes. Les belles perspectives sur lesquelles s est ouverte l année 2014 devraient permettre à PhiTrust Partenaires d y répondre dans de bonnes conditions accentuant ainsi encore son impact dans cette économie au visage humain. In this difficult context, social entrepreneurship is not only a source of employment, but a new economic model that has won acclaim at the national and European level. For the past eight years, PhiTrust Partenaires has been financing and mentoring these companies that, through the combination of economic development and strong social missions, continue to face daily challenges. For these reasons, the members of the Investment Committee, which I have the honour of Chairing, choose to be very implicated in mentoring and supporting these projects through active involvement in their Boards or Strategic Committees. Beyond the provision of technical support, genuine friendships are formed through the mentor/mentee partnership. 2013 allowed us to strengthen our commitments to existing portfolio companies, but there are still numerous needs to address and exciting new projects knocking at our door. The bright prospects for 2014 should enable PhiTrust Partenaires to respond positively to these requests, thus continuing to deepen its impact in this human-centered economy. Suite à la réalisation et l étude de marché d un prototype d habitat modulaire conçu à partir d un module de vie en bois et de conteneurs maritimes recyclés - projet porté par l association La Varappe Développement - sa production et sa commercialisation ont été lancées créant dix Emplois Temps Plein dont cinq en insertion dans deux entreprises d insertion existantes du groupe La Varappe : LVD Energie et AEI. Le fonds de dotation a participé à la réflexion stratégique concernant l orientation commerciale et la structuration juridique. L étude préparatoire d un projet de mécanisme de financement web pour les PMEs africaines, en partenariat avec Investisseurs & Partenaires et Orange, a été finalisée et a permis la mise en place d un outil de levée de fonds à la fois «crowdfunding» et «épargne solidaire» porté par la plate-forme web Spear et le Fonds Afrique, labellisé Finansol. Lancement prévu au premier semestre 2014. Par ailleurs, le fonds de dotation a organisé les Rencontres PhiTrust 2013 réunissant différents acteurs-clés européens sur le thème de l Impact Investing : «Quand placement et don ont la même finalité». In 2013, the endowment fund accompanied two social innovation projects that were launched in 2012. Subsequent to the completion of a market study regarding a modular housing prototype constructed from recycled shipping containers and wood, the association La Varappe Développement began producing and marketing these new modules. This new activity created 10 full time jobs, including five work-reintegration positions for two existing subsidiaries of La Varappe: LVD Energie and AEI. The endowment fund participated in discussions concerning the strategic positioning and legal structure of this new activity. The initial study for a proposed web-based financing mechanism for SMEs in Africa, in partnership with Investisseurs & Partenaires and Orange was finalised, and a fundraising tool that is part crowdfunding and part solidarity savings was established, supported by Spear s internet platform and the Fonds Afrique (product granted the Finansol label). The tool is expected to be launched in first semester 2014. The endowment fund also organised the annual Rencontres PhiTrust 2013 that convenes different european stakeholders working in impact investing. Développement Au cours de l année 2013, PhiTrust a privilégié le développement des entreprises déjà financées en participant à cinq augmentations de capital complémentaires et en accordant deux prêts. L année 2013 a été l année de la troisième sortie complète de notre portefeuille : la société Alter Eco a été cédée fin mai à la société Wessanen Distriborg, leader du marché bio en Europe. Cet adossement était nécessaire pour lui permettre de se développer dans un environnement plus difficile. L acheteur a pour objectif de développer le projet d entreprise existant (permettre le développement de petits producteurs des pays du sud) en lui ouvrant le marché européen notamment au nord de l Europe. La cession s est réalisée au prix de valorisation du bilan au 31 décembre 2012. Expansion In 2013, PhiTrust focused on providing additional support to previously financed social enterprises, by participating in five follow-on fundraising rounds and providing two loans. 2013 was marked by the third full exit of our portfolio: Alter Eco was sold in late may to Wessanen Distriborg, European leader in the organic sector. This additional support was necessary to enable Alter Eco to develop in an increasingly difficult fair trade and organic market. The buyer offered to maintain the existing business model (promoting the growth of small producers in developing countries) while increasing the company s access to other European markets, particularly in Northern Europe. The transaction price retained was that of the balance sheet valuation of Alter Eco as of 31 december 2012. Nous travaillons aussi au sein de l EVPA (European Venture Philanthropy Association) et de Finansol pour créer une législation française et européenne répondant aux besoins des acteurs en Europe persuadés que le «Social Business Act» lancé en novembre par la Commission Européenne sera déterminant pour permettre le développement des entreprises sociales en Europe. To provide us with the appropriate resources to support these projects, we are working to strengthen our partnership with BNP Paribas in connection to our capital raise underway and to reinforce our partnership with Natixis Private Equity. We also work closely with the EVPA (European Venture Philanthropy Association) and Finansol on the creation of both French and European legislation addressing the needs of European actors convinced that the Social Business Act launched in november by the European Commission will be a turning point in fostering the development of social entrepreneurship in Europe. Le Conseil de Surveillance Le Conseil de Surveillance présidé par Olivier de Guerre s est réuni quatre fois au cours de l année 2013. Il a dans ce cadre procédé à la validation des investissements, à l audit des méthodologies retenues pour la valorisation des participations, à la réflexion stratégique pour le développement. Il supervise et contrôle la gestion de la société. L assemblée générale des actionnaires a validé le règlement intérieur de la société qui définit le cadre des investissements, les principes de valorisation et les mécanismes de suivi des investissements et de liquidité pour les investisseurs. Un Comité d Audit a été créé en son sein avec des administrateurs indépendants qui auditent les comptes de la société et propose au Conseil de Surveillance les éventuelles provisions à prendre sur le portefeuille en lien avec le commissaire aux comptes (PwC). Quelles leçons avez-vous apprises depuis la création de PhiTrust Partenaires? L environnement a fortement évolué depuis dix ans, les frontières entre le monde de l Economie Sociale et Solidaire (ESS) et le reste de l économie (classique) ayant explosé de par la nécessité de trouver des financements privés, la formation de nombreux jeunes aux métiers de ce secteur et le développement de projets sociaux au sein de grandes entreprises (Danone, Schneider Electric, Essilor...). Cette interpénétration permet aujourd hui le développement de projets qui tirent profit de ces différents environnements avec de réels succès. Le temps des entreprises sociales n est pas le même dans les processus de décision soit parce que les structures sont plus «démocratiques», soit parce que les enjeux sociaux qu elles cherchent à résoudre demandent de la patience... Un simple regard de «financier» ne suffit pas, un regard de «philanthrope» est nécessaire mais insuffisant. Il est nécessaire de s adapter à la réalité de ces entreprises en leur apportant des réponses différentes de celles utilisées dans une entreprise classique mais qui s inspireront très fortement des acquis de ces dernières. Le Comité d Investissement de PhiTrust Partenaires est composé de dirigeants d entreprise privées qui apportent leurs compétences et expertises aux entrepreneurs sociaux et en tirent de nombreuses leçons pour leur propre entreprise, l innovation sociale étant un moteur clé pour faire évoluer nos entreprises classiques. Comment PhiTrust Partenaires gagne-t-il de l argent en investissant dans des entreprises à but social et environnemental? How does PhiTrust Partenaires fit into the private equity landscape? Since its creation, PhiTrust Partenaires has worked to provide social companies with the tools and methods used successfully in the private equity sector. Some people refer to this type of investment as social or solidarity venture capital. Aware of the need to provide support to companies that are addressing social and environmental challenges, investors are beginning to choose investment strategies that both finance and provide support to the companies in which they are investing. Private equity expertise becomes an asset and its tools and support methodologies provide answers to the questions that arise for social entrepreneurs managing growing companies that face the same challenges/constraints as traditional companies. How does PhiTrust Partenaires fit into the impact investing sector? Impact investing brings together investment strategies that seek both a financial return and a social and/or environmental impact. There have traditionally been two types of strategy: Financial first : these are strategies that seek financial performance while managing social or environmental requirements. Impact first : these are strategies that seek to have a social or environmental impact while meeting a financial requirement (profitability). PhiTrust Partenaires is clearly in the impact first category. Our strategy of focusing on an impact while ensuring profitability is the only way to guarantee sustainability of the project s social/environmental impact over the long run. Some people might prefer the term social impact investing to clearly indicate the type of companies we invest in. What lessons have you learned since the foundation of PhiTrust Partenaires? The environment has changed significantly in ten years. The boundaries between the Social and Solidarity Economy (SSE) world and the rest of the economy (traditional) have been swept away by the need to find private financing, the training of young people in the sector s different business line skills (marketing, finance, human resources, etc.) and the growth of social projects in major corporations (in France: Danone, Schneider Electric, Essilor, Veolia, etc.). This interpenetration has enabled the development of projects that have been successful by drawing on the expertise of these different environments. The time-frames for taking decisions aren t the same, either because the organisations are more democratic or because the social challenges they are trying to address require patience...the American term patient capital is very appropriate for this investment universe. Taking a financier s view isn t enough and the philanthropist s is necessary, but not always sufficient. You have to adapt to the reality of these companies and try to provide answers which will necessarily be different from those used traditionally in companies, but which will, nevertheless to a large extent, take their cue from traditional companies. The PhiTrust Partenaires Investment Committee has fourteen members, all former leaders of private companies (three financial people) who bring their skills and expertise to social entrepreneurs. They also gain many insights for their own companies because social innovation is a very important engine for change in traditional companies. So, it s a win-win for social entrepreneurs and for the managers assisting them. How does PhiTrust Partenaires earn money by investing in companies with a social or environmental purpose? PhiTrust Partenaires provides companies with equity and debt investment to help their growth. The three main criteria used for project analysis are the company s mission (real impact), the quality of its managers (the entrepreneur s reputation) and the quality of the business plan (financial model profitability). The companies in our portfolio all meet these criteria. We discuss an exit strategy with the entrepreneurs. They are well aware that we re there for a while to help the company reach a point where it can either be profitable or grow. These steps have to help the companies add value to society. Despite these basic criteria, it s clear that we work in a social or environmental universe that deals with people who are often vulnerable (employees, clients, etc.). In the event of a crisis (which happens in every company), traditional venture capitalist tools (synergies, lay-offs, etc.) cannot be used in the same way. However, that doesn t prevent the companies from adapting to the evolution of their environment to continue to grow. Paradoxically, the risk in our portfolio is now lower than that of a classic fund, primarily because the sector is less volatile and the contracts are often long term. This means that companies have time to build a long-term strategy. As a result, we naturally prefer companies that have a clear and precise strategy. We invest a reasonable amount to be able to eventually sell to a social player in order to generate a reasonable gain for our shareholders over time which will be in line with the requirements described above.

Plusieurs projets ont reçu la validation du Comité d Investissement pour un investissement au cours du premier semestre 2014 : Investisseurs et Partenaires Afrique Entrepreneurs Fonds de capital-risque, créé en mai 2012, qui finance et accompagne les PMEs et les sociétés de microcrédit en Afrique Centrale, en Afrique de l Ouest et dans l Océan Indien. PhiTrust s est engagé à investir 195 K pendant les prochaines années, 48 K ont déjà été déboursés en 2012 et 2013. PerMicro Société permettant aux populations immigrées non bancarisées en situation régulière en Italie d emprunter pour développer une petite activité. Participation à une nouvelle augmentation de capital planifiée pour février 2014 de l ordre de 80 K, pour permettre à la société de continuer sa croissance, avec l objectif d atteindre un équilibre financier en 2014. Plusieurs nouveaux investisseurs nous ont rejoints en 2013. Une première tranche de 10 M sera réalisée en 2014 après avoir modifié en 2013 et 2014 les statuts et le règlement intérieur pour répondre aux attentes des investisseurs institutionnels. En calculant les réévaluations potentielles avec le Comité des Risques, le Conseil de la société a constaté qu à ce jour, notre portefeuille est en valeur d actif au moins égal à son coût d investissement. Le Conseil a décidé de garder comme prix de souscription la valeur nominale pour notre augmentation de capital en cours. Les charges opérationnelles sont principalement des charges de gestion de la société d analyse et de suivi des participations de l équipe PhiTrust, les autres dépenses (juridique, marketing, documentation...) restent en ligne avec les prévisions. Le résultat opérationnel est aujourd hui en perte de 380618 avec un objectif d être positif à terme avec les revenus anticipés du portefeuille une fois l augmentation de capital en cours réalisée. Les résultats financiers PhiTrust Partenaires clôture son exercice 2013 avec une perte de 505 100 qui provient notamment d une perte d exploitation de 477 148 liée aux frais de gestion et d analyse de la société et à la prise d une nouvelle provision à hauteur de 80 036 liée à des risques complémentaires aujourd hui identifiés au sein de notre portefeuille. La société a notamment payé des intérêts de compte courant d actionnaire à hauteur de 37 031. Le portefeuille valorisé au 31 décembre 2013 s élève à 5 373 K et est constitué de 19 participations en France et à l étranger. Au 31 décembre, 70 % de notre portefeuille étaient investis en capital et 30 % sous forme de dette, sachant que notre objectif est de financer 50 % des entreprises par de la dette. Le taux moyen de nos prêts à nos participations est de 4,6 % annuel. Les revenus d intérêts perçus sont ainsi en croissance relative. A noter, la société a perçu en 2013 ses premiers dividendes de la société Ethical Property Europe. Les nouvelles provisions prises sur le portefeuille sont liées aux risques identifiés aujourd hui sur notre participation dans la société Cameroun Breuvages. Il est important de noter que la politique de valorisation des participations de la société ne prend en compte que les plus-values sur nos participations après une cession, tout en provisionnant les risques éventuels identifiés ou les pertes réalisées sur les participations du portefeuille. Cette politique prudente nous amène à constater des moins-values potentielles sans réévaluer les plus-values éventuelles non réalisées du portefeuille. Il est aussi important de noter qu au 31 décembre 2013, 60 % de notre portefeuille Français (capital, dette, titres) était couverte par une garantie BPI France (auparavant Oséo) à un niveau de 50 ou 70 %. Financial results PhiTrust Partenaires closed its 2013 fiscal year with a 505 100 loss that comes from a 477 148 operating loss, linked to the management fees of the company, an asset write-off of 80 036 linked to additional risks identified within the portfolio, and an interest payment of 37 031 on our current account. On december 31st, 70 % of our portfolio was invested in equity and 30 % in debt, with an average annual interest rate of 4.6 %. Our objective is to finance 50 % of our portfolio through debt instruments. Interest revenues continue its relative growth, with PhiTrust receiving its first dividends in 2013 from its investment in Ethical Property Europe. Portfolio write-offs are tied to identified potential risks or losses related to our investment in Cameroun Breuvages. It is important to note that our policy on valuation is to take into account any write-offs on an annual basis, but to only take into account projected capital gains from our portfolio holdings at the time of sale. It is also important to note that on 31 december 2013, 60 % of our French investments (capital, debt, bonds) were covered through an insurance contract with BPI France (formerly Oséo), for either 50 % or 70 % of each investment. In calculating the potential revaluations with the Risk Committee, PhiTrust s Executive Board found that the asset value of our existing portfolio was at least equal to the cost of its investment. The Board thus decided to maintain the share price at nominal value for the capital raise underway. Operating expenses are mainly linked to the analysis and portfolio monitoring undertaken by the PhiTrust team, with all other expenses (legal, marketing, publication ) in line with forecasts. Operating losses amount to a 380 618 loss, and should become positive through revenues generated by the portfolio subsequent to this capital raise. Outlook 2014 The capital increase initially scheduled for 2013 will be achieved in 2014, which will allow the company to expand its portfolio of investments to support them in their development. Biographies / Biographies Olivier de Guerre Président de PhiTrust Partenaires / Chairman of PhiTrust Partenaires Martine Roussel-Adam Présidente du Comité d Investissement / Chair of the Investment Committee Florence Goudchaux Directrice de l investissement solidaire / Social Investment Director Olivier a crée avec un associé en 1987 GT Finance/Cristal Finance avant de rejoindre le Crédit Suisse en 1998, en tant que «Managing Director» du Crédit Suisse Asset Management. Il a quitté le Crédit Suisse fin 2001 pour développer PhiTrust qui se propose d accompagner familles, institutionnels et fondations dans leur stratégie financière, solidaire et philanthropique, considérant que les investisseurs ont une réelle responsabilité au travers de leurs investissements financiers et solidaires. Olivier a une longue expérience de gestionnaire d actifs au niveau des familles/fondations ou d institutionnels, notamment en les accompagnant dans leurs stratégies d investissement. Il est administrateur de l association Finansol, de l EVPA (European Venture Philanthropy Association) et de la Fondation Alain et Marie Philippson. In 1987, along with a partner, Olivier created GT Finance/Cristal Finance before joining Crédit Suisse in 1998, as a Managing Director of Crédit Suisse Asset Management. In 2001, Olivier left Credit Suisse to launch PhiTrust, with the objective of supporting families and foundations in their financial, social and philanthropic strategy, believing that investors have responsibility through their financial and social investments. Olivier has a long-standing experience in asset management at the level of families/foundations or institutions, in particular through assistance in their investment strategies.
