2 Attendu que - Les Parties disposent de compétences avérées et complémentaires dans le domaine de ; - Les Parties ont élaboré un Projet en réponse à l appel à projets lancé par l Agence Nationale de la Recherche ; Ce Projet ayant été retenu par l Agence Nationale de la Recherche, les Parties leurs droits et obligations respectifs qui en résultent. souhaitent fixer dans le présent Accord les modalités d exécution du Projet ainsi que Il est convenu ce qui suit Article 1 : Définitions Dans le présent Accord, les termes suivants commençant par une lettre majuscule ont les significations respectives suivantes : - Accord : le présent Accord et ses annexes ainsi que ses avenants éventuels. - Affiliée : par Affiliée d une Partie, on entend toute personne morale qui contrôle ou est contrôlée directement ou indirectement par cette Partie, c est-à-dire lorsque cette Partie : - détient directement ou indirectement plus de 50 % du capital social de cette personne morale ; ou - plus de 50 % des droits de vote des actionnaires ou des associés de cette personne morale. - ANR : l Agence Nationale de la Recherche. - Comité : l instance de pilotage du Projet visée à l article 3.2 de l Accord. Whereas - The Parties have proven and complementary skills in the field of ; - The Parties established a Project in reply to the... call for projects from the Agence Nationale de la Recherche (French National Research Agency); As this Project was selected by the Agence Nationale de la Recherche, the Parties wish to set the terms and conditions for implementation of the Project, and their respective rights and obligations resulting therefrom, by means of this Agreement. The following has been agreed upon: Article 1: Definitions When used in this Agreement, the following words and expressions, beginning with a capital letter, have the following respective meanings: - Agreement: means this Agreement and its Appendices, as well as any Riders. - Affiliate: Affiliate of a Party means any and all legal entity that controls, or that is directly or indirectly controlled by, this Party, to wit when said Party: - directly or indirectly holds over 50% of said legal entity s share capital; or - over 50% of the voting rights of the shareholders or partners of said legal entity. - ANR: means the Agence Nationale de la Recherche. - Committee: means the Project-steering body referred to in Article 3.2 hereof.

3 - Connaissances Propres : toutes les informations et connaissances techniques et/ou scientifiques et/ou tout autre type d'informations, sous quelque forme qu'elles soient, brevetables ou non et/ou brevetées ou non, ainsi que tous les droits y afférents, appartenant à une Partie ou détenue par elle avant la date d entrée en vigueur de l Accord. Les Connaissances Propres des Parties à la date d entrée en vigueur de l Accord sont précisées à l annexe 3 à cet Accord. Il appartient à chacune des Parties d informer les autres Parties, par écrit, de l identification, en cours d exécution de l Accord, d autres Connaissances Propres et de justifier, le cas échéant, de l indépendance de celles-ci vis-à-vis du Projet. L annexe 3 est complétée en conséquence. - Connaissances Nouvelles : toutes les informations et connaissances techniques et/ou scientifiques, brevetées ou non, brevetables ou non, y compris les savoirfaire, les logiciels (sous leur version codesource et code-objet), les plans, schémas, dessins, formules ou tout autre type d'information, sous quelque forme qu elle soit, et tous les droits y afférents, développées par une ou plusieurs Parties dans le cadre de l Accord. - Coordonnateur : le Coordonnateur du Projet. - Domaine d application : à définir au cas par cas. - Informations Confidentielles : toutes informations et/ou toutes données, sous quelque forme et de quelque nature qu'elles soient, divulguées par une Partie à une ou plusieurs autres Parties au titre de l Accord et sous réserve que la Partie qui divulgue ait indiqué de manière claire et non équivoque leur caractère confidentiel ou dans le cas d'une divulgation orale, que la Partie qui divulgue ait fait connaître oralement leur caractère confidentiel au moment de la divulgation et ait confirmé par écrit ce caractère dans un délai de trente (30) jours. - Own Knowledge: means any and all technical and/or scientific information and knowledge and/or any and all other type of information, in any form whatsoever, whether patentable or not, and/or whether actually patented or not, and all the related rights, belonging to a Party or held by the latter prior to the effective date of the Agreement. The Parties Own Knowledge at the effective date of the Agreement is specified in Appendix 3 hereto. During performance of the Agreement, each Party is responsible for advising the other Parties, in writing, of the creation of further Own Knowledge and for proving, where applicable, the latter s independence vis-à-vis the Project. In this case, Appendix 3 shall be supplemented. - New Knowledge: means any and all technical and/or scientific information and knowledge, whether actually patented or not, and whether patentable or not, including know-how, software (in its source-code or object-code version), drawings, diagrams, designs, formulas or any and all other type of information, in any form whatsoever, and all the related rights, that are developed by one or several Parties pursuant to the Agreement. - Coordinator: means the Project Coordinator. - Field of Application: to be defined on a case-by-case basis. - Confidential Information: means any and all information and/or data, in any form and of any nature whatsoever, that is disclosed by a Party to one or several other Parties under the Agreement, subject to the disclosing Party having clearly and unambiguously stated its confidential nature or, in the event of oral disclosure, that the disclosing Party states its confidential nature orally when it is disclosed and confirms such nature in writing within thirty (30) days.

[to be completed]. - Works: mean the Works carried-out by the Parties pursuant to the Project under this Agreement, as listed in Appendix 1 hereto. Article 2 : Objet L Accord a pour objet : - de définir les modalités d exécution du Projet ; - de fixer les règles de dévolution de propriété intellectuelle des Connaissances Nouvelles ; - de fixer les conditions générales d'exploitation industrielle et commerciale des Connaissances Propres et Nouvelles. Article 2: Purpose The purpose of the Agreement is: - to set forth the terms and conditions for implementing the Project; - to set the rules for the transfer of the intellectual property attached to the New Knowledge; - to set the general terms and conditions for industrial and commercial use of the Own and New Knowledge. Article 3 : Structure de gouvernance 3.1 Coordonnateur Désignation du Coordonnateur D un commun accord entre les Parties, est désigné Coordonnateur du Projet Rôle du Coordonnateur Le Coordonnateur est l intermédiaire entre les Parties et l ANR et assure, à ce titre, les missions suivantes : - il transmet aux autres Parties les correspondances d intérêt commun émanant de l ANR dans un délai raisonnable pour le bon déroulement du Projet ; - il centralise les comptes-rendus intermédiaires des Parties et les transmet à l ANR accompagnés d une synthèse tous les mois [exemple : tous les 6 mois] ; - dans le délai de deux mois suivant la date d expiration du Projet, il adresse un compterendu final unique à l ANR faisant état de l ensemble des résultats obtenus ; Article 3: Governance structure 3.1 Coordinator Appointment of the Coordinator With the Parties joint agreement,.. is hereby appointed Project Coordinator Coordinator s role The Coordinator is the intermediary between the Parties and the ANR and, in this respect, has the following duties: - he/she sends correspondence of joint interest from the ANR to the other Parties within a reasonable timeframe so as to ensure the Project s due and proper progress; - he/she centralises the Parties interim reports and forwards them to the ANR together with a summary, every... month(s) [e.g. every 6 months]; - within two months of the Project s expiry date, he/she shall send a single final report to the ANR listing all the results achieved;

5 - il adresse les demandes de modification du Projet au directeur de l ANR ; - il informe l ANR des difficultés éventuelles dans la réalisation du Projet, en particulier lorsque l une des Parties décide d abandonner la part des Travaux dont elle a la responsabilité ou lorsque les Parties souhaitent qu un nouvel acteur participe au Projet Obligations des Parties à l'égard du Coordonnateur Dans les délais impartis, chaque Partie a les obligations suivantes : - fournir les éléments permettant au Coordonnateur de répondre aux éventuelles demandes de l ANR ; - indiquer au Coordonnateur l'état d'avancement des Travaux qu'elle exécute, selon une périodicité à définir d'un commun accord au sein du Comité ; - transmettre au Coordonnateur les comptes-rendus intermédiaires destinés à l ANR ainsi que les éléments nécessaires à l établissement du compte-rendu final unique ; - prévenir sans délai le Coordonnateur de toute difficulté pouvant compromettre l'exécution normale du Projet. 3.2 Comité Le Comité est présidé par le Coordonnateur et est composé d un représentant qualifié pour chacune des Parties. La liste de ces représentants est jointe en annexe 2. Ces représentants peuvent, si nécessaire, se faire assister d un spécialiste de leur choix, sous réserve d en informer préalablement les autres membres du Comité et que ledit spécialiste signe un accord de confidentialité reprenant les obligations de confidentialité visées à l'article 7.1 ci-après. Les spécialistes susvisés n interviennent qu à titre consultatif. - he/she sends requests for changes to the Project to the ANR s director; - he/she advises the ANR of any problems in implementing the Project, in particular, when a Party decides to stop carrying-out the share of the Works for which it is responsible or when the Parties request another Party s involvement in the Project Parties obligations vis-à-vis the Coordinator Within the lead-times provided for, each Party has the following obligations: - to provide elements enabling the Coordinator to reply to any requests from the ANR; - to advise the Coordinator of the progress of the works that it is carrying-out, at a frequency that shall be decided upon by joint agreement within the Committee; - to send the interim reports destined for the ANR to the Coordinator and the elements required to draw-up the single final report; - to immediately inform the Coordinator of any problem that may compromise normal implementation of the Project. 3.2 The Committee The Committee is chaired by the Coordinator and is composed of a qualified representative of each Party. A list of such representatives is attached in Appendix 2. Where applicable, said representatives may be assisted by the specialist of their choice provided they inform the other Committee members thereof beforehand and that said specialist signs a nondisclosure agreement that reiterates the non-disclosure obligations referred to in Article 7.1 hereinafter. The abovementioned specialists shall only have a consultative role.

6 Chaque représentant peut se faire représenter aux réunions du Comité par une personne du même organisme disposant des mêmes capacités de représentation moyennant l information préalable des autres membres Missions Le Comité suit l'exécution de l Accord et l'avancement des Travaux. Il veille au respect des échéances prévues dans l annexe 1 de l Accord et décide, sur proposition du Coordonnateur ou d une des Parties, des solutions à apporter en cas de problème d exécution. Le Comité décide de toute éventuelle modification qu il estimerait utile avec l estimation financière correspondante, sous réserve de l autorisation de l ANR lorsqu elle est requise Le cas échéant et sous réserve de l approbation de l ANR, le Comité peut décider d exclure une Partie défaillante ou intégrer une nouvelle Partie pour la réalisation des Travaux Le Comité a pour rôle de favoriser le bon déroulement de l Accord. Il constitue à ce titre une instance privilégiée de communication entre les Parties Le Comité est un organe de concertation entre les Parties en cas de difficulté ou de litige Toutes les décisions du Comité sont prises à l unanimité de ses membres présents ou représentés, les représentants des Parties tutelles d un laboratoire ne disposant que d une seule voix. Par dérogation à ce principe, dans l hypothèse visée à l article et à l article 10 ci-après, le représentant d une Partie défaillante ne prend pas part au vote, et la décision intervient à l unanimité des autres membres. Chaque fois que l unanimité n est pas atteinte, le Comité réexamine le(s) point(s) de désaccord(s) dans un délai d un (1) mois. Each representative may have him/herself represented at Committee meetings by a person from the same organisation having the same representation capacities, subject to advising the other members beforehand Assignments The Committee monitors performance of the Agreement and the progress of the Works. It ensures compliance with the dates provided for in Appendix 1 hereto and decides, at the suggestion of either the Coordinator or one of the Parties, on the solutions to be implemented in the event of problems with performance. The Committee also decides on any possible change that it believes to be appropriate and provides the corresponding financial estimate, subject to the ANR s authorisation when such is required Where applicable, and subject to the ANR s approval, the Committee may decide to exclude a defaulting Party or to include a new Party in order to carry-out the Works The Committee is responsible for providing conditions conducive to the due and proper performance of the Agreement. In this respect, it is a personal communication body between the Parties The Committee shall act as a discussion forum for the Parties in the event of problems or disputes All the Committee s decisions are adopted unanimously by its present or represented members, with the Parties representatives who are trustees for a laboratory only having one vote. As a departure from the foregoing principle, as regards the case referred to in Article [hereinabove] and in Article 10 hereinafter, the representative of a defaulting Party does not vote and the decision is adopted by a unanimous vote from the other members. Whenever unanimity is not achieved, the Committee reassesses the matter(s) subject to disagreement within one (1) month.

7 Dans cette hypothèse, les décisions du Comité sont prises à la majorité des deux tiers (2/3) des membres présents ou représentés. Chaque Partie dispose cependant d un droit de veto dans l hypothèse où la décision aurait pour conséquence d augmenter sa participation financière dans le cadre du Projet Le Comité ne peut valablement siéger que si au moins les trois quart (3/4) de ses membres sont présents ou dûment représentés (quorum). Chaque fois que le quorum n est pas atteint, le Comité doit à nouveau se réunir dans un délai d un (1) mois. Le Comité se réunit au moins tous les six (6) mois pendant la durée de l Accord, sur convocation du Coordonnateur ou à la demande expresse de l'une des Parties. Ses réunions font l'objet de comptes rendus rédigés par le Coordonnateur et transmis à chacune des Parties dans les quinze (15) jours suivant la date de la réunion. Ce compte rendu est considéré comme accepté par les Parties si, dans les quinze (15) jours à compter de la réception de ce compte rendu, aucune objection, ni revendication, n a été formulée par écrit auprès du Coordonnateur par ces mêmes Parties. In this case, Committee decisions are adopted by a majority of two thirds (2/3) of present or represented members. Each Party nevertheless has a right of veto in the event that the decision would increase its financial contribution to the Project The Committee may only validly sit if three quarters (3/4) of its members are either present or duly represented (quorum). Whenever quorum is not reached, the Committee shall meet again within one (1) month. During the term of the Agreement, the Committee shall meet at least once every six (6) months following an invitation from the Coordinator or at the express request of one of the Parties. Its meetings are subject to minutes drafted by the Coordinator and sent to each Party within fifteen (15) days of the date of the meeting. The Parties shall be deemed to have approved these minutes if, within fifteen (15) days of receipt of said minutes, no written objection or claim has been made to the Coordinator by said Parties. Article 4 : Modalités financières Chaque Partie reçoit directement de l ANR la subvention correspondant à sa part des Travaux, conformément aux dispositions de sa convention / décision attributive d aide, signée avec / notifiée et signée par l ANR. Les Parties supportent individuellement le complément de financement nécessaire à l'exécution de leur part de Travaux. Article 4: Financial terms and conditions Each Party receives the subsidy relating to its share of the Works directly from the ANR, according to the provisions of its agreement/decision to award aid, executed with/served and signed by the ANR. The Parties shall individually provide the additional funding required to carry-out their share of the Works. Article 5 : Propriété intellectuelle 5.1 Connaissances Propres Chacune des Parties conserve la pleine et entière propriété de ses Connaissances Propres. Article 5: Intellectual property 5.1 Own Knowledge Each Party retains full and total ownership of its Own Knowledge.

8 5.2 Connaissances Nouvelles appartenant à une seule Partie Les Connaissances Nouvelles sont la propriété de la Partie qui les a générées seule et les éventuels brevets nouveaux en découlant sont déposés aux seuls nom et frais de cette Partie et à sa seule initiative. 5.3 Connaissances Nouvelles Conjointes Principe de propriété Dans le cas où les Connaissances Nouvelles seraient générées par le personnel de deux ou plusieurs Parties de façon indissociable, ces Connaissances Nouvelles, ci-après désignées les «Connaissances Nouvelles Conjointes», sont la copropriété de ces Parties, ciaprès désignées «Parties Copropriétaires», à proportion de leurs apports intellectuels, humains, matériels et financiers, à moins que lesdites Parties ne conviennent conventionnellement de la dévolution des droits de propriété y afférents à l une d entre elles. Dans le cas des Connaissances Nouvelles générées uniquement par un laboratoire qui serait une structure commune de recherche sans personnalité morale (ex : UMR, FRE, ), constituée entre plusieurs Parties, ces dernières sont considérées comme propriétaires de ces Connaissances Nouvelles, conformément aux accords passés entre elles. 5.2 New Knowledge belonging to one Party New Knowledge belongs to the Party having created it alone and any resulting new patents shall only be registered in the name, and at the expense, of said Party and at its sole initiative. 5.3 Joint New Knowledge Ownership principle In the event that New Knowledge were to be created by the staff of two or several Parties in an indissociable way, this New Knowledge, hereinafter referred to as the Joint New Knowledge, shall be jointly owned by these Parties, hereinafter referred to as the Co-Owner Parties, proportionally to their intellectual, human, material and financial contributions, unless said Parties were to contractually agree to the related property rights being transferred to one of them. In the event of New Knowledge being created solely by a laboratory which is a joint research structure without corporate status (e.g. UMR, FRE, etc.), constituted by several Parties, the latter shall be deemed as being the owners of this New Knowledge, in accordance with the agreements executed between them.

9 Dans le cas où les Connaissances Nouvelles Conjointes seraient obtenues par les personnels d au moins deux laboratoires qui seraient chacun une structure commune de recherche (ex : UMR, FRE, ) constituée par des Parties différentes, la propriété des Connaissances Nouvelles Conjointes est répartie entre les Parties tutelles desdites structures communes de recherche à proportion de leurs apports intellectuels, humains, matériels et financiers, étant entendu qu au sein de chaque structure commune de recherche, les Parties constituant ladite structure commune de recherche font leur affaire de la répartition entre elles de la quote-part de propriété, conformément aux accords passés entre elles. Toute Connaissance Nouvelle Conjointe consistant en un brevet nouveau, un logiciel ou une autre connaissance protégée par un droit de propriété intellectuelle, fera l objet d un règlement de copropriété, qui sera établi entre les Parties Copropriétaires dès que nécessaire et en tout état de cause avant toute exploitation industrielle et/ou commerciale Connaissances Nouvelles Conjointes brevetables Les Parties Copropriétaires des Connaissances Nouvelles Conjointes brevetables décideront si ces dernières doivent faire l objet de demandes de brevets déposées à leurs noms conjoints, et désigneront parmi elles celle qui sera chargée d effectuer les formalités de dépôt et de maintien en vigueur. Les frais de dépôt, d obtention et de maintien en vigueur des brevets nouveaux en copropriété seront supportés par les Parties Copropriétaires selon leur quote-part de propriété telle que définie à l article ci-dessus. In the event that Joint New Knowledge were to be created by the staff of at least two laboratories, each of which is a joint research structure (e.g. UMR, FRE, etc.), constituted by different Parties, ownership of the Joint New Knowledge shall be shared between the Parties which are the trustees of said joint research structures proportionally to their intellectual, human, material and financial contributions, it being hereby stipulated that, within each joint research structure, the Parties constituting said joint research structure shall be personally responsible for the breakdown of the proportion of ownership between them, in accordance with the agreements executed between them. Any and all Joint New Knowledge consisting of a new patent, software or other knowledge protected by an intellectual property right, shall be subject to rules of co-ownership, that shall be drawn-up between the Co-Owner Parties as soon as necessary and, in all cases, prior to any and all industrial and/or commercial use Patentable Joint New Knowledge The Co-Owner Parties of the patentable Joint New Knowledge shall decide whether the latter shall be subject to patent applications filed/registered in their joint names and shall designate the Party from amongst them which shall be responsible for accomplishing the filing/registration formalities and for maintaining the patent in force. The expenses relating to filing/registration, obtaining and maintaining the new patents in force under co-ownership arrangements shall be borne by the Co-Owner Parties according to their share of ownership as set forth in Article hereinabove.

10 Si l une des Parties Copropriétaire renonce à déposer, à poursuivre une procédure de délivrance ou à maintenir en vigueur un ou plusieurs brevets nouveaux en France ou à l étranger, elle devra en informer les autres Parties Copropriétaires en temps opportun pour que celles-ci déposent en leurs seuls noms, poursuivent la procédure de délivrance ou le maintien en vigueur desdits brevets nouveaux à leurs seuls frais et profits. La Partie qui s est désistée s engage à signer ou à faire signer toutes les pièces nécessaires pour permettre aux autres Parties Copropriétaires de devenir seuls copropriétaires du ou des brevets nouveaux en cause pour le ou les pays concernés. Une Partie Copropriétaire sera réputée avoir abandonné ses droits sur un brevet nouveau soixante (60) jours après la réception d une lettre recommandée avec accusé de réception lui demandant de faire connaître sa décision sur ce point, adressée par la Partie Copropriétaire chargée d effectuer les formalités de dépôt et de maintien en vigueur des brevets désignée conformément au premier paragraphe du présent article. Il est entendu que la Partie renonçant ne saurait se prévaloir d aucune rémunération au titre de l exploitation du ou des brevets nouveaux concernés dans le ou les pays concernés. Chaque Partie Copropriétaire fait son affaire de la rémunération éventuelle de ses inventeurs. Should a Co-Owner Party waive its entitlement to file/register, continue with a registration procedure or maintain one or several new patents in force either in France or abroad, it shall inform the other Co-Owner Parties in due time so that the latter may file/register in their own names, and continue with the procedure for registering or maintaining said new patents in force, at their own expense and for their own benefit. The desisting Party undertakes to sign, or have signed, any and all documents required to enable the other Co-Owner Parties to become sole co-owners of the new patent(s) in question for the relevant country(ies). A Co-Owner Party shall be deemed to have relinquished its rights over a new patent sixty (60) days following receipt of a registered letter with acknowledgement of receipt requesting it to give its decision in this respect, sent by the Co-Owner Party responsible for accomplishing the formalities relating to filing/registration and maintaining the patents in force, as referred to in the first paragraph of this Article. It is hereby stipulated that the waiving Party shall not be able to claim any compensation as regards the use of the new patent(s) in question in the relevant country(ies). Each Co-Owner Party shall be personally responsible for any compensation for its inventors. Article 6 : Principes d utilisation et d exploitation 6.1 Utilisation et exploitation des Connaissances Propres Chaque Partie dispose librement de ses Connaissances Propres. Article 6: Principe of use and usage 6.1 Use and usage of Own Knowledge Each Party shall dispose freely of its Own Knowledge.

11 6.1.2 Utilisation aux fins d exécution des Travaux Pour les besoins de l exécution des Travaux et à cette seule fin, chaque Partie concède à chacune des autres Parties un droit non exclusif, non cessible, sans droit de sous-licence, et sans contrepartie financière, d'utilisation de ses Connaissances Propres, dans la mesure où ces Connaissances Propres sont nécessaires à l exécution de sa part des Travaux. Ces Connaissances Propres sont communiquées par la Partie détentrice sur demande expresse d une autre Partie et doivent être traitées comme des Informations Confidentielles conformément aux termes de l article 7.1 de l Accord. Plus particulièrement, lorsque ces Connaissances Propres sont des logiciels, à défaut de stipulations différentes prévues dans un contrat de licence conclu entre les parties concernées, la Partie qui les reçoit ne peut les utiliser que sur ses propres matériels et n est autorisée qu à réaliser la reproduction strictement nécessitée par le chargement, l affichage, l exécution, la transmission et le stockage de ces logiciels aux seules fins de son utilisation pour la réalisation de sa part des Travaux, ainsi qu une copie de sauvegarde. La Partie qui les reçoit s interdit tout autre acte d utilisation de ces logiciels et, notamment, tout prêt ou divulgation à des tiers, sauf autorisation préalable de la Partie détentrice, et toute exploitation. Le droit d utilisation ainsi conféré n entraîne pas l accès aux codes sources des logiciels considérés sauf autorisation écrite et préalable de la Partie titulaire des droits sur lesdits logiciels Use for carrying-out the Works In order to carry-out the Works, and for this sole purpose, each Party grants a non-exclusive, non-assignable right, that may not be sub-licensed, and without financial consideration, to each of the other Parties, to use its Own Knowledge, provided said Own Knowledge is required for carrying-out its share of the Works. Such Own Knowledge is provided by the Party holding it at the express request of the other Party and shall be considered as Confidential Information under the terms and conditions of Article 7.1 of the Agreement. More specifically, when this Own Knowledge is software, unless there are provisions to the contrary in a licensing agreement executed between the relevant Parties, the Party receiving such Own Knowledge may only use it on its own equipment and shall only be authorised to carry-out the reproduction that is strictly required by the loading, displaying, running, transferring and storing of this software for the sole purpose of its use to carry-out its share of the Works, and for making a back-up copy. The Party receiving such Own Knowledge undertakes to refrain from using this software in any other manner and, in particular, from lending or disclosing it to third parties, unless it has the prior authorisation of the owner Party, and from any and all use. The right of use thus granted shall not provide access to the source codes of the software in question without the prior, written authorisation of the Party holding the rights over said software.

12 6.1.3 Exploitation à des fins commerciales Chacune des Parties s engage à concéder aux autres Parties, sur demande expresse de celles-ci et sous réserve des droits des tiers, un droit non exclusif, non cessible, et sans droit de sous-licence, d'exploitation de ses Connaissances Propres nécessaires à la valorisation des Connaissances Nouvelles, aux conditions commerciales du marché pour le Domaine d application considéré. Ces conditions commerciales et les modalités de cette licence seront négociées préalablement à toute exploitation industrielle et/ou commerciale et feront l objet d un contrat de licence conclu entre les Parties concernées. Plus particulièrement, lorsque ces Connaissances Propres sont des logiciels, la Partie qui les reçoit ne pourra les utiliser que sur ses propres matériels et ne sera autorisée qu à réaliser la reproduction strictement nécessitée par le chargement, l affichage, l exécution, la transmission et le stockage de ces logiciels aux seules fins de son utilisation pour l exploitation de ses Connaissances Nouvelles, ainsi qu une copie de sauvegarde. 6.2 Utilisation et exploitation des Connaissances Nouvelles et des Connaissances Nouvelles Conjointes Principes généraux Sous réserve des dispositions de l article ci-après, chaque Partie peut librement utiliser, exploiter et/ou faire exploiter les Connaissances Nouvelles dont elle est seule propriétaire au titre de l article 5 de l Accord. Les Parties s engagent à prendre toutes les mesures appropriées, notamment à l égard de leurs employés et/ou de leur sous-traitants éventuels, leur permettant d accorder aux autres Parties des droits d utilisation et d exploitation des Connaissances Nouvelles ou Connaissances Nouvelles Conjointes, dans les conditions prévues à l Accord Use for commercial purposes Each of the Parties undertakes to grant to the other Parties, following an express request from the latter and subject to third party rights, a non-exclusive, nonassignable right that may not be sublicensed, to use its Own Knowledge as required to enhance the New Knowledge, under the commercial market conditions for the Field of Application in question. More specifically, when this Own Knowledge is software, the Party receiving it may only use it on its own equipment and shall only be authorised to carry-out the reproduction that is strictly required by the loading, displaying, running, transferring and storing of this software for the sole purpose of using it to use its New Knowledge, and for making a back-up. 6.2 Use and usage of the New Knowledge and the Joint New Knowledge General principles Subject to the provisions of Article hereinafter, each Party may freely use, exploit and/or have exploited, the New Knowledge that it owns under Article 5 hereof. The Parties undertake to take all appropriate measures, in particular, vis-àvis their staff and/or any subcontractors, to enable them to grant the other Parties the rights of use and usage of the New Knowledge or the Joint New Knowledge, under the terms and conditions provided for in the Agreement.

13 6.2.2 Utilisation aux fins d exécution des Travaux Chacune des Parties concède aux autres Parties un droit non exclusif, non cessible, sans droit de sous-licence, et sans contrepartie financière, d'utilisation de ses Connaissances Nouvelles aux seules fins de l exécution de leur part des Travaux. Les conditions d exercice de ce droit d utilisation sont les mêmes que celles prévues à l article ci-dessus pour l utilisation des Connaissances Propres. Dans le cas de logiciels, la Partie qui les reçoit ne peut les utiliser que sur ses propres matériels et n est autorisée qu à réaliser la reproduction strictement nécessitée par le chargement, l affichage, l exécution la transmission et le stockage de ces logiciels aux seules fins de son utilisation pour la réalisation de sa part des Travaux, ainsi qu une copie de sauvegarde Utilisation à des fins de recherche Chaque Partie peut utiliser librement et gratuitement, sur sa demande, les Connaissances Nouvelles des autres Parties pour ses seuls besoins propres de recherche et dans le cadre de collaboration de recherche avec des tiers, à l exclusion de toute utilisation, directe et/ou indirecte, à des fins commerciales. Si les Connaissances Nouvelles ainsi demandées constituent des logiciels, leur remise fait l objet d un accord écrit entre les Parties concernées qui en précise les conditions et modalités d utilisation, étant entendu que les droits d utilisation ainsi conférés n entraînent pas l accès aux codes sources, sauf accord express de la Partie propriétaire ou Copropriétaire Exploitation des Connaissances Nouvelles Conjointes Les Parties Copropriétaires de Connaissances Nouvelles Conjointes préciseront leurs modalités d'exploitation dans le cadre d un accord de valorisation avant toute exploitation industrielle et commerciale ou, dans l hypothèse de brevets nouveaux en copropriété dans le cadre du règlement de copropriété mentionné à l article ci-dessus et dans le respect des principes définis à l article Use for carrying-out the Works Each Party grants a non-exclusive, nonassignable right, that may not be sublicensed, and without financial consideration, to the other Parties, to use its New Knowledge for the sole purpose of carrying-out their share of the Works. If the New Knowledge thus requested is constituted of software, its furnishing shall be subject to a written agreement between the Parties in question that shall specify the terms and conditions of use, it being hereby stipulated that the rights of use granted in this manner shall not provide access to the source codes without the express agreement of the owner Party or the Co-Owner Use of the Joint New Knowledge The Co-Owner Parties of the Joint New Knowledge shall specify the terms and conditions for its use pursuant to an enhancement agreement prior to any and all industrial and commercial use or, for new patents subject to joint ownership, pursuant to rules of co-ownership as referred to in Article hereinabove and in compliance with the principles set forth in Article

14 Il est d ores et déjà convenu entre les Parties que toute exploitation directe et/ou indirecte par une Partie Copropriétaire des Connaissances Nouvelles Conjointes impliquera une compensation financière au profit des autres Parties Copropriétaires, selon les conditions et modalités définies ultérieurement dans l'accord de valorisation ou de règlement de copropriété susmentionnés, sans préjudice de l article ci-dessous. Lorsque les Connaissances Nouvelles Conjointes consistent en des logiciels, l accord préalable des autres Parties Copropriétaires sera requis si l exploitation envisagée entraîne la communication de codes sources Exploitation des Connaissances Nouvelles et des Connaissances Nouvelles Conjointes par une autre Partie Chaque Partie propriétaire ou Copropriétaire s'engage, pendant une durée de dix-huit (18) mois à compter de la date d expiration ou de résiliation de l Accord, à concéder à toute autre Partie qui en ferait la demande, un droit non exclusif, non cessible, sans droit de souslicence d'exploitation de ses Connaissances Nouvelles dans un Domaine d application dès lors qu elles seraient nécessaires à l exploitation des Connaissances Nouvelles de la Partie qui fait la demande. Ce droit sera concédé à des conditions préférentielles (c est-à-dire plus favorables que les conditions commerciales du marché pour le Domaine d application considéré) ou à toute autre condition convenue entre les Parties d un commun accord. Les conditions préférentielles et les modalités de la licence seront négociées préalablement à toute exploitation industrielle et/ou commerciale et feront l objet d un contrat de licence conclu entre les Parties concernées. As of now, the Parties agree that any direct and/or indirect use by a Co-Owner Party of the Joint New Knowledge shall be subject to financial compensation being paid to the other Co-Owner Parties according to terms and conditions set forth subsequently in the abovementioned enhancement agreement or in the rules of co-ownership, without prejudice to Article hereinafter. When the Joint New Knowledge consists of software, the prior agreement of the other Co-Owner Parties shall be required if the planned use shall lead to communication of the source codes Use of the New Knowledge and the Joint New Knowledge by another Party For a term of eighteen (18) months as from the Agreement s expiry or termination date, each owner Party or Co- Owner Party undertakes to grant a nonexclusive, non-assignable right, without entitlement to sub-licence, for use of its New Knowledge within a Field of Application to any other Party that may so request, provided such is required by the Party making the request in order to use its own New Knowledge. Said right shall be granted under preferential terms (i.e. more favourable than the commercial market conditions for the Field of Application in question) or under any and all other conditions jointly agreed to by the Parties. The preferential terms and the terms and conditions of the licence shall be negotiated prior to any and all industrial and/or commercial use and shall be subject to a licensing agreement executed between the relevant Parties.

15 Dans le cas de logiciels, la Partie qui les reçoit ne pourra les utiliser que sur ses propres matériels et ne sera autorisée qu à réaliser la reproduction strictement nécessitée par le chargement, l affichage, l exécution la transmission et le stockage de ces logiciels aux seules fins de l'exploitation des Connaissances Nouvelles, ainsi qu une copie de sauvegarde. Dans l hypothèse où aucune licence n aurait été conclue entre les Parties dans les conditions ci-dessus, à l'issue d un délai de dix-huit (18) mois à compter de la date d expiration ou de résiliation de l Accord, l engagement susvisé prendra fin et la Partie propriétaire ou Copropriétaire des Connaissances Nouvelles se retrouvera libre de les exploiter et/ou de les faire exploiter à titre exclusif, sous réserve de l accord des autres Parties Copropriétaires dans le cas des Connaissances Nouvelles Conjointes Exploitation par les Affiliées Option 1 : les Affiliées peuvent exploiter les Connaissances Propres et Nouvelles dans le respect des conditions fixées à l article 6 de l Accord. Option 2 : les Affiliées peuvent exploiter les Connaissances Propres et Nouvelles dans le respect des conditions fixées à l article 6 de l Accord, si elles démontrent que : - elles détiennent une licence sur les Connaissances Nouvelles développées par la Partie dont elles sont affiliées ; et - elles ont besoin d une licence d'exploitation pour utiliser ces Connaissances Nouvelles ; et - elles sont listées dans l annexe 5 à l Accord. De tels droits d exploitation sont accordés aux Affiliées à des conditions équitables et raisonnables dans le cadre d un accord bilatéral écrit dans lequel les Affiliées doivent s engager à respecter l ensemble des obligations de l'accord. In the event that no licensing agreement is executed between the Parties under the foregoing terms and conditions within eighteen (18) months of the Agreement s expiry or termination date, the abovementioned commitment shall lapse and the owner Party or Co-Owner Party shall again be free to use the New Knowledge and/or have it used exclusively, subject to the agreement of the other Co-Owner Parties for Joint New Knowledge Use by Affiliates Option 1: Affiliates may use the Own and New Knowledge in compliance with the terms and conditions set in Article 6 hereof. Option 2: Affiliates may use the Own and New Knowledge in compliance with the terms and conditions set in Article 6 hereof, if they are able to prove that: - they hold a licence for the New Knowledge developed by the Party of which they are Affiliates; and - they require a licence for use of this New Knowledge; and - they are listed in Appendix 5 of the Agreement. Such rights for use are granted to the Affiliates under equitable and reasonable conditions pursuant to a written bilateral agreement in which the Affiliates shall undertake to comply with all the obligations set forth in the Agreement.

16 Les Affiliées bénéficient des droits susvisés tant que les Parties auxquelles elles sont affiliées bénéficient ellesmêmes de ces droits. The Affiliates shall be entitled to the abovementioned rights for as long as the Parties of which they are Affiliates themselves benefit from said rights. Article 7 : Confidentialité - Publications 7.1 Confidentialité Chaque Partie transmet aux autres Parties les seules Informations Confidentielles qu elle juge nécessaires à l exécution du Projet, sous réserve du droit des tiers Aucune stipulation de l Accord ne peut être interprétée comme obligeant l'une des Parties à divulguer des Informations Confidentielles à une autre Partie, en dehors de celles qui sont nécessaires à l'exécution du Projet La Partie qui reçoit une Information Confidentielle d'une des autres Parties s'engage, pendant la durée de l Accord et les cinq (5) ans qui suivent la résiliation ou le terme de l Accord, à ce que les Informations Confidentielles émanant de la Partie qui les divulgue : - soient gardées strictement confidentielles et soient traitées avec le même degré de protection qu elle accorde à ses propres Informations Confidentielles ; - ne soient communiquées qu'aux seuls membres de son personnel ou sous-traitants ayant à les connaître et ne soient utilisées que pour les finalités définies dans l Accord. Toute autre communication ou utilisation des Informations Confidentielles implique le consentement préalable et écrit de la Partie qui les a divulguées. Article 7: Confidentiality - Publications 7.1 Confidentiality Each Party shall only provide the other Parties with the Confidential Information that it deems to be required for implementation of the Project, subject to third party rights No provision of the Agreement may be construed as obliging any Party to disclose Confidential Information to another Party, with the exception of the information required for implementation of the Project The Party which receives Confidential Information from one of the other Parties undertakes, for the term of the Agreement and for five (5) years following its termination or expiry, to ensure that the Confidential Information originating from the Party disclosing it: - is kept strictly confidential and is protected in the same manner as its own Confidential Information; - is only provided to the members of its staff or subcontractors which have to be familiar therewith and is only used for the purposes set forth in the Agreement. Any and all other disclosure or use of the Confidential Information shall require the prior, written agreement of the Party disclosing it.

17 7.1.4 Toutes les Informations Confidentielles et leurs reproductions transmises par une Partie à une autre Partie dans le cadre de l Accord restent la propriété de la Partie qui les a divulguées, sous réserve des droits des tiers, et doivent être restituées à cette dernière immédiatement sur sa demande La Partie qui reçoit les Informations Confidentielles peut communiquer les Informations Confidentielles dont elle peut apporter la preuve : - qu elles étaient disponibles publiquement préalablement à leur communication ou postérieurement à celle-ci, mais en l absence de toute faute qui lui soit imputable ; - qu elles étaient déjà en sa possession avant la conclusion de l'accord ; qu elles ont été reçues d un tiers de manière licite ; - que l'utilisation ou la divulgation ont été autorisées par écrit par la Partie dont elles émanent ; - qu elles ont été développées de manière indépendante et de bonne foi par des personnels de la Partie qui les reçoit sans - qu ils aient eu accès à ces Informations Confidentielles Aucune disposition de cet Accord n implique : - une renonciation, pour la Partie qui les communique, à la protection d Informations Confidentielles par un brevet ou par tout autre droit de propriété intellectuelle ; - une cession, par la Partie qui communique les Informations Confidentielles, d un quelconque droit sur ces informations au profit des autres Partie All the Confidential Information and its reproductions, sent by a Party to another pursuant to the Agreement shall remain the property of the Party disclosing it, subject to third party rights, and shall be immediately returned to the latter at its request The Party receiving the Confidential Information may disclose Confidential Information for which it is able to provide proof: - that it was in the public domain prior or subsequent to its disclosure to it, and without any negligence being attributable to it; - that use or disclosure was authorised in writing by the Party from which it originated; - that it was developed independently and in good faith by the staff of the Party receiving it without such staff having access to said Confidential Information. - that it was already in its possession prior the execution of the Agreement; - that it was legally received from a third party; No provision of this Agreement implies: - a waiver of protection of Confidential Information by a patent or by any and all other intellectual property right by the Party disclosing it; - a transfer of any right over this information by the Party disclosing it in favour of the other Parties.

18 7.2 Publications - Communications Chaque Partie s engage à ne pas publier, de quelque façon que ce soit, les Connaissances Propres et les Connaissances Nouvelles des autres Parties dont elle pourrait avoir connaissance et ce, tant que ces informations ne sont pas dans le domaine public ou tant que cette Partie n a pas reçu l accord préalable de la Partie propriétaire des Connaissances Propres ou Nouvelles concernées Tout projet de publication ou communication d information relative aux Travaux par l une des Parties, devra recevoir, pendant la durée de l'accord et les deux (2) ans qui suivent son expiration ou sa résiliation, l accord préalable écrit des Parties. Les Parties feront connaître leur décision dans un délai maximum de un (1) mois à compter de la date de notification de la demande, cette décision pouvant consister : - à accepter sans réserve le projet ; ou - à demander des modifications, en particulier si certaines informations contenues dans le projet sont de nature à porter préjudice à l exploitation industrielle et commerciale des Connaissances Propres et/ou Nouvelles ; ou - à demander à ce que la publication ou communication soit différée si des causes réelles et sérieuses lui paraissent l exiger, en particulier si des informations contenues dans le projet de publication ou de communication doivent faire l'objet d'une protection au titre de la propriété industrielle. 7.2 Publications - Communications Each Party undertakes not to publish, in any manner whatsoever, the Own Knowledge and the New Knowledge of other Parties with which it may have familiarised itself, provided such information is not in the public domain or if said Party has not obtained the prior agreement of the Party owning the Own or New Knowledge in question Any planned publication or communication of information relating to the Works by one of the Parties shall be subject, during the term of the Agreement and for two (2) years following its expiry or termination date, to the prior and written agreement of the Parties. The Parties shall announce their decision within a maximum timeframe of one (1) month as from the request-notification date; said decision may consist of: - unreserved acceptance of the planned publication or communication; or - a request for changes, in particular if some of the information contained in the planned publication or communication may compromise the industrial and commercial use of the Own and/or New Knowledge, or - a request that the publication or communication be postponed if such would seem to be dictated by actual and serious reasons, in particular if the information contained in the planned publication or communication needs to be protected as industrial property.

19 En l absence de réponse d une Partie à l issue de ce délai, l'accord sera réputé acquis de cette Partie. Toutefois, aucune des Parties ne pourra refuser son accord à une publication ou communication au-delà d'un délai de dix huit (18) mois suivant la première soumission du projet concerné, sauf si les informations devant faire l'objet de cette publication ou communication offrent un intérêt stratégique de nature scientifique, industrielle ou commerciale pour les activités de l'une des Parties. Ces publications et communications devront mentionner le concours apporté par chacune des Parties à la réalisation du Projet ainsi que l aide apportée par l ANR Les dispositions du présent article 7.2 ne peuvent pas faire obstacle : - ni à l'obligation qui incombe à chacune des personnes participant au Projet de produire un rapport d'activité à l'organisme dont elle relève. La diffusion d'informations Confidentielles dans ce cadre est limitée aux seules instances ayant besoin d'en connaître à condition qu elles s'obligent à respecter les dispositions relatives à la confidentialité ; - ni à la soutenance de thèse des chercheurs participant au Projet. Cette soutenance est organisée dans le respect de la réglementation universitaire et des dispositions relatives à la confidentialité. Si nécessaire, elle pourra se dérouler à huis clos et chaque membre du jury sera engagé par un engagement de confidentialité. Should a Party fail to reply within this timeframe, it shall be deemed to have given its agreement. Nevertheless, eighteen (18) months after the initial submission of the planned publication or communication in question, none of the Parties may refuse to agree to publication or communication, unless the information that shall be subject to said publication or communication has strategic scientific, industrial or commercial interest for the business activities of one of the Parties. Such publications and communications shall mention the contribution of each Party in implementing the Project as well as the assistance provided by the ANR The provisions of this Article 7.2 shall not remove or prevent: - either the obligation binding upon all persons involved in the Project to present an activity report to the organisation to which they report. In this respect, the publication of Confidential Information is limited to those bodies which need to be familiar therewith provided they undertake to comply with the provisions relating to confidentiality; - or the defence of theses by researchers involved in the Project. Such defence is organised in compliance with university regulations and the provisions relating to confidentiality. Where applicable, it may take place in camera and each member of the examining board shall be bound by a nondisclosure commitment. Article 8 : Responsabilités - Assurances 8.1 Dispositions générales Chaque Partie s engage à exécuter sa part de Travaux conformément à l obligation de moyens qui lui incombe Article 8: Liability - Insurance 8.1 General provisions Each Party undertakes to carry-out its share of the Works in accordance with the obligation of due care binding upon it.

20 8.1.2 Les Parties renoncent mutuellement à se demander réparation des préjudices indirects (perte de production, manque à gagner, etc.) qui pourraient survenir dans le cadre de l Accord. 8.2 Personnel des Parties Chacune des Parties prend en charge la couverture de son personnel conformément à la législation applicable dans le domaine de la sécurité sociale, du régime des accidents du travail et des maladies professionnelles dont il relève et procède aux formalités qui lui incombent. 8.3 Dommages aux biens des Parties Chacune des Parties est responsable des dommages qu elle cause du fait ou à l'occasion de l'exécution de l'accord aux biens mobiliers ou immobiliers d une autre Partie. 8.4 Dommages aux tiers Chaque Partie supporte en ce qui la concerne toutes les conséquences pécuniaires de la responsabilité civile qu'elle encourt en vertu du droit commun, en raison de tous dommages corporels ou matériels causés aux tiers à l'occasion des Travaux effectués dans le cadre de l Accord. 8.5 Assurances Chaque Partie, devra, en tant que de besoin souscrire et maintenir en cours de validité les polices d assurance nécessaires pour garantir les éventuels dommages aux biens ou aux personnes qui pourraient survenir dans le cadre de l exécution de l Accord. La règle selon laquelle «l'etat est son propre assureur» s'applique aux organismes publics. En conséquence ceux-ci garantissent sur leurs budgets les dommages qu'ils pourraient causer à des tiers du fait de leur activité The Parties mutually waive entitlement to claim compensation from each other for consequential loss (loss of production, opportunity cost, etc.) that may occur pursuant to the Agreement. 8.2 Parties staff Each Party shall pay for cover for its staff in accordance with applicable legislation in respect of social security, industrial accident and industrial disease schemes to which it is affiliated, and shall carry-out the formalities for which is it responsible. 8.3 Damage/loss caused to Parties property Each Party is responsible for the damage/loss caused by it to another Party s moveable or immoveable property, owing to, or during performance of, the Agreement. 8.4 Damage/loss caused to third parties For that which concerns it, each Party shall bear all the financial consequences of the civil liability that it incurs under ordinary law, owing to any and all bodily injury or physical damage caused to third parties during the Works carried-out pursuant to the Agreement. 8.5 Insurance As an when required, each Party shall take-out, and maintain effective, the insurance policies providing cover for any damage/loss to property or persons which may occur pursuant to performance of the Agreement. The rule under which l'etat est son propre assureur (the State acts as its own insurance company) applies to public organisations. Consequently, the latter provide cover for the damage/loss which their activity may cause to third parties from their own budgets.
