The University s reporting obligations require the filing of governmental forms (Annexes 1 to 7) documenting certain specific aspects of our contracts and the publishing of electronic records of contracts. Annexes 1 and 2 pertain to certain contract decisions required by law to be authorized by the chief executive officer of the organization. On February 27, 2014, the Board of Governors, deemed the chief executive officer under the Act, delegated the authority to grant, until December 31, 2017, a number of these authorizations to the Vice-Principal, Administration and Finance. As a result, we have instituted an internal process to seek such authorizations from the Vice-Principal, Administration and Finance. No authorization under Annex 1 has been granted in the past year, while 82 authorizations under Annex 2 have been granted. These are further detailed in Appendix A (for the period of April 1, 2014 to March 31, 2015), provided to the Board for information. Annex 3 is the template form of the declaration of compliance itself, submitted hereunder for Board review and approval (see Appendix D). Annexes 4 to 7 must also be filed where applicable. Please refer to Appendix B for more information relating to these regulatory requirements. In addition to these annexes, the declaration is also concerned with the publishing on Quebec s Système Électronique d Appel d Offres ( SÉAO ) of the initial value of contracts over $25,000 entered into by the University, any amendment that changes the initial value of these contracts by 10% (whether this be through one amendment, or a combination of amendments totaling

2 10%) as well as those amendments that bring the total value of a contract above the $25,000 threshold, and the final value of the contracts once they have ended (see Appendix C, also provided to the Board for information). One of the responsibilities the Board of Governors retained following the February 2014 delegation to the Vice-Principal, Administration and Finance, is the issuance of the declaration of compliance (Annex 3). Annex 3 must be transmitted to Treasury Board by June 30 of each year. The Board approved the submission of fiscal year 2014 s declaration at its October 2014 meeting. Given the University s decentralized procurement environment, the risk that a contract is entered into in contravention with the Act, its regulations or directives remains. We continuously implement measures to enable the University to comply with government requirements. These measures included scheduled consultations with Quebec s Treasury Board, and a walkthrough of key controls with Internal Audit. Consequently, Procurement Services recommends the signing and submission of the declaration for fiscal year ALIGNMENT WITH MISSION AND STRATEGIC PRIORITIES: COMPLIANCE WITH UNIVERSITY POLICY: COMPLIANCE WITH LEGISLATION/ EXTERNAL REGULATIONS: RISK FACTORS: IMPACT OF DECISION AND NEXT STEPS: MOTION OR RESOLUTION FOR APPROVAL: The University strives to be responsible and accountable in its reporting requirements. The Board of Governors, as chief executive officer, has retained the power to approve the submission of Annex 3, and this helps ensure that the Board is apprised of the University s compliance with government requirements relating to public contracting. This matter is brought forward following the Board s February 27, 2014 decision, whereby it kept responsibility for the annual declaration of reporting compliance. Procurement activities are undertaken in accordance with the University s Procurement Policy. The Directive requires that a declaration of compliance be submitted annually before June 30, in the form of Annex 3. In the University s decentralized procurement environment, the risk that a contract is entered into in contravention with the Act, its regulations or directives remains. We continuously implement measures to enable us to comply with government requirements. Once approved by the Board, Annexe 3 of the Directive will be signed by the Vice-Principal, Administration and Finance and submitted to Quebec Treasury Board. Be it resolved that the Board of Governors, on the recommendation of the Vice-Principal (Administration and Finance), approve the submission of a declaration of compliance to the Quebec Treasury Board in the form of Annex 3 of the Directive concernant la reddition de comptes en gestion contractuelle des organismes publics.

3 Be it further resolved that the Board of Governors authorize the Vice- Principal (Administration and Finance) to sign Annex 3, and any related documents, on behalf of the Board of Governors. 4 The 82 authorizations recorded under Annex 2 were as follows: 1 authorization under LCOP a.13 (3) Sign a contract on a mutually agreed basis instead of conducting a public call for tenders, for reasons of confidentiality under section 13 (3) of the Act. This contract had a value of $160,000; 11 authorizations under LCOP a.13 (4) Sign a contract on a mutually agreed basis instead of conducting a public call for tenders because a public call for tenders would not have served the public interest. These contracts total a value of $3,097,000, with nine (9) different suppliers; 53 authorizations under Amend a contract having a value of more than $100,000 (whether awarded by public call for tenders or not), including 48 for construction projects. These contracts total a value of $60.1M. 16 GD14-44 Appendix B Information relating to other reporting obligations (Annexes 4 to 7) pursuant to the Act Respecting Contracting by Public Bodies (Act 65.1) Annex 4 serves to document the group buys that the University has led in the past year. Through its membership in the Bureau de la Coopération Interuniversitaire and Regroupement des Gestionnaires de l Approvisionnement des Universités du Québec, the University has concluded contracts as a result of 8 such group buys, which were led by others. Annex 4 relating to these group buys are submitted by the organization leading them, and so the University did not need to submit an Annex 4 this past year. Annex 5 pertains to contracts of a confidential nature with a (pre-tax) value between $25,000 and $100,000. The University did not need to submit an Annex 5 this past year. Annex 6 asks for additional details on contracts protected by professional secrecy. Following consultation with McGill Legal Services, who indicated that the contents of this Annex could cause a breach of the professional secrecy and compromise the protection it affords the University, Procurement Services has decided never to submit an Annex 6. Annex 7 records the number of disputes with general contractors managed in accordance with the negotiations process described in the regulations. As we manage these disputes using our own very similar process (which predates the Act), the University has not submitted an Annex 7 this past year.
