Dans ce cas, si les Circonstances ne se sont pas produites ou si l Offrant a renoncé à son droit de retirer l Offre si l une des Circonstances ou les deux Circonstances se sont produites, l Offrant peut volontairement, discrétionnairement, rouvrir l Offre sous les mêmes conditions pour un maximum de cinq Jours Ouvrables dans les dix Jours Ouvrables après la publication des résultats de l Offre. Dans le cas d une telle Offre rouverte les mêmes procédures d acceptation et de payement que celles applicables à l Offre d origine sont d application. (ii) L Offrant acquiert au moins 90% des Actions Si l Offrant (avec les personnes qui lui sont liées) détient au moins 90% des Actions après la Période d Acceptation Initiale, une réouverture obligatoire de l Offre aura lieu (sauf en cas d offre de reprise). 2 La réouverture obligatoire est également valable dans le cas où le seuil de 90% mentionné ci-dessus n est pas atteint immédiatement après la Période d Acceptation Initiale, mais uniquement après une réouverture volontaire (sauf en cas d offre publique de reprise). La réouverture obligatoire doit avoir lieu dans les dix Jours Ouvrables après la publication des résultats de l Offre (rouverte) ou la constatation du fait donnant lieu à la réouverture. La Période d Acceptation de l Offre rouverte ne peut être ni inférieure à cinq Jours Ouvrables ni supérieure à quinze Jours Ouvrables. Si l Offre est soumise à une réouverture obligatoire, les mêmes procédures d acceptation et de payement que celles applicables à l Offre d origine sont d application. Offre de reprise: Si, à la suite de l Offre (rouverte volontairement ou obligatoirement), l Offrant (seul ou avec quelque personne agissant de concert avec l Offrant que ce soit) possède 95% ou plus des Actions et si l Offrant (seul ou avec quelque personnes agissant de concert avec l Offrant que ce soit), par des acceptations de l Offre, a acquis au moins 90% des Actions faisant l objet de l Offre, l Offrant a le droit de procéder à une offre de reprise simplifiée. Frais: Aucun frais ne sera imputé aux actionnaires proposant directement leurs actions aux banques guichet. Toutefois, les frais éventuels facturés par d'autres intermédiaires financiers que les banques-guichet ci-dessous sont à charge des actionnaires. L'éventuelle taxe sur les opérations boursières sera acquittée par l'offrant. 3 CORPORATE EVENT NOTICE: VRIJWILLIG EN VOORWAARDELIJK OVERNAMEBOD IN CONTANTEN TELENET GROUP HOLDING LOCATIE: Brussels NOTICE: BRX_ _01129_EUR DATUM: 18/12/2012 MARKT: EURONEXT BRUSSELS VRIJWILLIG EN VOORWAARDELIJK OVERNAMEBOD IN CONTANTEN De Bieder, Binan Investments BV (een volledige dochtervennootschap van Liberty Global, Inc.) lanceert een vrijwillig en voorwaardelijk aanbod in cash op alle aandelen uitgegeven door Telenet Group Holding NV tegen de prijs van 35 EUR per aandeel. - Het aanbod loopt van 18/12/2012 tot en met 11/01/ Bekendmaking van de resultaten van het bod: 18/01/ Betaling van de aangeboden aandelen: 25/01/2013 Het bod heeft geen betrekking op de VVPR-strips Telenet Group Holding (ISIN code: BE ) Voorwaarden van het bod:zie Prospectus 4.8. Heropening van het bod: Het Bod moet of kan in de volgende omstandigheden heropend worden: (i) De Bieder verwerft minder dan 90% van de Aandelen Indien de Bieder (samen met haar verbonden personen), na de Initiële Aanvaardingsperiode minder dan 90% van de Aandelen aanhoudt, dan is een verplichte heropening van het Bod niet vereist. In dat geval, indien de Omstandigheden zich niet hebben voorgedaan of indien de Bieder afstand heeft gedaan van haar recht om het Bod in te trekken indien één of beide van de Omstandigheden zich hebben voorgedaan, dan kan de Bieder vrijwillig, naar eigen goeddunken, het Bod heropenen onder dezelfde voorwaarden voor een maximum van vijf Werkdagen binnen tien Werkdagen na de bekendmaking van de resultaten van het Bod. Bij een dergelijk heropend Bod gelden dezelfde aanvaardingsen betalingsprocedures als voor het originele Bod. (ii) De Bieder verwerft ten minste 90% van de Aandelen Indien de Bieder (samen met haar verbonden personen) ten minste 90% van de Aandelen aanhoudt na de Initiële Aanvaardingsperiode, dan zal er een verplichte heropening van het Bod (behoudens een uitkoop). De verplichte heropening geldt eveneens indien de voornoemde drempel van 90% niet onmiddellijk bereikt is na de Initiële Aanvaardingsperiode, maar slechts na de vrijwillige heropening (behoudens een uitkoop). Een verplichte heropening dient te geschieden binnen tien Werkdagen na de bekendmaking van de Page 3 of 6

4 resultaten van het (heropende) Bod of de vaststelling van het feit waardoor de heropening in gang wordt gezet. De Aanvaardingsperiode van het heropende Bod bedraagt ten minste vijf Werkdagen en ten hoogste 15 Werkdagen. Indien het Bod onderworpen is aan een verplichte heropening, gelden dezelfde aanvaardings- en betalingsprocedures als voor het originele Bod. Uitkoopbod: Indien ten gevolge van het (vrijwillig of verplicht heropende) Bod, de Bieder (alleen of samen met enig persoon die handelt in onderling overleg met de Bieder) 95% of meer van de Aandelen houdt en mits de Bieder (alleen of samen met enig persoon die handelt in onderling overleg met de Bieder) door aanvaardingen van het Bod ten minste 90% van de Aandelen onderworpen aan het Bod verkreeg, heeft de Bieder het recht om verder te gaan met een vereenvoudigd uitkoopbod. Kosten: Er worden geen kosten aangerekend aan de aandeelhouders die hun aandelen rechtsreeks bij de loketbank aanbieden. De eventuele kosten die echter door de andere financiële tussenpersonen worden aangerekend, zijn ten laste van de aandeelhouders. De eventuele taks op beursverrichtingen zal worden gedragen door de bieder. 5 CORPORATE EVENT NOTICE: VOLUNTARY AND CONDITIONAL TAKEOVER BID IN CASH TELENET GROUP HOLDING LOCATION: Brussels NOTICE: BRX_ _01129_EUR DATE: 18/12/2012 MARKET: EURONEXT BRUSSELS VOLUNTARY AND CONDITIONAL TAKEOVER BID IN CASH The Bidder, Binan Investments BV (a wholly-owned subsidiary of Liberty Global, Inc.) launches a voluntary and conditional takeover bid in cash to acquire all the shares issued by Telenet Group Holding at a price of 35 EUR per share. - The offer will be valid from 18/12/2012 up to and including 11/01/ Publication of the results of the offer: 18/01/ Payment of the tendered shares: 25/01/2013 The takeover bid does not concern the VVPR strips" linked to the Telenet Group Holding shares (ISIN code: BE ). Conditions of the offer: see Prospectus Reopening of the offer: The Offer must or may be reopened as set out below. (i) The Bidder acquires less than 90% of the Shares If the Bidder (together with its affiliated persons) holds less than 90% of the Shares after the Initial Acceptance Period, then a mandatory reopening of the Offer is not required. In such case, if the Circumstances have not materialised or if the Bidder has waived its withdrawal right if one or both of the Circumstances have materialised, the Bidder may, at its sole discretion on a voluntary basis, reopen the Offer under the same conditions for up to five Business Days within ten Business Days from the publication of the results of the Offer. In the event of such reopened Offer, the same acceptance and payment procedures shall apply. (ii) The Bidder acquires at least 90% of the Shares If the Bidder (together with its affiliated persons) holds at least 90% of the Shares following the Initial Acceptance Period, there will be a mandatory reopening of the Offer (subject to a squeeze-out). The mandatory reopening will also be applicable if the aforementioned threshold of 90% has not been immediately reached following the Initial Acceptance Period, but only after the voluntary reopening (subject to a squeeze-out). The mandatory reopening must take place within ten Business Days after the publication of the results of the (reopened) Offer or the determination of the fact triggering the reopening. The Acceptance Period of the mandatorily reopened bid amounts to minimum five Business Days and maximum 15 Business Days. Page 5 of 6

6 If the Offer is subject to a mandatory reopening, the same acceptance and payment procedures as set forth in the initial Offer shall apply. Squeeze-out: If, as a result of the (voluntary or mandatory reopened) Offer, the Bidder (alone or together with any person acting in concert with the Bidder) holds 95% or more of the Shares, and provided that the Bidder (alone or together with any person acting in concert with the Bidder) acquired, by acceptances of the Offer, at least 90% of the Shares subject to the Offer, the Bidder will have the right to proceed with a simplified squeeze-out. Costs:No costs will be charged to shareholders who tender their shares directly to the financial agent below. Any costs charged by other financial intermediaries than the financial agents below will be for the shareholders' account. Any taxes on stock market transactions will be borne by the Bidder.
