1 LICENCE D UTILISATION COMMERCIALE DE LOGICIEL - DV SOFTWARE LICENSE FOR COMMERCIAL USE - DV Article 1 - PREFACE 1.1 Dans le cadre de leur travail de recherche : - Patrice GOUET, du Laboratoire de Bio-Cristallographie de l Institut de Biologie et Chimie des Protéines UMR5086 CNRS / UCBL1, - Emmanuel Courcelle du Laboratoire de Biologie Moléculaire des Relations Plantes Microorganismes - UMR215 INRA / CNRS, ont développé un logiciel permettant de générer un fichier PostScript de séquences alignées avec des améliorations graphiques à partir de séquences d acides aminés alignées. 1.2 Le Centre National de la Recherche Scientifique (CNRS), l Université Claude Bernard 1 (UCBL1), l Institut National de la Recherche Agronomique (INRA), sont copropriétaires du logiciel précité. Pour l application de la présente licence, le CNRS agira au nom de tous les copropriétaires. 1.3 L objectif de la présente licence est de prévoir les conditions dans lesquelles le CNRS autorise le BENEFICIAIRE (tel que décrit à l article 13.2) à utiliser et modifier le LOGICIEL, tel que défini à l article 2 ci-dessous. Article 1 - PREAMBULE 1.1 Within the framework of their research work : - Patrice GOUET, from the Laboratory of Bio- Cristallographie of the "Institut de Biologie et Chimie des Protéines" - UMR5086 CNRS / UCBL1, - Emmanuel Courcelle from the Laboratoire de Biologie Moléculaire des Relations Plantes Microorganismes - UMR215 INRA / CNRS, have developed a software program that generates a PostScript file of aligned sequences and graphical enhancements from aligned amino acid sequences. 1.2 The Centre National de la Recherche Scientifique (CNRS), Université Claude Bernard 1 (UCBL1) and Institut National de la Recherche Agronomique (INRA), are co-owners of the abovementioned software. The CNRS will act in the name of all co-owners for the execution of the present agreement. 1.3 The aim of the present agreement is to set out the conditions under which the CNRS grants a license to the BENEFICIARY (as described in article 13.2) to use and modify the SOFTWARE as defined in article 2 below. 2 Article 2 - DEFINITIONS Par INTERLOCUTEUR, on entend Monsieur Patrice GOUET du Laboratoire de Bio-Cristallographie de l Institut de biologie et chimie des protéines UMR5086 CNRS/UCBL1. Par LOGICIEL, on entend le logiciel intitulé ESPRIPT et les éventuelles corrections ultérieures (marquées v2.1.*, où * est un nombre) d ESPRIPT quand une telle amélioration sera réalisée et si elle est réalisée, permettant de générer un fichier PostScript de séquences alignées avec des améliorations graphiques à partir de séquences d acides aminés alignées. Le LOGICIEL est accessible sous forme de code source permettant de générer un fichier exécutable. Par MANUEL, on entend la notice d utilisation, sur support numérique, du LOGICIEL. Article 3 - OBJET 3.1 Par les présentes, une licence nonexclusive, non-transférable est concédée au BENEFICIAIRE pour installer et utiliser le LOGICIEL sur un système informatique approprié ou un système localisé dans les locaux du BENEFICIAIRE et pour lequel le BENEFICAIRE a une autorisation d accès. 3.2 Le CNRS et ses copropriétaires conservent la propriété du LOGICIEL délivré au BENEFICIAIRE conformément à l article Le BENEFICIAIRE reconnaît que le CNRS l autorise par la présente licence à utiliser le LOGICIEL sur tous les ordinateurs situés dans ses locaux. Notamment, le BENEFICIAIRE peut rendre le LOGICIEL accessible sur un réseau interne, mais pas sur un réseau Article 2 - DEFINITIONS INTERLOCUTOR shall mean Mr. Patrice GOUET from the Laboratory of Bio-Cristallographie of the "Institut de Biologie et Chimie des Protéines" - UMR5086 CNRS/UCBL1. SOFTWARE shall mean the software ESPRIPT and any later possible upgrades (marked v2.1.*, where * is any number) of ESPRIPT that generate a PostScript file of aligned sequences with graphical enhancements from aligned amino acid sequences, if and when such upgrades are made. The SOFTWARE is accessible under source code form to generate an.exe file. MANUAL means the user s manual for the SOFTWARE in digital form. Article 3 - OBJECT 3.1 A non-exclusive, non-transferable license is hereby granted to the BENEFICIARY to install and use the SOFTWARE on an appropriate computer system or a system located on the BENEFICIARY s premises and for which the BENEFICIARY has authorized access. 3.2 CNRS and its co-owners shall retain ownership of the SOFTWARE delivered to the BENEFICIARY pursuant to article By the present agreement, the BENEFICIARY hereby acknowledges that the CNRS has granted it the right to use the SOFTWARE on all computers located on BENEFICIARY s premises. In particular the BENEFICIARY can place the SOFTWARE on an DV /8

3 externe. 3.4 Le LOGICIEL est protégé en France par le Code de la propriété intellectuelle et à l étranger par les conventions internationales sur le droit d auteur. Article 4 - LIVRAISON DU LOGICIEL ET DU MANUEL 4.1 Le BENEFICIAIRE reconnaît télécharger le LOGICIEL et le MANUEL, respectivement en 1 (un) seul exemplaire, sur Internet à l adresse URL suivante : prodes.toulouse.inra.fr/espript/ 4.2 En cas de problème rencontré lors du téléchargement, le BENEFICIAIRE pourra contacter l INTERLOCUTEUR à l adresse suivante : espript@ibcp.fr Article 5 - DROIT D UTILISATION 5.1 Le BENEFICIAIRE reconnaît être uniquement autorisé par le CNRS à utiliser le LOGICIEL dans la limite des droits de propriété intellectuelle qui lui sont attribués ci-dessous : a) Le droit de reproduction du LOGICIEL sur les ordinateurs situés dans les locaux du BENEFICIAIRE uniquement pour le chargement, l affichage, l exécution et le stockage du LOGICIEL, b) Le droit de corriger les erreurs constatées dans le LOGICIEL, sous réserve de communiquer ces corrections à l INTERLOCUTEUR dans les plus brefs délais par courrier électronique à l adresse mentionnée à l article 4, internal network, but not on an external network. 3.4 The SOFTWARE is protected by the Code de la propriété intellectuelle in France and by international agreements concerning copyrights elsewhere. Article 4 DELIVERY OF THE SOFTWARE AND THE USER S MANUAL 4.1 The BENEFICIARY hereby declares that it has downloaded only 1 (one) copy of the SOFTWARE and the MANUAL, respectively from the following Internet URL address: prodes.toulouse.inra.fr/espript/ 4.2 In case of problems with downloading the SOFTWARE and MANUAL, the BENEFICIARY may contact the INTERLOCUTOR at the following address: espript@ibcp.fr Article 5 - UTILIZATION RIGHTS 5.1 The BENEFICIARY hereby acknowledges that its rights to use the SOFTWARE are limited to those concerning intellectual property granted hereunder: a) The right to copy the SOFTWARE on computers located on BENEFICIARY s premises for downloading, display, execution and storage of the SOFTWARE only. b) The right to correct errors in the SOFTWARE subject to providing the INTERLOCUTOR with said corrections in a timely manner at the address mentioned in article 4, DV /8

4 et cela pendant toute la durée de ces droits, pour une utilisation interne ou commerciale. 5.2 Le BENEFICIAIRE reconnaît que la présente licence lui confère uniquement le droit d utilisation du LOGICIEL. En conséquence, il s acquittera des droits d utilisation et/ou d exploitation nécessaire concernant les autres logiciels mis en œuvre dans tout programme ou toute suite de programmes contenant le LOGICIEL. The above mentioned rights are granted for internal or commercial use throughout the term of said rights. 5.2 The BENEFICIARY hereby acknowledges that the present agreement only grants rights to use the SOFTWARE. Consequently, the BENEFICIARY shall acquire rights for any utilization and/or exploitation of any software implemented in any program or group of programs, that includes the SOFTWARE. 5.3 Le BENEFICIAIRE ne devra divulguer sous une forme quelconque ni le LOGICIEL délivré, ni tous modifications ou travaux dérivés basés sur le LOGICIEL à des tiers sans l accord préalable écrit du CNRS. 5.4 Si le BENEFICIAIRE fait l objet d une requête lui demandant de fournir tout ou partie du LOGICIEL à un tiers, il n accomplira pas cette requête et en référera au CNRS par écrit. 5.5 Le BENEFICIAIRE reconnaît être uniquement autorisé à reproduire le MANUEL à des fins d impression ou dans un but d utilisation directe sur un ordinateur. Article 6 - GARANTIES 6.1 Le BENEFICIAIRE reconnaît ne disposer d aucune garantie d aucune sorte sur le LOGICIEL. Notamment le BENEFICIAIRE n a aucune garantie sur l utilité ou l adaptation du LOGICIEL a une quelconque fonction, et s engage à ne pas appeler le CNRS et/ou l INTERLOCUTEUR 5.3 The BENEFICIARY shall not disclose the SOFTWARE as delivered or any modifications or derivative works based on the SOFTWARE in any form whatsoever to third parties without prior written approval from the CNRS. 5.4 Should the BENEFICIARY receive a request to provide all or any portion of the SOFTWARE to any third party, it will not do so, it will forward said request to the CNRS in writing. 5.5 The BENEFICIARY hereby agrees that it may only copy the MANUAL to have a printed hard copy or for direct use on a computer. Article 6 - WARRANTIES 6.1 The BENEFICIARY acknowledges that it has received no guarantee of any kind for the SOFTWARE. In particular, no guarantee is provided to the BENEFICIARY concerning the use or adaptation of the SOFTWARE for any particular purpose and it agrees not to call on DV /8

5 en garantie en cas de dommage ou préjudice de quelque nature que ce soit causé par le LOGICIEL. 6.2 Le BENEFICIAIRE reconnaît exploiter le LOGICIEL à ses entiers risques et périls. Article 7 - CLAUSE FINANCIERE 7.1 En contrepartie de l exploitation du LOGICIEL concédée par les présentes, le BENEFICIAIRE s engage à verser au CNRS la somme forfaitaire de 1000 Hors Taxes (mille euros Hors Taxes). Cette somme sera payée en euros et sera majorée des taxes légales en vigueur à la date de son échéance, notamment de la TVA si elle est applicable. Cette somme ne sera en aucun cas remboursable, elle est définitivement acquise au CNRS. 7.2 Le BENEFICIAIRE s engage à verser cette somme, dans les 35 (trente-cinq) jours suivant la date de réception d un facture émise par le CNRS, par virement bancaire à l ordre de l Agent Comptable Secondaire du CNRS, Délégation Paris Michel-Ange - Paierie Générale Paris - Code Banque Code Guichet N Compte N Clé Dans le cas où le BENEFICIAIRE ne verserait pas la somme précitée dans les délais prévus elle donnera lieu à des intérêts de retard calculés prorata temporis selon les règles applicables aux Etablissements Publics Français (à savoir, à la date de souscription du présent accord, le taux d intérêt légal en vigueur majoré de 2 points), sans préjudice du droit pour le CNRS de résilier le présent accord. the CNRS and/or the INTERLOCUTOR in warranty in case of damages or prejudice of any kind caused by the SOFTWARE. 6.2 The BENEFICIARY hereby agrees that it shall exploit the SOFTWARE at its own risk and peril. Article 7 - FINANCIAL CLAUSE 7.1 In exchange for the right to exploit the SOFTWARE granted herein, the BENEFICIARY agrees to pay the CNRS a lump sum of 1000 Excluding Taxes (one thousand euros Excluding Taxes). This sum will be paid in euros. Any legal taxes in effect on the date of payment, notably VAT, shall be added if applicable. This sum shall in no event be refundable to the CNRS. 7.2 The BENEFICIARY agrees to pay this sum within 35 (thirty-five) days after receiving an invoice from the CNRS by bank transfer to the Agent Comptable Secondaire du CNRS, Délégation Paris Michel-Ange - Paierie Générale Paris Code Banque: Code Guichet N Compte N Clé Should the BENEFICIARY not pay the above-mentioned sum within the period set out above, it shall be subject to interest at a rate based on the rules applicable to French Public Establishments (which as of the signature of the present agreement is the prevailing legal interest rate +2 points), without prejudice to the right of the CNRS to terminate the present agreement. 6 Article 8 - CONTREFACON Le BENEFICIAIRE avertira le CNRS de tout acte de contrefaçon du LOGICIEL qu il constatera. Le BENEFICIAIRE s engage à ne pas engager de procédure en contrefaçon à l encontre du CNRS et/ou de l INTERLOCUTEUR. Article 9 - RESILIATION Le présent accord pourra être résilié par le CNRS si le BENEFICIAIRE ne respecte pas les conditions prévues aux articles 3, 5 et 7. La résiliation interviendra 3 (trois) mois après l envoi par le CNRS d une lettre recommandée avec accusé de réception, à moins que le BENEFICIAIRE ne se conforme aux obligations du présent accord avant cette échéance. Article 10 - TERME Le présent accord entrera en vigueur à la date de réception par le CNRS d 1 (un) exemplaire signé du présent accord et restera en vigueur pendant toute la durée de protection légale du LOGICIEL. A cette fin, le BENEFICIAIRE reconnaît avoir imprimé, complété, puis signé le présent accord en 2 (deux) exemplaires, dont 1 (un) pour lui et 1 (un) envoyé au CNRS par lettre recommandée avec accusé de réception à l adresse mentionnée à l article 13 ci-dessous. Article 11 - LOI APPLICABLE Le présent accord est régi par les lois et règlements de la République française et les juridictions françaises sont seules compétentes. Article 8 - INFRINGEMENT The BENEFICIARY shall inform the CNRS of any infringement of the SOFTWARE that it may learn of. The BENEFICIARY agrees not to file any actions of infringement against the CNRS and/or the INTERLOCUTOR. Article 9 - TERMINATION The present agreement may be terminated by the CNRS if the BENEFICIARY fails to perform the obligations provided in articles 3, 5 and 7. This termination shall only take effect 3 (three) months after the CNRS sends a registered letter with acknowledgement of receipt, unless the BENEFICIARY fulfills the obligations of the present agreement before that time. Article 10 TERM The present agreement shall take effect on the date the CNRS receives 1 (one) duly signed copy of the present agreement, and shall remain in effect as long as the SOFTWARE is legally protected. The BENEFICIARY hereby acknowledges that it has printed, filled out and signed 2 (two) copies of the present agreement 1 (one) for itself and 1 (one) copy to be sent to the CNRS by registered letter with acknowledgement of receipt at the address set out in article 13 below. Article 11 APPLICABLE LAW The present agreement is governed by the laws and regulations of the Republic of France and the French courts shall have sole jurisdiction. DV /8

7 Article 12 - PUBLICATION Le BENEFICIAIRE accepte de mentionner par une citation appropriée dans tout rapport public ou publication des résultats obtenus avec le LOGICIEL que ces résultats ont été obtenus en utilisant le LOGICIEL.
