Contexte des investissements responsables 1.1 Qu est-ce qu un investissement responsable Définition : Un investissement responsable est un placement sur la base de considérations financières, sociales, de gouvernance et environnementales et/ou de l influence d'entreprises, de gouvernements et autres acteurs pertinents compte tenu de ces considérations. 1.2 Pourquoi investir de manière responsable La prise de responsabilités de l investisseur à l'égard de son environnement. Raisons possibles : - Législation et réglementation - Normes et valeurs de l investisseur - Responsabilité vis-à-vis des parties prenantes - Acceptation sociale de l organisation - Investisseur universel - Raisons liées au risque : risque lié à la réputation, risque lié à l entreprise (coûts plus faibles), responsabilité, risques liés aux investissements - Opportunités financières 1.3 Vision En tant qu investisseur, Delta Lloyd Asset Management (DLAM) reconnaît sa responsabilité sociale. DLAM veut se justifier vis-à-vis de ses clients mais aussi des entreprises dans lesquelles elle investit. L investissement responsable correspond aux valeurs clés du Groupe Delta Lloyd et à la manière dont DLAM veut fonctionner. Politique d investissements responsables de Delta Lloyd Asset Management 2.1 La politique d entreprise socialement responsable du Groupe Delta Lloyd «Pour le Groupe Delta Lloyd, l entreprise socialement responsable (ou RSE) est la recherche d une contribution positive au développement des collaborateurs, de la société, de la croissance économique rentable et de l attention portée à l environnement. Si nous réfléchissons à partir des activités clés du Groupe, cela revient à travailler à un avenir sûr pour et avec toutes les parties prenantes. La continuité et la confiance sont des points de départ importants. Le Groupe Delta Lloyd investit dans cet objectif en étant présent dans la société de manière responsable.» 2.2 Développement de l entreprise socialement responsable en politique d investissements responsables La responsabilité sociale est importante pour le Groupe Delta Lloyd, ses clients et ses autres parties prenantes. La politique d Investissements responsables sera un développement de la politique d RSE. L objectif est de formuler un cadre univoque et défendable qui puisse servir de justification des activités d investissement de DLAM. 2.3 Politique d investissements responsables de Delta Lloyd Asset Management En 2009, le thème de l investissement responsable a encore été développé au sein de DLAM. Les premiers critères d exclusion (sur la base de la fabrication d'armes controversées) ont été fixés en 2008 pour tous les investissements gérés par DLAM. En 2009, les critères ont été étendus aux 10 principes du Pacte Mondial des Nations Unies (droits de l Homme, conditions de travail, environnement et lutte contre la corruption). Sur cette base, une politique d exclusion et d engagement des entreprises plus vaste a été développée. DLAM se fait conseiller par Sustainalytics, un prestataire international et indépendant d études de durabilité. La Commission Investissements Responsables du DLAM s'est réunie régulièrement depuis janvier Cette commission conseille la direction quant à la politique d investissement responsable et son maintien. DLAM a signé les Principes des Nations Unies pour l investissement responsable (UNPRI). Le réseau UNPRI a été fondé en Il s'agit d'un groupe d investisseurs international qui connaît une forte croissance, tous étant engagés dans l intégration des affaires liées à l environnement, à la société et à une bonne administration des entreprises dans leur politique d investissement. 5 2.4 Points de départ de la formulation de la politique d investissements responsables - Les choix liés au développement de la politique d'investissements durables se rapportent à l'identité, à la réputation et au rayonnement de Delta Lloyd - Les investissements responsables sont un développement permanent. Le développement pratique de la politique d investissements responsables peut être adapté à de nouveaux points de vue. - Les développements de la politique d investissements responsables et son exécution doivent pouvoir être comparés aux points de départ formulés pour la politique d investissements. 2.5 Développements de la politique d investissements responsables au sein de Delta Lloyd Asset Management Lors du développement de la politique d investissements responsables, nous pouvons distinguer plusieurs types de stratégies : 1. La politique d exclusions et/ou d engagement a. L exclusion des entreprises «worst of the worst» (voir annexe 1) 2. Engagement avec des entreprises sélectionnées a. Dialogue avec des entreprises sélectionnées b. Etablissement d un ordre du jour des problèmes lors des Assemblées générales des Actionnaires c. Votes lors des Assemblées générales des Actionnaires 3. Politique basée sur des critères positifs et relatifs ou des investissements ciblés a. Thème des fonds 4. L intégration des facteurs Environnementaux, Sociaux et de Gouvernance dans le processus décisionnel des investissements 5. La stimulation d une politique durable par les entreprises en général a. Par exemple, le sponsoring possible d initiatives, la recherche d un leadership éclairé ou l adhésion à des organisations internationales comme les Principes pour l Investissement Responsable des Nations Unies 2.6 Délimitation des responsabilités a. La direction de DLAM La direction de DLAM est responsable en tout temps de la politique de DLAM, y compris vis-à-vis des investissements responsables. b. La Commission Investissements Responsables La commission peut donner des conseils, sur demande ou non, à la direction de DLAM concernant les investissements responsables dans les domaines suivants : - Le développement d une politique - L implémentation d une politique - L analyse de la performance et les conséquences de la politique - Les Rapports sur la politique La Commission Investissements Responsables est constituée de 8 membres avec un président. c. Le prestataire de services en matière d études externe Le prestataire d études externe et le consultant externe sur le terrain des investissements responsables peuvent se voir demander de fournir à la direction et à la commission investissements responsables des conseils et des études. Le prestataire de services en matière d études externe et le consultant externes ne sont pas responsables de la moindre décision et ils sont là pour soutenir le processus. 6 Annexe 1. La politique d Exclusions et d Engagement de Delta Lloyd Asset Management 1. Critères utilisés En principe, Delta Lloyd Asset Management n investit pas dans des entreprises qui se rendent coupables de comportements et/ou d activités controversés. Celles-ci peuvent être identifiées par les moyens suivants : a. Législation et réglementation Delta Lloyd Asset Management respecte strictement la législation et la réglementation néerlandaises. Le département Compliance joue ici un rôle central. b. Les entreprises qui ne se conforment pas aux conventions et directives internationales. La politique d exclusions et d engagement de Delta Lloyd Asset Management sera axée sur les entreprises «worst of the worst» au niveau mondial. Pour identifier ces entreprises, nous nous référons à des traités et à des directives internationaux. Les Principes Le Pacte Mondial des Nations Unies ont été choisis par DLAM comme fil conducteur parce qu ils sont acceptés au niveau international et que ces principes sont basés sur des traités et des conventions internationaux. Nous pouvons citer en exemple la Déclaration Universelle des Droits de l Homme, la Déclaration de l Organisation Internationale du Travail relative aux principes et droits fondamentaux au travail, la Déclaration de Rio sur l environnement et le développement et la Convention des Nations Unies contre la corruption. En outre, les principes des Nations Unies pour l investissement responsable sont une initiative en collaboration avec les Principes du Pacte Mondial des Nations Unies. L utilisation des Principes Global Compact des NU en tant que fil conducteur offre donc une excellente base à une adhésion éventuelle aux Principes des Nations Unies pour l investissement responsable à l avenir. c. L identification de problèmes pour lesquels il existe une large base sociale pour les juger comme étant très controversés. Il apparaît qu il n existe pas (encore) de réglementation mais qu il existe une base sociale relativement large au sein de la société, qui fixe la frontière de ce qui est socialement inacceptable. 7 2. L implémentation des critères utilisés L administration de Delta Lloyd Asset Management décide périodiquement des entreprises qui seront considérées pour l'exclusion ou l'engagement. Pour le moment, il a été décidé que Delta Lloyd Asset Management exclura : 1. Les entreprises impliquées dans la production de : - armes clusters - mines antipersonnel - armes chimiques et biologiques 2. De plus, pour les entreprises impliquées dans d autres controverses graves, l approche suivante est utilisée : La commission investissements responsables formule un conseil quant aux entreprises qui : o Seront placées en liste d attente o Seront impliquées dans un parcours d engagement o Seront immédiatement exclues de l investissement. b. Il est possible que suite à l engagement avec une entreprise, celle-ci soit placée sur la liste noire ou en liste d attente. 3. La direction prend une décision. 4. 9 Annex 2 The Ten UN Global Compact Principles The Global Compact's ten principles in the areas of human rights, labour, the environment and anti-corruption enjoy universal consensus and are derived from: The Universal Declaration of Human Rights The International Labour Organization's Declaration on Fundamental Principles and Rights at Work The Rio Declaration on Environment and Development The United Nations Convention Against Corruption The Global Compact asks companies to embrace, support and enact, within their sphere of influence, a set of core values in the areas of human rights, labour standards, the environment, and anti-corruption. Sustainalytics would like to highlight that the Global Compact Secretariat does not determine itself whether companies are considered compliant with the Global Compact principles or not. The Global Compact Secretariat promotes the adoption of the Global Compact principles by companies worldwide and has various programs to raise awareness on this important initiative. To date, more than 2900 companies from more than 100 countries have become signatories to the Global Compact principles. The Global Compact Secretariat requires though that companies submit so-called Communications on Progress (COP) on the implementation of the principles. These have to be prepared within 2 years of signing the Global Compact and thereafter every year. Guidelines for preparing COPs are very general and regular sustainability reports qualify for COP reporting. In 2006, the Global Compact Secretariat has taken for the first time steps to de-list laggard companies from the signatory list. This action is taken if companies have failed, for at least 2 years running, to issue an annual report on how they are putting the GC principles into practice. Whereas Sustainalytics does take such de-listing into account in the context of assessing compliance with the Global Compact principles, the fact of being de-listed (or the fact of not being a signatory at all) is not a reason as such to consider a company non-compliant with the Global Compact principles. Similarly, a company may be a reporting signatory to the Global Compact principles, but Sustainalytics may nevertheless consider the company to be noncompliant with the principles. 10 Human Rights Principle 1: Businesses should support and respect the protection of internationally proclaimed human rights within their sphere of influence; and Principle 2: make sure that they are not complicit in human rights abuses. The Origin of the Human Rights Principles Human rights are universal and belong to everyone equally. The origin of Principles One and Two is in the 1948 Universal Declaration of Human Rights (UDHR). The aim of this Declaration was to set basic minimum international standards for the protection of the rights and freedoms of the individual. The fundamental nature of these provisions means that they are now widely regarded as forming a foundation of international law. In particular, the principles of the UDHR are considered to be international customary law and do not require signature or ratification by the state to be recognised as a legal standard. The UDHR is a keystone document; it has been translated into over 3000 languages and dialects. While some principles may not be directly applicable to business, consistency with the declaration is important. What does the Universal Declaration Say? Equality The Declaration begins by laying down its basic premise that "all human beings are born free and equal in dignity and rights." The Declaration then goes on to give content to its understanding of equality by prohibiting any distinction in the enjoyment of human rights on such grounds as race, color, sex, language, religion, political or other opinion, national or social origin, property, birth or other status. Life and Security The rights to life, liberty and security, and the right to be free from slavery servitude, torture or cruel, inhuman or degrading treatment or punishment further develop the notion of personal dignity and security. The rights of the individual to a just national legal system are also set out. The right to recognition as a person before the law, to equal protection of the law, to a judicial remedy before a court for human rights violations, to be free from arbitrary arrest, to a fair trial before an independent court, to the presumption of innocence and not to be subjected to retroactive penal laws are all set out in the Declaration. Personal Freedom Rights protecting a person's privacy in matters relating to family, home, correspondence, reputation and honour and freedom of movement are all part of the Universal Declaration. The right to seek asylum, to a nationality, to marry and found a family and the right to own property are also proclaimed by the Declaration. Freedom of thought, conscience and religion and freedom of opinion and expression are set out along with the right of peaceful assembly and association and the right to take part in government. 11 Economic, Social and Cultural Freedoms Touching other aspects of the daily lives of people, the Declaration proclaims the right to social security and to the economic, social and cultural right indispensable to human dignity and the free development of each individual's personality. These rights are to be realised through national efforts and international co-operation in accordance with conditions in each state. The right to work is set out, and to equal pay for equal work and to just and favourable remuneration ensuring for the worker and the worker's family am existence worthy of human dignity (which can be supplemented if necessary by other means of social protection). The Declaration also recognises that right to form and join trade unions, the right to rest and leisure, reasonable limitations on working hours and periodic holidays with pay. The right to a standard of living adequate for health and well being, including food, clothing, housing, medical care, and to social services and security, if necessary, are also proclaimed as are the rights to education, and to participate in the cultural life of the community, and to the protection of the moral and material interests resulting from any scientific, literary or artistic production. Global Compact Principles One and Two call on business to develop an awareness of human rights and to work within their sphere of influence to uphold these universal values, on the basis that responsibility falls to every individual in society. Labour Standards Principle 3: Businesses should uphold the freedom of association and the effective recognition of the right to collective bargaining; Principle 4: the elimination of all forms of forced and compulsory labour; Principle 5: the effective abolition of child labour; and Principle 6: the elimination of discrimination in respect of employment and occupation. The Origin of the Labour Standard Principles The four labour principles of the Global Compact are taken from the ILO's Declaration on Fundamental Principles and Rights at Work. This Declaration was adopted in 1998 by the International Labour Conference, a yearly tripartite meeting that brings together governments, employers and workers from 177 countries. The Declaration calls upon all ILO Member States to apply the principles in line with the original intent of the core Conventions on which it is based. A universal consensus now exists that all countries, regardless of level of economic development, cultural values, or ratifications of the relevant ILO Conventions, have an obligation to respect, promote, and realize these fundamental principles and rights. At the most recent G8 Meeting in Evian, France, in 2003, the leaders of the industrialized world encouraged companies to work with other parties to implement the Declaration. 12 The Principles and Rights identified in the ILO Declaration comprise the labour portion of the Global Compact. They are: To promote and realize in good faith the right of workers and employers to freedom of association and the effective recognition of the right to collective bargaining; To work towards the elimination of all forms of forced or compulsory labour; The effective abolition of child labour; and The elimination of discrimination in respect of employment and occupation. The aim of the ILO is to harness the support of the business community for these principles through the Global Compact. The labour principles deal with fundamental principles in the workplace and the challenge for business is to take these universally accepted values and apply them at the company level. Environment Principle 7: Businesses should support a precautionary approach to environmental challenges; Principle 8: undertake initiatives to promote greater environmental responsibility; and Principle 9: encourage the development and diffusion of environmentally friendly Technologies. The Origin of the Environment Principles Internationally co-ordinated work on the environment has been led by the United Nations Environment Programme (UNEP), since its inception in UNEP has provided leadership and encouraged partnerships to care for the environment, for example, through Multilateral Environmental Agreements (MEAs) which have addressed issues such as species loss and the need for conservation at a global and regional level. UNEP has created much of the international environmental law in use today. The three environmental principles of the Global Compact are drawn from a Declaration of Principles and an International Action Plan (Agenda 21) that emerged from the United Nations Conference on Environment and Development (the Earth Summit) held in Rio de Janerio in Chapter 30 of Agenda 21, identified that the policies and operations of business and industry can play a major role in reducing impacts on resource use and the environment. In particular, business can contribute through the promotion of cleaner production and responsible entrepreneurship. The environmental principles of the Global Compact provide an entry point for business to address the key environmental challenges. In particular, the principles direct activity to areas such as research, innovation, co-operation, education, and self-regulation that can positively address the significant environmental degradation, and damage to the planet's life support systems, brought by human activity. The Origin of the Anti-Corruption Principles Corruption is now recognized to be one of the world's greatest challenges. It is a major hindrance to sustainable development, with a disproportionate impact on poor communities and is corrosive on the very fabric of society. The impact on the private sector is also considerable - it impedes economic growth, distorts competition and represents serious legal and reputational risks. Corruption is also very costly for business, with the extra financial burden estimated to add 10% or more to the costs of doing business in many parts of the world. The World Bank has stated that "bribery has become a $1 trillion industry." The rapid development of rules of corporate governance around the world is also prompting companies to focus on anti-corruption measures as part of their mechanisms to protect their reputations and the interests of their shareholders. Their internal controls are increasingly being extended to a range of ethics and integrity issues and a growing number of investment managers are looking to these controls as evidence that the companies undertake good business practice and are well managed. The international legal fight against corruption has gained momentum in more recent times through the Organization for Economic Co-operation and Development (OECD) Convention on Combating Bribery of Foreign Public Officials in International Business Transactions and through the entering into force of the first globally agreed instrument, the United Nations Convention against Corruption (UNCAC) in December There are a number of very different reasons for why businesses should combat corruption in all its forms. 14 The Ethical Case: Corruption is inherently wrong. It is a misuse of power and position and has a disproportionate impact on the poor and disadvantaged. It undermines the integrity of all involved and damages the fabric of the organizations to which they belong. The reality that laws making corrupt practices criminal may not always be enforced is no justification for accepting corrupt practices. To fight corruption in all its forms is simply the right thing to do. The Business Case: There are many reasons why it is in any company's business interest to ensure that it does not engage in corrupt practices. All companies, large and small, are vulnerable and the potential for damage to them is considerable. Commission Investissements Responsables 14/14
