The Report will be completed, revised, and printed by September Regional Coordinators also presented a summary report on activities undertaken in their regions. 2. 4 Motion: The Board approves the Governance Review Committee s proposals related to (a) modification in the operating mode of the General Assembly; (b) a new National Council; (c) a streamlined Board of Directors; (d) guidelines for establishing a leadership team; and (e) better integration of the L Arche Canada Foundation into our structures, as documented on the Assembly 2009 web site, and in the document titled Revised Structures: Proposals. Motion: John Rietschlin moved that the proposals be adopted. Seconded by Linda Nette. Unanimously carried.. Résolution: Le Conseil d administration approuve les propositions du Comité Structure-Gouvernance de (a) modifier le mode d'exploitation de l'assemblée Générale; (b) un nouveau Conseil national; (c) un Conseil d'administration rationalisé (d) des directives pour établir une équipe de direction ; et (e) une meilleure intégration de la Fondation de L Arche Canada dans nos structures, comme documenté sur le site Web de l Assemblée générale 2009 et dans le document Proposition pour la révision des structures. Legal Affairs Jane Burke-Robertson, Member of the Legal Committee, made a presentation about the work accomplished by it. Document s Circulated: - General Operating By-Law No.1 - Bylaw Policies and Operating Policies Canada It was proposed that the Legal Committee be abolished and that an ad hoc committee, internal to the Board of Directors, be created instead, to be convened when needed. Motion: John Rietschlin moved the adoption of this proposal. Seconded by Ingrid Blais. Unanimously carried. 4. Comité Légal Jane Burke Robertson, membre du Comité Légal, fait la présentation du travail accompli par le comité légal. - General Operating By-Law No.1 - Bylaw Policies and Operating Policies Canada Il est proposé d abolir le Comité légal dans sa structure actuelle et de plutôt créer un Comité ADHOC à l intérieur du Conseil d administration au besoin. Saturday, June 20, Finances Pierre Goulet, Treasurer, presented the financial statements, the budget, and a membership fee calculation table. - Budget Financial statements as at March 31, Membership Fees Samedi, 20 juin Finances Pierre Goulet, Trésorier, présente les États financiers, le budget et le tableau de calcul des cotisations. 5 Discussion about the draft budget followed, and amendments were proposed to it. BUDGET The budget, with the following modifications, was proposed for adoption by the Board: Revenues - Membership fees remain at $270,000 - Interest and other revenues/additional $1,000 (total $2,000) Total Revenue: $1,004, 500 Expenditures - Work on the Salary Policy: Reduction of $15,000. Revised amount: $5,000 - We are guaranteeing an annual salary for the work on the Salary Policy, rather than a salary based on six months of work. - St-FX Program: Revised amount: $1,000 Total Expenditures: $1, 003, 673 (surplus of $827) Motion: Pierre Goulet moved the adoption of the budget, amended as outlined above. Seconded by John Rietschlin. Unanimously carried. Loan In order to ensure adequate cash flow and to meet expenses during the year, it was agreed that a loan of $55,000, in three instalments, should be taken out: Instalment 1 in June 2009; Instalment 2 in October 2009, and Instalment 3 in May Interest-free reimbursement of the loan will begin in May 2010, with payments of $3,000 per month to be made until the loan is repaid. Motion/Resolution: Pierre Goulet moved that this proposal be adopted. Seconded by Bernard L Abbé. Unanimously carried Discussion concernant le budget. BUDGET Il est proposé d adopter le budget avec les modifications suivantes : Revenus - Cotisations demeurent à $ - Intérêt et autres revenus / ajout de 1000$ (total : 2000$) Total des revenus : $ Dépenses - Travail sur la Politique salariale : diminution de $ : Nouveau montant : 5 000$ - Nous assurons un salaire annuel pour le travail sur la Politique Salariale plutôt qu un salaire basé sur 6 mois de travail. - Programme ST-FX Program : nouveau montant : 1000$ Total des dépenses $ (surplus de 827$) Résolution : Pierre Goulet propose d adopter le budget avec les amendements mentionnés ci-haut. Emprunt Afin d assurer le flux budgétaire régulier et de respecter nos dépenses durant l année, il est un convenu d un emprunt de $ en 3 versements 1 er versement en juin 2009, 2 e en octobre en octobre 2009 et le 3 e en mai Les remboursements sans intérêts débuterons en mai 2010 à raison de 3000$ par mois jusqu à la fin du paiement. Human Resources Danielle Thibeault, Director of Human Resources presented her annual report. Document Circulated : - Year-end Report 7. Comité de nomination The Board of Directors acts as the Nominating Committee and seeks the reappointment of Jean Dansereau as President of the Board of Directors of L Arche Canada for a third term. His name will be submitted at the AGM which will be held November 5-7, Motion: Bernard L Abbé moved adoption of this proposal. Seconded by Donna Diskos. Unanimously carried. Annual Meeting of the L Arche Foundation Nathan Ball, Executive Director of the L Arche Canada Foundation, presented his annual report. It is available from the L Arche Canada office. 9. Mandate Committee Document Circulated: - L Arche Canada Mandate , Provisional Draft, June 16, 2009 John O Donnell, member of the Mandate Selection Committee, presented a report on its activities. A teleconference will be organized to finalize the Mandate following receipt of comments. The process will then be initiated with the communities. 10. Transition Joe Egan reported on the work he has accomplished, as a consultant, with regard to the transition. 11. Salary Policy - Progress Report - Proposal for funding retirees in L Arche Canada - Draft Salary Policy Peggy Keaney presented the results of the work accomplished in relation to the Salary Policy. It was proposed that the Board of Directors approve the Salary Policy so that it may be presented to the members at the Annual General Meeting to be held November 5-7, Motion: Bernard L Abbé moved the adoption of this proposal. Seconded by Sonia Larouche. Unanimously carried. Next teleconference meeting of the Board of Directors: September 24, 2009, 6 p.m. (Eastern). The meeting was adjourned. 12. Politique salariale - Rapport de l évolution du travail - Proposal for funding retirees in L Arche Canada - Draft Salary Policy Peggy Keaney présente les résultats du travail accompli dans le cadre de la Politique salariale. Il est proposé que le Conseil d Administration approuve la Politique salariale afin que cette dernière soit présentée dans le cadre de L Assemblée générale qui se tiendra du 5 au 7 novembre Résolution : Bernard L Abbé propose l adoption.
