Contractual stipulations, applicable to sale and repair 1. The present clauses are the only valid ones between parties. The customer renounces all stipulations and conditions that are contradictory to the conditions stated below. Execution of a customer order stating different stipulations and conditions does not in any way imply our acceptance thereof, does not evoke rights on the part of the purchaser which deviate from the present clauses. If a purchase order or a contract was drawn up, its clauses take precedence over the present clauses. The company can only be lawfully bound by one of the managers. 2. The vendor is not responsible for faults which are visible and which the purchaser himself could have been able to see. Any hidden faults must be reported in writing to the vendor within 8 days of delivery. After this period the delivery will be considered as having been explicitly accepted. Complaints concerning discrepancies in quantities must also be reported in writing to the vendor within 8 days of delivery. Discrepancies in quantities must be stated on the delivery note or transport documents, in the absence of which the purchaser explicitly accepts the delivery. Complaints can no longer be accepted if the purchaser has processed the delivered products or supplied these to third parties. Complaints of any nature never defer the purchaser s payment obligations. The right of claim expires if the products were modified or repaired by the purchaser. The guarantee is the guarantee supplied by the manufacturer, with a maximum of 1 year to be calculated from the day of purchase. The guarantee only covers the best possible repair of the goods, or replacement if required. When the goods are sent back to the vendor, the original packaging should be used. Damage because of inadequate or poor packaging is charged to the purchaser. The purchaser must keep the data relating to the statement of origin of the appliances at all times. Return to the vendor should be free of charge and can only be done after reception of a return note, completed and signed by the purchaser. Repaired goods are returned to the purchaser at his expense. All other returns, such as too many goods or goods incorrectly ordered by the customer, cannot be accepted. Except for written agreements stating otherwise, all our invoices are to be paid in cash in Wilrijk. Should the purchaser neglect to fulfil his commitments, the sale may be dissolved legally and without notice being served, without prejudice to our rights to all compensations and interests. The expression of our intention by registered letter will suffice for this purpose. 6. If our confidence in the creditworthiness of the purchaser is undermined by acts of legal implementations against the purchaser and/or demonstrable other events which render confidence in the proper execution of the commitments agreed by the purchaser questionable and/or impossible, we reserve the right to suspend the entire order or part of it and to demand suitable guarantees from the purchaser, even if the goods were dispatched completely or partially. Should the purchaser refuse to comply, we reserve the right to cancel the entire order or part of it. All this without prejudice to our rights to all compensations and interests. 7. RETENTION OF PROPERTY: The goods remain the property of the vendor until complete payment of the price. All risks are at the purchaser s charge. The advances paid by the purchaser remain in our possession as compensation for the possible losses on resale by us. 8. In case of resale of goods, even if processed, and property of the vendor, from this date the purchaser transfers any claims resulting from this resale. 9. Drawing and/or accepting bills, cheques or other negotiable documents does not entail novation and does not imply a deviation from the conditions of sale. 10. In case of dispute the courts of Antwerp or the courts of the domicile of the purchaser, at the purchaser s choice, are solely competent. Dispositions contractuelles, applicables sur les ventes et les réparations 1. Les présentes clauses sont les seules en vigueur entre les parties. L exécution d une commande d un client mentionnant d autres dispositions et conditions n implique nullement notre acceptation par rapport à celles-ci et ne génère dans le chef du client aucun droit qui s écarterait des présentes dispositions. En cas d établissement d un bon de commande ou d un contrat, les clauses de ce document priment sur les présentes clauses. A cet effet, la société ne peut être liée de plein droit que par l un de ses administrateurs. 2. Le vendeur ne peut être tenu pour responsable pour les défauts apparents que l acheteur a pu constater lui-même. Les éventuels vices cachés doivent être signalés par écrit au vendeur dans un délai de 8 jours à dater de la livraison. Passé ce délai, la livraison sera considérée comme ayant été formellement acceptée. Les réclamations concernant d éventuelles divergences en termes de quantité doivent également être signalées par écrit au vendeur dans un délai de 8 jours à dater de la livraison. Les divergences en termes de quantité doivent être signalées sur le bon de livraison ou les documents de transport, à défaut de quoi l acheteur accepte formellement la livraison. Les réclamations ne pourront plus être acceptées si l acheteur a transformé les produits livrés ou les a livrés à une tierce partie. Les réclamations, de quelque nature qu elles soient, ne suspendent jamais les obligations de paiement de l acheteur. Le droit de réclamation échoit lorsque les produits ont été modifiés ou réparés par l acheteur. La garantie est celle qui est octroyée par le fabricant, avec un maximum de 1 an à compter à partir de la date d achat. La garantie implique exclusivement que les marchandises seront réparées au mieux des capacités du vendeur ou, si nécessaire, remplacées. L emballage d origine devra être utilisé en cas de renvoi des marchandises au vendeur. Les dommages consécutifs à un emballage insuffisant ou déficient seront à charge de l acheteur. L acheteur doit toujours conserver les données relatives à l origine des appareils. Le renvoi à l acheteur fera l objet d une livraison franco et ne pourra intervenir qu après la réception d un bon de retour, complété et signé par le vendeur. Les marchandises réparées seront réexpédiées à l acheteur à ses frais. Tous les autres retours, tels que les produits ayant fait l objet d une commande trop importante ou erronée par le client, ne peuvent pas être acceptés. Sauf convention contraire écrite, toutes nos factures sont payables au comptant à Wilrijk. En cas de non-paiement à la date convenue, le client sera redevable, de plein droit et sans aucune mise en demeure, d un intérêt de retard au taux d intérêt de 2 % en plus du taux d intérêt légal, avec un minimum de 12 %. Le client sera en outre redevable, de plein droit et sans aucune mise en demeure, d un dédommagement forfaitaire égal à 10 % du montant restant impayé, avec un minimum de 65,00. En cas de livraison fractionnée, le vendeur peut envoyer une facture pour les marchandises déjà livrées. En cas de non-paiement de cette facture, le vendeur pourra invoquer un report d exécution pour les marchandises encore à livrer. En cas de non-paiement à la date convenue, toutes les livraisons futures devront être effectuées contre un paiement comptant et toutes les conventions commerciales et financières qui dévient de nos conditions de vente standards seront abolies. Les factures qui ne seraient pas payées au comptant pourront être transmises par le vendeur à un organisme d assurance du crédit. 3. En cas de résiliation de la convention à charge du client, celui-ci sera redevable d un dédommagement forfaitaire égal à 30 % du prix de vente. Si les articles fournis concernent des produits fabriqués sur mesure ou des séries sortant du cadre de la gamme normale de produits du vendeur, le dédommagement sera toutefois de 100% du prix de vente. 4. Le non-paiement à la date d échéance d une seule facture entraînera de plein droit l exigibilité de toutes les autres factures, même de celles qui ne sont pas échues. 5. Si l acheteur néglige de respecter ses engagements, la vente pourra être résiliée de plein droit et sans aucune mise en demeure, sans diminuer en quoi que ce soit nos droits à tous les dédommagements et intérêts. Notre manifestation de volonté, exprimée par courrier recommandé, suffira à cet effet. 6. Au cas où notre confiance en la solvabilité de l acheteur serait ébranlée par des actes légaux exécutés à l encontre de l acheteur et/ ou par d autres événements démontrables, qui compromettent et/ou rendent impossible notre confiance en la bonne exécution des engagements pris par l acheteur, nous nous réservons le droit de suspendre la totalité de la commande ou une partie de celle-ci, même si les marchandises auraient déjà été expédiées totalement ou partiellement, et d exiger que l acheteur nous présente des garanties appropriées. Au cas où le client refuserait d accéder à cette demande, nous nous réservons le droit d annuler la totalité de la commande ou une partie de celle-ci. Le tout sans diminuer en quoi que ce soit nos droits à tous les dédommagements et intérêts. 7. CLAUSE DE RESERVE DE PROPIETE : Le vendeur se réserve la propriété des marchandises jusqu au complet paiement. Les risques sont à charge de l acheteur. Les acomptes pourront être conservés pour couvrir les pertes éventuelles à la revente. 8. En cas de revente des marchandises, même transformées, appartenant au vendeur, l acheteur lui cède dès à présent toutes les créances résultant de leur revente. 9. Le fait de tirer et/ou d accepter des traites, des chèques ou d autres documents négociables n implique nullement un renouvellement de la dette et ne constitue en aucun cas une déviation par rapport aux conditions de vente. 10. En cas de litige, seuls les tribunaux d Anvers ou les tribunaux du domicile de l acheteur, au choix du vendeur, seront compétents. En l absence de toute disposition contraire, les parties conviennent que seul le droit belge est d application sur le présent contrat. 11. Contractuele bepalingen, toepasselijk op verkoop en herstelling 1. Onderhavige clausules zijn de enig geldende tussen partijen. De klant doet afstand van alle bepalingen en voorwaarden die in tegenstrijd zijn met de hieronder vermelde voorwaarden. De uitvoering van een klantenorder met andere bepalingen en voorwaarden erop vermeld impliceert geenszins onze aanvaarding ervan, doet in hoofde van de koper geen rechten ontstaan die afwijken van onderhavige bepalingen. Indien een bestelbon of een contract werd opgesteld primeren de clausules ervan op onderhavige clausules. De vennootschap kan hierbij enkel rechtsgeldig verbonden worden door een van de bestuurders. 2. De verkoper staat niet in voor gebreken die zichtbaar zijn en die de koper zelf heeft kunnen waarnemen. Eventuele verborgen gebreken moeten binnen de 8 dagen na de levering schriftelijk aan de verkoper worden gemeld. Na deze termijn zal de levering beschouwd worden als zijnde uitdrukkelijk aanvaard. Klachten betreffende afwijkingen in hoeveelheden dienen eveneens binnen de 8 dagen na de levering schriftelijk aan de verkoper worden gemeld. De afwijkingen in hoeveelheden dienen op de afleveringsbon of de vervoersdocumenten te worden vermeld, bij gebreke waarvan de koper de levering uitdrukkelijk aanvaard. Klachten kunnen niet meer aanvaard worden als de koper de geleverde producten heeft verwerkt, of aan derden heeft doorgeleverd. Klachten van welke aard ook, schorten de betalingsverplichtingen van de koper nimmer op. Het recht van reclamatie vervalt indien de producten door de koper werden gewijzigd of gerepareerd. Waarborg is deze die door de fabrikant gegeven wordt, met een maximum van 1 jaar te rekenen vanaf de aankoopdatum. De waarborg houdt uitsluitend in dat de goederen naar best vermogen worden hersteld, of indien nodig vervangen. Bij terugzending van de goederen aan de verkoper dient de oorspronkelijke verpakking gebruikt te worden. Beschadiging wegens onvoldoende of slechte verpakking is ten laste van de koper. De koper dient steeds de gegevens m.b.t. herkomstvermelding der toestellen te bewaren. Terugzending aan de verkoper dient franco te gebeuren, en kan enkel na ontvangst van een retourbon, ingevuld en ondertekend door de verkoper. Herstelde goederen worden aan de koper teruggezonden op zijn kosten. Alle andere retours zoals teveel of onjuist bestelde goederen door de klant kunnen niet aanvaard worden. Behoudens andersluidende schriftelijke overeenkomst zijn al onze facturen contant betaalbaar te Wilrijk. In geval van niet betaling op de overeengekomen datum is de klant van rechtswege en zonder ingebrekestelling verwijlinteresten verschuldigd tegen een interestvoet van 2 % boven de wettelijke interestvoet met een minimum van 12 %. Tevens zal van rechtswege en zonder ingebrekestelling een forfaitaire schadevergoeding van 10 % op het onbetaald gebleven bedrag verschuldigd zijn, met een minimum van 65. Bij gefractioneerde levering kan de verkoper een factuur zenden betreffende de reeds geleverde goederen. Bij niet-betaling daarvan kan de verkoper prestatieuitstel inroepen betreffende de nog te leveren goederen. In geval van niet betaling op de overeengekomen datum zullen alle verdere leveringen contant dienen te gebeuren, en vervallen derhalve alle commerciële en financiële overeenkomsten die afwijken van onze standaard verkoopsvoorwaarden. Facturen die niet contant betaald worden kunnen door de verkoper worden overgedragen aan zijn kredietverzekeraar. 3. Bij ontbinding van de overeenkomst ten laste van de cliënt is deze een forfaitaire schadevergoeding van 30 % van de verkoopprijs verschuldigd. Indien de artikelen maatwerk, of series buiten het normale productengamma van de verkoper betreffen is de schadevergoeding echter 100% van de verkoopprijs. 4. De niet-betaling op de vervaldag van één enkele factuur, maakt het verschuldigd saldo van al de andere, zelfs niet vervallen facturen, van rechtswege onmiddellijk opeisbaar. 5. Wanneer de koper nalaat zijn verbintenissen uit te voeren, kan de verkoop van rechtswege en zonder ingebrekestelling ontbonden zijn, onverminderd onze rechten op alle schadevergoedingen en interesten. De wilsuiting hiertoe per aangetekend schrijven door ons zal hiervoor volstaan. 6. Indien ons vertrouwen in de kredietwaardigheid van de koper geschokt wordt door daden van gerechtelijke uitvoering tegen de koper en/of aanwijsbare andere gebeurtenissen, die het vertrouwen in de goede uitvoering der door koper aangegane verbintenissen in vraag stellen en/of onmogelijk maken, behouden wij ons het recht voor, zelfs indien de goederen reeds geheel of gedeeltelijk werden verzonden, de gehele bestelling of een gedeelte ervan op te schorten en van de koper geschikte waarborgen te eisen. Indien de koper weigert hierop in te gaan, behouden wij ons het recht voor de gehele bestelling of een gedeelte ervan te annuleren. Dit alles onverminderd onze rechten op alle schadevergoedingen en interesten. 7. EIGENDOMSVOORBEHOUD : De goederen blijven eigendom van de verkoper tot volledige betaling van de prijs. Alle risico s zijn ten laste van de koper. De door de koper betaalde voorschotten blijven ons verworven ter vergoeding van de mogelijke verliezen bij wederverkoop door ons. 8. In geval van herverkoop van goederen, zelfs verwerkt, eigendom van de verkoper, draagt de koper, vanaf heden, aan de verkoper alle vorderingen over resulterend uit deze herverkoop. 9. Het trekken en/of aanvaarden van wissels, cheques of andere verhandelbare documenten, houdt geen schuldvernieuwing in en vormt geen afwijking van de verkoopsvoorwaarden. 10. In geval van betwisting, zijn de rechtbanken van Antwerpen of de rechtbanken van de woonplaats van de koper, naar keuze van de verkoper, alleen bevoegd. Zonder andersluidende bepaling zijn partijen overeengekomen dat enkel Belgisch recht van toepassing is op deze overeenkomst. 11. Alle afmetingen en publieke verkoopsprijzen zijn louter indicatief en kunnen zonder voorafgaandelijke verwittiging gewijzigd worden. 60

Vertragliche Bestimmungen, gültig für Verkauf und Reparatur 1. Vorliegende Klauseln sind die einzig geltenden zwischen den Parteien. Der Kunde verzichtet auf alle Bestimmungen und Bedingungen, die im Widerspruch zu den hierunter angeführten Bedingungen stehen. Die Ausführung eines Kundenauftrages, auf dem andere Bestimmungen und Bedingungen angeführt sind, impliziert keinesfalls unsere Akzeptanz, und begründet seitens des Käufers keine Rechte, die von vorliegenden Bestimmungen abweichen. Wenn ein Bestellschein oder ein Vertrag erstellt wurde, haben dessen Klauseln Vorrang vor vorliegenden Bestimmungen. Die Gesellschaft kann hiermit nur von einem der Vorstände rechtsgültig gebunden werden. 2. Der Verkäufer ist nicht für sichtbare Mängel verantwortlich, die der Käufer selbst wahrnehmen konnte. Eventuelle verborgene Mängel müssen innerhalb von 8 Tagen nach der Lieferung schriftlich an den Verkäufer mitgeteilt werden. Nach dieser Frist wird die Lieferung als ausdrücklich angenommen betrachtet. Reklamationen im Hinblick auf Mengenabweichungen müssen ebenso innerhalb von 8 Tagen nach der Lieferung schriftlich an den Verkäufer mitgeteilt werden. Die Mengenabweichungen müssen am Lieferschein oder den Transportdokumenten angegeben werden, ansonsten gilt die Lieferung als vom Käufer ausdrücklich angenommen. Reklamationen können nicht mehr angenommen werden, wenn der Käufer die gelieferten Produkte verarbeitet oder an Dritte weitergeliefert hat. Reklamationen, ungeachtet welcher Art, setzen die Zahlungsverpflichtung des Käufers niemals aus. Das Reklamationsrecht verfällt, wenn die Produkte vom Käufer geändert oder repariert wurden. Es gilt jene Garantie, die vom Hersteller gegeben wird, mit einem Maximum von 1 Jahr, zu rechnen ab dem Kaufdatum. Die Garantie bedeutet ausschließlich, dass die Waren nach bestem Vermögen repariert oder nötigenfalls ausgetauscht werden. Bei einer Rücksendung der Waren an den Verkäufer muss die ursprüngliche Verpackung verwendet werden. Beschädigungen aufgrund unzureichender oder schlechter Verpackung fallen zu Lasten des Käufers. Der Käufer muss jederzeit die Angaben im Hinblick auf Herkunft der Geräte bewahren. Eine Rücksendung an den Verkäufer muss frei Haus erfolgen, und ist nur nach Empfang eines Retourscheins, vom Verkäufer ausgefüllt und unterzeichnet, möglich. Reparierte Waren werden an den Käufer auf seine Kosten zurückgesendet. Alle anderen Retouren wie zu viel oder vom Kunden falsch bestellte Waren können nicht akzeptiert werden. Vorbehaltlich anderslautender schriftlicher Vereinbarungen sind alle unsere Rechnungen bar in Wilrijk zahlbar. Im Fall der Nichtzahlung am vereinbarten Datum schuldet der Kunde von Rechts wegen und ohne Inverzugsetzung Verzugszinsen zu einem Zinssatz von 2% über dem gesetzlichen Zinssatz mit einem Minimum von 12%. Gleichzeitig wird von Rechts wegen und ohne Inverzugsetzung ein pauschaler Schadenersatz in Höhe von 10% auf den unbezahlten Betrag fällig, mit einem Minimum von 65. Bei einer geteilten Lieferung kann der Verkäufer eine Rechnung bezüglich der bereits gelieferten Waren senden. Bei Nichtzahlung davon kann der Verkäufer Leistungsaufschub im Hinblick auf die noch zu liefernden Waren geltend machen. Bei Nichtzahlung am vereinbarten Datum werden alle weiteren Lieferungen bar erfolgen, und werden deshalb alle kommerziellen und finanziellen Vereinbarungen, die von unseren standardmäßigen Verkaufsbedingungen abweichen, fällig. Rechnungen, die nicht bar bezahlt werden, können vom Verkäufer an seine Kreditversicherung übergeben werden. 3. Bei Auflösung der Vereinbarung zu Lasten des Kunden schuldet dieser einen pauschalen Schadenersatz in Höhe von 30 % des Verkaufspreises. Wenn die Artikel Maßarbeit oder Serien außerhalb des normalen Produktsortiments des Verkäufers betreffen, beträgt der Schadenersatz jedoch 100% des Verkaufspreises. 4. Die Nichtzahlung am Fälligkeitstag einer einzigen Rechnung macht den geschuldeten Saldo aller anderer, selbst nicht fälliger Rechnungen, von Rechts wegen unverzüglich fällig. 5. Wenn der Käufer unterlässt, seine Verpflichtungen auszuführen, kann der Verkauf von Rechts wegen und ohne Inverzugsetzung aufgelöst werden, unvermindert unserer Rechte auf Schadenersatz und Zinsen. Die Willensäußerung hierzu unsererseits per Einschreiben wird hierfür ausreichend sein. 6. Wenn unser Vertrauen in die Kreditwürdigkeit des Käufers durch Taten gerichtlicher Ausführung gegen den Käufer und/oder nachweisbare andere Ereignisse erschüttert wird, die das Vertrauen in die gute Ausführung der vom Käufer eingegangenen Verpflichtungen in Frage stellen und/oder unmöglich machen, behalten wir uns das Recht vor, selbst wenn die Waren bereits ganz oder teilweise versendet wurden, die gesamte Bestellung oder einen Teil davon auszusetzen und vom Käufer geeignete Garantien zu fordern. Wenn sich der Käufer weigert, hierauf einzugehen, behalten wir uns das Recht vor, die gesamte Bestellung oder einen Teil davon zu stornieren. Dies alles unvermindert unserer Rechte auf Schadenersatz und Zinsen. 7. EIGENTUMSVORBEHALT: Die Waren bleiben bis zur vollständigen Bezahlung des Preises im Eigentum des Verkäufers. Alle Risiken fallen zu Lasten des Käufers. Die vom Käufer bezahlten Vorschüsse gelten als von uns erworben, zur Vergütung der möglichen Verluste bei einem Wiederverkauf durch uns. 8. Im Fall eines Wiederverkaufs von Waren, selbst verarbeitet, im Eigentum des Verkäufers, überträgt der Käufer ab heute alle Forderungen, die aus diesem Wiederverkauf resultieren, an den Verkäufer. 9. Das Einlösen und/oder Annehmen von Wechseln, Schecks oder anderen verhandelbaren Dokumenten beinhaltet keine Schulderneuerung und stellt keine Abweichung von den Verkaufsbedingungen dar. 10. Im Fall einer Streitigkeit sind die Gerichte von Antwerpen oder die Gerichte am Wohnsitz des Käufers, nach Ermessen des Verkäufers, allein zuständig. Ohne anderslautende Bestimmung haben die Parteien vereinbart, dass ausschließlich belgisches Recht für diese Vereinbarung gilt. 11. Alle Abmessungen und Verkaufspreisen sind indikativ und können ohne vorangehende Kenntnisggabe geändert werden. 61
