PLACE: Brussels AVIS Nº : BRX_ _01028_EUR DATE: 29/12/2008 MARCHÉ: Euronext Brussels Division des actions ordinaires et des strips VVPR par 10 par voie d'échange et dématérialisation L'Assemblée Générale extraordinaire du 1er décembre 2008 de la société a décidé de procéder à la division par 10 des actions ordinaires et des strips VVPR et à la dématérialisation de ceux-ci à partir du 31 décembre En conséquence, à partir du 31 décembre 2008, il sera procédé à l'échange des actions anciennes et des strips VVPR anciens contre de nouvelles actions et de nouveaux Strips VVPR émis uniquement sous forme de titres dématérialisés dans la proportion de : 10 actions ordinaires nouvelles dématérialisées, coupons 1 et suivants attachés (non-livrables physiquement) (D), pour 1 action ordinaire ancienne, coupons 55 à 59 attachés. 10 strips VVPR nouveaux dématérialisés, coupons 1 et suivants attachés (non-livrables physiquement) (D), pour 1 strip VVPR ancien, coupons 55 à 59 attachés. A partir du 31/12//2008: - le nombre d'actions ordinaires en circulation sur Euronext Bruxelles sera ainsi porté de à et le nombre de strips VVPR de à les cours de l'action et du strip VVPR seront établis sur base des titres divisés. - seules les actions ordinaires nouvelles dématérialisées et les nouveaux strips VVPR dématerialisés seront de bonne négociation. Liquidation: les liquidations des opérations effectuées à partir du 31/12/2008 sur les actions et strips VVPR nouveaux dématérialisés (achats et ventes) s'effectueront uniquement par voie scripturale Euroclear Belgium ( = transferts de compte à compte). Les titulaires d'actions et de strips VVPR ayant leurs titres sous compte-titres auprès d'un intermédiaire financier se verront attribuer automatiquement les nouveaux titres dématérialisés résultant de la division par échange. Forme des titres: Les nouvelles actions et les nouveaux strips VVPR (après division) seront des titres dématérialisés, représentés par une inscription en compte-titres ouverts auprès d'euroclear Belgium. Ils seront émis à partir du compte de l'émetteur ouvert en Euroclear Belgium et seront livrés par inscription en compte contre paiement sur les comptes titres des investisseurs par le biais d'euroclear Belgium. Frais: L échange s effectuera sans frais pour les porteurs auprès des établissements-guichets. Les frais Page 1 of 9

2 éventuellement réclamés par d autres intermédiaires financiers que les établissements-guichets précités, et auprès desquels des demandes d échange seraient introduites, sont à charge du porteur. LOCATIE: Brussels BERICHT NR: BRX_ _01028_EUR DATUM: 29/12/2008 MARKT: Euronext Brussels Splitsing van de gewone aandelen en VVPR strips in 10 door omruiling en dematerialisatie De Buitengewone Algemene Vergadering van 1 december 2008 van de vennootschap heeft beslist tot de splitsing in 10 van de gewone aandelen en de VVPR strips en heeft tevens besloten tot de dematerialisatie van deze effecten vanaf 31 decmber Bijgevolg, zal er met ingang van 31/12/2008, overgegaan worden tot de omruiling van de oude aandelen en VVPR strips tegen nieuwe aandelen en nieuwe VVPR strips uitgegeven uitsluitend onder gedematerialiseerde vorm in de verhouding van : 10 nieuwe gewone gedematerialiseerde aandelen, coupons 1 en volgende aangehecht (niet materieel leverbaar) (D), tegen 1 oud gewoon aandeel, coupons nr. 55 tem 59 aangehecht. 10 nieuwe gedematerialiseerde strips VVPR, coupons 1 en volgende aangehecht (niet materieel leverbaar) (D), tegen 1 oude VVPR strip coupons nr. 55 tem 59 aangehecht. Vanaf 31/12/2008, zal het aantal in omloop zijnde gewone aandelen op Euronext Brussel verhoogd worden van naar en het aantal VVPR strips van naar De koers van het gewone aandeel en de VVPR strip zal bepaald worden op basis van de gesplitste effecten. Enkel de nieuwe gewone gedematerialiseerde aandelen en VVPR strips zullen geldig verhandelbaar zijn. Aan de aandeelhouders die hun effecten hebben ondergebracht op een effectenrekening bij een financiële tussenpersoon, zullen de nieuwe gedematerialiseerde aandelen en VVPR strips voortkomend uit de splitsing door omruiling, automatisch toegekend worden. Vereffening: De vereffeningen van de verhandelingen die vanaf 31/12/2008 op de nieuwe gedematerialiseerde effecten (dit zowel voor de aan- als erkoopverrichtingen) uitgevoerd worden, zullen enkel giraal via Euroclear Belgium gebeuren (= via overdracht tussen de rekeningen). Vorm van de effecten: De nieuwe aandelen en VVPR strips (na splitsing) zijn gedematerialiseerde effecten en worden vertegenwoordigd door een girale positie op effectenrekeningen bij Euroclear Belgium. Zij worden uitgegeven via de emittent rekening geopend bij Euroclear Belgium en geleverd tegen betaling door een inschrijving op rekening op de effectenrekeningen van de investeerders via Euroclear Belgium. Kosten: De omruiling zal zonder kosten voor de houders van effecten gebeuren bij de loketinstellingnen. De kosten die eventueel worden aangerekend door andere financiële tussenpersonen dan de hieronder vermelde, en bij wie aanvragen van omruiling zouden worden ingediend, zijn ten laste van de houder. The Extraordinary General Meeting of 1st December 2008 of the company decided to proceed to the split by 10 of the ordinary shares and the VVPR strips and decided also to dematerialize those shares and VVPR strips as from 31 December Therefore, as of 31 December 2008, the old shares and VVPR strips will be exchanged against new shares and VVPR strips, only issued under dematerialized form, according the following ratio : 10 new ordinary dematerialized shares, coupons 1 and following attached (not available under physical form) (D), against 1 former ordinary share, coupons 55 to 59 attached. 10 new dematerialized VVPR strips, coupons 1 and following attached (not available under physical form) (D), against 1 former ordinary VVPR Strip, coupons 55 to 59 attached. 7 As of 31/12/2008, - the number of outstanding shares on Euronext Brussels will be therefore increased from 895,174 to 8,951,740 and the number of VVPR strips will be increased from 421,180 to 4,211, The share and VVPR strip prices will take account of the split. - Only the new ordinary and VVPR strips dematerialized securities will be validly tradable on the exchange. Settlement: The settlement of transactions executed as of 31 December 2008 on the new dematerialized securities (buy +sell) shall only take place in a book-entry form through Euroclear Belgium (transfers between accounts). Holders of registered shares and shareholders having deposited their shares and VVPR strips on a deposit account with a financial intermediary, will be credited automatically with the new dematerialized securities resulting from the split by exchange. Form of the securities: the new shares and the new VVPR strips ( after split) will be dematerialised securities, represented by an inscription on security accounts opened at Euroclear Belgium. They will be issued as from the issuer account opened at Euroclear Belgium and will be delivered against payment in book-entry form on the accounts via Euroclear Belgium Costs: The exchange will be done free of charge at the offices listed below.
