3 1) Presentation of project Amphenol AirLB France has decided to acquire a completely new site to accommodate the current Carignan site (production site) and the Blagny site (administrative site) and to ensure its growth over the years to come (increase in operating surface area of m²). This project concerns all the productions and the personnel and is limited to the physical moving of the people and facilities at present in place. The project is based on 4 basic principles: - remain within a geographical area of km to retain the employees in place, - do not modify the quality, organisational and management systems, - retain the same manufacturing and inspection equipment, - keep our suppliers and subcontractors. 4 ) Project organisation and responsibilities Pierre-Henri Besnard, Financial Director, is responsible for following up the building of the new plant. Luc Geoffroy, Operations Director, is responsible for following up the moving operations. A multiskill team is at their disposal to ensure the preparation and the performance of this move and to check the continuity of the Supply Chain. Both these persons report to the General Manager, Nicolas Battung. 5 Majors sectors of the company are concerned: - Production sector (Assembly, Moulding, Pre-series, Tool preparation, Marking, Packaging workshops), - Quality & Laboratory sector (inspection and qualification facilities), - Administrative & Social sector (Canteen, administrative services, archives, etc.), - Storage/Store sector (all finished parts, materials and components), - Data processing sector (ERP system, WYSE and general data of the company). 135 areas have been identified for the move and these are steered by 3 persons. A list of the areas and the persons in charge is given in Appendix 1. 3) Project/moving schedule The building will be accepted at latest on 4 July 014 (the data processing room and store being accepted earlier). The moving operations will begin on 5 July and end is scheduled for August 014. The moving means that Amphenol AirLB France will have to interrupt its Receiving, Production and Shipment activities from 11 to August 014. This critical phase requires the securing of the Supply Chain in cooperation with our customers. For all the other activities, the moving will be done for each one of them in one day. The global scheduling of the project is done using Microsoft Project and takes into account the follow-up of the building of the plant and the moving preparation and follow-up phases. The main phases of this project are described on a macro plan. See Appendix. In cooperation with the mover, detailed schedules are made out for each of the 135 areas. 5 4) Type of change Our aim is to make this consolidation of the sites invisible to our customers. The Product/process risk is limited to the equipment as a whole. The product quality plan is transferred to the new site: no product/process requalifications required. Site audits can be conducted by the customers according to their requirements. Potential variations (such as IT communications, electrical energy, internal temperature and humidity, compressed air, etc.) will be submitted to the check and the GO/NOGO approval at each step in the move. The moving risk on the facilities is assessed, machine by machine, tool by tool, in order to define the preventive preservation methods (pallets, cardboard boxes, etc.). All the new equipment, required to increase capability or contingencies will be duplicated. Risk on availability of Products/Supply Chain: there will be several communication steps with our customers to put safety stocks in place. Our intention is to create the customer safety stocks from January to June 014. As the storage and the moving of the customers' safety stocks on our premises has no sense (this adds risks and increases the workload, the transactions will be frozen for removal), each of the ordered safety stocks will be sent to each customer before we interrupt our activities. Payment extension conditions will be accepted. The current safety stocks of 4 weeks will remain at Amphenol AirLB France and 4 additional weeks of equivalent consumption will be located at our customers'. To conclude, the Amphenol AirLB FRANCE supply process remains unchanged. Only the risks related to the move are to be considered and planned for. 6 5) Risk analyses 3 risk analyses have been established. They concern the impact of the moving on our operation and management system then on the risk related to the project and, lastly, on the analysis concerning the moving of all the company's equipment to the new site. a) "Functional and System" risk analysis The "Functional and System" analysis is given in Appendix 3. The risk analysis shows no impact of the moving on the quality system, the follow-up, the inspection and manufacture of our products and on our Supply Chain: - no impact on the product, - no change in the production flows, - no impact on the modes of transport, - no impact on the ERP system, - no impact on the management of the company, - no impact on the manufacturing processes, test methods, inspection and manufacturing equipment, - no impact on the suppliers and subcontractors. The current provisions allow us to guarantee a fast and efficient restart of our productions with zero impact for our customers and suppliers. b) Project risk analysis A risk analysis on the project and its main moving phases has been established to determine the risks related to the shutdown, to the moving and to the restarting of the activity. The "Project" analysis is given in Appendix 4. c) "Moving" risk analysis The risks related to the moving exclusively concern the moving of the materials and equipment: - loss, - damage, - misadjustment, - mixing. The aim of the risk analysis is to identify the occurrences and propose preventive actions: - before/after inventory, - before/after location, - packaging, - conservation by a professional, - restart of the sensitive equipment by the manufacturer, - identification procedure. Special attention will be paid to the disassembly, movement, reinstallation and restart of the equipment and the return to service of all the activities. 9 iii) Identification of main risks Around 69 items of equipment have been identified as involving risks for the restart of the company's activities. This equipment is related to the production, to the storage (tools and parts), to the inspection or to the qualification equipment and to data processing. The main risks related to the equipment are listed in appendix 5. The preventive actions are listed. The moving phases are known and plotted to ensure coherence of the flows and a fast restart. This sequencing of the phases is defined in the schedule under Microsoft Project. The activities directly influencing the restart date are identified and monitored daily (critical path of the project) in the Microsoft Project schedule. To minimise the risks related to the road transport, the "critical" or multiple equipment will be carried in different vehicles. PLANT Transfer Dossier 014 Amphenol AirLB France Page 9

10 6) Securing Supply Chain during closure During the closure from 11 to August 014, strictly no receiving, manufacturing or shipment operations can be performed. Thus, to limit the risk for the customers during this period, Amphenol AirLB France has undertaken, since November 013, to inform its customers of the project and the need to secure the Supply Chain during this closure. Note: The closure period retained for the moving was chosen to fall in a period where the customers' activities are low (summer holidays). Amphenol AirLB recommends the following: - increase, by an ERP setting, from 1 January 014, the standard procurement time for Amphenol AirLB France supplies. This increase is determined by the customer in relation with his own risk assessment (, 4, 6 weeks?), - declare, by an ERP setting of the supplier's timescale, from 1 January 014, the closure date from 11 to August 014, - analyse previously recorded needs and market demands (products of classes A, B and C): o adjust the procurement plans accordingly (taking a lengthened procurement time into account), o place the orders earlier. We inform our customers that in case of a late demand, our capability will not allow us to meet their needs. Therefore, this anticipation must be done at latest by January 014. The moving cannot be pushed back due to a customer Supply Chain risk which has not been identified during a collaboration between our Commercial and Logistics Departments. On the basis of the previously recorded global consumptions, Amphenol AirLB France implements capability improvement measures. However, these measures will be deployed only according to the expressed customers' needs. 7) Capability workload analysis Tools for analysing our workload and capability can be transposed as such to the site of the new plant. The current use of our equipment thus does not call into question our capability of ensuring the Supply Chain. PLANT Transfer Dossier 014 Amphenol AirLB France Page 10

11 8) Site qualification a) Qualification plan The validation of the conformity of the parts and the reliability of our processes after installation in the new premises will be followed up and performed from our current surveillance plan system: - check of machine parameters on startup, - supervision of the important machine parameters, - dimensional and functional check. b) LAI (Last Article Inspection)/FAI (First Article Inspection) A list of references representative of our customers and covering all of our manufacturing processes has been drawn up and will allow restart on the new site to be formalised (FAI) by comparison with parts from the old site (LAI). See Appendix 6. These references will be submitted to functional tests (electrical, sealing, endurance, etc.), to dimensional inspections and capability inspections (on 30 parts). These tests will be formalised in a Qualification Plan (QTP). The results will be recorded in a Qualification Report (QTR) for the parts produced on the old and the new sites. c) Identification of parts manufactured on new site No special marking will be placed on the parts or on the delivery notes (BLs/DCs).
