12 TERMS OF SALE Except other specifications accepted by us : 1. All our invoices and goods are payable in cash at the work address in Herentals. 2. If the invoice is not paid in cash, it is agreed between both parties, that as from the invoice date a contractual interest of 1,5 per cent per month, of the amount of the invoice, will become due, day after day, until the date of complete payment. This interest is rightfully payable without prior request for payment, this notwithstanding the provisions of 1652 of the Civil Code. 3. Any delay in payment of this invoice will moreover lead to a settlement equal to 15 % of the amount of the invoice, without prejudice to the aforementioned contractual interest, and without prejudice to possible court costs, this in application of 1152 and in deviation from 1153 sub 1 of the Civil Code. In this respect, the maturity enters by right, without a prior notice being required, this in deviation from 1153 sub 3 of the Civil Code. This settlement amounts to minimum 50 EUR and is agreed between both parties to avoid difficulties in proving the amount of the damage caused by the late payment of an invoice, consisting of, e.g., additional administrative costs, inflation, advance payment of commission fees and/or wages, disturbance of administrative and financial planning, etc. 4.Any complaints are to be communicated to us by registered letter within eight days of the delivery. 5. Delayed deliveries cannot give rise to damages. 6. If the goods are to be delivered free, this means delivery at ground level behind the door. 7. Our terms of sale have priority to those of the customer, who acknowledges and accepts this by signing our order confirmation. 8. Goods ordered will be invoiced no later than 30 days after the date of delivery which has been agreed to in writing, even if these goods have not been delivered on the stipulated date, upon request by our customer. 9. For purchases with a value of less than 50 EUR (net price), an additional administrative cost of 5 EUR will be charged. 10. Until FELD has been paid in full for the goods comprised in any sale by FELD to the buyer : The goods comprised in this contract remain the property of FELD but the risk therein and all liability to third parties shall pass to the buyer on delivery. If the buyer disposes of the FELD goods or such products, the buyer shall hold and pursue claims for the proceeds of sale on trust for FELD. 11. In the event of a collection or any other civil dispute with regard to the invoice only the Antwerp courts have competence, i.e. the Court of First Instance, the Commercial Court or the Justice of the Peace Court of the first district. ALGEMENE VERKOOPSVOORWAARDEN Behoudens voorafgaande specifieke wijzigingen door ons aangenomen : 1. Al onze facturen en koopwaren zijn contant betaalbaar op de uitbatingszetel te Herentals. 2. Wordt de rekening niet contant betaald, dan is het tussen partijen verstaan dat vanaf haar dagtekening een conventionele intrest van 1,5 % per maand op het factuurbedrag dag voor dag eisbaar wordt, tot de dag der volledige betaling. Deze intrest loopt van rechtswege, zonder dat een voorafgaande aanmaning is vereist, en dit in afwijking van art B.W. 3. Bij niet tijdige betaling van deze factuur wordt bovendien een forfaitaire schadevergoeding gelijk aan 15 % van het factuurbedrag eisbaar, onverminderd de hierboven vermelde conventionele intrest, en onverminderd de gebeurtelijke gerechtskosten, en dit bij toepassing van art en in afwijking van art al. 1 B.W. Desbetreffend treedt de eisbaarheid ook van rechtswege in, zonder dat een voorafgaande aanmaning vereist is, en dit in afwijking van art al. 3 B.W. Deze schadevergoeding bedraagt minimum 50 EUR. Tussen partijen wordt dit forfaitair overeengekomen teneinde de bewijsmoeilijkheden nopens de hoegrootheid van de schade te vermijden, welke teweeg gebracht wordt naar aanleiding van het niet tijdig betalen van een rekening, en o.m. bestaande in bijkomende administratiekosten, inflatie, vooruitbetalingen van commissies en/of lonen, verstoring van administratieve en financiële planning enz. 4. Alle klachten dienen ons overgemaakt per aangetekend schrijven binnen de acht dagen na levering. 5. Te late aflevering kan geen aanleiding geven tot schadevergoeding. 6. Indien de goederen franco geleverd worden, betekent dit aflevering op de begane grond achter de deur. 7. Onze verkoopsvoorwaarden hebben voorrang op de voorwaarden van de klant, hetwelk door deze laatste wordt erkend en aanvaard door ondertekening van onze orderbevestiging. 8. Bestelde goederen worden ten laatste 30 dagen na de schriftelijke overeengekomen leveringsdatum gefactureerd, ook indien deze goederen op vraag van de opdrachtgever nog niet geleverd werden op de overeengekomen datum. 9. Voor aankopen van minder dan 50 EUR (excl.btw) wordt 5 EUR administratiekosten aangerekend. 10. Eigendomsvoorbehoud : de geleverde goederen blijven eigendom van de B.V.B.A. FELD tot op het ogenblik van de volledige betaling. Het risico dat deze goederen inhouden evenals elke aansprakelijkheid tegenover derden zal echter reeds op de koper overgaan op het ogenblik van de levering. Elke gedeeltelijke betaling blijft ons toegekend ten titel van gebruik van de goederen. 11. Ingeval van gerechtelijke invordering of elke burgerlijke betwisting omtrent deze factuur zijn enkel de Rechtbanken van Antwerpen bevoegd, al naargelang het geval de Rechtbank van Eerste Aanleg, de Rechtbank van Koophandel of het Vredegerecht van het 1ste kanton. CONDITIONS DE VENTE Sauf spécifications contraires expressément acceptées par nous : 1. Toutes nos factures et marchandises sont payables au comptant à notre siège d exploitation à Herentals. 2. Si la facture n est pas payée au comptant, il est entendu entre les parties qu à partir de la date de facturation, un intérêt conventionnel de 1,5 % par mois sur le montant de la facture sera exigible jour après jour, jusqu au jour du paiement complet. Cet intérêt court d office, sans mise en demeure préalable, et ce par dérogation à l art du Code Civil. 3. En cas de paiement tardif de cette facture, une indemnité forfaitaire égale à 15% du montant de la facture est en outre exigible, sans préjudice de l intérêt conventionnel mentionné ci-dessus, et sans préjudice des frais judiciaires habituels, et ce en application de l art et par dérogation à l art par. 1 du Code Civil. A ce sujet, l exigibilité prend cours d office, sans mise en demeure préalable, et ce par dérogation à l art par. 3 du Code Civil. Cette indemnité s élève à un minimum de 50 EUR. Ce forfait est conclu entre les parties afin d éviter les difficultés de prouver l importance des dommages dûs au retard de paiement d une facture et consistant entre autres en frais d administration supplémentaires, inflation, paiement anticipé des commissions et/ou salaires, perturbation du planning administratif et financier, etc. 4. Toutes réclamations doivent nous parvenir par lettre recommandée, dans les huit jours qui suivent la livraison. 5. Un retard de livraison ne peut donner lieu à un dédommagement. 6. Si les marchandises sont livrées franco, cela signifie une livraison sur le sol foulé derrière la porte. 7. Nos conditions de vente ont priorité sur les conditions du client, ce que ce dernier reconnaît et accepte en signant notre confirmation de commande. 8. Les marchandises commandées sont facturées au plus tard 30 jours après la date de livraison conclue par écrit, même si ces marchandises n ont pas été délivrées à la date convenue, à la demande du donneur d ordre. 9. Pour les achats de moins de 50 EUR (TVA non comprise), une somme de 5 EUR pour frais administratifs est portée en compte. 10. Clause de réserve de propriété : En cas de vente, il est expressément convenu entre les parties que les biens livrés et leurs accessoires restent la propriété de FELD, jusqu au moment du paiement intégral de leur prix. Les acomptes éventuellement versés, restent acquis à FELD à titre d indemnité pour l usage des biens livrés. Le risque que ces biens entraînent ainsi que toute responsabilité à l égard de tiers, se transmettront cependant sur l acheteur au moment de la livraison. 11. En cas de recouvrement judiciaire ou de tout autre litige civil concernant cette facture, les tribunaux d Anvers sont seuls compétents, selon le cas, le Tribunal de Première Instance, le Tribunal de Commerce ou la Justice de Paix du 1er Canton. 11
