Tous nos services et/ou prestations sont soumis aux présentes conditions générales, qui prévalent sur tout autre document, sauf dérogation expresse et formelle de notre part, toute demande de services et/ou prestations impliquent par elles même l adhésion aux présentes conditions. Le fait que la SA Aéroports de la Cote d Azur ne se prévale pas, à un moment donné, de l une quelconque des présentes conditions générales et/ou d un manquement par l autre partie à l une quelconque des obligations visées dans les présentes conditions générales, ne peut être interprété comme valant renonciation par la SA Aéroports de la Cote d Azur à se prévaloir ultérieurement de l une desdites conditions. All our services and/or their provision are subject to these terms and conditions, which take precedence over all other documents, except in the case of a formal and express exception formulated by Aéroports de la Côte d Azur. Any request for services and/or their provision automatically implies adherence to these conditions. The fact that SA Aéroports de la Côte d Azur (ACA) does not, at a given moment, exercise one of its rights under these terms and conditions and/or act in respect of a breach by the other party of one of the obligations stated in these terms and conditions cannot be taken as renunciation by SA Aéroports de la Côte d Azur of its right to exercise one of the aforementioned conditions at a later date. En outre, le client s engage à verser la totalité de la somme facturée. 10 SA Aéroports de la Côte d Azur does not accept commercial papers (drafts, promissory notes, bills of exchange, etc.). No discount will be given for advance payment. Furthermore, the client undertakes to pay the whole of the sum invoiced. DELAIS DE REGLEMENT TERMS OF PAYMENT Nos factures sont payables à 30 jours, à compter de leur date d émission sauf exception et cas particuliers. Toute facture non payée à l échéance fera l objet d une procédure de relance et de mise au contentieux. Invoices are payable 30 days from the date that they are issued, except in exceptional and specific cases. Unpaid invoices will give rise to a reminder procedure and be submitted for litigation. CONTESTATION CONTESTATION La réception par le client de la facture sans contestation sous 15 jours emporte son acceptation définitive. FRAIS DE FACTURATION, DE RECOUVREMENT ET DE CONTENTIEUX EXPENSES OF INVOICING, RECOVERY AND LITIGATION COSTS Tarifs applicables du 1er janvier 2013 au 31 décembre 2013 Tariffs in force from January 1, 2013 to December 31, 2013 Frais de facturation Expenses of invoicing. Cas particulier des redevances aéronautiques. Les redevances aéronautiques sont facturées périodiquement aux usagers: * basés ou disposant de locaux sur l aéroport * abonnés pour l abri de leur aéronef, * dont les redevances sont prises en compte par des consignataires accrédités, * réguliers, bénéficiant d un agrément de Aéroports de la Côte d Azur que celle-ci a la faculté de retirer à tout moment, * n entrant pas dans les catégories précitées mais ayant garanti leur paiement en acceptant le prélèvement automatique sur compte bancaire. Dans ce dernier cas exclusivement, les frais bancaires relatifs à ce mode de règlement sont à la charge de l usager, * enfin, pour des mouvements d aéronefs, s effectuant hors des heures d ouverture du bureau des redevances. Pour les autres usagers, les redevances aéronautiques sont facturées à chaque mouvement et doivent être payées obligatoirement avant tout décollage. En cas de non-paiement comptant, la facture sera adressée en fin de mois à l usager, majorée d une somme forfaitaire pour frais de facturation, soit 16,00 HT Cette somme forfaitaire ne dispense pas des frais de contentieux prévus ci-dessous. This lump sum payment does not exempt from of litigation costs envisaged below. 8

11 Sanctions en cas de retard de règlement ou non-paiement Penalties for late payment or failure to pay 1. Intérêts de retard et frais de recouvrement Late payment penalties and recovery costs En cas de retard ou de non-paiement, des pénalités de retard sont exigibles le jour suivant la date de règlement figurant sur la facture au taux fixe de 12% sans qu'un rappel soit nécessaire, ainsi qu une indemnité forfaitaire (40 H.T.) pour frais de recouvrement. Ces frais de recouvrement sont destiné à couvrir les frais de relances du service recouvrement conformément à l article L du code de commerce modifié par décret n du 2 octobre 2012 et viendront s'ajouter à la clause pénale prévue contractuellement. En ce qui concerne les contentieux liés à des redevances aéronautiques, conformément à la procédure prévue par l article L du Code des Transports, il peut être procédé à la saisie conservatoire de l aéronef jusqu à consignation du montant des sommes en litige. Clause d exigibilité des factures Invoice payability clause En outre, un tel retard emportera annulation immédiate et irréversible de toutes les réductions de prix qui auraient été consenties au client, entraînera la déchéance du terme et en conséquence l exigibilité de toutes les factures émises ainsi que la passation du dossier au service contentieux qui procédera au recouvrement d'office de l'intégralité de la créance due par tout moyen de droit. Tous frais connexes à la procédure sont répercutables à la charge pleine et entière du débiteur. Résolution des contrats : Cancellation of contracts La SA Aéroports de la Côte d Azur se réserve le droit de prononcer la résolution du contrat de plein droit du fait de l'inexécution de l'obligation de payer dans les délais requis, sans sommation, ni formalité. SA Aéroports de la Côte d Azur reserves the legal right to cancel the contract due to failure to perform the obligation to pay within the required time scale, without any summons or formalities. 9

12 5. Généralités : General Les règlements dont le recouvrement est assuré par voie contentieuse seront affectés par priorité aux factures les plus anciennes. La SA Aéroports de la côte d Azur se réserve le droit d'opposer l exception d inexécution à un client qui a déjà fait l'objet de manquements à ses obligations contractuelles relatives au paiement sauf à ce qu'il procure à la SA Aéroports de la côte d Azur des garanties financières fiables ou un règlement comptant. Nonobstant les intérêts moratoires et les frais de poursuites, une saisie conservatoire de l aéronef pourra être demandée conformément au Code des Transports et du Code de Procédure Civile les voies d exécution en France, des dispositions du droit de l exécution de l Union Européenne et des conventions internationales applicables en matière de droit privé de l exécution. Payments recovered via litigation proceedings will be allocated in order of priority to the longest-standing invoices. SA Aéroports de la Côte d Azur reserves the right to invoke an exception for failure to perform against a client who has already breached contractual obligations relating to payment, unless the client can provide SA Aéroports de la Côte d Azur with reliable financial guarantees or cash payments. Irrespective of interest charged on arrears and legal costs, seizure of an aircraft could be requested in accordance with the Civil Aviation Code, the Civil Procedure Code, law no of 9 July 1991 and decree no dated 31 July 1992 which govern execution methods in France for the right of enforcement in the European Union and applicable international conventions concerning third-party right of enforcement. 6. Compensation Compensation Aéroports de la Côte d Azur pourra procéder de plein droit à la compensation des créances réciproques entre le client et Aéroports de la Côte d'azur, dès lors que celles-ci répondent aux conditions légales de fongibilité, de liquidité et d exigibilité. SA Aéroports de la Côte d Azur may proceed as of right to compensation of mutual claims between the Client and SA Aéroports de la Côte d Azur, provided that they meet the legal requirements of fungibility, liquidity and due. DROITS DE PROPRIETE INTELLECTUELLE INTELLECTUAL PROPERTY RIGHTS La SA Aéroports de la Côte d Azur conservera l ensemble des droits de propriété intellectuelle sur ses services et/ou prestations. Toute reproduction, toute rediffusion de tout ou partie des documents ou support est formellement interdite sauf autorisation préalable et expresse de la. SA Aéroports de la Côte d Azur. SA Aéroports de la Côte d Azur retains the intellectual property rights for all its services and/or their provision. Any reproduction or reuse of any or part of the documents or medium is strictly forbidden without the prior, express authorisation of SA Aéroports de la Côte d Azur. DROIT APPLICABLE ET ATTRIBUTION DE COMPETENCE APPLICABLE LAW AND JURISDICTION Tout litige relatif aux services et/ou prestations assurés par la SA Aéroports de la Côte d Azur sera, de convention expresse entre les parties, soumis au droit Français et de la compétence exclusive du Tribunal de Commerce de Nice lieu d exécution, nonobstant pluralité de défenseurs ou appel en garantie. Cette disposition s applique également en cas de référé. Any dispute relating to the services provided by SA Aéroports de la Côte d Azur and their provision shall, by express agreement of the parties, be subject to French law and the exclusive jurisdiction of the Commercial Court of Nice, place of performance, irrespective of the introduction of multiple defendants or third parties. 13 RESILIATION CANCELLATION En cas d inexécution par l une ou l autre des parties de l une quelconque de ses obligations, les présentes relations contractuelles peuvent être résiliées de plein droit par l une ou l autre des parties, trente jours après la réception par lettre recommandée avec accusé de réception d une mise en demeure restée infructueuse. La résiliation objet du présent article intervient sans préjudice des actions que la loi ou le contrat permette à l une ou l autre des parties dans tels cas, notamment des demandes éventuelles de dommages et intérêts. Les sommes versées au titre des services et/ou prestations ne sont pas remboursables même en cas de défection ou d interruption de la propre initiative du client, sauf en cas de force majeure tel que défini par la jurisprudence. If the guarantee is not provided, a security deposit will be invoiced. 1 - Activité Aéronautique Aeronautical activity a) Redevances domaniales Garantie égale à trois mois de redevances sous forme de dépôt de garantie réactualisable non productif d intérêts. b) Redevances aéronautiques Compagnies régulières et charters programmés : un mois de redevances aéronautiques estimées sous forme de garantie bancaire à première demande ou dépôt de garantie non productif d intérêts. A défaut de production d une telle garantie bancaire, il sera facturé un mois de redevances aéronautiques estimées. Compagnies charters non programmés ou en période d observation suite à redressement judiciaire : demander un prépaiement au service des redevances 7 jours avant la réalisation du vol à l adresse suivante : [email protected] Aviation générale : facturation aux consignataires accrédités (Assistants), un mois de redevances aéronautiques estimées sous forme de garantie bancaire à première demande ou dépôt de garantie non productif d intérêts. Les clients souhaitant être facturés en direct doivent préalablement procéder à l ouverture d un compte. Il faut soit :. verser un dépôt de garantie d un montant de minimum (révisable l année N+1, selon l activité,. opter pour le règlement des factures par prélèvement automatique (sur les comptes en France),. demander un prépaiement au service des redevances 7 jours avant la réalisation du vol à l adresse suivante : [email protected]. régler la facture avant le départ de l aéronef, par Carte Bancaire au guichet du service des redevances (situé au Pôle Bureau Terminal 2),. régler par V.A.D. (Vente à Distance : cartes bancaires). a) Estate charges Guarantee equal to three months charges in the form of a renewable deposit not subject to interest. 11

14 b) Aeronautical charges Regular airlines and scheduled charters: estimated aeronautical fees for one month in the form of a first demand bank guarantee or a security deposit not subject to interest. If the said guarantee is not provided, one month s estimated aeronautical fees will be invoiced. Unscheduled charter airlines or airlines in an observation period following legal redress: arrange prepayment with the fees department 7 days in advance of the flight, by contacting [email protected] Business Aviation: invoicing to accredited consignees (Agents), one month s estimated aeronautical fees in the form of a first demand bank guarantee or a security deposit not subject to interest. Clients who wish to be invoiced directly are required to open an account. They must either: - pay a deposit to the value of at least 2,000 (to be revised in the second year based on activity), - opt to pay invoices by direct debit (on accounts in France), - arrange prepayment with the fees department 7 days in advance of the flight, by contacting [email protected] - settle the invoice before the departure of the aircraft, by credit/debit card at the fees office (located in the Terminal 2 office area), - pay remotely (by credit/debit card). 2 - Activité commerciale Commercial activity Toute activité commerciale exercée sur l Aéroport Nice Côte d Azur est soumise au versement d un dépôt de garantie équivalent à trois mois de redevances commerciales estimées, ou au quart du minimum garanti. 18 2 PARAMETRES DE CALCUL DE LA REDEVANCE D ATTERRISSAGE PARAMETERS FOR CALCULATING THE LANDING CHARGE Les deux paramètres propres à chaque aéronef établis à partir des documents transmis sont : La Masse Maximum au décollage, MMD portée au Certificat de Navigabilité (ou, à défaut, sur le Certificat Acoustique) arrondie à la tonne supérieure Le groupe acoustique. D'une façon générale afin de maintenir le fichier des immatriculations constamment à jour, il doit être signalé avant l'exploitation d un vol toute modification de la composition ou des caractéristiques de la flotte. Les mises à jour seront prises en compte à la date de réception des documents, et applicables pour la période non facturée, sans effet rétroactif sur les facturations antérieures. En l'absence de ces informations pour une immatriculation inconnue, la redevance d'atterrissage sera calculée de la façon suivante : Masse Maximum au décollage du modèle le plus lourd du type avion considéré selon les informations présentes dans les fichiers de l Aéroport Nice-Côte d Azur Conformément à l arrêté du 26 février 2009, article 3 -II Les aéronefs sont classés en 6 groupes acoustiques... et il appartient à l exploitant ou, à défaut, au propriétaire d aéronef de fournir à l exploitant de l aérodrome à sa demande les documents justificatifs nécessaires à son classement. A défaut de fourniture de ces documents, l aéronef est classé dans le groupe I. 19 3 TRANSMISSION DES DONNEES RELATIVES A UN MOUVEMENT FORWARDING OF DATA RELATING TO A MOVEMENT Quelle que soit la nature de son trafic, l'exploitant aérien ou son représentant qui peut être l'organisme d'assistance, doit communiquer au service des redevances, à l'avance ou une heure maximum après le mouvement la décomposition du chargement en passagers, fret et poste par escale, via le réseau SITA (Messages de chargement : LDM et SLS). En l'absence de ces informations la facturation sera établie au maximum de la capacité de l'aéronef et aucun avoir rétroactif ne sera établi. SITA REDEVANCES : NCERAXH Whatever the level of traffic, airport operators or their representatives who can be the ground handling agency, shall inform the invoicing department, before or no later than one hour after the movement, of the breakdown of the load as regards passengers, cargo and post per stop-over, via the SITA network (Payload messages LDM/SLS). Elle est calculée par tonne et par heure avec un forfait pour 0 à 18 tonnes, la masse à considérer étant la masse maximale au décollage portée sur le Certificat de Navigabilité de l Appareil. Le délai de franchise est fixé pour tout appareil stationnant sur l aire de stationnement à 1h15. La durée de stationnement est décomptée pour tout aéronef entre l heure d atterrissage et l heure de décollage. Aircraft parking charge is paid by all aircraft parking on terminal aprons. 28 E) Tarification incitative Incentive pricing 1 - CREATION DE NOUVELLES DESTINATIONS PASSAGERS (HORS DESTINATIONS LONG COURRIER) CREATION OF NEW PASSENGER DESTINATIONS (EXCEPT LONG HAUL DESTINATIONS) a) Définition Est considéré comme vol vers une «nouvelle destination passagers» court ou moyen courrier pour l aéroport par comparaison au programme N-1 de la saison concernée : Toute ligne régulière ou charter commercial régulier pendant une saison avec au minimum 24 fréquences pour la saison «Eté» et 16 fréquences pour la saison «Hiver». Ces fréquences doivent être sans escale au départ de Nice vers un aéroport : - soit jamais desservi au départ de Nice, - soit dans le cadre de reprise d une desserte arrêtée au départ de Nice : avec un délai minimum de 12 mois si reprise par la même Compagnie, sans délai si reprise par une autre Compagnie, - et à condition qu à la date d ouverture dudit vol, aucun aéroport situé dans la même zone de chalandise que l aéroport considéré ne soit ou n ait été desservi en direct au départ de Nice avec la condition de délai cidessus. a) Definition Is considered as a flight to a new passenger destination for the airport when compared to schedule N-1 for the season in question Any regular line or regular commercial charter line during a season with a minimum of 24 frequencies for the Summer season and 16 frequencies for the Winter season. Said frequencies have to be non stop from Nice to an airport: - either not serviced before by a flight from Nice, - or as part of the revival of a previously stopped service from Nice, with a minimum time gap of 12 months if the revival is by the same airline; there is no time gap if the revival is by another airline, - and providing that on the starting date of the aforesaid flight, no airport located in the same trading area as the airport in question is not or was not serviced as a direct flight from Nice with the above timing condition. b) Modalités tarifaires Toute compagnie aérienne mettant en place un vol vers une nouvelle destination passagers comme défini cidessous bénéficie d abattements sur les redevances : - pour le vol considéré, - pour une durée de deux ans à compter de la date d ouverture du premier vol vers la nouvelle destination. b) Pricing policy Any airline setting up a flight to a new passenger destination as defined below benefits from fee reduction: - for the flight in question, - for a period of two years as of the starting date of the first flight to the new destination. 26

Two years after the actual date of the first new flight to the new destination, the tariff to be applied will be the general tariff in force in Nice-Côte d Azur Airport for landing, parking and passengers charges. 2 - CREATION DE NOUVELLES DESTINATIONS LONG COURRIER CREATION OF NEW LONG HAUL DESTINATIONS a) Définition Est considéré comme vol vers une «nouvelle destination passagers long courrier» par comparaison avec le programme N-1 de la saison concernée : toute ligne régulière ou charter commercial régulier pendant une saison avec au minimum 16 fréquences pour la saison «Eté» et 12 fréquences pour la saison «Hiver». vers une destination située à plus de Km de Nice Les fréquences doivent être directes ou avec une seule escale à condition que les passagers restent à bord ou en zone transit (sans passage sous douane), même appareil et même numéro de vol ces fréquences doivent être au départ de Nice vers un aéroport: - soit jamais desservi au départ de Nice - soit dans le cadre de reprise d une desserte arrêtée au départ de Nice : avec un délai minimum de 12 mois si reprise par la même Compagnie, sans délai si reprise par une autre Compagnie - et à condition qu à la date d ouverture dudit vol, aucun aéroport situé dans la même zone de chalandise que l aéroport considéré ne soit ou n ait été desservi en direct au départ de Nice avec la condition de délai ci-dessus. a) Definition Is considered as a flight to a new long haul destination in comparison with the N-1 schedule for the season concerned, any scheduled flight or regular commercial charter flight during a season with a minimum of 16 flights for the Summer season and 12 flights for the Winter season, a long haul destination is defined as a destination located more than km from Nice with direct flights or with a maximum of one stopover providing that the passengers remain on board or in a transit area (without passing through customs), same aircraft and same flight number 27

30 Said frequencies have to be to an airport: - which was never served by departures from Nice - or as part of the revival of a previously stopped service from Nice, with a minimum time gap of 12 months if the revival is by the same airline; there is no time gap if the revival is by another airline, - and provided that on the opening date of the aforementioned flight, no airport in the same trading area as the airport considered is or has been served directly by departures from Nice with the waiting period condition above. b) Modalités tarifaires : Toute compagnie aérienne mettant en place un vol vers une nouvelle destination passagers comme défini cidessous bénéficie d abattements sur les redevances : - pour le vol considéré, - pour une durée de trois ans à compter de la date d ouverture du premier vol vers la nouvelle destination. b) Pricing policy Any airline setting up a flight to a new passenger destination as defined below benefits from fee reduction: - for the flight in question, - for a period of three years as of the starting date of the first flight to the new destination. 31 3 - MODALITES D APPLICATION GENERAL PROCEDURE La politique tarifaire incitative s applique aux vols commerciaux réguliers et aux vols charters commerciaux réguliers. La politique tarifaire incitative ne s applique pas aux vols atterrissant ou décollant entre 22h et 06h, heure locale, (sauf dans le cas de vols retardés pour motifs légitimes et dûment justifiés : problèmes techniques, météo,). Saison IATA : - ETE : du dernier dimanche de mars au samedi de la dernière semaine pleine d octobre. - HIVER : du dernier dimanche d octobre au samedi de la dernière semaine pleine de mars. Si la Compagnie Aérienne ne respecte pas le programme de vol annoncé, elle perd le bénéfice des abattements tarifaires consentis (sauf cas de force majeure). Dans le cas où une deuxième compagnie vient exploiter la même ligne, elle a droit aux mêmes abattements que la première compagnie sur le temps restant, dans les mêmes conditions d application. En cas de reprise d une destination arrêtée, la nouvelle Compagnie Aérienne bénéficie de la tarification incitative à condition de n avoir aucun lien capitalistique avec la Compagnie Aérienne ayant exploité la ligne. La compagnie bénéficiant de la politique tarifaire incitative est celle assurant l exploitation commerciale du vol. Pour bénéficier des conditions de la tarification incitative, la compagnie doit respecter les règles édictées par les conditions générales de vente de ACA. A défaut, la compagnie perdra le bénéfice de la tarification incitative et sera facturée au prix normal du tarif ACA. En cas de non-paiement par la compagnie, le dossier sera transmis au service contentieux qui enverra à ladite compagnie une mise en demeure. Si la compagnie concernée n a toujours pas payé dans le délai qui lui est imparti (15 jours), la facture minorée sera alors annulée et la compagnie sera refacturée au tarif normal. Cette décision sera immédiate et irréversible. If the airline does not respect the programmed flight schedule, it will lose the benefits of the agreed tariff reduction (except in the case of a fortuitous event). If another airline opens a regular flight to the same destination, it will benefit from the same tariff reduction chart for the period remaining after the starting date of the first flight to said destination by the first airline. In the event that an Airline company which had been the only operator for a destination disappears, the new Airline company benefits from incentive pricing for resuming the stopped destination, provided that they have no capital link with the Airline company that previously operated the line. Beneficiary company = that responsible for the commercial operation of the flight. To take advantage of the conditions of incentive pricing, the company must respect the rules established in general conditions of sales of ACA. Otherwise, the company will lose the benefit of incentive pricing and will be invoiced at the normal tariff ACA. In case of the company s failure to pay, the matter will be referred to the litigation department which will send a formal notice to pay to the company. Should the company remain delinquent within the time limit (15 days), the reduced invoice will be cancelled. In such case, the company will be re-invoiced at the normal tariff. This rule will immediately and irreversibly apply. 29

32 4 - BONUS POUR DEVELOPPEMENT DU TRAFIC PAR SAISON SEASONAL TRAFFIC DEVELOPMENT BONUS La politique tarifaire d incitation au développement du trafic de l Aéroport de Nice-Côte d Azur a une durée d applicabilité limitée à cinq ans à compter de la saison Hiver 2010/2011. Les modulations qui entrent dans son champ ainsi que les effets de ces modulations ne pourront excéder cette durée. En cas de rachat ou fusion, le calcul de croissance est fait sur le cumul du trafic des deux Compagnies (saisons Eté et Hiver N-1/N) Pour bénéficier des conditions du «bonus pour développement du trafic», la compagnie doit respecter les règles édictées par les conditions générales de vente de ACA. In the event of acquisition or merger, the growth will be calculated on the basis of the cumulative traffic of the two companies (summer and winter seasons N-1/N) To take advantage of the conditions of the traffic development bonus, the company must respect the rules established in general conditions of sales of ACA. Otherwise, the company will lose the benefit of this measure and will be invoiced at the normal tariff ACA. 31

34 5 - CONTRAT DE DEVELOPPEMENT AEROPORTUAIRE AIRPORT DEVELOPMENT CONTRACT a) Principes : La Compagnie s engage à accroître sa capacité sur Nice selon un objectif global en % pour la période triennale. Elle doit démontrer la réalisation de son engagement d augmentation de capacité annuel et triennal. ACA définira les modalités de contrôle des augmentations de capacité réalisées. Le montant de la réduction de redevance par passager départ varie selon l engagement d augmentation de capacité sur les 3 ans et selon la catégorie de volume de trafic passagers de la compagnie. La réduction tarifaire accordée sous forme d avoir rétroactif est calculée en fin d année contractuelle par passager départ supplémentaire par rapport à l année précédente au-delà d un seuil de croissance minimum de 3%, hors développement de trafic départ entre 22h et 6h, si l objectif d augmentation de capacité est atteint. Un acompte est versé en cours d année sur la base des résultats de la 1 ère saison IATA. Non cumul entre les mesures incitatives actuelles (création de nouvelles destinations, bonus de développement de trafic par saison) et le «contrat de développement aéroportuaire» pendant la durée contractuelle des 3 ans. Montant de réduction tarifaire selon: - engagement d augmentation de capacité sur 3 ans - selon catégorie de volume de trafic annuel passagers départ Bonus 3 / pax départ supplémentaire par rapport à N-1 au delà de + 3% Bonus 4 /pax départ supplémentaire par rapport à N-1 au-delà de + 3% Bonus 5 /pax départ supplémentaire par rapport à N-1 au-delà de + 3% de à pax départ + 30 % capacité sur 3 ans de à pax départ + 15 % capacité sur 3 ans au-delà de pax départ + 10 % capacité sur 3 ans + 60 % capacité sur 3 ans + 30 % capacité sur 3 ans + 15 % capacité sur 3 ans + 90 % capacité sur 3 ans + 45 % capacité sur 3 ans + 30 % capacité sur 3 ans b) Modalités d application : La Compagnie Aérienne est présente sur l Aéroport de Nice depuis au moins un an avant signature du contrat avec un minimum de passagers départ en année N-1. Le contrat de développement aéroportuaire s applique seulement au trafic passagers commercial régulier programmé, et hors trafic hélicoptères. Compte tenu du délai d applicabilité de notre politique tarifaire d incitation au développement du trafic, le «contrat de développement aéroportuaire» peut être souscrit pour application au plus tard début de saison hiver Pendant toute la durée du contrat, la catégorie de trafic de la compagnie retenue reste celle correspondant au trafic passagers départ de l année précédent le début du contrat. La réduction tarifaire accordée sous forme d avoir rétroactif est calculée en fin d année contractuelle selon la croissance réelle du trafic passagers, à condition que l objectif d augmentation de capacité soit effectivement réalisé et conforte l engagement d augmentation de capacité triennal (minimum 1/3 de hausse de capacité en 1ère année et minimum 2/3 sur les 2 premières années). 32

35 Si non atteinte de l objectif minimum de hausse de capacité en N, versement d un «avoir» rétroactif limité à «abattements pour nouvelles destinations + bonus développement de trafic par saison» En cas d atteinte de l objectif de croissance globale de capacité en 3è année, régularisation des montants versés par «avoir» complémentaire. Si une compagnie n atteint pas son objectif de croissance de capacité sur les 3 ans, elle sera refacturée pour les montants versés au titre du «Contrat de développement aéroportuaire», déduction faite des autres mesures incitatives (abattements pour nouvelles destinations, bonus développement de trafic par saison,) dont elle aurait pu bénéficier en l absence de contrat. Si une compagnie s engage à réaliser dès la première année l augmentation de capacité triennale de sa catégorie et à la maintenir pendant les 2 années suivantes, elle bénéficiera de la réduction tarifaire correspondante sur la croissance annuelle de passagers au-delà du seuil de croissance annuelle minimum de +3%, hors développement de trafic entre 22h et 6h. La Compagnie Aérienne bénéficiaire d une mesure de Politique Tarifaire Incitative peut choisir de s engager sur un «contrat de développement aéroportuaire» en fin de saison IATA, à condition d abandonner les abattements PTI sur la période restante (abattements nouvelles destination, bonus développement de trafic par saison). Pour bénéficier des conditions de la tarification incitative, la compagnie doit respecter les règles édictées par les conditions générales de vente de ACA. A défaut, la compagnie perdra le bénéfice de la tarification incitative et sera facturée au prix normal du tarif ACA. En cas de mise en demeure par le service contentieux à la compagnie bénéficiaire suite à un défaut de paiement, aucun acompte ne sera versé. a) Principles: The Airline undertakes to increase its capacity in numbers of seats offered for sale at Nice, according to an overall target expressed as a percentage for the three-year period. The Airline must demonstrate that it has fulfilled its annual and triennial capacity increase commitment. ACA will set methods for assessing the capacity increases achieved. The fee reduction per departing passenger varies according to the three-year capacity increase commitment and the Airline's passenger traffic volume category. If the capacity increase target is met, the fee reduction granted as retroactive credit is calculated at the end of the contractual year, per additional departing passenger compared to the previous IATA year, above a minimum growth threshold of 3%, excluding growth of traffic between 10 pm and 6 am (local time). A down payment is made during the year, based on results from the 1st IATA season. Current incentive measures (new destination fee reduction and seasonal traffic development bonus) may not be combined with the fee reduction stipulated in the "Airport development contract" during the 3-year contractual period. 36 b) Terms of application: The Airline must have operated at Nice Airport for at least 1 year before the signature of the contract, with a minimum of 20,000 departing passenger in the year before the contract is signed. The Airport development contract applies solely to scheduled commercial passenger traffic excluding helicopter traffic. Given the period during which our traffic development incentive tariff policy is applicable, the "Airport development contract" can be signed for application until beginning of 2012 winter season at the latest. Throughout the duration of the contract, the airline's traffic category will be as indicated by the departing passenger traffic recorded during the year before the contract started. The fee reduction granted as retroactive credit is calculated at the end of the contractual year according to actual growth in passenger traffic, so long as the capacity increase target has been met, bearing out the triennial capacity increase commitment (minimum 1/3 increase in capacity during the first year and minimum 2/3 increase during the first two years). If the minimum capacity increase target is not met in year N, retroactive "credit" limited to "new destination fee reduction + seasonal traffic development bonus" will be paid. If the overall capacity growth target is met in the 3rd year, the amount due in addition to the sums already paid will be settled via an additional credit. If an airline does not achieve its 3-year capacity increase target, it will be invoiced for the sums paid under the "Airport development contract", less the value of the other incentive measures which could have been claimed if the contract had not been signed (new destination fee reduction and seasonal traffic development bonus). If an airline commits to achieving the 3-year capacity increase for its category and maintaining it for the subsequent two years, it will be granted a fee reduction corresponding to the annual growth in passengers in excess of the 3% minimum annual growth threshold, excluding growth in traffic between 10 pm and 6.am. An Airline which benefits from another incentive pricing measure can choose to sign an "Airport development contract" at the end of the IATA season, so long as it forgoes the other incentive pricing measures for the remaining period (new destination fee reduction and seasonal traffic development bonus). To take advantage of the conditions of incentive pricing, the company must respect the rules established in general conditions of sales of ACA. Otherwise, the company will lose the benefit of incentive pricing and will be invoiced at the normal tariff ACA. Should the Litigation Department send a formal notice to the company following a failure to pay, no down payment will be made. 34

37 6 - MESURE INCITATIVE POUR LE STATIONNEMENT DE NUIT DES AVIONS BASES INCENTIVE MEASURE FOR OVERNIGHT PARKING OF BASED AIRCRAFT a) Principes : Cette mesure s inscrit dans le cadre de l article R du code de l Aviation Civile relatif aux redevances pour services rendus sur les Aéroports, qui prévoit la possibilité de modulations tarifaires des redevances pour améliorer l utilisation des infrastructures. En effet, la présence d un avion basé opérant plusieurs rotations chaque jour au départ de l Aéroport permet d optimiser l utilisation des installations surtout en saison hiver et la nuit, le prolongement de son stationnement la nuit ne générant ni coût supplémentaire pour l Aéroport, ni gêne d exploitation. Il est donc instauré une mesure incitative d exonération du stationnement la nuit (21h 5h TU) pour inciter les compagnies à baser un ou plusieurs de leurs appareils sur l Aéroport Nice Côte d'azur. Cette mesure est applicable à compter du 16 avril 2012 pour les vols passagers réguliers et a une durée d applicabilité limitée à trois ans. b) Modalités d application : Cette mesure s applique aux Compagnies Aériennes qui : o o o opèrent régulièrement pendant l année aéronautique avec un ou plusieurs avions à partir de Nice- Côte d Azur, avec stationnement de nuit sur l aéroport. desservent au départ de Nice au minimum deux aéroports dans deux pays distincts assurent au moins 14 fréquences hebdomadaires en moyenne par avion, et par année aéronautique. En cas d immobilisation de l appareil, seule la première nuit bénéficie de l exonération. En cas de non respect des conditions ci-dessus, la Compagnie Aérienne perdra le bénéfice de la mesure et se verra refacturer les exonérations consenties. Pour bénéficier des conditions de la tarification incitative, la compagnie doit respecter les règles édictées par les conditions générales de vente de ACA. A défaut, la compagnie perdra le bénéfice de la tarification incitative et sera facturée au prix normal du tarif ACA. a) Principles: This measure falls within the framework of article R of the Civil Aviation code concerning services supplied at airports, which provides for the adjustment of fees in order to increase the use of infrastructure. The presence of aircraft carrying out several rotations each day from the airport optimises the use of the facilities available, in particular during the winter season and at night, as the fact that the aircraft remains parked for a longer period overnight does not generate any additional cost for the Airport, and does not hinder its operation. An incentive measure has therefore been introduced in the form of an exemption for overnight parking (21:00-05:00 UT) to encourage airlines to base one or more aircrafts at Nice Côte d'azur Airport. This measure is applicable from April 16, 2012 season for scheduled passenger routes for a duration limited to three aviation years. 35

38 b) Terms of application: This measure applies to Airlines which operate: o one or more aircrafts from Nice-Côte d'azur airport regularly during the aviation year, with overnight parking at the airport, o routes from Nice to at least two airports located in separate countries, o an average of at least 14 weekly flights per aircraft per aviation year. If the aircraft is immobilised, only the first night is exempt. Should the conditions above not be fulfilled, the Airline will lose the benefit of the measure, and the value of the exemptions granted will be invoiced. To take advantage of the conditions of incentive pricing, the company must respect the rules established in general conditions of sales of ACA. Otherwise, the company will lose the benefit of incentive pricing and will be invoiced at the normal tariff ACA. 7 - COMITE DE SUIVI MONITORING COMMITTEE Le comité de suivi, réuni deux fois par an, est chargé : d examiner les conditions d éligibilité en termes de nouvelles lignes desservant une nouvelle zone de chalandise, et de compagnies bénéficiaires, pour apprécier les situations litigieuses d assurer le suivi des mesures incitatives dans leur principe et leurs modalités. 73 VIII - MODALITES GENERALES D'APPLICATION GENERAL PROCEDURE Les véhicules ne sont pas gardés dans les parcs. Seuls les parcs G1 et G2 sont sécurisés. La redevance perçue correspond uniquement à l utilisation d une surface privative, pendant la durée de stationnement. Le stationnement dans les parcs est limité à 40 jours. Au-delà de cette période, le véhicule pourra être enlevé et mis en fourrière aux risques, périls et frais du propriétaire. Perte de ticket : - Si justification irréfutable de la date et de l heure d entrée dans le parc (billet d avion,...), le tarif en vigueur dans le parc de stationnement correspondant est appliqué. - Dans le cas contraire, la redevance de stationnement est calculée en fonction du «relevé des immatriculations» effectué régulièrement la nuit et ne saurait être inférieure à une facturation minimum de 24 heures de stationnement.
