2 Lettre de la concurrence No 37 L action privée : rien ne sert d attendre une condamnation définitive, il faut partir à point Si l arrêt rendu le 26 juin 2013 par la Cour d appel de Paris (la Cour d appel) a accueilli favorablement une action privée faisant suite à une décision de la Commission européenne (la Commission) constatant une violation du droit de la concurrence en confirmant que la faute civile est constituée par une telle infraction, elle soulève toutefois la question de la prescription (ancien régime applicable en l espèce) de ces actions dont l impact frappe l étendue de la réparation. L affaire dont était saisie la Cour d appel concernait une demande en responsabilité délictuelle formée par Central Parts à l encontre de la société JCB Service et de ses filiales. Central Parts estimait avoir été victime d une entente mise en œuvre par ces dernières dans le domaine des engins et équipements de chantier. En effet, en tant que revendeur non agréé, Central Parts avait essuyé des refus de vente des distributeurs agréés anglais et irlandais et avait donc décidé de contourner cette impossibilité de s approvisionner en mettant en œuvre des circuits parallèles. La difficulté tranchée par l arrêt commenté provenait de ce que si l interdiction de ventes passives en cause constituait une entente selon une décision de la Commission en 2000, Central Parts avait attendu avril 2005 pour saisir le Tribunal de commerce d Orléans d une demande en réparation. Or, bien que la décision de la Commission ne soit pas devenue définitive compte tenu des recours devant les juridictions européennes, la manifestation du dommage ancien point de départ de la prescription décennale s était réalisée dès le refus de vente opposé par les distributeurs de JCB Service puisque Central Parts avait dû mettre en place des circuits parallèles coûteux, qui limitaient nécessairement ses ventes et son chiffre d affaires. La Cour d appel confirme tout d abord que les infractions aux règles européennes sur les ententes verticales constituent des fautes civiles pour lesquelles JCB Service, et ses filiales (ayant exécuté sa décision de cloisonner le marché intra-européen) sont responsables in solidum. Concernant la délimitation du préjudice subi, la Cour d appel indique que la créance d une victime d une entente n est pas conditionnée à la décision définitive d infraction de concurrence. Ainsi, la procédure devant les juridictions européennes aux fins de rendre définitive la décision de la Commission n a pas d effet suspensif sur la prescription de l action en réparation. En l espèce, la Cour d appel constate que rien n interdisait à la société Central Parts de saisir du litige la juridiction nationale, sous réserve de tout sursis à statuer. Central Parts ayant engagé son action en avril 2005, seuls les préjudices subis à compter d avril 1995 seront pris en compte, par l effet extinctif de la prescription décennale. Le principe posé ne semble pas fondamentalement modifié par le nouveau régime de la prescription, entré en vigueur le 19 juin 2008, dont le point de départ est désormais la connaissance raisonnable des faits par la victime. Cette connaissance sera présumée au plus tard au jour de la première constatation d une infraction par une autorité de concurrence, indépendamment des recours ultérieurs. Toutefois, il se peut que la victime ait connaissance des faits antérieurement. Ainsi, afin d éviter tout désagrément, elle peut avoir intérêt à ne pas attendre une décision constatant une infraction de concurrence, sachant qu elle ne peut, au pire, que se voir opposer un sursis à statuer de la juridiction saisie. 02 Norton Rose Fulbright Septembre 2013
3 Competition newsletter No 37 Private action: no need to wait for a final decision, better to begin at the right time Although the decision of June 26, 2013 of the Paris Court of Appeal (the Court of Appeal) permits a private action to be brought on the basis of a decision of a European Commission (the Commission) finding that a violation of competition law had occurred, by confirming that such an infringement is regarded as a basis for civil liability, the decision of the Court of Appeal nevertheless raises an issue concerning the statute of limitations (previous regime applicable to the case) of such actions, which in turn has an impact on the scope of the compensation awardable. The case the Court of Appeal was called upon to decide related to an action based on tort liability brought by Central Parts against the undertaking JCB Service and its subsidiaries. Central Parts alleged that it was a victim of an agreement implemented by such group of companies in the machinery and equipment sector. As an unauthorised retailer, Central Parts had been confronted by a refusal to sell by Irish and English authorised distributors and had thus decided to implement a parallel distribution channel in order to overcome its inability to obtain supply of the relevant products. The difficulty dealt with by the decision of the Court of Appeal stemmed from the fact that although the prohibition of the passive sales at stake was held to be an unlawful agreement in the decision of the Commission dated 2000, Central Parts waited until April 2005 before bringing an action for compensation before the Orléans Commercial Court. However, even though the decision of the Commission was not final because appeals had been brought before the European courts, the damage incurred by Central Parts which at the time was considered to constitute the event triggering the relevant limitations period had occurred as soon as JCB Service s retailers refused to sell, since Central Parts was obliged to implement costly parallel channels, which of necessity limited its sales and turnover. The Court of Appeal first confirmed that infringements of European law relating to vertical agreements are regarded as civil faults for which JCB Service and its subsidiaries (which executed the decision to partition the intra-european market) were jointly and severally liable. However, regarding the quantification of the damage suffered, the Court of Appeal held that the existence of a valid claim by the victim of an unlawful agreement does not require the existence of a final unappealable decision finding that an infringement of competition law had occurred. Thus, the procedure before the European courts allowing the Commission s decision to become final does not toll the statute of limitations for bringing an action for compensation. In this case, the Court of Appeal held that Central Parts was not barred from litigating in the national court subject to a stay of proceedings. Since Central Parts commenced its action in April 2005, only the damage incurred beginning April 1995 would be taken into account, due to the extinctive effect of the time limitation of 10 years. The principle enunciated by the Court of Appeal does not seem to be substantially modified by the new regime of statute of limitations which came into force on June 19, 2008, under which the triggering event is now the reasonable knowledge of the facts by the victim. Such knowledge is presumed to occur at the latest at the date of the initial finding of the infringement by a competition authority, independently of the bringing of any appeals. However, it is possible that the victim had knowledge of the facts prior thereto. Thus, in order to avoid any difficulties, it is in the interest of the victim to litigate without waiting for a decision holding that an infringement of the competition rules has occurred, bearing in mind that the victim may, at worst, face a stay of proceedings decided by the court hearing the case. 4 Lettre de la concurrence No 37 Garanties de passif : de l art de gérer le risque concurrence Par un arrêt du 25 juin 2013, la Cour d appel de Montpellier (la Cour) est venue rappeler l importance d encadrer très précisément les garanties de passif en matière d infractions au droit de la concurrence. Une attention particulière doit être portée à leur rédaction dans le cadre des opérations de fusions-acquisitions, au risque d engendrer une charge illimitée pour le cédant. La société GEP-Vidal ayant été condamnée par le Conseil de la concurrence (le Conseil) pour avoir participé, avant sa cession à la société Kéolis, à une entente anticoncurrentielle dans le cadre d un appel d offres public, Kéolis avait demandé à ses anciens actionnaires (les Cédants) de régler le montant de sa sanction et de ses honoraires d avocat, au titre de la garantie de passif qu ils avaient consentie lors de la cession. Cet arrêt offre une illustration des enjeux devant être pris en compte lors de la négociation d une garantie de passif en ce qui concerne le risque concurrence, tant à l égard de son champ d application que des obligations d information imposées pour sa mise en œuvre. En l espèce, Kéolis invoquait que la garantie imposait aux Cédants de supporter l intégralité de l amende et des honoraires d avocats encourus lors de la procédure. Les Cédants n ont pu échapper à leur garantie du fait de sa rédaction particulièrement large, celle-ci couvrant tout passif nouveau imputable à des faits antérieurs à la date de cession ou résultant d un acte ou omission violant leur déclaration selon laquelle GEP-Vidal s était conformée aux réglementations ( ) applicables. Peu importait qu une autre filiale de Kéolis ait également participé aux ententes concernées, les Cédants n ayant pas démontré que Kéolis en avait connaissance ou y avait elle-même participé. Dans le cas contraire, le bénéfice de la garantie lui aurait probablement été refusé. Les Cédants tentaient donc d exclure leur garantie en se fondant sur l obligation d information de Kéolis quant à l existence de la procédure devant le Conseil, et sur sa prétendue faute dans la gestion de la procédure. Kéolis les ayant régulièrement informés de l avancement de la procédure (avantmême la notification des griefs), les Cédants invoquaient que son choix de ne pas contester les griefs était néanmoins constitutif d une faute. Ainsi, les bénéficiaires d une garantie de passif doivent-ils associer leur garant à leur stratégie procédurale? La Cour répond par la négative, considérant qu il n est pas établi que GEP-Vidal aurait échappé à toute sanction en contestant les griefs. Une approche qui semble particulièrement sévère, même si les Cédants ont tardé à contester la portée des indices auprès de Kéolis. La décision aurait-elle été différente si les Cédants avaient été plus réactifs et si le dossier du Conseil avait été moins solide? Quoi qu il en soit, la Cour consent à Kéolis le bénéfice de la garantie pour l intégralité de l amende de GEP-Vidal et des honoraires d avocat encourus devant le Conseil. En revanche, Kéolis n ayant pas dûment informé les Cédants des honoraires afférents au recours contre la décision du Conseil, elle rejette sa demande à cet égard. A l heure où les sanctions pécuniaires prononcées par l Autorité de la concurrence ne cessent d augmenter depuis l adoption de sa nouvelle méthode de calcul, cet arrêt rappelle l importance d accorder un soin extrême à la rédaction de ces garanties dont les effets sont souvent mal appréciés. 04 Norton Rose Fulbright Septembre 2013
5 Competition newsletter No 37 Share purchase agreement indemnities (garanties de passif): the art of managing competition risk By a judgement dated June 25, 2013, the Court of Appeal of Montpellier (the Court) emphasised the importance of defining precisely the scope of share purchase agreement indemnities (garanties de passif) given in respect of infringements of competition law. Particular attention must be paid to the wording of such provisions in the context of M&A transactions, in order to avoid imposing an unlimited burden on the grantor. involve the grantor in their procedural strategy? The Court s answer was negative since it had not been proven that GEP-Vidal would have avoided a fine if it had challenged the objections. This position seems particularly strict even if the Grantors did not immediately inform Keolis that some indicia could be challenged. Would the decision have been different if the Grantors had been more active and if the Council s case was less sound? The transport company GEP-Vidal was sentenced by the Competition Council (the Council) for participating, prior to being transferred to Keolis, in an anticompetitive agreement in the context of a public tender. Keolis therefore requested GEP-Vidal s former shareholders (the Grantors) to pay it the amount of the fine and the attorneys fees incurred during the procedure, pursuant to the sellers share purchase agreement indemnity. This judgement illustrates the stakes related to competition risks that must be taken into account in negotiating a seller s indemnity, both with respect to its scope and the information required from the beneficiary for its implementation. In the case at hand, Keolis claimed that the Grantors had to bear the entire amount of the fine and of the attorneys fees incurred during the procedure. Due to the particularly wide drafting of the indemnity, the Grantors were unable to escape its application: the indemnity covered any new liability attributable to facts which occurred prior to the transfer or resulting from an act or omission in breach of the Grantor s representations and warranties that GEP-Vidal had complied with ( ) applicable legislation. It was not relevant that another subsidiary of Keolis also participated in the practices since the Grantors did not show that Keolis itself was aware of, or participated in them. Otherwise the benefit of the indemnity would probably have been refused to Keolis. The Grantors therefore attempted to avoid application of the indemnity on the grounds of Keolis information obligation regarding the procedure before the Council, and of its alleged fault in the administration of the procedure. As Keolis had regularly informed the Grantors of the progress of the procedure (even before receiving the statement of objections), the Grantors alleged that Keolis choice not to challenge the objections nevertheless constituted a fault. Are the beneficiaries of a seller s indemnity required to In any event, the Court granted Keolis the benefit of the indemnity for the entire amount of the fine imposed on GEP-Vidal and the attorneys fees incurred during the procedure before the Council. However, since Keolis did not inform the Grantors of the attorneys fees incurred during the appeal against the Council s decision, it rejected its claim on this point. At a time when the fines imposed by the French Competition Authority are steadily rising since the new method on the calculation of fines was published, this judgement underscores the importance of paying extremely close attention to the drafting of such indemnity provisions, the impact of which is often not easy to predict. 6 Lettre de la concurrence No 37 Décisions d inspection incidentes dans le secteur ferroviaire : les droits de la défense restent à quai Par un arrêt du 6 septembre 2013, le Tribunal de l Union européenne (le Tribunal) a rejeté le recours en annulation de Deutsche Bahn (DB) à l encontre de trois décisions d inspections successives de la Commission européenne (la Commission). Il déclare ainsi régulières les décisions d inspection incidentes, portant sur une pratique différente, mais fondées notamment sur des informations obtenues lors de la première inspection. Le Tribunal considère que la Commission n a pas recherché volontairement des indices de pratiques anticoncurrentielles non visées dans la première décision et qu elle n a en conséquence pas violé les droits de la défense de l entreprise visitée. Par une décision du 14 mars 2011, la Commission avait ordonné à DB et à plusieurs de ses filiales de se soumettre à une inspection. Au cours de cette dernière, les enquêteurs ont pris connaissance d indices qui leur laissaient présumer l existence de pratiques anticoncurrentielles d une autre filiale, DUSS. Sur cette base, confirmée par une plainte envoyée quelques jours auparavant (la Plainte), la Commission avait adopté, dès le deuxième jour de l inspection, deux nouvelles décisions d inspection. DB a contesté la régularité de ces décisions devant le Tribunal, en avançant que les documents concernant les pratiques de DUSS copiés lors de la première inspection avaient fait l objet d une recherche volontaire par les agents en dehors du champ de l enquête. Dans l arrêt commenté, le Tribunal rappelle le principe selon lequel, si des informations recueillies lors d une vérification ne peuvent pas être utilisées dans des buts autres que ceux indiqués dans la décision d inspection, la Commission peut cependant ouvrir une enquête complémentaire sur la base d indices recueillis incidemment lors d une inspection antérieure afin d en vérifier l exactitude ou les compléter. Si cette solution, constante, semble s expliquer par le principe d efficacité de l enquête et du respect du droit de la concurrence, il est frappant de constater que le Tribunal en fait une application large conduisant à un déséquilibre entre les pouvoirs ainsi conférés à la Commission et les droits de la défense. On peut donc se demander si la copie et non la simple consultation de documents bien qu en dehors du champ de l enquête se justifie dès lors que ces documents constituent des indices d une pratique anticoncurrentielle. La seule interdiction faite aux enquêteurs est de ne pas opérer de recherche volontairement ciblée de documents relatifs à une pratique différente de celle à l origine de la décision. Mais, en pratique, le Tribunal considère qu il appartient à l entreprise de démontrer le caractère volontaire de la recherche conduite incidemment. De plus, en l espèce, même en présence d éléments probants tels que le fait que les enquêteurs avaient été informés de l existence de la Plainte juste avant de procéder à la première inspection, le Tribunal semble peu enclin à les admettre. Il retient que seul un faible nombre de documents et de mots-clés hors-enquête était concerné, ce qui attesterait de leur caractère incident, argument qui semble particulièrement critiquable. Surtout, il semble rejeter tout argument dès lors que l entreprise ne se serait pas opposée aux recherches litigeuses dès la première inspection en faisant acter ses réserves dans le procès-verbal. Au final, en sus de l obligation de coopération active pesant sur les entreprises lors d une inspection, la solution retenue par le Tribunal aboutit paradoxalement à créer une obligation de fait pour l entreprise de faire acter formellement toute réserve ou opposition dans le procèsverbal. En conséquence, une vigilance permanente et une réaction immédiate des entreprises visitées sont nécessaires pendant toute la durée de l inspection. 06 Norton Rose Fulbright Septembre 2013
7 Competition newsletter No 37 Incident decisions of inspection in the railway sector: the rights of defence on a dangerous track In a judgment of September 6, 2013, the General Court of the European Union (the General Court) dismissed the action brought by Deutsche Bahn (DB) for annulment of three successive decisions of inspection of the European Commission (the Commission). The incident decisions of inspection based notably on information gathered during the first inspection, but concerning different conduct, were held to be legal. The General Court ruled that the Commission did not voluntarily seek evidence of anticompetitive practices unrelated to the first decision and hence, did not breach the rights of defence of the visited undertaking. In a decision of March 14, 2011, the Commission had ordered DB and several of its subsidiaries to submit to an inspection. In the course of such inspection, investigators became aware of evidence which provided grounds to presume the existence of anti-competitive conduct by another subsidiary, DUSS. This basis, together with a complaint received few days earlier (the Complaint), lead the Commission to adopt, on the second day of the inspection, two new decisions of inspection. DB challenged the legality of such decisions before the General Court, alleging that the documents concerning the conduct of DUSS copied during the first inspection had been sought voluntarily by Officials outside of the scope of the investigation. The General Court recalled that although information gathered during verifications cannot be used for purposes different from those mentioned in the decision of inspection, the Commission is not barred from initiating a complementary inquiry in order to verify or supplement information which it happened to obtain during a previous investigation. While this well-established principle appears to be justified on the grounds of efficiency of an investigation and the implementation of competition law, it is worth noting that its application by the General Court results in an imbalance between the powers of the Commission and the rights of defence. It is legitimate to ask whether the taking of copies of documents outside the scope of the investigation is permitted when such documents constitute evidence of an anticompetitive practice. The only prohibition applying to the investigators is to refrain from voluntarily targeting the seeking of documents related to a practice different from the one on the basis of which the initial decision to investigate was made. However, in practice, the General Court held that the burden is on the undertaking to prove the voluntarily nature of the incidental research. Moreover, in the present case, the General Court considered reluctantly the evidence such as the fact that the investigators were informed of the Complaint just prior to carrying out the initial inspection. It considered that since out-of-scope documents and key words represented a small percentage of the total, they were necessarily of an incidental nature. There is scope for criticism of this argument. Above all, the General Court appears to have rejected all arguments since the undertaking did not raise an opposition to the searches in question during the first inspection by recording reservations in the minutes. In the end, in addition to the obligation of active cooperation to which undertakings are subject during inspections, the solution adopted by the General Court paradoxically leads to the creation of a de facto obligation for undertakings to record formally any concern or opposition in the minutes of the inspection. As a consequence, permanent vigilance and immediate reaction by visited undertakings are necessary during the entire inspection. Norton Rose Fulbright September
