Script de l émission de la radio national Chaine 3, à laquelle était invité le Directeur Général du fond national d investissement FNI Ahcene Haddad : Q : le Fond National d Investissement a annoncé, il y a quelques jours, la signature d un accord avec le groupe Russe Vimpelcom pour l achat de 51% des actions de l opérateur mobile Djezzy, après plusieurs années de négociations, que pouvez vous nous dire sur cette accord? Il s agit d une transaction complexe qui a nécessité une organisation spécifique qui a été mise par le Ministère des Finances qui a crée deux comités pour prendre en charge l opération, un comité de négociation à l effet de négocier l acquisition de 51% des actions d OTA, et un comité de suivi de l opération. Bien entendu un chef de projet a été désigné à l effet de suivre l opération. Par ailleurs, un comité de suivi du litige en arbitrage a été constitué pour prendre en charge le dossier en contentieux, naturellement, s agissant d une opération complexe il était nécessaire de se faire encadrer par une expertise internationale spécialisée dans les aspects juridiques, dans les aspects d évaluation financière relative au domaine des TIC parce qu il s agit d un secteur très stratégique qui évolue à une vitesse très rapide, donc il fallait à chaque fois se mettre à jour. Q : sur quelle base vous avez évalué le prix de la transaction à 2.642 milliards de dollars? C est vrai que le prix de la transaction était de 2.642 milliards de dollars mais le prix à transférer sera de 2.3 milliards de dollars parce qu OTA doit d abord s acquitter de la taxe qui frappe ce type de transactions. Q : et les redevances fiscales? Les 2.3 milliards de dollars à transférer sont nets d impôt. Q : depuis l annonce de la transaction beaucoup d Algériens se demandent si la transaction n était pas un achat à perte pour l Algérie, tant sur le plans des actifs et leur évaluation que sur la viabilité de l entreprise, quel est votre commentaire? Cette transaction était cadrée par des bureaux internationaux spécialisés, reconnus, chevronnés avec une expérience internationale dans ce type d opérations. Au début, il y avait des évaluations contradictoires qui ont données des valeurs très différentes. Dont et afin d arriver à un accord et rapprocher les positions, les deux parties se sont mises d accord pour désigner un bureau d experts indépendant d évaluer certains paramètres qui pourront rapprocher les positions. Après plusieurs aller-retour, les deux parties se sont mises d accord sur un prix d acquisition équitable et mutuellement avantageux. Q : donc l Algérie n a pas acheté à perte? Oui l Algérie n a pas acheté à perte, sinon à quoi servirait de se faire encadrer de bureaux internationaux qui coutent beaucoup d argent. L état Algérien ne peut pas être négligent sur ce volet. C est une transaction équitable vu qu elle advient dans un secteur stratégique qui évolue rapidement qui est les TIC qui sont au centre de tous les autres secteurs qui font appel à lui tel l éducation, la santé, l industrie et les finances Après la 2G qui donnait accès à la téléphonie et à l internet par ADSL, l arrivée de la 3G va permettre une croissance et une profitabilité encore plus importante au secteur. Q : le groupe Vimpelcom coté à la bourse de New York à rendu public le chiffre d affaire de Djezzy qui est de 1.8 milliards de dollars, que va apporter cet achat à l Algérie? Le FNI a pris en considération ces chiffres. OTA vient juste après SONELGAZ dans le classement des meilleurs entreprises algériennes publié par le magazine Jeune Afrique récemment. Donc cette entreprise génère un chiffre d affaire important qui est de 143 milliards de dinars, avec un excédent d exploitation d environ 85 milliards de dinars ce qui représente une marge de 59%, avec ces chiffres l entreprise est profitable, donc l acheteur ou l actionnaire dans cette entreprise va surement générer des bénéfices. Le FNI a comme mission de dynamiser plusieurs secteurs stratégiques dont celui des TIC. Q : quand est ce que cet accord prend effet? La société OTA est redevable au trésor public de la somme de 1.3 milliards de dollars qui correspond aux infractions qui ont étaient commises en matière de change de devises. Donc l accord ne prendra effet qu après le paiement de cette amende. Nous ne sommes pas actionnaire tant qu un certain nombre de conditions n ont pas été levées : notamment le paiement de l amende. Q : Comment OTA va-t-elle être gérée après cette accord? Le management est donné à Vimpelcom, aux spécialistes. Ils ont un top management, ils ont été performants dans leurs résultats, on va les laisser, mais nous serons dans la gouvernance. Nous aurons le véto dans les décisions stratégiques. Q: Vimpelcom ltd listed on New York Stock Exchange released the turnover of Djezzy, which is 1.8 billion USD, how can this figure benefit Algeria? The Algerian national investment fund NIF has considered these figures. OTA comes just after SONELGAZ (National Gas Company) in the ranking of the best Algerian companies published by the magazine Jeune Afrique recently. So this company generates a large turnover of 143 billion dinars, with an operating surplus of about 85 billion dinars which represents a margin of 59%, with these figures the company is profitable, so the buyer or shareholder in this company will most probably generate profits.
